After the state approves your Articles of Organization, your Tennessee Limited Liability Company (LLC) is officially established. However, this also starts your obligation to complete state tax registration and other necessary requirements before you can legally operate.
An important tax in Tennessee is the Business Tax. All businesses operating in the state are required to register with the Department of Revenue (DOR), although payment depends on gross revenue. This also applies to out-of-state companies with a significant nexus.
In this guide, I’ll walk you through all the key steps to register for Tennessee Business Tax and ensure your business stays compliant.

Tennessee Business Tax Overview
The Business Tax in Tennessee is a privilege tax for the right to conduct business in the state. It’s calculated based on gross sales of goods and services.
To comply with the law, all businesses operating in Tennessee need to register online. You’ll do so through the DOR using the Tennessee Taxpayer Access Point (TNTAP). As mentioned above, this also concerns out-of-state businesses with a substantial nexus.
Once registered, your business will get either a Minimal Activity License or a Standard Business License, depending on gross income. That said, whether you need to file and pay a Business Tax return is decided separately according to your gross receipts.

The TNTAP processes your registration within a 10-day timeframe. If a license is required, you’ll need to reach out to your local city or county clerk to pay the starting fee. This part of the process can take an additional 15 days.
Tax rates and due dates apply only to businesses required to pay the Business Tax. To file a return, submit Form BUS 428 online through TNTAP. I’ll cover these requirements in more detail later.
Note: TNTAP acts as a central platform for registering multiple state taxes, not only the Business Tax. Every business is required to register through this system. For instance, you can also use TNTAP to register for Sales and Use Tax.
I recommend completing your registration as soon as you receive your Employer Identification Number (EIN) and your Articles of Organization are accepted. This allows you to register for multiple taxes simultaneously.
How To File Tennessee Business Tax Registration Online

First, visit the TNTAP portal to register for taxes and create your Tennessee DOR account.
1. Find The TNTAP Registration Form
Once you enter the portal, find the Registration section on the main screen. Select “View registration links” to see the available options.

Then, choose “Register a new business” to open the online registration form and begin the application.

2. Give Your Entity Details
Tip: Before you start, note that TNTAP allows you to save your progress. Click “Save draft” at the bottom of the page. You’ll be prompted to input your email address so you can receive a secure link that lets you return to your application later.
a. Validate Foreign Entity Status
The form will ask whether your business is a non-U.S. entity. Choose Yes or No based on your LLC’s status, then continue.

b. Input Entity Information
On this page, enter your LLC’s essential details to ensure accurate registration:
- Entity type: Choose Limited Liability Company from the dropdown menu.
- LLC type: Select Single-member or Multi-member according to your LLC’s structure.
- State of original charter/certification: Select Domestic or Foreign, depending on where you established your LLC.
- Primary ID: Provide your LLC’s EIN.

Note: TNTAP also allows in-state businesses to use a Social Security Number or foreign LLCs to create a Non-U.S. Entity ID. That said, this is not recommended due to security risks and weaker liability protection for both types of LLCs.

c. Tax Registration Mandatory Letter
You might have gotten a notice from the Tennessee DOR titled “Tax registration required.” If so, input the requested details on this page.
If you didn’t receive this notice, leave the fields empty and click Next to carry on with the registration.

3. Fill Out The Alcohol Survey
Next, state whether your LLC manufactures alcoholic beverages by choosing Yes or No, then click Next.
If you select Yes, state whether your business qualifies as a Tennessee distillery for county tax distribution purposes. Tennessee distilleries must submit a monthly informational report through TNTAP with the requirements stated below:
- Report the total gallons sold in Tennessee.
- File the report within the first four business days of the following month.
- Submit the report with no payment required.

4. Choose “Business Tax”
On this screen, choose the tax types your business is required to register for. You can click each tax name to read its description. Based on your previous responses, TNTAP may automatically add mandatory tax accounts that need to be filed together under state law.
In this guide, I focus only on how to register for Business Tax.

After validating your selections, click Next to move on.

5. Answer The Business Tax Survey
The first question is about whether your business earns less than $3,000 in total sales for all its locations.
If you select Yes, you don’t need to file a Tennessee Business Tax return. You also won’t be required to secure a Minimal Activity License or Standard Business License. This applies to that specific location as long as sales stay at or below this threshold.
If you choose No, the form carries on according to your gross receipts:
- If your business brings in $100,000 or less at a location, you don’t need to file a Business Tax return for that location. However, you have to get a Minimal Activity License from the city or county.
- If your business generates more than $100,000 in sales at a location, you’ll need to register for Business Tax. This means you’re required to secure a Standard Business License from the city/county where the business operates. Starting the following year, your LLC needs to file a Business Tax return annually with the DOR. Filing this return will automatically renew your license for the year.

6. Answer The Retail Accountability Program Survey
During this step, TNTAP asks whether your business operates as a wholesaler, distributor, or manufacturer and whether you offer regulated products.
Depending on your responses, TNTAP automatically determines whether Retail Accountability Program (RAP) registration applies. After answering the questions, click Next to proceed.

7. Enter Your LLC’s Name And Identification
On this page, input your LLC’s legal name exactly as shown on your formation documents. This is also where you enter your Secretary of State (SOS) control number. After checking that the information is accurate, click Next to proceed.

8. Enter The Primary Business Address
Next, give your LLC’s primary business address, including the street address, city, state, and ZIP code. After inputting the information, click Verify Address so the system can validate the location.

a. Address Successfully Validated
If the address is valid, the system shows a Verified status. In this scenario, you can click Next to continue.

b. Address Not Verified
If the system can’t verify the address automatically, TNTAP displays alternative address options.
Choose the option that best aligns with your business location, save your choice, and click Next to move on.

9. Provide The Mailing Address
Next, indicate whether your mailing address matches your primary business address.
If the mailing address is identical, choose Yes and click Next.

If the mailing address is distinct, select No, enter the right mailing address, and click Verify Address.

a. Address Successfully Verified
If the address is correct, the system displays a Verified status. Click Next to move forward.

b. Address Not Verified
If the address can’t be validated automatically, TNTAP gives alternative address choices.
Pick the one that is closest to your mailing address, save your selection, and press Next to keep going.

10. Add Stakeholder Details
For this part, you list the owners or members of your LLC. TNTAP collects this information to associate responsible individuals or entities with the business for tax and administrative purposes.
a. Enter Name And Identification Details
Start by entering the mandatory identification details for your LLC’s individual stakeholders:
- Title: Choose Member, and specify if the stakeholder is an individual, company, or single-member LLC.
- Name: Enter the stakeholder’s legal name.
- ID type and ID number: Pick the correct identification type and input the corresponding number.
After providing these details, move on to the next step.

b. Provide Contact Information
Next, enter the stakeholder’s contact information, which includes their email address and phone number, then click Next.

c. Enter The Member Address
The system then wants to know if the member’s address matches the LLC’s primary business address.
If the address is identical, select Yes and click Next.

If the address isn’t the same, click No, enter the member’s address, and press the Verify Address button.

c1. Address Is Successfully Confirmed
If the address is valid, the system shows a Verified status. After verification, click Next to carry on with the registration process.

c2. Address Not Confirmed
If the system can’t verify the address automatically, TNTAP shows other address options. Choose the one that aligns best with the member’s address, save your choice, and click Next.

d. Review Member Details
At this stage, TNTAP displays a confirmation screen with an overview of the stakeholder information you entered.
Take your time to review the details, then click Next to proceed.

e. Add Another Stakeholder
The system now wants to know if you want to add another stakeholder. Here are your options:
- Select No to move to the next section of the registration process.
- Choose Yes to go through the same steps to input the details for an additional stakeholder.

11. Specify Account Location Features
This section gathers information about how and where your LLC carries out its activities at a specific location.
a. Business Location Start Date
Input the date your LLC started operating at this location.

b. Doing Business As (DBA) Name
Complete this field only if your LLC employs a DBA name. If not, leave it empty and continue.

c. Business Activity
State your LLC’s primary activity at this location by choosing the right North American Industry Classification System (NAICS) code.
c1. Search For A NAICS Code
Select Look up to search for the correct NAICS code that aligns the most with your LLC’s activities.

c2. Input A Business Description
Enter keywords that outline your business activity, then click Search to view matching NAICS codes.

c3. Pick The Correct NAICS Code
Revise the results and choose the code that best represents your business’s main activity. To get more detailed descriptions of the codes, you can browse through the list. You can also use the navigation widgets to find additional codes as needed. Once you have made your choice, select OK to confirm.

d. Location Address
Then, you’ll be prompted to enter the physical address where your LLC runs at this location. This address decides which local agency gathers the $15 registration fee.
If the address matches your primary business address, select the checkbox to validate this information.
If the address is distinct, input the full address and click Verify Address to proceed.

d1. Address Successfully Approved
When the system verifies the address, it shows a Verified status. You can then continue to the next step.

d2. Address Is Not Validated
If the address can’t be validated automatically, TNTAP will give you different options. Choose the closest match to your LLC’s location to keep going.

e. Location Mailing Address
For this step, you need to validate the mailing address for this business location.
If it matches the location address you entered previously, tick the checkbox and keep going.
If it differs, enter the right mailing address and click Verify Address.

e1. Address Is Successfully Verified
Once verified, the system displays a Verified status. You can now continue to the next section.

e2. Address Is Not Verified
If the system can’t validate the address, select the most accurate alternative option provided by TNTAP, then proceed.

f. Validate Account Types At This Location
TNTAP will then show the tax account types you previously registered for that concern this location. Go over the list carefully, then click Next to proceed.

g. Choose A Business Tax Classification At This Location
Pick the Business Tax classification that aligns the most with your LLC’s activities at this location.
Use the dropdown menu to select the correct service category and answer any related follow-up questions.
Click Next when finished with this section.

h. Revise The Summary
Review the summary of all the details you provided for this location, including tax accounts and classifications. After checking everything carefully, validate the accuracy and click Next.

i. Input An Additional Location
Indicate whether you want to add another business location for your business:
- Choose Yes to repeat all the steps you went through previously for an extra location.
- Select No to continue to the next section.

12. Nominate An Authorized Representative
This section lets you name someone who can communicate with the Tennessee DOR on behalf of your LLC.
a. Enter Basic Details
Give the authorized representative’s name and email address.

b. Enter A Primary Phone Number
Input the representative’s phone number and choose the correct phone type from the dropdown list.
Tick the certification box, then press Next to carry on.

Note: The Secondary Phone Number field is optional and can be left blank.
13. Review And Finalize Your Registration
This last summary screen shows all information entered during the registration process. Review everything carefully, then click Submit to finish your filing.
After finalizing your application, enter your email address to validate your registration.

After submitting, enter your email address to confirm the filing.

14. Look At Your Registration Confirmation
After you submit your registration, TNTAP provides a confirmation PDF. To view it, click Print confirmation and save it for your records.

15. Complete Required Payment Step
The Tennessee DOR will review your registration information within 10 business days.
In addition, in-state businesses need to contact their city or county office to pay the $15 registration fee per location. This fee applies to both Minimal Activity Licenses and Standard Business Licenses.
Out-of-state businesses are not required to pay this $15 registration fee.
Who Needs To Pay For This Tax In Tennessee?
Businesses formed either within Tennessee or outside the state can still be subject to the Tennessee Business Tax if they meet certain thresholds.
1. In-State Businesses
In general, Tennessee LLCs must register with the DOR. However, whether a business needs a license or should pay tax depends on its gross revenue.
- Under $3,000 in total gross revenue: You only need to register with the DOR. Plus, you don’t have any Business Tax license or Business Tax requirements.
- More than $3,000 but equal to or less than $99,999 in total sales: You need to secure a Minimal Activity License for each location from your local city or county office.
- $100,000 or more in gross sales: You’re required to register for Tennessee Business Tax. Additionally, you’ll need to obtain a Standard Business License for each location from the appropriate city or county.
2. Out-Of-State Businesses
Even without a physical presence in Tennessee, an out-of-state business may still be required to pay the Tennessee Business Tax. This applies when a business has a substantial nexus with the state.
A substantial nexus generally exists if a business owns or uses property, or employs workers or agents in Tennessee. It also applies if the business exceeds Tennessee’s economic nexus thresholds, including:
- Tennessee sales exceeding $500,000 or 25% of total sales.
- Tennessee property exceeding $50,000 or 25% of total property holdings.
- Tennessee payroll exceeding $50,000 or 25% of total payroll expenses.
After determining that a substantial nexus exists, the business must then consider its gross sales. Out-of-state businesses with $100,000 or more in annual gross sales in Tennessee are required to pay the Tennessee Business Tax.
Out-of-state businesses don’t need to secure a local business license from a county or city. Instead, they have to register a Business Tax account through TNTAP. Then, they’ll be required to remit the necessary tax to the Tennessee DOR.
When Is Tennessee Business Tax Due? Business Tax Rates and Due Dates
If your LLC is qualified to pay Business Tax, check out the rate and due date.
1. Business Tax Rate
Typically, if your LLC is required to pay Business Tax, the total rate includes two components:
- Tennessee Business Tax: This rate changes depending on individual location classification. Verify your Business Tax Classification and refer to the Tax Rates Table to find the correct rate.
- City Business Tax (If applicable): Reach out to your city or county office to confirm local tax requirements. Regardless of the rates, every taxpayer needs to pay a minimum annual tax of $22 per location.
2. Business Tax Due Date
You’ll need to file your Business Tax return by the 15th day of the fourth month after your fiscal year ends. For instance, if your fiscal year matches the calendar year (Ending December), your return will be due on April 15.
3. Where To Pay Tax
To remit Business Tax, file Form BUS 428 online through TNTAP. Once your business is registered and you have an account, the form will appear in your dashboard. Click it and follow the on-screen instructions to complete payment.

A paper version of BUS 428 exists. However, since registration is completed online, I suggest paying online to avoid procedural complications.

How Much Is Business Tax In Tennessee?
1. Registration Fee
As mentioned previously, there are two types of licenses: Minimal Activity License and Standard Business License. The license type depends on your business’s gross sales, but the registration fee is the same for both, which is $15 per location.
You will need to pay the fee separately at each location’s city or county office.
2. Renewal Fee
Both license types are valid for one year, but renewal fees differ:
- Minimal Activity License: Renew through the local city or county clerk with a flat $15 fee per location.
- Standard Business License: There is no flat fee for renewing this license. It’s worth noting that renewal occurs automatically when the Business Tax return is filed on time.
Business Tax licenses expire 30 days after the tax return due date for the business’s tax year. The expiration can shift if the due date falls on a weekend or public holiday.
Example: If an LLC’s tax year ends on December 31, the return is due April 15 of the following year. The license would then expire on May 15 of the same year.
Why You Need To Register For The Tennessee Business Tax
Under Tennessee Code Annotated § 67-4-706, anyone conducting business in Tennessee is required to register and obtain a business license. They’ll need to do so once their gross revenue surpasses the applicable thresholds.

1. Penalties For Failure To Register
Operating without proper registration and the required business license can result in monetary penalties. This is according to Tennessee Code Annotated § 67-4-1015, and it includes:
- A discretionary fine of up to $250 per day.
- An additional penalty equal to the business license fee for each month, or partial month, the business operates without a valid license.

2. Penalties For Late Tax Filings
Keep in mind that registering after the deadline doesn’t eliminate your responsibility to file returns and pay taxes on time.
The state imposes a 5% penalty on unpaid tax for each month, or part of a month, that payment remains overdue. The amount is capped at 25% of the total tax owed. This penalty is ruled under Tennessee Code Annotated § 67-1-801.

Some businesses may qualify for exemptions from the Tennessee Business Tax under certain conditions. These can include employees or manufacturers. It also applies to religious and charitable organizations that sell donated items, direct-to-home satellite service providers, and movie theaters.
