An Overview Of The Virginia Business License

A Virginia business license is an authorization granting your LLC permission to operate in a certain location or within a specific industry.

There are three issuing levels that you need to be aware of when it comes to licensing jurisdictions:

  • State licensing: These are issued by state agencies.
  • Municipal (City or county) licensing: These are issued by counties or cities.
  • Federal licensing: These are issued by federal agencies.

Business licenses generally fall into one of two categories. These are based on the scope and nature of business regulation:

  • General business licenses: Each business must have one regardless of its operating industry and location.
  • Occupational or professional licenses: These apply to certain businesses operating in regulated industries.

1. Who Needs A Business License In Virginia?

Note: There is NO general business license in Virginia. Therefore, you only need to register for one if your business location or industry fits into one of the required areas.

You may need to acquire one or more business licenses from your local or state government. You can contact them to confirm your exact licensing requirements using my contact resources in the sections below.

Make sure you have your required business licenses before beginning operations in the state. If you don’t, you risk facing several penalties. These can range from administrative ones to criminal exposure.

2. How Much Is A Business License In Virginia?

There is NO statewide cost. Your licensing fees depend on your issuing agency’s fee schedules. This commonly includes registration and renewal fees.

State-level licenses can be split into two categories:

  1. General business licenses: These apply to all businesses, regardless of their operating industry.
  2. Occupational (Industry-specific) licenses: These are required for businesses engaged in regulated activities or professions.

1. The Virginia General Business License

Note: There is NO general business license requirement in Virginia.

This does NOT mean that your LLC is license-free. You may still need to obtain state-level, industry-specific licenses before operating, depending on your industry and business activities.

2. State-Level Occupational Licenses For Virginia LLCs

The state requires you to obtain occupational or industry-specific licenses if your LLC operates in a regulated industry.

Follow the steps below to check if your Virginia LLC needs to obtain one:

a. Start With Common Industries

The primary authority overseeing most of the Virginia occupational and professional licensing requirements is the Department of Professional and Occupational Regulation (DPOR). Ask them directly for further clarification if you’re still confused after reading my article.

Furthermore, you can use DPOR’s Applicants or Professions & Occupations pages to check if your business activity is regulated.

Click the relevant industry to be redirected to the responsible licensing board. For example, choose “Contractors” to open the Board for Contractors website if your LLC operates in contracting.

b. Check Professional & Regulated Industries

The DPOR does NOT regulate every profession. You can use the Virginia Licenses portal so you don’t miss any required licenses. This resource lists every state-issued license.

Example: If you plan to run a CPA firm, you should choose that category to be taken to the Board of Accountancy for licensing details.

Note: Most normal LLCs only need to check with the DPOR. This mainly applies to Professional LLCs (PLLCs).

An Overview Of The Municipal Business Licenses

Municipal business licenses are issued by local governments. These include cities, towns, and counties. I’ve referred to each one as a “municipality” to keep everything simple and easy to understand.

The Virginia local business licenses can also be split into two main categories:

  1. General business licenses.
  2. Occupational licenses.

If your municipality has a general business license requirement, all operating LLCs must have one, regardless of their chosen business activities.

Example: Fairfax County requires a Business, Professional, and Occupational License (BPOL). This functions as a general business license that applies regardless of industry.

You may need to obtain a permit if your municipality issues industry-specific licenses. This depends on your business activities and may be needed alongside zoning approval, depending on your operating location. This is commonly required for LLCs operating a fitness studio, barbershop, or running a short-term rental.

Note: I highly recommend contacting the relevant local government where you operate to determine your exact requirements.

The Virginia Sales Tax License

If you engage in taxable dealer activities, you must obtain a Sales Tax Certificate of Registration before collecting or remitting sales under the Code of Virginia § 58.1-613(A).

This is issued by the Virginia Department of Taxation. Complete your online registration using the iFile system.

There is no initial or renewal fee. Your certificate is valid for as long as your business operates, unless revoked by the state.

The Cost Of Virginia Business Licenses

Note: With NO general business license requirement, there is NO exact cost for your Virginia LLC.

Your exact Virginia business license cost depends on your operating location and business activities. Generally speaking, business licenses cost more in large, urban counties and for highly-regulated industries.

Because each issuing agency sets its own fee schedules, you should verify your licensing requirements by contacting them using the information I’ve provided above. Make sure you ask if you need to follow specific renewal and fee schedules.

What Are The Penalties For Not Having Your Required Virginia Business Licenses

The Virginia authorities can impose both local-level and state-level penalties if your LLC operates without the required local and state licenses or fails to renew them. I’ve discussed the main ones below so you can understand the importance of obtaining your required licenses.

1. State-Level Penalties

Under the Code of Virginia § 54.1-111, it’s treated as a criminal offense if you operate in a regulated profession without the required license.

  • Class 1 Misdemeanor (§ 18.2-11): A fine of up to $2,500 and/or 12 months in jail.
  • Class 6 Felony (§ 18.2-10): A third/subsequent conviction within a 36-month period is punishable by up to 5 years in prison or a $2,500 fine + 12 months in jail.

You may also face an additional civil penalty of $200 to $5,000 per violation. Each unlawful act is treated as a separate violation, capped at $25,000 per year per entity.

2. Local-Level Penalties

Each jurisdiction sets its own local-level penalties. Therefore, penalties depend on the city or county where your LLC is located.

Example: Performing home-improvement contracting without the required local occupational license is classed as a misdemeanor in both jurisdictions. However, the penalties differ:

  • Fairfax County: Additional civil penalties are imposed (limited to $100 to $350 per summons). This is chargeable once per 10-day period, with a $4,000 total cap.
  • Prince William County: Injunctive relief or other remedies at law or in equity, with no comparable monetary cap.

Note: Each violation incurs a separate penalty if your LLC violates multiple local requirements. This is the case even if they arise from the same activity.

Do You Need To Get A Federal Business License?

You only need to acquire a federal business license if your LLC operates in a federally-regulated industry. Therefore, most Virginia LLCs do NOT need one.

You can check the U.S. Small Business Administration (SBA) if you’re unsure of your requirements. They maintain a directory listing the industries subject to federal licensing. Alongside this, it shows the federal agencies responsible for the oversight.
