An Overview Of The Oregon Business License Requirements

All U.S. states require you to obtain the necessary business licenses before legally conducting business in the state when operating as an LLC.

These are the three main licensing jurisdictions to be aware of:

  • State-level licenses: Issued by Oregon state agencies.
  • Municipal-level licenses: Licenses or permits required by local city and county governments.
  • Federal business licenses: Issued by federal agencies. Required for highly-regulated industries (Aviation, alcohol, firearms, broadcasting, and transportation). Most Oregon LLCs will not need a federal license.

In terms of license type, generally, there are 2 types of license:

  • General business license: applies to all business regardless of industry and location
  • Occupational or industry-specific license: applies to LLCs conducting business in regulated industry.

Oregon does NOT require LLCs to obtain a general business license to legally operate in the state. You do not need one, regardless of your business location or activity.

However, you must obtain an occupational license (Industry-Specific License) depending on your type of business operations.

1. Oregon Occupational License

Note: The Secretary of State does NOT issue an Oregon business license. It’s mainly responsible for business entity administration processes, such as forming an LLC.

Most states, including Oregon, require an occupational business license. You may be required to get a license or permit depending on your business activity.

Example: Your LLC operates in healthcare, construction, or childcare.

You’ll likely need an occupational or professional license.

Other industries, such as retail and online consulting, do NOT generally require a license. This is because they’re not performing specialized services.

Tip: Type keywords related to your business activities to generate a list of applicable licenses and permits (for example, “food,” “accountant,” or “childcare.”

2. What Are The Penalties For Operating A Business Without Required Licenses In Oregon?

Your LLC will be faced with civil penalties, fines, or business activity suspension until you obtain the proper licenses.

Example: Operating a long-term care facility without a valid license will result in significant fines or penalties. This is set out under OAR 331-950-0010 (Schedule of Civil Penalties for Facility License Violations).

  • $500 penalty for the first offense.
  • $1,000 penalty for the second offense.
  • $2,500 penalty for the third offense.

Alongside this, your LLC may be given an emergency suspension of its facility license. This will be in place until your licensing requirements are fulfilled. You may also be issued with additional fines, administrative actions, and/or legal enforcement by the relevant state agencies.

The Oregon Municipal Business Licenses

Oregon municipal business licenses are issued by several different agencies. These include cities, towns, parishes, townships, and/or boroughs. I’ve collectively referred to these as “municipalities” to keep things simple.

You have two types of municipal business licenses:

  • General Business License.
  • Industry Specific License.

Contact your own municipality to confirm your local licensing requirements based on your location and industry. Here are some useful resources that you can use:

1. Municipal General Business License

If your municipality has a general business license requirement, all LLCs must obtain the license, regardless of their business activities. This is the same rule governing the state business license.

Note: I recommend contacting your local agency to determine your general business license requirements.

Example: You conduct business in the City of Salem, Oregon.

  • You must obtain a Salem business license before beginning full business operations.
  • Your first year’s license tax is based on your receipts from the start of your business operations to the end of your current year. This is according to the City of Salem’s Business License FAQ page.
  • Your actual gross receipts from the prior year determine the fee for each following year.

During your first two years of operation, you may receive supplementary billing. Your tax rates depend on your business nature, with some businesses having multiple classifications.

Note: All Oregon businesses making less than $50,000 in gross receipts pay $50 per classification. Your LLC is not required to obtain one if you operate in a city that doesn’t require a general business license.

2. Municipal Occupational License

You may need a license or permit if your municipality requires an industry-specific business license. This depends on your business activities.

Example: You run a food truck or daycare business.

  • You may need an industry-specific municipal business license.
  • You may also need a Zoning Permit before beginning operations if you’re purchasing or leasing real estate.
  • Certain types of businesses (Creating digital products, wedding invitation reminders, or marketing consulting services) do NOT require a license.

3. What Are The Penalties For Operating Without A Municipal Business License?

Operating your LLC without obtaining the proper license from a local agency may result in penalties, fines, and/or enforcement actions.

Example: The city of Eugene, Oregon.

This penalty can be up to $2,000 per day for as long as the violation continues (Under City of Eugene Municipal Code § 2.018(5) (City Manager – Authority to Impose Administrative Civil Penalty).

Applying For An Oregon Business License: Full Cost Breakdown

As I’ve stated above, you’re not required to obtain and maintain a general business license as an LLC operating in Oregon. Therefore, there is no cost for obtaining one.

Even so, your LLC may need additional professional and/or occupational licenses under state requirements. However, the exact filing fees and costs depend on your issuing agencies and business industry.

  • These licenses require a registration fee and must be renewed annually (Each year).
  • If you don’t need a permit or license, your Oregon Business License cost will be $0.

Requirements For The Oregon Sales Tax And Resale Certificate

The state of Oregon does NOT have a general Sales or Use Tax. Therefore, most Oregon businesses do NOT need to acquire a Sales Tax License from the Oregon Department of Revenue.

You must file a Business Registry Resale Certificate with the Oregon Department of Revenue if you purchase goods from outside Oregon and resell them in the state. This allows you to buy the goods for resale without paying Sales Tax to the seller, provided that the goods are resold in the state.

The Main Federal License Requirements

If your LLC operates in an industry regulated by a federal agency, you must obtain a federal license or permit. Doing so ensures that your LLC complies with important national safety, trade, and environmental regulations.
