An Ohio business license legally authorizes your LLC to operate in a specific location or industry.

There are three distinct levels of business licensing in Ohio:

  1. State licensing: Licenses are issued by state agencies.
  2. Municipal (city or county) licensing: Licenses are issued by counties or cities.
  3. Federal licensing: Licenses are issued by federal agencies.

In most cases, Ohio LLCs fall into two main categories:

  • General business licenses: These apply to all businesses if required by a municipality, regardless of industry.
  • Occupational or professional licenses: These only apply to certain LLCs operating in regulated industries such as healthcare.

Note: The state of Ohio does NOT issue a general business license. Therefore, your licensing requirements are determined primarily by your operating industry and location.

I recommend researching and applying for your required business licenses once your LLC is approved and you’ve obtained your EIN, but before you begin full business operations. Without your applicable licenses, you risk criminal and financial penalties.

The total licensing cost varies because each issuing agency sets its own initial and renewal fees. For some LLCs, the total licensing cost may be $0 if no licenses are required.

1. Where Do I Apply For A Business License In Ohio?

Apply to the relevant regulatory and licensing agencies to obtain your necessary Ohio business licenses. The agencies that you need to apply with depend on your operating location and your chosen business activities.

2. How Much Are Business Licenses In Ohio?

Your fees vary depending on your license type. Generally speaking, fees range from $50 to over $1,000. Renewal fees range from $25 to several hundred dollars.

Recommendation: I highly advise confirming your registration and potential renewal fees with the relevant municipality or state agency. With fees varying, this helps you to budget correctly and avoid compliance issues.

Some businesses don’t require any licenses. If this is the case, your total licensing fee is $0.

How To Get A Business License In Ohio

As mentioned above, state-level business licenses are generally split into two main categories:

  • General licenses: These apply to all businesses, regardless of their operating industry.
  • Occupational licenses: These are required only for businesses engaged in regulated professions or activities.

1. Ohio State General Business License

Ohio does NOT have a general business license requirement. Because of this, you have NO application or renewal requirements.

However, your LLC may need to obtain state-level occupational licenses if you operate in a regulated industry or profession.

2. State Occupational Licenses

State occupational licenses, also known as professional licenses, are permits for businesses that engage in certain business activities and professions.

  2. Choose your business activity or industry.

Note: The Ohio Secretary of State does NOT issue occupational business licenses. They mainly handle business entity administration, including your LLC formation procedures.

The Ohio Municipal Business License

Municipal business licenses are issued by cities, towns, counties, parishes, townships, and boroughs. I’ve collectively referred to these as “municipalities” to keep things simple.

You have two main types of licenses:

  • General business licenses.
  • Industry-specific licenses. 

If a municipality has a general business license requirement, all businesses operating in that municipality must have the license, regardless of what they do.

Furthermore, you must obtain a permit based on your business activities if your municipality issues industry-specific licenses. This requirement is often in addition to zoning approvals, which are based on your operating location. Examples of common industries that require this are fitness studios, barbershops, and short-term rentals.

Example: Junk and scrap metal businesses in Cleveland must obtain a local industry license before operating according to the Cleveland Codes & Ordinances § 676.062.

The Ohio Sales Tax License

Note: A Sales Tax License is called a Vendor’s License in Ohio.

Alongside your required business licenses, you need to collect Sales Tax and file a Sales and Use Tax Return if you sell products to Ohio consumers.

To collect and pay Sales Tax legally, first you need to obtain a Vendor’s License from the Department of Taxation. Follow these steps to get one:

  1. Register for your Vendor’s License: Register through Ohio TAX eServices or at your local county auditor’s office.
  2. File your UST-1 form: You can file your Sales Tax return either monthly or semi-annually, depending on your tax volume.

Why Do You Need To Obtain Ohio Business Licenses?

Your Ohio LLC faces penalties at the local and state levels if you operate without a required license or fail to renew it on time.

1. State-Level Penalties

Under the Ohio Revised Code (O.R.C). § 5739.31, any individual or business operating in the state must obtain the relevant licenses before beginning full operations.

Under O.R.C. 5739.99(A)(C), you face significant monetary penalties if you fail to follow the law. I’ve listed the potential fines below:

  • First offense (not collecting Sales Tax): A fine between $25 and $100. You may also face a felony charge of the fourth degree.
  • Carrying out retail sales with the required license: A fine between $25 and $100.
  • Acting as a transient vendor without the required license: Your first offense constitutes a fine between $100 and $500. You’ll be fined between $1,000 to $2,500 or 1 month imprisonment for subsequent offenses. These fines can be applied at the same time.

2. Local-Level Penalties

Local agencies require all LLCs operating in their locality to obtain a business license. I’ve used the Cleveland Law example to explain the rules and penalties.

a. Misdemeanor Penalties For Not Obtaining A Business License

Under the Cleveland Codes & Ordinances § 676.99, operating without a license or breaking the rules is classed as a misdemeanor. The state imposes harsher penalties for repeat violations. Each illegal operating day is classed as a separate offense, meaning fines and penalties can quickly build up.

Under the Cleveland Codes & Ordinances § 601.99(c), these are the penalties for organizations or businesses:

  • 4th-degree misdemeanor: A fine up to $2,000.
  • 3rd-degree misdemeanor: A fine up to $3,000.
  • 1st-degree misdemeanor: A fine up to $5,000.

b. LLC Shut-Down If Violating The Law

Under Cleveland Codes & Ordinances § 676.15, any LLC operating in the same industry without a valid license may be ordered to stop operations immediately. In this case, businesses may NOT continue normal operations if their required licenses have expired, revoked, or suspended.

Ohio cities and counties impose their own laws and penalties on LLCs operating without the required business licenses. You should contact your local clerk for specific guidance on your local requirements to help avoid being fined.

Do I Need A Federal Business License?

Most Ohio LLCs do NOT need a federal business license or permit. However, you need one if you operate in a federally regulated industry.
