Once your Iowa Limited Liability Company (LLC) is officially formed, you’re recognized as a legally separate business entity in the state. Following this, you may need to obtain a business license or permit to legally operate.
The state of Iowa does NOT require you to obtain a general business license. Contrary to popular belief, your main Iowa business license requirements depend on your business location and chosen operating industry.

An Overview Of The Iowa Business Licenses
Obtaining your necessary Iowa business licenses means that your LLC can operate in a certain industry of a specific location.
Iowa business licenses are issued at three different levels:
- State-level: These are issued by state agencies.
- Municipal-level: Issued by city or county agencies.
- Federal-level: Issued by federal agencies for regulated industries. Examples include agriculture or aviation.
Most business licenses will fall into two categories:
- General business license: These apply to all LLCs regardless of their operating industry or location.
- Occupational or professional license: These apply to specific industries.
Important: As I’ve said above, there is NO general business license requirement for Iowa LLCs. Because of this, you only need to obtain licenses applicable to your specific operating industry and location.
Once your LLC is officially formed, you need to verify with state, municipal (local), and federal agencies to check whether your business requires any licenses to operate. With each agency having its own fees and requirements, there is NO universal cost for every LLC.
If you operate without your mandatory licenses, your business may face fines, penalties, or potential criminal offenses. I’ve discussed these in further detail below.
How To Get A Business License In Iowa?

As I’ve mentioned above, business licenses fall into 2 main categories at the state level:
- General business licenses.
- Occupational business licenses.
1. Iowa State General Business License
The state does NOT require a state of Iowa business license when operating in the state. However, you’ll likely need to obtain an occupational license (industry-specific license), depending on your business activities.
2. Iowa Occupational Business License
Similar to other states, there are requirements for occupational licenses in Iowa. If you operate in a regulated industry that requires a license, you need to obtain the license before conducting business.
For example, if you open a restaurant in the state, you may need to obtain relevant licenses before conducting business activities legally.

Important: The Iowa Secretary of State does NOT issue business licenses. They’re mainly responsible for business entity administration procedures, such as your LLC formation documents.
Iowa Municipal Business License
Iowa municipal business licenses are issued by cities, towns, counties, parishes, townships, or boroughs. I’ve referred to each of these as “municipalities” to keep things simple.
As mentioned above, Iowa municipal licenses are also divided into 2 main categories:
- General business licenses.
- Occupational business licenses.
Your Iowa license requirements depend on your operating location. If required by the city or county where you operate, your LLC must obtain a general business license. Alongside this, some jurisdictions may require you to obtain additional industry-specific licenses, depending on your chosen business activities.
I advise contacting your municipality to check your local licensing requirements:
- Iowa.gov: Local Government Directories.
- Iowa State Association of County Auditors: County Directory.
You can also check the list of permit types and the appropriate county official contact points. This is provided by the Iowa State Association of County Auditors: Permits.
Iowa Sales Tax Permit
Under Iowa Code §423.36, you must obtain a Sales Tax Permit from the Iowa Department of Revenue (IDR) if your business sells tangible personal property, specified digital products, or taxable services. This allows you to legally collect and remit Sales Tax.

Note: This requirement applies even if you’re a remote seller or marketplace facilitator. The following business types must obtain an Iowa Sales Tax Permit:
- Marketplace facilitators that make or facilitate $100,000 or more in Iowa sales.
- Retailers with a physical presence in the state.
- Remote sellers with $100,000 in gross revenue from Iowa sales.
The state has set the current Sales Tax rate at 6%. Many jurisdictions also impose an additional 1% local option Sales Tax.

Obtain your Sales Tax Permit using one of these methods:
- Online: Via GovConnectIowa.
- Mail: Complete the Iowa Business Tax Permit Registration form (78-005) and submit it to the IDR.
Note: You don’t need to pay anything to obtain your Iowa Sales Tax Permit. Also, your permit stays valid unless canceled or revoked if you fail to file your required tax returns.
Once registered, your application should be processed in around 6 weeks. After being processed, you’ll receive your account number, IDR ID, and instructions on how to file and pay any relevant taxes.
Ensure that you keep a copy of your application. You can begin collecting Sales Tax immediately once your application has been submitted, rather than waiting for approval.

How Much Is A Business License In Iowa?
Note: With Iowa having NO general business license requirement, the cost to obtain your necessary licenses will vary depending on your operations and business location.
Each regulatory agency sets its own fee schedules. Therefore, you need to contact them to determine if you need to pay a registration fee or have an ongoing renewal requirement.
Generally speaking, registration fees range from $50 to $1,000 or more, depending on your required license types. Niche or specialized licenses usually cost more.
Your renewal fees may range from $25 to several hundred dollars.
Some LLCs don’t require any licenses, meaning that their total licensing cost is $0.

Do I Need A Business License In Iowa?
If you attempt to operate your Iowa LLC without obtaining the required business licenses, you may face monetary penalties or potential criminal offenses.
Each business is different, meaning I can NOT estimate or predict the exact penalties that your business may face. Instead, I’ve provided some examples in the sections below.
1. State Level Penalties
As I’ve stated above, you do NOT need to get a general business license in Iowa. Therefore, there are NO related penalties.
However, if you operate without obtaining the required occupational license for your LLC, you may face several penalties.
For example, under the Iowa Code Chapter 137F.9, you must first obtain a license before operating a food establishment. If you don’t, it is deemed an “unlawful business practice.” Any food establishment found to be operating without a license may be subject to a penalty of up to 2 times the annual license fee.

The license fee for food establishments ranges from $150 to $400 based on your annual gross sales. This means that your penalty can range from $300 to $800.
Under the Iowa Code Rule 481—30.5(3), you may also be fined $100 for each violation after an opportunity for a hearing.

2. Municipal Level Penalties
Some municipal (local) jurisdictions may impose penalties if you operate without the required licenses. This is similar to the state-level regulations.
Example: Under the Marshalltown Code Chapter 118, any peddler, solicitor, or transient merchant operating without a license or violating license terms is seen as committing a “simple misdemeanor.” This offense is subject to a fine.

When this happens, and NO specific penalty is provided, the penalty will be a fine of at least $105 and not more than $855. Alongside this, the court may imprison you for up to 30 days. These guidelines are stated under the Iowa Code §903.1.

Do I Need A Federal Business License?
Most Iowa LLCs do NOT need to obtain a federal business license. However, you’ll need to get one if you operate in a federally-regulated industry.
In the table below, I’ve listed the common federally-regulated industries. You will find the relevant issuing agency on the right-hand side of the table.

If your LLC does not need a federal business license, then your main federal requirements are:
- Obtain your Employer Identification Number (EIN) from the Internal Revenue Service (IRS). This is required for federal tax reporting purposes.
- File and pay your necessary federal taxes.
