Once your Articles of Organization filing has been officially approved by the Idaho Secretary of State, your Limited Liability Company (LLC) is officially recognized as a separate business entity. Following this, you may need to obtain several mandatory business licenses before conducting full business operations in the state. If you don’t, your LLC may face fines, penalties, and administrative dissolution (business shutdown).

You do NOT need to obtain an Idaho general business license when operating. However, you may need certain local, state, and federal business licenses, depending on your operating location and industry.

An Overview Of The Idaho Business License Requirements For LLCs

A business license in Idaho is an official authorization given by a government agency allowing your LLC to legally operate within a specific industry or location. You must obtain all required local, state, and federal licenses in Idaho before conducting business in the state. Once you’ve obtained the appropriate licenses, your LLC can operate in full compliance with applicable regulations.

Idaho business licensing is generally split across three main levels:

  • State licensing: Issued by Idaho state agencies.
  • Local licensing: Issued by city or county authorities.
  • Federal licensing: Issued by federal government agencies.

Most of these licenses fall into two main categories:

  • General business licenses: Apply to most LLCs regardless of industry or location.
  • Occupational or professional licenses: Required for LLCs operating in regulated fields, such as healthcare professionals.

Note: You do NOT need a general statewide business license when operating in Idaho. Your licensing requirements depend on your operating location and chosen business activities.

Once your LLC is officially formed, I recommend researching and obtaining all necessary Idaho LLC business licenses from the appropriate issuing agencies. This must be done before you begin selling products or providing services.

Because your Idaho business license requirements depend on your licensing agencies, your fees will be widely varied. I’ll discuss this more in a section below.

Your LLC may face fines, penalties, and potential criminal consequences if you fail to secure the required licenses or permits. I will also discuss this in more detail below.

How To Get A Business License In Idaho

As I’ve already mentioned, your state-level business licenses fall into two main categories:

  1. General licenses: Apply regardless of your operating industry.
  2. Occupational licenses: Your LLC must obtain these when engaging in regulated professions or activities.

I’ve discussed how to obtain your Idaho business licenses in the following sections.

1. Idaho State General Business License

There is NO general statewide business license requirement in Idaho. Therefore, you have NO standard state-level license requirements that must be completed.

However, you may need to obtain specific occupational licenses if your LLC operates in a regulated industry or profession.

2. Idaho Occupational Licenses

You need to obtain specific state occupational licenses if your LLC performs certain business activities. These may be referred to as “professional licenses.”

Example: You need to obtain a license from the Department of Agriculture if you’re a florist and sell flowers.

Note: The Secretary of State does NOT issue Idaho business licenses. They’re mainly responsible for business entity administration, for example, issuing a Certificate Of Organization.

When determining what types of occupational licenses you need, you can use three main resources.

Overall, this is an efficient tool that I highly recommend using if you need to quickly identify your required occupational licenses. It helps to streamline your process when forming your LLC.

b. Licenses, Permits And Regulation Page

Alongside this, it includes direct links to the necessary licensing agencies, regulatory boards, and application/registration forms. This makes it a useful starting point when researching your business obligations.

c. Idaho Licensing Boards

Visit the Division of Occupational and Professional Licenses website and select your field from the “Professions & Occupations” menu to identify the appropriate licensing board for your chosen operating industry.

Idaho Municipal Business Licenses

Local business licenses are issued at the city or county level.  To keep things simple, I collectively refer to these as “municipality.”

You have two main types of municipal licenses:

  • General business licenses.
  • Industry-specific licenses.

You must obtain a general business license if it’s required by the city or county in which you operate. Some municipalities may need you to obtain additional industry-specific licenses, depending on the nature of your business operations.

Example: LLCs are NOT required to obtain city-level business licenses in Meridian. However, there are other requirements and licenses required for certain activities.

Idaho Seller’s Permit

You may need to pay a 6% state sales tax in Idaho if you meet the following conditions:

How Much Is A Business License In Idaho?

Your Idaho business license costs depend on your specific operating requirements. Generally speaking, you can expect the following:

  • Initial license fees: Range from $50 to $1,000 or more.
  • Renewal fees: Range from $25 to several hundred dollars.

Your total cost may be $0 if your LLC does NOT require any licenses.

Tip: I highly recommend checking your exact filing and renewal fees with the appropriate local and state agencies before applying. This ensures that you can budget accurately and avoid potential penalties and compliance issues before beginning full business operations.

The Importance Of Obtaining Your Idaho Business Licenses

If you attempt to operate without the required licenses or fail to renew them on time, your Idaho LLC faces multiple penalties at the local and state levels.

1. State-Level Penalties

You do NOT need to obtain a general statewide business license in Idaho. Therefore, there are NO statewide penalties if you don’t acquire one.

However, if you operate in a regulated industry or profession and fail to obtain the required professional licenses, you may face penalties. These are generally split across two levels:

  1. Civil penalties.
  2. Criminal penalties.

Important: Some licensing boards only impose one penalty, while others will apply penalties at both levels.

Example: Under I.C. §54-2065, businesses in the real estate industry who fail to obtain the required licenses may face the following penalties:

  • Civil penalties: Additional fines up to $5,000 for individuals and up to $10,000 for LLCs or corporations.
  • Criminal penalties: Misdemeanor charge with fines up to $5,000 and up to 1 year in jail for individuals, or fines up to $10,000 for LLCs or corporations.

2. Local-Level Penalties

You need a business license from your local operating agency if you conduct business in certain localities. You face monetary fines and potential criminal offenses if you fail to follow the required law.

Example: The city of Eagle required all businesses, including Home Occupations, to obtain a city-level business license before beginning operations. Under Eagle City Code 3-1-8, you commit an infraction if you don’t obtain your required business license.

Under Eagle City Code 1-4-1, the penalties are:

  • First offense: $50 fine.
  • Second offense (within 1 year): $100 fine.
  • Third or subsequent offense (within 1 year): Classed as a misdemeanor, which may result in a fine of up to $1,000, up to 6 months in jail, or both.

Does Your LLC Need A Federal Business License?

Most Idaho LLCs do NOT need to obtain a federal business license or permit. However, you may need one if you operate within a federally regulated industry.

Even if your chosen LLC activities are NOT in the table above, you still need to complete two main federal requirements:

  1. Obtain your Employer Identification Number (EIN) from the Internal Revenue Service (IRS).
  2. File your required federal taxes once a year (as required by law).
