An Overview Of The Delaware Business Licenses

A Delaware business license is a legal authorization given by the state allowing you to operate in Delaware. These are the three main Delaware licensing jurisdictions to be aware of:

  • State-level license: issued by state agency including Delaware Division of Revenue and other relevant licensing boards
  • Municipal license: issued by counties or cities.
  • Federal license: issued by federal agency.

Regarding license type, there are usually 2 main categories:

  • General business license: applies to every LLC regardless of industry and location.
  • Occupational or industry-specific license: only LLCs operate in regulated industry must get this.

Note: Every Delaware LLC is required to have a general business license issued by the Delaware Division of Revenue.

During that process, you will also apply for any occupational licenses that your LLC needs.

Furthermore, if your business is in federal-regulated industry, you will also need the federal license. I will explain this in more details further below.

Due to the large number of Delaware industries and municipalities, I can’t explain every licensing requirement in one article. Therefore, I’ve chosen to focus on the Delaware general business license in this article.

1. Delaware General Business License Cost

The fee for your State of Delaware general business license is approximately $75 for the first location. You’ll be charged an additional $25 fee for every extra business location. The initial license fee will be prorated depending on when your business license started.

Additional fees will be applied if you also get the occupational license through One Stop Process

2. Delaware General Business License Renewal

Your Delaware general license is valid for one year, expiring on December 31 each year. After the first year, you have the option to purchase a three year business license.

With a three year license, the expiration date remains December 31, and renewal is required every three years.

Note: Occupational licenses, which apply to specific professions or industries, often have different expiration periods. Some occupational licenses are valid for two years, while others may remain valid for longer periods.

Be sure to check the expiration date of your specific license to ensure timely renewal.

How To Get The General Business License In Delaware

As I’ve mentioned above, all registered Delaware LLCs that conduct business in the state are required to obtain a business license from the Delaware Division of Revenue.

You can apply for one using two methods:

1. Online (Through One Stop)

I recommend that you file your Delaware business license online through the Delaware One Stop Business Licensing & Registration Service. This is much easier and faster than the mailing method.

You can use the One Stop system to register with the Division of Revenue. If you have employees, it will assist you when registering for:

  1. The Division of Unemployment Insurance.
  2. The Office of Workers’ Compensation.

During your One Stop Business License application, you’ll be asked a series of questions regarding your business. Your answers determine the industry in which you are operating and your applicable licensing fees.

The flat rate for the license fee is normally $75. However, your total fee may be higher if your business requires additional industry-specific licenses.

2. By Mail

You must download and complete the Combined Registration Application (CRA form) if you prefer to apply for your Delaware general business license by mail.

As I’ve stated above, this is much slower than the online application process.

  • This multipurpose document is used to register your business with the Delaware Division of Revenue.
  • It deals with various tax and license needs, including business licenses, withholding, and additional state taxes.

In this guide, I’ve shown you how to correctly complete the relevant business sections, specifically relating to obtaining your Delaware LLC business license.

These are the key parts that you’ll need to fill out. I’ve discussed each one in more depth below:

a. Part A

Part A requires you to fill out your essential business information. This allows you to register your Delaware business license with the Division of Revenue. The goal of this section is to confirm your business identity, ownership type, and tax reporting details.

This is how to fill out the key fields in part A:

  • Primary location address: This is your physical Delaware business address where your main business operations take place. You cannot use a P.O. box for this section.
  • Accounting period: This depends on when your tax year starts and ends. If your business follows the standard January to December tax year, select “Calendar Year.” If your tax year ends on a different month and day, select “Fiscal Year.”
  • Incorporation state: If your LLC was formed in Delaware, enter “DE.” Enter the abbreviation for another state if your LLC was registered in another state but operates in Delaware.
  • Ownership type: Select the correct two-digit code from the separate guide. You’ll most likely use 23 (Limited Liability Company). Use 31 if your LLC elected corporate taxation (LLC Corporation), or 32 for LLC non-elect.
  • Sub-chapter S-corporations: This section only applies if you choose code 06 (Sub-Chapter S Corporation) on line 9. Select “Yes” if you have shareholders living outside of Delaware. Select “No” otherwise.
  • Parent employer ID: You should only fill this section in if your LLC is owned by another company. List the parent company’s SSN and EIN to show their ownership structure.
  • Previous ID number: Enter your previous ID number if your business has a prior Delaware Business License or tax ID. This allows the state to correct your new registration with their existing records.
  • Ownership: Include the titles, names, and SSNs of all partners, members, and corporate offices. If this is a Registered Agent, list their details here.
  • Business activity: Clearly describe your LLC’s primary business operations. Check the pages “Detailed List of Division of Revenue Licenses” and “Tax Rates” to complete this part accurately.

Part B discusses whether your LLC will have employees working in Delaware or will need to withhold Delaware state taxes from residents working outside of the state. The primary aim of this section is to determine whether your business needs to register for Delaware Employer Withholding Tax.

Tip: While this is a short and simple section, you need to fill it out correctly to avoid potential issues regarding your tax registration.

Here’s how to complete it:

  • Check “Yes” if your LLC is hiring Delaware employees or will withhold Delaware state income tax from wages paid to Delaware residents working outside of the state.
  • Check “No” if your LLC has no employees and does not need to withhold state income tax.

If you selected “Yes,” you’re required to register for the Delaware Employer Withholding Tax with the Division of Revenue. In this case, additional fees will apply.

c. Part C

Part C determines your business location, activity type, and total fees due. It also allows you to finalize and apply for your Delaware business license. You can check the official guide in the PDF for other fields that I’ve not listed here.

  • Physical license location address: This is the actual business location of your Delaware business. If your LLC operates remotely, list your Delaware Registered Agent’s address. The state will not accept a P.O. box address.
  • License year: This is the year in which you’re applying. You should use the current calendar year (Ending 12/31). Enter the year that matches the same 1-year or 3-year license cycle if you’re applying for an additional business location.
  • License activity description: Clearly state your different business activities, including your business code, according to the Division of Revenue chart. Give a full description and avoid using vague terms.
  • 65 years or older: Check this box if you’re the business owner, at least 65 years old, and have annual gross receipts below $10,000. In this case, you’re entitled to a reduced license fee.
  • Total fee: Use the section below to calculate your total license fee and include it with your application.

d. Calculating Your Licensing Fees

The last step before sending your application requires you to calculate your correct license fee. This is based on your type of business and application date.

The Delaware Division of Revenue has a license fee chart that lists the annual fees for each business category. Make sure that you refer to this to calculate your fees correctly before sending your application.

Your license fee will be prorated according to the month your business starts if your LLC begins operations after January 31. The Division of Revenue has also provided a proration schedule, allowing you to calculate your prorated payment accurately.

License Fee Formula
This is the calculation that you need to follow when working out your prorated license fee:

Annual Fee × Prorated Percentage (If applicable) = Total Fee

Example:
You’re operating an advertising agency that has an annual fee of $75 for your first location. Your second business, which is also scheduled to start in June 2025, has an additional $25 fee.

Therefore, your prorated rate for June 2025 is 58%, giving you a total license fee of:

  • ($75 + $25) x 58% = $58.00 total licensing fee.

Note: If your licensing fee is based on the number of units, make sure you multiply the annual fee by that number first.

License Fee Formula (Based on the number of units):

  • Annual Fee x Number of Units x Prorated Percentage (If applicable) = Total Fee.

Example:
You own a hotel with 30 rooms, with each room having a $25 annual fee. Your business is starting in September 2025, meaning your proration rate is 33%. In this case, your total license fee would be:

  • $25 x 30 x 33% = $247.50 total licensing fee.

e. Payment & Submitting

Once you’ve correctly calculated your license fees, you need to mail your completed Combined Registration Application (CRA) form alongside the required payment to the following address:

Your check or money order (Displaying the correct license fee) should be made payable to the Delaware Division of Revenue. If you submit your application without payment, it will not be processed, and you’ll need to start again.

Processing time: Your mailed application will take up to one month for processing and approval.

Delaware Occupational Licenses

The Delaware Occupational License requirements are based on your type of business or occupation. Some businesses may not need one, while others require one to operate legally.

Example: Businesses selling used cars or those operating a hair salon may need an occupational license.

When applying for your general business license in Delaware (Online or by mail), you can apply for your required LLC occupational licenses at the same time. Doing this should streamline the license processes and save time by not having to apply for multiple licenses on different occasions.

Licensing fees vary depending on your business activity. These generally range from $5 to $500. You should also budget for possible renewal fee if that applies.

You can use the licensed industries list to determine if your Delaware LLC needs an occupational license or a permit. Search for your industry/profession and check the relevant information to see what you need to do next.

  • The licensing board or government agency in charge.

Note: The Secretary of State is responsible for business entity administration, for example, when forming a Limited Liability Company. They will not issue Delaware business licenses.

Municipal Business Licenses

Municipal Business Licenses are issued by different authorities. These include the town, city, townships, parish, and borough. I’ve referred to each one as a “municipality” to keep things simple.

You have two main types of municipal business licenses:

  1. General business license.
  2. Industry-specific license.

To know which one you need, you’ll need to contact your county and your town/city and check their local licensing requirements.

Why Your Delaware LLC Needs A Business License

After reading the information above, you may be asking yourself questions like “Do I need a business license in Delaware?” Here’s why you MUST get one.

Once you obtain your business license in Delaware, your LLC is now compliant with state business tax and registration laws. Therefore, it is legally allowed to operate in Delaware as it has proven to meet the state’s legal requirements concerning identification, recordkeeping, and taxation.

You can face serious consequences if you fail to obtain your Delaware business license. This is required by law under Del. Code Title 30, Chapter 21, § 2101.

  1. Failing to display a valid business license may result in a fine of up to $100 (Del. Code Title 30, Chapter 21, § 2109).
  2. You can be fined up to $3000 and/or face imprisonment for two years if you operate a business or occupation without the correct licensing. This is set under Del. Code Title 30, Chapter 21, § 2119.

Delaware Gross Receipts Tax

Delaware doesn’t have a “Sales Tax.” Instead of this, the state imposes a “Gross Receipts Tax” against sellers of goods and service providers (This includes pretty much all business types).

When you use the One Stop Business License Application, you’ll need to register your LLC with the Division of Revenue. This allows you to pay your Gross Receipts Tax online using the Delaware Taxpayer Portal.
