Colorado Business Licenses Overview
A Colorado business license is the authorization that allows an LLC to legally operate in the state. Failing to obtain all required business licenses may expose an LLC to penalties and compliance issues, which I will discuss later.
There are three main licensing jurisdictions that you need to know:
- State licensing: issued by Colorado state agencies for certain regulated activities.
- Municipal licensing: issued by cities or counties based on where the business operates.
- Federal licensing: Issued by federal agencies and required only for LLCs operating in highly regulated industries.
Licenses can be divided into 2 types:
- General business licenses: If required, every business will need to get this regardless of location and activity.
- Occupational or professional licenses: Apply only to regulated activities.
Note: Colorado doesn’t have a single, statewide general business license. Instead, licensing requirements depend on the LLC’s business location and industry.

At the state level, Colorado business licenses generally fall into two types:
- General business licenses.
- Occupational or professional licenses.
1. Colorado General Business License
Note: Colorado LLCs are not required to hold a general state business license, and your business can legally operate in Colorado without one.
However, this doesn’t remove all licensing obligations.
Businesses involved in regulated activities need to get the proper occupational or industry-specific licenses before starting operations.
2. Colorado Occupational License
Depending on the nature of your Colorado LLC, you will need to obtain an occupational license from the appropriate state agency.
Most occupational licensing in Colorado is administered by the Department of Regulatory Agencies (DORA). They provide a License Verification and Renewal Directory tool to help identify which business activities require licensing and which agency issues the license.

- Use the What We Regulate dropdown to choose the activity that best fits your business. Alternatively, you can leave it unfiltered to see all regulated industries.
- After filtering, review the What We Regulate, Verify, and Apply Or Renew sections, including their URLs, to confirm licensing requirements.
If you don’t find an activity that matches your business, your Colorado LLC likely doesn’t require a state occupational license. Still, I suggest contacting the DORA to confirm.
Colorado Municipal Business Licenses
Note: Cities, towns, and counties issue municipal business licenses in Colorado. To simplify, we call these local governments collectively municipalities.
Like state-level licenses, municipal licenses usually fall into two categories:
- General business license.
- Industry-specific license.
If a municipality requires a general business license, every business operating there needs to secure one. This applies to many areas in Colorado, such as City of Aurora, City of Boulder, or City of Pueblo.

If a county or city has industry-specific business licenses, you must obtain them before doing business.
Always confirm obligations with the local municipality where you conduct business. You can use the Colorado Local Government portal to access active local governments across the state.
Colorado Sales Tax License
Your business needs to register with the Colorado Department of Revenue before collecting Sales Tax. This applies if it sells taxable goods or services in the state and is ruled under C.R.S. § 39-26-103.

According to the Colorado Sales Tax Guide, Sales Tax Licenses expire on December 31 of odd-numbered years (e.g., 2025, 2027). The only exception to this expiry is if the license is taken away earlier. Renewals last for two years, starting January 1 of the next cycle.
The fees include:
- $16 license fee plus a $50 deposit (Credited toward future Colorado sales tax).
- $16 for each two-year renewal.
If the license is granted after June 30, the fee is adjusted and charged in six-month portions.

How Much Do Colorado Business Licenses Cost?
Note: Colorado doesn’t require a general state business license, so there is no registration fee or renewal fee here.
The cost of a business license in Colorado entirely depends on the type of license your business needs and the agency that issues it.
Fees for state-issued occupational licenses vary widely depending on the profession and licensing board. Here are some important points to keep in mind:
- Many licenses cost a few hundred dollars, while specialized professions may be more expensive.
- Even within the same industry, fees can differ based on the specific license type or certification level required.
- Most licensing boards publish fee schedules on their official websites.
For instance, a Colorado real estate appraiser license has filing fees beginning at $47. The renewal fees for this license can go up to $263, depending on the certification level.

When it comes to municipal licenses, the cost will vary depending on the size of the location. Licenses issued by larger cities or counties generally cost more compared to those in smaller towns or rural areas. Below are a few examples:
- Aurora: Standard business license begins at $16, with a starting and renewal fee of $27.
- Town of Eagle: Annual business license costs $75, with specified renewal and late fees.
- Winter Park: Annual business license fee is $60.
- Colorado Springs: Many business licenses are around $110 per year, though fees vary by type.
Why Is A Colorado Business License Required?
1. Penalties Of Not Obtaining State Occupational Licenses
The state enforces licensing for regulated professions. This is done through statutes administered mainly by the DORA and its licensing boards.
Anyone who practices, offers to practice, or attempts to practice a regulated profession without a valid license can face penalties. That said, this individual would commit a class 2 misdemeanor for a first offense under C.R.S. § 12-20-407.

Under C.R.S. § 18-1.3-501, a class 2 misdemeanor can result in:
- Up to 120 days in jail.
- A fine of up to $750.
- Or both.

Warning: Repeat unlicensed practice is generally treated as a class 6 felony under C.R.S. § 12-20-407. This comes with higher fines and potential prison time.
Licensing boards can also issue cease-and-desist orders, deny licenses, or restrict future licensing eligibility.
2. Penalties For Not Having Required Municipal Licenses
Cities and counties may enforce local penalties if a business operates without the necessary licenses, permits, zoning approval, or home-occupation clearance. Local sanctions can include:
- Administrative fines.
- Daily penalties for ongoing violations.
- Stop-work or closure orders.
- In some cases, the business may be barred from reopening until compliance is achieved.
For example, Elizabeth town’s Municipal Code § 6-1-150 applies multi-layered penalties, specified in Municipal Code § 1-4-20:
- Primary penalty: A fine of up to $2,650 and/or imprisonment for up to 1 year.
- Additional penalty: 1 year of license denial.

Note: Most jurisdictions treat each day of violation as a separate offense, leading to rapidly accumulating costs.
Do You Need A Federal Business License?
Note: Federal business licenses are only required for LLCs operating in industries regulated by the federal government. Most businesses won’t ever need to get one.
