A California business license gives your LLC the legal permission to operate in a specific location or industry in the state. You may or may not need one depending on your primary business operations and chosen location.

Because businesses have different licensing needs, I can’t walk you through every licensing application. Instead, I’ve written a useful guide on the following:

An Overview Of The California Business License Requirements

Once your Articles of Organization have been approved by the California Secretary of State, your LLC is officially recognized as a separate legal entity. However, you may need to obtain certain licenses and permits before beginning full business operations.

There are three main licensing jurisdictions and license types to be aware of:

  • State licenses.
  • Local licenses (County, city, or municipal).
  • Federal licenses.

You also have two main license types issued at the state and local levels:

  • General business licenses: Issued by local governments, authorizing businesses to operate legally within a specific jurisdiction (Regardless of activity).
  • Occupational or professional licenses: Based on your specific business profession and activity.

Note: Your location AND your business industry determine your licensing requirements when operating as a California LLC.

While you don’t require a statewide general business license in California, you may need the following licenses:

  • State occupational license: Required for regulated industries (Healthcare, finance, construction, etc).
  • Local occupational license: Required for specific professions and trades regulated at a local level.
  • Local general business license: Required by certain cities and counties for businesses operating in certain areas.
  • Federal license: Required for highly regulated industries (Broadcasting, aviation, alcohol sales, firearms, etc).

As I’ve stated above, I can’t take you through every individual license application process. However, I’ve linked several useful resources and official tools below that will help you see which licenses apply to your business.

The Different California State Licenses

There are two types of California State business licenses:

1. California State General Business Licenses

A statewide business license is required in some states, regardless of industry or activity. In other words, your LLC must obtain one if you’re operating in that location.

You do NOT require a statewide general business license in California.

You may still need an occupational or municipal license to operate legally. This depends on your business type.

2. California Occupational License

Similar to other U.S. states, California has specific occupational licensing requirements. You may require a license or permit depending on your LLC’s business profession or activities.

Example: LLCs performing construction work, selling liquor, or offering legal and/or medical services must obtain the appropriate occupational licenses from the state. However, some businesses, such as consulting and online retail, do not require one.

3. What Happens If You Don’t Have A State Occupational License

You can face serious consequences if you operate your LLC without the required occupational licenses, depending on your industry. This may include:

  • Penalties.
  • Criminal charges.
  • Business suspension.
  • Refusal of future licensing.

Example: It’s viewed as a misdemeanor to act as a contractor without a valid license under California Business & Professions Code §7028.

If it’s your first conviction, you can face a fine of up to $5,000 and/or up to six months in jail.

What Is The California Municipal Business License (Business Tax Certificate)?

This is also referred to as a business operating license” or a “business tax certificate.” These terms all refer to the same thing and can be used interchangeably.

You can obtain a municipal business license from a California city, town, or county. I’ve referred to these local jurisdictions as “Municipalities” in the interest of simplicity.

There are two types of municipal licenses to be aware of:

  • General business license.
  • Occupational license.

Contact each municipality directly to confirm their local licensing requirements and obtain the relevant application.

The California State Association of Counties: County Websites and Profile Information is a useful statewide directory that can be used for reference.

1. Municipal General Business License

If a municipality requires a General Business License, all LLCs operating within that jurisdiction require one, regardless of business type. This is the same principle that applies to Statewide General Business Licensing.

You’re required to get a general business license or business tax certificate in most California cities and counties.

Example: The Business Registration Certificate fee ranges from $25 to $500 in San Francisco. This depends on your business size and type.

2. Municipal Occupational License

Your LLC may need an occupational business license depending on its business activity. This also depends on whether the specific municipality issues them.

Example: You may need a specific municipal occupational license if your LLC operates as a contractor, food vendor, or massage therapist. However, online retailers or consulting services may not require one.

Your licensing fee depends on your industry and the local licensing agency.

3. Penalties For Failing To Obtain Your Municipal Licenses

If you operate without the required municipal license, you could face fines and criminal penalties. The specific fine or criminal charge depends on your business location and local regulations.

Example: You’re operating a business in Los Angeles and don’t obtain a Business Tax Registration Certificate (BTRC). As you don’t have your General Business License, you may be charged with a misdemeanor offense.

Misdemeanors can lead to a fine of up to $1000, up to six months imprisonment, or both. This is set out under the Los Angeles Municipal Code.

These rules and regulations apply to certain municipal professional licenses.

Example: An LLC operating as a massage practitioner or massage therapist without the required certificate will be charged with a misdemeanor. This is stated under Los Angeles Municipal Code §103.205.1(d).

How To Get A Business License In California?

You must apply through the appropriate licensing office when looking to obtain your California business license. The appropriate licensing office depends on your business location and the type of business activities that your LLC performs.

Example: Some LLCs may apply through a county office or state regulatory board, while others need to use a city business licensing department.

You must fill out your basic business information, including:

  • Your official legal business name.
  • Your business address.
  • Your business type (LLC, Sole Proprietorship, Corporation, etc).
  • Your Employer Identification Number (EIN).

Note: Most license applications require you to provide details regarding your business activity and any fictitious business names (DBA Names) that your LLC operates under.

What Is The California Seller’s Permit?

You’re required to obtain a California Seller’s Permit and collect sales tax if your LLC sells tangible products to California consumers. This is set out under the California Revenue & Taxation Code § 6066 and is in addition to your business license requirements that I’ve mentioned above.

The California Department of Tax and Fee Administration (CDTFA) is the agency that issues you a Seller’s Permit. Once issued, your LLC can collect and remit sales tax on certain services and taxable goods sold within California.

Getting this permit ensures that you remain compliant with the California Sales & Use Tax Law. Furthermore, the state can track the revenue generated by your business transactions.

Register for your California Seller’s Permit using the California Department of Tax & Fee Administration: Online Services.

Note: According to my research, there is no option to file by mail. You must apply for your Seller’s Permit using the online application.

Your Seller’s Permit is free to obtain. It remains valid as long as your LLC continues to conduct business in the state.

  • It typically takes anywhere from a few days to a few weeks to receive state approval.
  • Use the online portal to check your application status. Once your registration has been approved, you should receive an email from the state.
  • Log in to the CDTFA’s Online Service portal to download and print your Seller’s Permit.

Tip: You must place the permit in a visible business location. This should be next to your City or County Business License.

Do I Need Any Federal Business Licenses?

Most California businesses, including LLCs, do not require a federal business license.

However, certain industries regulated by Federal agencies must obtain specific federal licenses or permits. I’ve listed the main ones in the table below, including the relevant issuing agencies.

Note: You do not need a federal business license if your California LLC does not operate in one of these regulated industries. Your only federal LLC requirements are to acquire your EIN from the IRS and file your applicable Federal Taxes.
