After that, you need to complete the mandatory state requirements to remain active and in good standing when operating. One of the key requirements is filing your Kansas Biennial Report with the Secretary of State (SOS) every two years.

In this article, I will discuss how to file your Kansas Biennial Report using the online and paper filing methods. Alongside this, I will also discuss the required fees, deadlines, and potential dangers of operating without completing your filing.

Kansas Biennial Report Overview

Important: Starting January 1, 2024, you must file an Information Report, or Biennial Report, with the Kansas SOS every two years.

Before this, LLC owners were required to file an Annual Report every year.

Every LLC operating in Kansas must file a Biennial Report with the SOS every two years under K.S.A. 17-7503. This mandatory filing updates the state with your main business information. This ensures that your LLC remains active and in good standing on the official business registry.

The Kansas LLC Biennial Report is also called the “Informational Report.” Therefore, I’ve used both terms interchangeably.

You can update your current principal business address and member information in your report. However, you’re NOT able to change your Registered Agent details. This requires a separate form called the “Resident Agent/Registered Office Change” form. You can do this online using the same portal for your Biennial Report filing, or file by mail. Alongside this, you need to pay a $30 filing fee.

Your Biennial Report filing is largely the same as your Annual Report filing. The main change is the due date, which is automatically set to April 15. Because of this, you no longer need to calculate your filing date. The only thing you must do is confirm your correct reporting year.

Your LLC may lose its good standing status, face a delinquency period, or potentially face business forfeiture if you don’t file your Biennial Report timely with the SOS. If this happens, you lose your LLC and will need to reinstate it. I will discuss the potential issues arising from this later in my article.

2. Kansas Biennial Report Due Date

Every Kansas LLC must file its Biennial Report by April 15 every two years. 

  • New businesses formed in an even year must file a report for the next even year. 
  • New businesses formed in an odd year must file a report for the next odd year. 
  • Existing businesses formed before 2024 continue filing Annual Reports under their old due date rules through 2023. Under the new reporting schedule, they need to switch to Biennial Report filing from 2025.

For example: 

  • Your Biennial Report is due on April 15 2028 if your LLC was formed on May 10 2026.
  • Your Biennial Report is due on April 15 2029 if your LLC was formed on August 8 2027
  • You must file your Annual Reports in 2022, 2023, and then file your Biennial Reports from 2025 if your LLC was formed on March 25, 2021.

Before filing your Biennial Report, you must have a Kansas SOS user account. Continue following my guide if you already have one. If not, you’ll find detailed instructions on how to create one in the sections below.

1. Register Your Business Page

First, go to the Information Report page and click “File Information Report.

2. Log In

Then, enter your email address and password and click “Sign in.

3. Access The Form

Click “File Information Report.

4. Search For Your LLC

Provide your LLC name or Business ID in the search field. This must be exactly as it appears in your Articles of Organization. Then, click “Search” to find your business record.

The table underneath should display your LLC. Click “Select Business.

5. Review Your Principal Office Address

Review your Principal Office Address information shown. Click the applicable field and edit the information if any details are incorrect.

Click “Next” to continue once you’ve finished your review.

6. Complete Your LLC Members’ Information

In this section, you need to indicate whether your company has members owning 5% or more of the capital by selecting “Yes” or “No.”

You can move to the next section after clicking “No” if your LLC has NO members meeting these requirements.

If you have members owning 5% or more of the capital, you can take the following actions:

  • Click “Load From Previous Reporting Year” if your LLC members are the same as last year. You may also add more members if needed. This function can NOT be used by first-time filers.
  • To add a new entry, enter your LLC member’s name and address. Then, click “Add Additional” to save. If you need to include more members, redo the process.

After that, review the listed business entities or manually add their information. Click “Edit” to update a member’s information or “Delete” to remove an entity.

7. Review The Information

Next, carefully review your report information to make sure everything is accurate and up-to-date. You can click “Edit” next to the relevant section if you need to make changes.

8. Provide Your Signature

Provide a current email address and authorized signature to complete your filing. Notifications will be sent to this email.

Follow these steps:

  • Enter an email address: Type the email where you want to receive updates about your filing. You may add one or more emails in this section.
  • Click “Save Email”: This stores your email address in the system.
  • Enter the Authorized Person’s name: Type the full name of the person submitting your form.

After saving the email and signature, click “Submit” to finish the filing process.

9. Make Your Payment

This is the shopping cart page where you complete your payment. Click “Pay For Items.

10. The Approval Process

Your filing should be validated by the Kansas SOS within 24 hours of your submission. They’ll send you a confirmation email once it’s approved.

To begin, navigate to the online login page and click “Create Account.

1. Enter Your Email Address And Password

First, you need to enter your email address and create a suitable password.

You should use an email address where you can receive verification messages. This address will be used to validate your account, so it needs to be active. The account is created for your own use and allows you to file and purchase business documents once logged in.

Your password must include the following:

  • A minimum of 12 characters and a maximum of 40 characters.
  • At least 1 uppercase letter.
  • At least 1 lowercase letter.
  • At least 1 number.
  • At least 1 of the following special characters: !@#$%^&*-_()?+=.

2. Add Your Address And Phone Number

Next, provide your official address and phone number. You can use a domestic address or an out-of-state address.

3. State Your First & Last Name

Underneath, enter your first and last name. Then, click “Submit.

4. Email Verification Process

You should then get an email with a verification link. The system will notify you once it’s sent.

Click the given link once you’ve opened your email inbox. I advise checking the “All Mail” or “Spam” folders if you don’t see an email initially.

5. Confirm Your Account Activation

The system will inform you that your account has been successfully created. You can now log in and file your Kansas LLC Biennial Report.

How To File Your Biennial Report By Mail

You can use the Information Report LLC or Series (Form ILC) to file your Information Report via mail. Click the provided link or the download button on the right-hand side of the screen.

You must pay using a debit/credit card or by preparing a $110 check.

DO NOT file your instructions page when submitting your filing. You only need to submit your Information Report and credit card cover page (if paying by card).

Before you file: Double-check your current business information in your Articles of Organization or last report. You can use the Business Entity Search tool to check them online.

1. Enter Your Business ID/File Number

First, provide your business ID/file number.

You can find your business ID or file number on your stamped Articles of Organization after your LLC formation is approved.

You can also locate this number by searching for your company using the Kansas Business Entity Search tool.

2. Add The Name Of Your LLC Or Series

Next, provide your business name alongside your LLC designator (name ending).

You should enter your LLC name exactly as it appears in your Articles of Organization. You can NOT change your business name using the Biennial Report. To do this, you need to file a separate Certificate of Amendment. Check the file for instructions, or contact the SOS with the given contact details below.

Provide your current information if you’ve already changed your LLC name before filing your Biennial Report.

3. Enter Your Principal Office Address

Enter your current principal office address. This must be a street, rural route, or highway. You can NOT use a P.O. box address.

Enter the required information exactly as it appears in your Articles of Organization if nothing has changed.

4. State Your Reporting Year

In this section, provide your reporting year. You can use the Business Entity Search tool to check your current reporting year for filing.

5. Enter The Name And Address Of Each LLC Member Who Owns 5% Or More Of Capital

Next, you need to enter the name and address of each LLC member who owns 5% or more capital. Because the form only has enough room for 3 people, you need to add an attachment if you need to add more.

Leave this section blank if your LLC doesn’t have anyone owning more than 5%.

6. Signature Of Authorized Person

Have an authorized person sign your completed filing once you’ve printed it.

7. Complete Your Payment

You have two main options when completing your filing payment.

  • Pay via check: Prepare a $110 check made payable to the Kansas SOS.
  • Pay via credit card: Enter your card information and contact information in the Credit/Debit Card Cover Page (page 3 of the PDF).

8. File Your Completed Form

Finally, prepare your completed envelope. This should include your Biennial Report filing alongside a check or card payment form. Then, send it to:

9. Approval Process

The Kansas SOS should process your LLC Biennial Report in 3-5 business days. However, you will NOT be given a receipt once your report has been successfully filed.

You can use the Business Entity Search tool to verify if your filing has been successfully processed.

The Importance Of Filing Your Biennial Report With The SOS

As I stated above, every Kansas LLC conducting business in the state must file a report every 2 years to provide the state with up-to-date business information and maintain its good standing.

Your LLC faces several serious consequences if it fails to comply. These may reduce your operational efficiency and potentially stop your business operations altogether. I’ve discussed the main negative consequences in the sections below.

1. Delinquency Period

Every LLC has a three-month delinquency period after the due date to file its report according to state guidance. However, the documents that you can file become severely limited once you become delinquent. This also means that your LLC loses its good standing status.

2. LLC Forfeiture (Administrative Dissolution)

Your business will be forfeited if you do NOT file your report after the three-month delinquency period. This means that your LLC will be administratively dissolved.

Once this happens, your LLC can NOT file other documents with the SOS until it files the overdue reports and completes reinstatement.
