What Is The Alaska Biennial Report?
All LLCs operating in Alaska must file a Biennial Report every two years, as stated under AS 10.50.760.
This ensures that the state maintains up-to-date business information, including your main contact details, address, and Registered Agent information.
Filing your Biennial Report on time helps maintain your legal status, keep your good standing, and avoid potential state penalties.

1. Alaska Biennial Report: What Are The Key Due Dates & Fees?
You must file your Biennial Report every two years from the date you filed your LLC Initial Report.
- All Biennial Reports need to be submitted by January 2 of the year it’s due.
- You can file from October 2 of the previous year.
- Your $100 Alaska LLC Biennial Reporting fee is due every two years.
Warning: The state gives you a 1-month grace period. A $37.50 late fee will be added if you haven’t filed your report by February 1. If you continue to ignore your mandatory filing requirements, your LLC may be shut down.
Example: You file your Alaska LLC Initial Report on May 10, 2026.
- Your first Biennial Report is due on January 2, 2028. You can start your filing from October 2, 2027.
- The state gives you a one-month grace period if you miss the January 2 deadline.
- You’ll be charged a $37.50 late fee if you fail to file by February 1, 2028.
2. Where To File The Alaska Biennial Report?
You can file your Alaska Biennial report online (Strongly recommended) or by mail.
Important: Make sure that you don’t submit your Biennial Report online AND by mail. If you do, you create a duplicate filing and may be charged twice.
- Your report is approved immediately if you file online.
- Your mail processing time depends on your postmark date.
- Reports are typically processed in 10–15 business days (If filed between March and September).
- Your processing time may be over 3 weeks if you file between October and February.
Go to the Biennial Report portal on the Alaska Department of Commerce, Community, and Economic Development website. You can complete your Biennial Report filing online or download the PDF form and send the state a hard copy.

Completing your Alaska Biennial Report filing online is the most convenient and fastest processing method. It’s also strongly preferred by the state as it reduces the chances of filing errors.

I’ve written a step-by-step guide below on how to complete your Biennial Report filing online. These are the main steps to follow:
1. Navigate To The Biennial Report Filing Page
To begin, access the Biennial Report section on the Alaska Division of Corporations website. This is where you begin your online filing.
2. Start Your Filing Process
Enter your LLC’s Entity Number in the required field. Then, click “File online” to move to the next step.
Note: Use the Alaska Corporations Database to find your entity number by searching your LLC name.

3. Verify Your Entity Addresses
In the next section, verify your entity addresses. You must either confirm or update your mailing address and physical address in the provided sections.
Make any necessary changes, ensuring all entered information is accurate and up-to-date.
- You can NOT update your Registered Agent information when filing your Biennial Report.
- You must file a Statement of Change separately and pay a $25 fee if you want to change your Registered Agent details.

4. Update Your LLC Officials
In the next section, you must review the list of your LLC members or managers. Add and remove individuals as needed to keep your LLC information up-to-date.

5. Enter The Details Of The Person Completing Your Filing
After updating your LLC members or managers, provide the personal details of the individual completing your Biennial Report.
First, agree to the terms by clicking the checkbox on the left-hand side. Then, enter their full name (First and last name) followed by their contact phone number.
Once the required fields are completed, click “Proceed” to continue.

6. Carefully Review Your Filing
With the required information complete, you need to review your filing information.
Click the “Review filing” PDF link to check your information.
- Click “Return to filing” if you see any errors and need to correct them.
- Click “Proceed to payment” if everything looks correct.
Note: You can also print or save a PDF if you want a copy for your business records.

7. Make Your Fee Payment
On the payment page, provide the following:
- Card details (Card number, expiration month, CVV2).
- Billing details.
- Email address.
- Contact phone number.
Then, click “Submit payment” to complete your filing.

8. Verify Your Filing Information
Go to the Search Corporations Database, and search for your LLC to verify that your filing has been completed.
Processing takes approximately 30–60 seconds.

Click your entity number.

Scroll down to the “Filed documents” section and find “Biennial Report” in the list.

Once you find your report, you know that your filing has been successfully recorded and accepted by the state.

How To File Your Biennial Report By Mail?
If you prefer to file your Biennial Report manually, you can submit your filing by mail. The steps are straightforward if you prepare the form correctly. However, the processing time is a lot longer.
Note: You must print the form and complete it by hand to submit your filing. This is because your form is personalized for each business entity.
I’ve split the mail filing into 5 simple steps:
1. Go To The Biennial Report Page
Access the Alaska Division of Corporations Biennial Report page.
Enter your entity number and click “Print form.”

2. Open The Personalized Form
The website should provide a link allowing you to access your Biennial Report form. This is a customized version created specifically for your LLC.

3. Print The Form And Handwrite Your Information
You can NOT edit your form electronically. Your form is personalized and must be printed and filled out by hand.
If there are no changes to the pre-filled information, leave those sections blank. You only need to fill in the “Officials” section and sign at the bottom.
Follow this guidance and make changes as necessary:
- Entity addresses: Write your mailing address and physical address, if any changes are needed. Leave this section blank if everything is correct.
- Officials: Write the names and mailing addresses of all LLC members or managers. Include their names, mailing addresses, and percentage ownerships. Tick the checkbox to indicate whether they’re a member or a manager.
- NAICS code: If changes are needed, update your NAICS Code. Otherwise, leave this section blank.
- Sign and date: Sign, date, and print your name in the required fields.

4. Mail Your Completed Form And Payment
Once your form is complete, place it in an envelope along with your payment. This must be a $100 check or money order. Mail it to:

5. Verify Your Filing
Your filing will be approved in approximately 10–15 days.
Verify your filing has been received in the Search Corporations Database by searching for your LLC name.

Then, click on your entity number.

Scroll down to the “Filed documents” section. Search for your “Biennial Report” in the list.

What Are The Penalties If You Fail To File Your Biennial Report On Time?
According to the Division of Corporations, and under AS 10.50.760, these are the penalties for late filing:
- Domestic entities: $37.50.
- Foreign entities: $47.50.

If you don’t file your Biennial Report, your LLC could be Involuntarily Dissolved. In some cases, this can result in your business being permanently dissolved. You can reinstate your entity at any point if you were involuntarily dissolved for less than two years.
