The Articles of Organization is the legal document required to form an LLC in the state of Wyoming. Once this document is properly filed and approved, your LLC is officially created under Wyoming Statute §17-29-201.

I highly recommend that you use the online method when filing your Wyoming LLC Articles of Organization. It’s straightforward, easy to use, and generally approved immediately once completed.

However, Wyoming Secretary of State has strict filing rules when it comes to name distinguishability. In some cases, names that trigger stricter checks must be filed by mail. Make sure to do your research first before filing to save valuable time and money.

Filing Your Wyoming LLC Articles Of Organization Online

Navigate to the Wyoming Business Center. This is where the full online filing process will take place. Find the “Start Now” button once you get to the homepage and click it to begin your Wyoming LLC formation application.

Type your desired business name into the “Business Entity Name” field, then re-enter it in the “Confirm Name” box. This must be the exact name that you want for your Wyoming LLC.

Note: You cannot create distinguishability by using additional designators such as “DAO,” LAO,” and “L3C.” You must choose a unique name, even if you plan to use these designators.

Once completed, click “Next” to continue.

Note: The state only gives you 30 minutes to complete your online filing. Your progress will be lost, and you’ll need to start again if your session times out. Therefore, read through my steps first so you understand what you need to do before filing.

After navigating to the online form, you can begin your application. I’ve divided it into 9 key sections.

These are:

1. Business Entity Name

Type your desired business name in the “Business Entity Name” box. This must include an allowable designator (Ending). Then, re-enter it in the “Confirm Name” box. This ensures that there are no typos.

Click “Next” to continue to the next section once both boxes are filled.

Note: Make sure your desired business name is unique and distinguishable using the state’s Business Entity Search Tool before submitting your filing.

2. Detail

In the “Detail” section, leave the “Delayed Effective Date” box blank if you want your LLC to take effect immediately. If you want your LLC to start later (Within 90 days), enter a future date.

Click “Next” once done to proceed to the next section.

3. Agent

Section 3 is all about your Registered Agent. The “Agent” section is split into three parts:

a. Search For A Registered Agent

You have two options when searching for your Registered Agent. You can look up an existing Registered Agent who has already agreed to represent your LLC. Alternatively, you can manually enter their details if you have their information.

b. Enter Agent Information

In the section below, fill in your Registered Agent’s details exactly as provided:

  • Their first and last name.
  • Their Organization (If they’re a professional service).
  • Their physical Wyoming street address (No P.O. boxes allowed).
  • Their phone number and email.

c. Confirm Agent Consent

Check the box at the bottom of the Registered Agent section to confirm that your agent has given their signed and dated consent. Your Wyoming filing will not be accepted if you don’t check this box. You must obtain their approval first.

Click “Next” to continue once all required fields are completed.

4. Addresses

In the section below, you must enter your principal address. This should be the address that you want on record. You can use your home address, a friend’s address, or your Registered Agent’s address (If allowed).

Note: You can use a virtual office address if you want. Your principal address can be located anywhere, including in another U.S. state or outside the U.S.

In the “Email” field, enter the address where you want to receive Annual Report reminders. You can add several email addresses if you separate them with a semicolon.

Tip: Use 307-555-1212 as your phone number if you don’t have a U.S. one. This is used by the Business Division for sample filings, but can be the go-to placeholder if needed.

Scroll down to the “Mailing Address” section. You can reuse the same address as the principal address or choose a different one if you prefer receiving mail elsewhere.

Note: This can be anywhere, including any U.S. state or any country.

Click “Next” to continue when you’re finished.

5. Organizers

Once you’ve completed the “Mailing Address” section, you must fill in your Organizer details. Enter their name and address and click “Add.” Repeat the same steps and add each Organizer if you have more than one. Remember, you must choose a person or an organization.

Note: Your Organizer is the person or company forming your LLC and filing your LLC paperwork. They’re not automatically an LLC member unless you make them one in your internal Operating Agreement.

The “Office Type” section should already be set to Organizer. You can leave this section as is.

6. Additional Articles

The “Additional Articles” section is optional. You only need to complete this if you want to add additional custom provisions to your Articles of Organization. Therefore, most filers leave this section blank.

Click “Next” to proceed to the “Confirmation” section.

Note: This part is used for custom LLC provisions that extend beyond the standard formation language. Examples include customized voting or management rules, profit-allocation arrangements, or restrictions on transferring ownership.

You only need to add additional provisions if your lawyer advises you to. Otherwise, leave this section blank.

7. Confirmation

In the “Confirmation” section, carefully review all information entered. Ensure there are no spelling mistakes, typos, or missing details.

Use the “Previous” button if something needs correcting. Alternatively, you can click the section links at the top of the page to jump back to a previous section.

Click “Continue” once everything is accurate to move on to the next section.

8. Signature

In the “Signature” section, carefully read and then check all six certification boxes. Then, check the box under “Penalty for filing a false document.”

Choose whether you’re an individual filer or an organization. Click “Next” once all required fields are complete.

Scroll down to the “Filer Information” section:

  1. Enter their first name and last name.
  2. Enter their Title (“Member,” “Manager,” or “General Director”).
  3. Add a U.S. phone number.
  4. Enter and confirm the email to receive state notifications.

Click “Next” to continue once all fields look correct.

9. Payment

In the last “Payment” section, review your total payment fee. This should be $103.75 ($100 filing fee + $3.75 convenience fee).

You should see the total amount due and a summary of your filing on the next page. Click “Checkout” to move to the secure payment form.

Enter your card number, expiration date, and CVV. Then, fill in your payee details (Billing address, email, and phone number). These should be exactly as they appear on your payment card.

Click “Submit Payment” once everything is filled out to finalize your filing.

Filing Your Articles Of Organization By Mail

Navigate to the Wyoming Secretary of State’s website to download the paper form. Alternatively, you can use the provided link on the right-hand side of the page.

The Form is split into three pages or parts:

  • Page 1 Instructions: Read this section first.
  • Page 2 Articles of Organization: This is the actual filing part.
  • Page 3 Consent to appointment by Registered Agent: This must be signed by your Registered Agent.

The paper filing process is very similar to the online filing process. It requires the same information but is submitted differently.

In the interest of simplicity, I will walk you through the essential filing steps. You can refer back to the online filing section if you require deeper explanations regarding any of the filing steps.

1. Articles of Organization (Filing Page)

a. Name Of The Limited Liability Company

Enter your full legal LLC name exactly as you want it to be registered. Include the required designator (“LLC” or “Limited Liability Company”).

b. Close LLC Election

Section 2 asks if you want to check the box “This entity elects to be a close limited liability provider.” Only check this box if you want to form a Close LLC under Wyoming law. Most businesses leave this box unchecked.

A Close LLC: This is a business structure for small groups who want their LLC to be tightly controlled. Members cannot sell or transfer their shares unless everyone agrees to it.

c. Registered Agent Name & Physical Address

In section 3, provide your Registered Agent’s full name and physical Wyoming business address.

  • This must be a physical Wyoming street address, not a P.O. box.
  • Use the exact details given by your agent if appointing a third-party Registered Agent service.

d. Mailing Address

Next, provide your official mailing address. This is the address where you want your LLC to receive official mail.

Note: This can be anywhere, including in another state or country. You can also match this with your principal office address if you prefer.

In section 5, enter your main business address. This can be located in any U.S. state or internationally, as long as it’s a complete address.

f. Organizer Information & Signature

The LLC Organizer must complete the required questions in section 6:

  • Sign and date the form.
  • Provide a contact phone number and email (The state will send confirmations and notices here).

g. Certification Checkbox

Above the signature section, you’ll be asked to check a consent box. This confirms that the information you’ve provided is accurate. Furthermore, it confirms that you consent to receive electronic notices. If you leave this box unchecked, the state will NOT accept your filing.

Your Registered Agent must enter their full legal name exactly as shown on state records. They must also provide their physical Wyoming street address. This is the address where they receive and process official state notices and legal filings.

Following this, write your LLC’s exact legal name. This must match your Articles of Organization with no changes or abbreviations.

At the bottom, your Registered Agent must sign and date the completed form. Following this, they must add their printed name, phone number, title, and email address.

Your agent can list a separate mailing address if they want mail sent to a different location. If not, this section can be left blank.

3. Submit Your Filing

Submit your completed Articles of Organization together with your signed Consent to Appointment form to the Wyoming Secretary of State office at:

Include a check or money order for $100 with your filing documents. The payment must be made payable to the Wyoming Secretary of State, and cash payments are not accepted.

Wyoming LLC Certificate Of Organization Approval Process

Your Wyoming LLC formation application will be approved immediately once completed and submitted to the state. You must download two key documents: your receipt and the combined Registration PDF. This contains your approved Articles of Organization and your Certificate of Organization.

The state will review your mail application in approximately 10–15 business days + Mailing time if you file by mail. They’ll email your approval package rather than sending anything back by mail. This includes your stamped Articles of Organization, your Certificate of Organization, and your filing receipt.

Tip: I recommend that you get a copy of your Wyoming LLC Certificate of Good Standing once you have it. This is an important document proving that your Wyoming LLC is registered, compliant with state filings, and authorized to perform business operations in the state.

Furthermore, lenders, banks, and out-of-state jurisdictions will commonly request it (when doing business out of the state).

Here’s how to get one:

  1. Visit the Wyoming Secretary of State: Certificates of Good Standing page.
  2. Enter your LLC’s Filing Number (Found in your approval documents).
  3. The system will generate a PDF for no fee.
  4. Save it to your computer.

Wyoming Naming Rules Affecting Your Filing Methods

Under W.S. § 17-29-108, the state of Wyoming has several mandatory requirements for LLC names. These laws are extremely strict, and must be carefully followed if you don’t want your filing to be rejected.

Your LLC name may still be rejected due to online system rules, even if it’s legally valid. These are set out in the Wyoming Secretary of State Business Division’s official naming guide. Ensure full compliance with both the statutory requirements and the Secretary of State’s practical guidelines, which together determine your actual approval rate.

I’ve outlined several naming patterns below that often trigger online rejection. If your desired LLC name falls into any of these categories, submitting your filing by mail is the safer option.

Why Do You Need A Certificate Of Organization?

Your LLC does not legally exist if you don’t file your Articles of Organization and obtain a Certificate of Organization. All other business requirements, including banking processes, limited liability protection, tax filings, licensing procedures, and business operations, depend on it.

1. It’s A Mandatory State Requirement

As stated above, your LLC does not legally exist until your Articles of Organization are filed with and accepted by the Wyoming Secretary of State. This is set out under Wyoming Statute (W.Y.) § 17-29-201.

Your LLC has no legal standing, no limited liability protection, and no operational authority until approval is granted by the state.

2. You Face Compliance Consequences If You Don’t Have It

You cannot meet basic state and federal compliance requirements without your Certificate of Organization. This includes acquiring your Employer Identification Number (EIN) from the Internal Revenue Service (IRS).

This allows your business to open a dedicated bank account, handle payroll, hire employees, and file federal tax returns. Without your certificate, you can’t get an EIN or function as a real operating business in the state.

Local and state agencies require a Certificate of Organization to prove that your LLC legally exists. Therefore, applying for local and state business licenses is impossible without one.

Regulated fields, such as construction, healthcare, alcohol, and transportation, refuse to review your application until your LLC is officially formed. Therefore, you can’t get Industry-Specific Business Licenses either. Operating without them can lead to fines and penalties.

In terms of local tax compliance, you cannot file or register if your LLC is not legally recognized as a separate business entity.

3. There Are Certain Operational & Liability Risks

If you don’t get a Certificate of Organization, you open yourself up to major practical issues.

If you’re not recognized as a separate legal entity, you have:

  • No limited liability protection.
  • No credibility with customers and vendors.
  • No access to business banking.
  • No ability to hire employees.
  • No ability to sign business leases.
  • No ability to enter company contracts (You’re effectively operating as an individual).

Your LLC cannot legally operate in any practical sense until your Articles of Organization have been approved by the Wyoming Secretary of State.
