To form your LLC, you will need to file your Articles of Organization with the Virginia State Corporation Commission (SCC). This can be done online through the SCC Clerk’s Information System (CIS) or by mail using Form LLC1011. You must pay a $100 filing fee, regardless of your filing method.
In this article, I’ve made a step-by-step guide on how to file your Articles of Organization in Virginia. You’ll learn about the required steps so you can file it yourself without errors.

Overview Of The Articles Of Organization In Virginia
Your Virginia Articles of Organization is the fundamental LLC formation document that must be filed with the Virginia SCC to officially form your LLC. This is set under the Code of Virginia § 13.1-1011.
It includes:
- Your LLC’s legal name.
- Your registered office address and Registered Agent information.
- Your principal office address.
- Any additional information.

Note: If your business operates in professional services, you must form a Professional LLC. Common industries include health, engineering, accounting, and law.
Your LLC formation document processing time depends on your chosen filing method:
- Online: 2 to 5 business days.
- By mail: 2 weeks plus postal time.
Both methods require a one-time $100 filing fee. You can also use expedited processing if you want to shorten your processing time and file online. I will discuss these options below.
How To File Your Virginia Articles Of Organization Online

Before you file:

To begin, visit the SCC CIS home page. You must have an account before beginning your filing.
- Read the sections further below if you don’t have a guide.
- Sign in if you already have an account.

1. Access The Registration Process For New Business
On the homepage, you will see the Online Services section once you’ve logged in. Click “New business” to start your filing.

2. Creating A Business
This section asks for information regarding your business creation. Complete the following sections:
- Business entity type: Choose “Limited Liability Company” from the dropdown menu.
- Filing type: Select “Articles of Organization.”
Note: The other option is only for Professional LLCs performing professional services. Most LLCs do NOT fall within this scope.

3. Complete Your Entity Name Check
Select “Yes” and enter your confirmation number if you’ve reserved your name.
If not, enter your desired LLC name in the search box. The online system will automatically perform a quick name check to see if your LLC name is available to register.
Click “Next” to continue once the results show that your business name is available.

4. State Your Entity Information
You don’t need to do much with this section:
- Your entity name is auto-filled from the name check step.
- You already have an email address associated with your CIS account. Therefore, you can leave the “Entity email address” and “Contact number” blank.

5. State Your Business Type
You can leave the default selection as “0 – General” in most cases. Choose the specific industry code that applies to your business if you operate as an insurance agency, mortgage company, or church.

6. Add Your LLC Duration
Most LLCs commonly set this as “Perpetual (Forever).” Select the other option if you intend to end your LLC on a specific date.

7. Complete Your Registered Agent Details
All Virginia LLCs must appoint and maintain a Registered Agent to serve as the official contact point between your business and the state.
Add your Registered Agent details in this section. You can either use an individual or a business entity.
a. Entity Registered Agent
Follow these steps:
- Select “Entity” in the Type selection section.
- Enter your Entity Name or Entity ID. Then, press “Search.”
- Select a suitable Registered Agent from the list.
- Make sure that your Registered Agent information and Registered Office address are correct.

b. Individual Registered Agent
Choose “Individual” at the top of the page. You do NOT need to enter their name at this point; instead, click “Create individual RA.”

The online system will open a pop-up window allowing you to enter your individual Registered Agent’s details:
- Use the dropdown menu to choose the applicable connection between your individual Registered Agents and LLC. The individual must meet one of the listed criteria.
- Enter their full name.
- Enter their physical address. This should include their address line, city/town, locality, and ZIP code. The address must be in Virginia.
- Select the box indicating that your individual is a Virginia resident.
Click “Next” once everything is completed.

8. Provide Your Principal Office Address
After completing your Registered Agent’s details, state your LLC’s principal office address. This must be exactly as you want it to appear on the public record in the required fields (Marked with *).
You can use:
- An office address: This is where your primary business activities occur or where company records are maintained.
- A home address: This is where your members or managers work.
- A virtual office or mailbox rental.
- Your Registered Agent’s address: Make sure you get their consent.
Note: You can use an address outside Virginia. However, you can NOT use a P.O. box.

9. State Your Management Structure
In this section, state your LLC management structure:
You can either be:
- Member-managed: All LLC members are involved in daily operations and make key business decisions.
- Manager-managed: Members appoint one or more managers to run the LLC. Other LLC members do NOT handle daily operations.
You can specify your manager structure by selecting the applicable one from the dropdown. However, this is optional.
Tip: I recommend leaving this option blank to remain off the public record. You can clarify it in your Internal Operating Agreement to keep your personal details protected. It’s always much easier to make edits this way.

10. Supporting Documentation (Optional)
This step is completely optional. I recommend that you don’t upload anything unless you consult a professional first. This may cause delays or rejections if you upload unnecessary documents.

11. Give Your Signature Information
Before submitting your filing, you must confirm who is legally signing your Articles of Organization.
- Choose “Individual” if a person (Such as a member, manager, or attorney) is filing your LLC formation documents.
- Select “Business Entity” if you’re acting on behalf of an authorized organization.
Provide your signature, title, and full name in the required fields (Marked with an asterisk (*)). Then, click “Add” to populate the required fields.

12. Review And Submission
On the last screen, you’ll see your provided information. Carefully review it and click “Edit” if you need to make any changes.

Click “Add to shopping cart” at the bottom right of the page, then proceed with the required payment. Once completed, you should get a submission successful notice.

How To File Your Virginia LLC Articles Of Organization By Mail
To file your Virginia LLC documents by mail, complete Form LLC1011. You can find it on the SCC’s website, or use the PDF form I’ve attached on the right-hand side here.
This form includes three pages:
- You must file and submit the second page. This is your Articles of Organization.
- Your first and last pages are your instructions and recommended state checklist.
- Do NOT submit or attach documents that are not needed. If you do, your application will not be processed.
You must include a $100 check or money order made payable to the SCC. This can be completed using the:
- Mail method: P.O. box 1197, Richmond, VA 23218-1197.
- In-person method: 1300 East Main Street, Tyler Building, 1st Floor, Richmond, VA 23219.
Note: Type the form cleanly, then print it out and sign it. Or for handwriting, avoid processing errors by using legible black ink letters.

1. Enter Your Desired LLC Name
Enter your desired LLC name in the first section. It must be unique and distinguishable compared to existing business entities. Furthermore, it needs to meet Virginia’s naming requirements.

Providing your email and contact number is optional.

2. State Your Principal Office Address
Your principal office address is your LLC’s main contact address. You can use any address except a P.O. box.
This includes:
- A location where business operations happen, management sits, or records are maintained.
- A home, office, or approved Registered Agent address.
Note: This does NOT have to be a Virginia address.

3. Complete Your Registered Agent Details
All Virginia LLCs must appoint and maintain a Registered Agent. They act as the official contact point between the state and your business.
Provide your agent’s full legal name (Individual or business entity). The email field is optional.

4. Add Your Registered Agent’s Qualification
Check the applicable box indicating your Registered Agent’s qualification. Your LLC can NOT act as its own Registered Agent.

5. Provide Your Registered Office Address
Next, add your Registered Agent’s office address. This includes their street address, county or city, and ZIP code.
Note: This must be a physical Virginia address. P.O. boxes are NOT accepted.

6. Add Your Signature
The final section finalizes your LLC formation filing.
This is what you need to provide:
- Your signature: Your organizer must sign at the bottom of your form.
- Your printed name: Provide your LLC organizer’s full legal name.
- The date: State when your form is being signed and submitted.
Once everything is completed, include your completed form with your $100 check. Make it payable to the SCC and use the same envelope.

The Virginia LLC Approval Process
Your Virginia LLC approval process depends on your chosen filing method:
- Online: After checking out, you’ll receive an email. This should include a receipt, acceptance letter, and your Certificate of Organization.
- By paper: You’ll be sent an acceptance letter once your document is approved by the SCC. This will be sent to your registered office by mail.
You can also use the Business Entity Search to access the online copy of your approved Articles of Organization and Certificate of Organization.
Follow these steps:
- Enter your LLC name in the search bar and click “Search.”
- Choose your LLC from the results.
- Scroll to the bottom of the page and find the “Filing history” section.
- You’ll find your Articles of Organization on the filed document list.
- Click “View” to start downloading.

Virginia Articles Of Organization Cost And Processing Time
Your Virginia Articles of Organization have a mandatory $100 filing fee, regardless of your chosen filing method. These are the accepted payment methods:
- Online: Use the SCC’s online portal (CIS). Pay with a credit/debit card or ACH.
- By mail: Send a check or money order with your form to the “State Corporation Commission.”

The standard processing time is 2-5 business days for online submissions, or up to 2 weeks for mail filings.
Alternatively, you can use expedited services to speed up your processing time. However, these come with additional fees.
- Next-day service ($100): Submit your filing by 2:00 P.M. EST to receive a filing response by 4:00 P.M. EST the following business day.
- Same-day service ($200): Submit your filing by 10:00 A.M. EST to receive a filing response by 4:00 P.M. EST the same business day.
Note: If your submission is made on a non-business day, the expedited processing may take longer.
Creating Your Account On The CIS
Note: You need a U.S. phone number or address to complete your verification before making an account.
Find the “File” section on the homepage and click “Register.”

1. Name Information
The first section requires your legal name. This is used for identity verification when creating your account.
- First and last name: Enter these exactly as shown on your identity document.
- Middle name: This section is optional. You can leave it blank if you don’t have one.
- Suffix: Enter this only if it’s part of your legal name (e.g., Jr., Sr.).

2. Personal Information
The next section verifies your identity using a third-party service.
- Provide your current street address in the “Personal address line” field. This must include your county, state, city, and ZIP code.
- Add your personal phone number. Make sure this is valid as the SCC will use it to send you a verification code.

3. Mailing Address
Next, provide your mailing address. This does NOT have to be in the U.S., but must be an actual address that can receive official SCC correspondence.
- Choose “Same as personal information” to autofill your details if it matches your personal information.
- Enter your detailed address in the required fields if it’s different. This should include your address line, city/town, and ZIP code.

4. Login Details
After entering your mailing address, set up your login credentials for your CIS account.
- Enter a valid, active email address.
- Create your username and password. You must type these twice to confirm and make sure these meet the requirements.
- Check the applicable box to confirm you acknowledge that your information will be used for identity verification.

5. Verification
The SCC will send you a six-digit one-time code for verification once you’ve completed the previous steps. Enter the code to activate your account.
Then, log in to the online system and follow the registration steps.
Tip: Submit a help request to the CIS for alternatives if you don’t get a code.

Why Do You Need To File Your Virginia Articles Of Organization?
Your LLC faces several operational and legal consequences if you operate without your approved Articles of Organization.
1. Your LLC Has No Separate Legal Existence
LLC owners are NOT personally liable (directly and indirectly) for company liabilities, debts, and obligations under the Code of Virginia § 13.1-1099.7. This limited liability protection is the main benefit of forming a Virginia LLC.

Filing your Articles of Organization with the SCC and obtaining approval with your Certificate of Organization officially establishes your business as an LLC. This is clearly stated under Code of Virginia § 13.1-1004.

Without an approved filing, there is no separation between you and your business:
- Your personal income, savings, and assets are exposed to liability.
- Any debts, claims, or lawsuits personally apply to you.
2. Deceptive Representation
Under the Code of Virginia § 13.1-1007, operating as an LLC without being officially recognized by the Virginia SCC is a Class 1 misdemeanor. Therefore, you must file Articles of Organization for your LLC in Virginia to legally operate as an LLC.

In practical terms, deceptive representation includes:
- Using “LLC” or “L.L.C.” in invoices, contracts, or marketing.
- Representing your business as a separate legal entity.
- Implying limited liability protection to third parties.
3. You Cannot Obtain Your LLC’s EIN, Tax IDs, Or Licenses
You can NOT acquire your Employer Identification Number (EIN) from the Internal Revenue Service (IRS) until your Virginia LLC is officially approved by the Virginia SCC.

Without an EIN, your LLC can NOT complete several important operating tasks. These include:
- Opening a business bank account.
- Hiring LLC employees.
- Complying with federal taxes.
Furthermore, you can NOT apply for required business licenses or tax registrations, such as your sales tax license, since most filings require an EIN.
Operating in the state without the mandatory approvals exposes you to fines, penalties, enforcement actions, and potential business shutdowns. This is especially the case in regulated industries.
4. Your Business Faces Serious Credibility And Operational Risks
No one wants to do business with an LLC that is NOT recognized by the state or has no separate assets. This leads to several operational failures:
- Customers and vendors may refuse to work with your business long-term or offer favorable trade terms.
- You may be flagged as disqualified at the KYC stage when working with large clients, banks, and government contractors.
- Your access may be blocked on business platforms. This includes payment processors, B2B procurement, and vendor portals.
Regardless of how you operate, your business looks unprofessional and is NOT suitable for long-term operations in the state.
