To form your LLC, you’ll first need to file your completed Articles of Organization with the Virginia State Corporation Commission (SCC). Do this online via the SCC Clerk’s Information System (CIS) or by mail once you’ve completed Form LLC1011. You’ll need to pay the $100 filing fee, regardless of your chosen method.

Overview Of The Articles Of Organization In Virginia

Your Virginia Articles of Organization is the fundamental LLC formation document that must be filed with the Virginia SCC to officially form your LLC. This is set under the Code of Virginia § 13.1-1011.

It includes:

  • Your LLC’s legal name.
  • Your registered office address and Registered Agent information.
  • Your principal office address.
  • Any additional information.

Note: If your business operates in professional services, you must form a Professional LLC. Common industries include health, engineering, accounting, and law.

Your LLC formation document processing time depends on your chosen filing method:

  • Online: 2 to 5 business days.
  • By mail: 2 weeks plus postal time.

Both methods require a one-time $100 filing fee. You can also use expedited processing if you want to shorten your processing time and file online. I will discuss these options below.

How To File Your Virginia Articles Of Organization Online

Before you file.

First, pick a unique and distinguishable business name that complies with the state’s naming rules. Not sure how? Read my guide on How To Select Your Virginia LLC Name.

Following this, pick a suitable Registered Agent that meets the state requirements. Use my guide on the Best Virginia Registered Agents and you’ll be good to go.

To begin, visit the SCC CIS home page. You must have an account before beginning your filing.

  • Read the sections further below if you don’t have a guide.
  • Sign in if you already have an account.

1. Access The Registration Process For New Business

Log in, and you should see the Online Services section on the main homepage. Click New business to start your filing.

2. Creating A Business

State your business creation info here so the system knows what filing you’re completing. It’s easy to do.

First, check the box at the top stating that you’re filing as a Virginia Entity.

You should then see two drop-down fields underneath.

Choose Limited Liability Company” in the Business Entity Type dropdown menu, then Articles of Organization” in the Filing Type field.

Click “Continue” to move on.

3. Complete Your Entity Name Check

The online system makes things pretty easy here. If you’ve made a name reservation, check “Yes” and provide your Confirmation Number underneath. Simple enough.

If not, find the Entity Name field. State your desired name so the system can check it. Click “Check Availability,” and the search will begin.

If everything is in order, press “Next” to move on.

4. State Your Entity Information

You don’t need to do much in this section.

The entity name field is auto-filled from the previous step. Leave this alone. You should also see an existing email address. This is the one associated with your CIS account.

Therefore, leave the Entity email address and Contact number fields blank. Scroll down to proceed.

5. State Your Business Type

Next up, your business type.

In most cases, you can leave the field as the default option, which should be “0 – General.”

Otherwise, you’ll need to state a specific industry code. This is the one that applies to your business if you decided to operate as a church, mortgage company, or insurance agency.

6. Add Your LLC Duration

You’ll likely choose Perpetual (Forever) for this section. Most LLC’s do.

If you want everything to end on a specific day, choose the other option. I don’t recommend doing this.

7. Complete Your Registered Agent Details

Every Virginia LLC must appoint and maintain an official Registered Agent. Once in place, they serve as the official contact point between your LLC and the state.

Add your Registered Agent details in this section. You can either use an individual or a business entity.

a. Entity Registered Agent

Follow these steps:

  1. Select “Entity” in the Type selection section.
  2. Enter your Entity Name or Entity ID. Then, press “Search.”
  3. Select a suitable Registered Agent from the list.
  4. Make sure that your Registered Agent information and Registered Office address are correct.

b. Individual Registered Agent

Choose “Individual” at the top of the page. You do NOT need to enter their name at this point; instead, click “Create individual RA.”

The online system will open a pop-up window allowing you to enter your individual Registered Agent’s details:

  • Use the dropdown menu to choose the applicable connection between your individual Registered Agents and LLC. The individual must meet one of the listed criteria.
  • Enter their full name.
  • Enter their physical address. This should include their address line, city/town, locality, and ZIP code. The address must be in Virginia.
  • Select the box indicating that your individual is a Virginia resident.

Click “Next” once everything is completed.

8. Provide Your Principal Office Address

After completing your Registered Agent’s details, state your LLC’s principal office address. This must be exactly as you want it to appear on the public record in the required fields (Marked with *).

You can use:

  • An office address: This is where your primary business activities occur or where company records are maintained.
  • A home address: This is where your members or managers work.
  • A virtual office or mailbox rental.
  • Your Registered Agent’s address: Make sure you get their consent.

Note: You can use an address outside Virginia. However, you can NOT use a P.O. box.

9. State Your Management Structure

In this section, state your LLC management structure:

You can either be:

  • Member-managed: All LLC members are involved in daily operations and make key business decisions.
  • Manager-managed: Members appoint one or more managers to run the LLC. Other LLC members do NOT handle daily operations.

You can specify your manager structure by selecting the applicable one from the dropdown. However, this is optional.

Tip: I recommend leaving this option blank to remain off the public record. You can clarify it in your Internal Operating Agreement to keep your personal details protected. It’s always much easier to make edits this way.

10. Supporting Documentation (Optional)

This step is completely optional. I recommend that you don’t upload anything unless you consult a professional first. This may cause delays or rejections if you upload unnecessary documents.

11. Give Your Signature Information

Before submitting your filing, you must confirm who is legally signing your Articles of Organization.

  • Choose “Individual” if a person (Such as a member, manager, or attorney) is filing your LLC formation documents.
  • Select “Business Entity” if you’re acting on behalf of an authorized organization.

Provide your signature, title, and full name in the required fields (Marked with an asterisk (*)). Then, click “Add” to populate the required fields.

12. Review And Submission

On the last screen, you’ll see your provided information. Carefully review it and click “Edit” if you need to make any changes.

Click “Add to shopping cart” at the bottom right of the page, then proceed with the required payment. Once completed, you should get a submission successful notice.

How To File Your Virginia LLC Articles Of Organization By Mail

To file your Virginia LLC documents by mail, complete Form LLC1011. You can find it on the SCC’s website, or use the PDF form I’ve attached on the right-hand side here.

This form includes three pages:

  • You must file and submit the second page. This is your Articles of Organization.
  • Your first and last pages are your instructions and recommended state checklist.
  • Do NOT submit or attach documents that are not needed. If you do, your application will not be processed.

You must include a $100 check or money order made payable to the SCC. This can be completed using the:

  • Mail method: P.O. box 1197, Richmond, VA 23218-1197.
  • In-person method: 1300 East Main Street, Tyler Building, 1st Floor, Richmond, VA 23219.

Note: Type the form cleanly, then print it out and sign it. Or for handwriting, avoid processing errors by using legible black ink letters.

1. Enter Your Desired LLC Name

Enter your desired LLC name in the first section. It must be unique and distinguishable compared to existing business entities. Furthermore, it needs to meet Virginia’s naming requirements.

2. State Your Principal Office Address

Provide your main contact address. Don’t use a P.O. box.

You have a few options. Pick a location where business operations happen, management sits, or records are maintained. Alternatively, choose a home, office, or approved Registered Agent address.

3. Complete Your Registered Agent Details

Every LLC conducting business in Virginia must appoint and maintain an official agent. This is important.

Once in place, they’ll serve as the official point of contact between your business and the state.

Add your agent’s full legal name, which can be an individual or a business entity.

Don’t worry too much about the email field. It’s optional.

4. Add Your Registered Agent’s Qualification

Next, indicate your agent’s qualification.

Check the applicable box. You won’t find a box listing your own LLC, as it’s not possible in New York.

5. Provide Your Registered Office Address

Add your agent’s office address underneath. Make sure this includes their street address, county/city, and ZIP code.

Note: This must be a physical Virginia address. P.O. boxes are NOT accepted.

6. Add Your Signature

This is the final part of your LLC formation filing. Provide the following.

  • Your signature – Your organizer must sign at the bottom of your form.
  • Your printed name – Provide your LLC organizer’s full legal name.
  • The date – State when your form is being signed and submitted.

Once everything is in order, include your completed form alongside a $100 check. Make it payable to the SCC, use the same envelope, and you’re good to go.

The Virginia LLC Approval Process

Your approval timeline is based on your chosen filing method.

File online, and you’ll get an email once you’ve checked out. Make sure this includes a receipt, acceptance letter, and Certificate of Organization.

If you file on paper, you’ll receive an acceptance letter once your document is approved by the SCC. This comes to your Registered Office via mail.

Need to access the online copy of your approved Articles of Organization and Certificate of Organization? Use the Business Entity Search tool.

Follow these steps:

  1. Enter your LLC name in the search bar and click “Search.”
  2. Choose your LLC from the results.
  3. Scroll to the bottom of the page and find the “Filing history” section.
  4. You’ll find your Articles of Organization on the filed document list.
  5. Click “View” to start downloading.

Virginia Articles Of Organization Cost And Processing Time

Your Virginia Articles of Organization have a mandatory $100 filing fee, regardless of your chosen filing method. These are the accepted payment methods:

  • Online: Use the SCC’s online portal (CIS). Pay with a credit/debit card or ACH.
  • By mail: Send a check or money order with your form to the “State Corporation Commission.”

The standard processing time is 2-5 business days for online submissions, or up to 2 weeks for mail filings.

Alternatively, you can use expedited services to speed up your processing time. However, these come with additional fees.

  • Next-day service ($100): Submit your filing by 2:00 P.M. EST to receive a filing response by 4:00 P.M. EST the following business day.
  • Same-day service ($200): Submit your filing by 10:00 A.M. EST to receive a filing response by 4:00 P.M. EST the same business day.

Note: If your submission is made on a non-business day, the expedited processing may take longer.

Creating Your Account On The CIS

Note: You need a U.S. phone number or address to complete your verification before making an account.

Find the “File” section on the homepage and click “Register.”

1. Name Information

The first section requires your legal name. This is used for identity verification when creating your account.

  • First and last name: Enter these exactly as shown on your identity document.
  • Middle name: This section is optional. You can leave it blank if you don’t have one.
  • Suffix: Enter this only if it’s part of your legal name (e.g., Jr., Sr.).

2. Personal Information

You’ll need to verify your identity using a third-party service. This is mandatory to complete your filing.

Add your current street address and contact number in the relevant fields. Ensure you include your county, state, city, and ZIP code before moving on.

3. Mailing Address

Next, provide your mailing address. This does NOT have to be in the U.S., but must be an actual address that can receive official SCC correspondence.

  • Choose “Same as personal information” to autofill your details if it matches your personal information.
  • Enter your detailed address in the required fields if it’s different. This should include your address line, city/town, and ZIP code.

4. Login Details

In this section, you’ll need to create login credentials for your CIS account.

To begin, add a valid email address. This will be used for certain state correspondence.

You’ll need to create a suitable username and password according to the set requirements on screen. Type them twice to confirm before moving down.

Finally, check the box at the bottom. Doing so confirms that you acknowledge that your info will be used for ID verification. Simple.

5. Verification

The SCC will send you a six-digit one-time code for verification once you’ve completed the previous steps. Enter the code to activate your account.

Then, log in to the online system and follow the registration steps.

Why Do You Need To File Your Virginia Articles Of Organization?

Your LLC faces several operational and legal consequences if you operate without your approved Articles of Organization.

LLC owners are NOT personally liable (directly and indirectly) for company liabilities, debts, and obligations under the Code of Virginia § 13.1-1099.7. This limited liability protection is the main benefit of forming a Virginia LLC.

Filing your Articles of Organization with the SCC and obtaining approval with your Certificate of Organization officially establishes your business as an LLC. This is clearly stated under Code of Virginia § 13.1-1004.

With approval not in place, there’s no separation between you and your business. This isn’t good. Your personal income, savings, and assets are exposed.

2. Deceptive Representation

Operating as an LLC without the official recognition in place is seen as a Class 1 misdemeanor under the Code of Virginia § 13.1-1007. File your formation docs with the state and you can legally conduct business as an LLC. Simple enough.

Practically speaking, several actions are seen as deceptive representations. You’ll get in big trouble.

  • Using designators reserved for an LLC on your invoices, contracts, and marketing materials.
  • Being seen as a legal entity when you’re not.
  • Claiming that you have limited liability protection to third parties.

3. You Cannot Obtain Your LLC’s EIN, Tax IDs, Or Licenses

You can’t get your Employer Identification Number (EIN) from the Internal Revenue Service (IRS) without getting your Virginia LLC in place. Gain approval from the SCC and you can complete your filing.

Failing to do this causes several problems. You can’t open a dedicated business bank account, hire LLC employees, or comply with your federal tax obligations.

This causes a whole host of issues. You’ll face fines, penalties, and potential business shutdown. If you’re operating in a regulated industry, this is particularly dangerous. Not what you want.

4. Your Business Faces Serious Credibility And Operational Risks

No one will want to do business with you if you’re not even recognized by the state. You create several operational failures just by not filing your formation docs. Here’s what happens.

  • Customers and vendors may refuse to work with you long-term. If they do, they may offer unfavorable trade terms.
  • You may get flagged as “disqualified” at the KYC stage when working alongside banks, large clients, and government contractors.
  • Business platform access may get blocked. Examples include payment processors, B2B procurement, and vendor portals.

Regardless of your actual operations, you look unprofessional. You’re not suitable for long-term operations.
