Articles Of Organization In Tennessee: Overview

The Tennessee Articles of Organization are a legally-binding document that officially creates your Tennessee LLC.

Under Tenn. Code Ann. § 48-203-102, your LLC is not legally recognized if you don’t file with the state. In this case, you do NOT receive limited liability protection, meaning your LLC has no separation between your personal finances and business assets.

1. Filing Methods And Approval Timeline

Business owners submitting their Tennessee Articles of Organization can submit their filing using the online and mail methods.

  • Online filings – Immediate processing and approval as soon as your submission is completed.
  • Mail filings – Approval in 3 to 5 business days, not including mailing time.

Recommendation: I advise using the online Articles of Organization filing method. It’s much quicker, and your LLC can get approved instantly.

2. Tennessee Articles Of Organization Filing Fee

Your Tennessee LLC Articles of Organization filing fee depends on the LLC member number stated on your filing.

The state uses a tiered fee structure. This has a base amount that increases for each LLC member.

  • LLCs with 1 to 6 members$300 filing fee.
  • LLCs with more than 6 members – $300 plus $50 for each additional member (up to a maximum fee of $3,000).

Put into practice, an LLC with 10 members pays: $500 = $300 + $50 + $50 + $50 + $50.

How To File Your Tennessee Articles Of Organization Online

Before filing:

Follow the steps below to complete your online Articles of Organization.

1. Begin Your Online Filing Process

a. Access Your Filing Portal

First up, navigate to the Charity and Business Filing System (TNCaB) page. Give your email address so it can be used as your username, only if you have an existing account.

Click “Log in,” and you’re good to go.

No account in place? You’ll need to create one, something which I’ve discussed later on in my guide.

b. Open Your Articles Of Organization

Next, open your formation docs on the online system. You’ll find this on the “My Filings” page on the main dashboard.

Find the “Business Filings” section from the left-hand navigation menu. This should be part of the “Start a New Filing” box.

The system should then take you to the “Business Services Filings” page. Click “Start a Business in Tennessee” in the first box displayed on the page.

2. State Your Entity Type

First, you need to specify what type of business you’re forming.

Select “Limited Liability Company” from the dropdown list on the business type screen. The system will then ask if you previously reserved an LLC name.

  • Select “Yes” if you’ve already completed a name reservation.
  • Select “No” if you haven’t.

Click “Next” to continue once you’ve completed the required sections.

a. If You Have Reserved Your LLC Name

The state will ask you to link your reservation to your Articles of Organization if you reserved a name in advance.

Provide your Reservation Number (RN) in the designated field. This should have been given to you when making your name reservation. Then, click “Next” to proceed after completing the remaining fields.

3. Add Your LLC Name

Once you’ve found the name field, provide your desired name.

You’ll be given two possible outcomes.

a. Your LLC Name Is Available

You can continue to the next section if you get this result. Your name is not being used by another business, and is therefore available to use.

b. Your LLC Name Is Unavailable

The system will display a warning message stating that your “Business is not available” if your desired name is already taken or too similar to an existing business name. Following this, you’ll be asked if you have written consent to use the unavailable name.

This means that an existing business has formally agreed to allow you to use their name and will change their own name or cancel their name reservation. In this case, the name conflict would no longer exist.

Select “Yes” if you have an agreement and upload in additional attachment files later.

Note – If this happens, choosing a different one generally tends to be the fastest and simplest choice. Trying to obtain written consent often delays your filing process.

4. Provide Your Organizational And Fiscal Information

Here, the state collects info regarding your structural and classification details. Some fields apply to specific classifications, while others are totally optional.

a. Additional Business Designation

You should fill this section if your LLC operates in a specialized or regulated industry, such as a trust company or insurance company.

If your LLC does NOT have a special designation, you can leave this field blank and continue.

b. Series LLC Election

This is a form of LLC that allows your parent LLC to establish several internal series. Each one can have its own liabilities, assets, and operations. At the same time, each one maintains its liability separation.

This field does NOT apply to most LLCs. The “No” option will automatically be selected as the default option. Therefore, most LLCs will leave this section unchanged.

Select “Yes” if your LLC is structured as a series LLC.

c. Fiscal Year Ending Month

Use the provided dropdown menu to choose the applicable month.

This part basically determines when your accounting year will close for reporting and recordkeeping. Just choose one based on whats best for you expense tracking, income, and finanical activity.

Note – December is commonly chosen as it aligns with the normal calendar year. Do this, and you simplify your accounting, tax reporting, and ongoing business management tasks.

5. Choose Your LLC Duration Period

You’ve got two main operating duration options in this section.

Your choice determines the timeframe that your LLC exists under state records. You’ll either choose to automatically continue or end on a set date.

Choose a perpetual duration, and your LLC continues indefinitely. It won’t automatically dissolve because of ownership, management, or member changes. This is the default option and is chosen by many LLCs as it allows easier long-term planning and operations.

If you decide to pick other, you’ll continue operating until a specific expiration date. You’ll need to specify an end date here. Doing so can create potential complications if your needs continue beyond your chosen date, specifically for banking, taxes, and contracts.

6. Give Your Principal Office Address

This is your primary operation location that goes on the official state records. Enter your address in the required fields. Simple!

Sometimes, it’ll be used for certain legal and administrative purposes. You must provide a physical location and not a P.O. box for your filing to be accepted.

7. Add Your LLC Mailing Address

The state uses the info you give in this section to send official correspondence regarding your operational activities. Use the same one as your principal office or specify a different location.

Nothing more to do here. The additional fields will dissapear and no further info is required.

b. Your Mailing Address Differs From Your Principal Office

If you want to use a different mailing address, provide it in the fields provided.

This is commonly the case if you get your mail at a different location. Use a P.O. box if you want.

8. State Your Business Email Address

The business email you enter in this section is used by the state for official communications regarding your LLC. Provide your LLC email address in the required field.

This does NOT need to match your login email used to create your TNCaB account. It can be any address that you prefer to use for business correspondence.

9. Choose A NAICS Business Classification

Your NAICS code is used to identify the nature of your LLC’s business activities.

The state allows you to use up to three NAICS codes. However, most LLCs only need one NAICS code to describe their primary business activity.

a. Click The Add Button

b. Enter Your Business Description

Next, in the “Type a word that defines your business,” type a single word to best describe your business activities. Then, click “Search.” The online system will generate a list of matching NAICS codes.

c. Choose A Suitable NAICS Code

Review the list carefully before choosing a suitable code. Each entry has an NAICS code, name, and description.

Pick an accurate option by selecting a box on the left-hand side. Then, click “Add Items” to select it.

You can repeat the same process outlined above if you need to add additional NAICS codes.

Alternative NAICS Lookup Method: You can also use the official NAICS Association lookup tool and enter the code directly into the “Number” field to find your NAICS code in advance instead of using the keyword search. The other steps remain the same.

10. Choose Your LLC Management Structure

Next, you must define how your LLC will be managed and who will make the day-to-day and business decisions.

You have three management options on the form:

  • Member-managed: All LLC members are involved in daily operational duties and business management.
  • Manager-managed: LLC members appoint one or more managers (these may or may not be members) to handle daily operations.
  • Director-managed: The LLC is governed by a board of directors. These oversee major decisions, while LLC managers control daily management duties.

11. Report Your LLC Member Number

The state bases your filing fee on the number of LLC members stated in your Articles of Organization.

a. Your LLC Has Six Members Or Fewer

Choose “Yes” if your LLC has six members or fewer. In this case, your filing fee is $300, and no additional member count is needed.

b. Your LLC Has More Than Six Members

Choose “No” if your LLC has more than six members. Then, an additional field will pop up asking you to enter your total member number.

Your fee will be calculated using the $300 base fee + $50 for each additional LLC member. Your filing fee can reach a maximum of $3,000.

12. Decide On Your Obligated Member Entity (OME)

An OME applies if an organization or company, rather than an individual, is an LLC member and is legally responsible for member obligations.

This section of the filing asks if your LLC includes an OME.

Choose “Yes” if your LLC includes an OME. You will see an “OME effective date” field appear.

Then, carefully enter your LLC’s effective date. This can NOT be earlier than your Articles of Organization filing date.

b. Your LLC Is Not An OME

Choose “No” if your LLC does NOT have an OME. In this case, no additional information is required, so you can continue to the next step.

13. Include Your Optional Additional Provisions

In the “Other Provisions” section, you’re able to include optional clauses in your Articles of Organization. These allow you to add extra rights, rules, and limitations NOT covered in your standard filing.

You can leave it blank if you don’t need to add any additional provisions.

14. Upload Your Supporting Documents

Following the additional provisions section, you can add any supplemental documents to your Articles of Organization filing. This is another optional section, meaning the system automatically selects “No” as the default option.

Select “Yes” if you want to add attachments. Examples include an LLC Operating Agreement or consent/approval documents.

The online system will then display a notice explaining that all uploaded documents must be reviewed, which may delay your approval process.

15. Choose Your LLC’s Filing Effective Date

The next section determines the date that your LLC formation documents become legally effective. You’ll be asked if you want to use a delayed effective date.

Most people choose “No” to indicate that their LLC will become effective as soon as the state approves their filing.

You must enter your future effective date when you want your LLC to become active if you choose “Yes.”

Note: I recommend setting your effective date to January 1 of the following year if you’re forming your LLC later in the year (between October and December) and do NOT need your business to become active immediately. This should help simplify your tax reporting as you avoid a short first tax year.

16. Appoint Your Tennessee Registered Agent

All LLCs operating in Tennessee must appoint a Registered Agent to receive and process official state notices and legal documents on behalf of their LLC.

a. Designate Your LLC As Its Registered Agent

Choose “Yes” if you want your LLC to serve as its own Registered Agent. You’ll then need to enter your LLC’s Registered Agent details.

This includes your:

  • Street address.
  • City.
  • ZIP code.
  • County.
  • Email address.

Note: The address must be located in the state and can NOT be a P.O. box. Furthermore, your agent must be available during normal business hours (commonly 8:00 A.M. to 5:00 P.M.) to receive official state documents.

b. Appoint An Individual As Your Registered Agent

Choose “No” if you want to name a person as your LLC’s Registered Agent. Then, select “Individual” from the dropdown menu provided.

Enter the individual’s information in the applicable fields. This should include their:

  • First and last name.
  • Street address.
  • City.
  • ZIP code.
  • County.

Again, your individual Registered Agent’s address must be in Tennessee and can NOT be a P.O. box. They must also be available during normal operating hours to receive official documents.

c. Appoint An Organization As Your Registered Agent

Select “No” for the question asking whether the entity will act as its own Registered Agent if you want to use a professional service or company. Following this, choose “Organization” from the dropdown menu.

The system should then give you a search window. State your organization’s name in the Registered Agent field. This is located in the lower-left area of the window. Then, click “Search” when you’re ready.

c2. Choose The Correct Organization

Choose your organization from the search results by checking the box on the left side of the screen. Then, click “Add items” to add the organization.

c3. Check Organization Information Again

17. Complete Your LLC Organizer’s Signature

This section is used to confirm that your LLC organizer understands and agrees to the filing requirements.

Check the required confirmation boxes acknowledging that you understand the rules.

Then, enter your organizer’s first name and last name in the signature fields.

Once everything is complete, click “Next” to proceed.

18. Upload Any Attachment Files (If Applicable)

This is an optional section that only appears if you selected “Yes” for the Additional Uploads section. You can submit any supplemental documents that you want to include with your filing.

19. Submit Your Formation Filing Payment

With everything complete, your final step is to pay your required filing fee.

a. Pay Online

Click “Pay Now” to complete your payment online. You can submit your payment immediately and complete your filing without having to mail or print documents.

a2. Check Your Filing Cost Again

The system will take you to the Tennessee government’s FIS biller solution payment page. This displays your total amount due. Click “Continue” to proceed once you’ve reviewed the amount.

a3. Enter Payment Required Information

Next, enter your billing and payment information and click “Continue.” A 2.35% service fee is added to your filing fee when paying with a credit card or debit card.

Example: A $350 filing results in a total charge of $358.23.

Your Articles of Organization are successfully filed with the state once payment has been submitted.

b. Print Your Filing And Mail It With A Check

You can complete your filing by printing your documents and mailing them with a check if you don’t want to pay online.

b3. Print The PDF Checklist And Send The Filing

The system will take you to a PDF filing checklist. Print the checklist and mail it with a check made payable to the Division of Business & Charitable Organizations at:

Creating A TNCaB Account

You must create an account with the TNCaB before you can file your Tennessee Articles of Organization online.

Here is how to create one.

1. Access Your Filing Portal

Find the TNCaB page.

Click “Create Account” on the homepage to begin your registration.

2. Enter Your Personal Information

The system should then prompt you to enter your required personal details. You must complete the fields marked with a red asterisk before you can proceed.

Provide the following information.

  • Your full name (Including your first and last name).
  • Your email address (This will become your username when logging into the system).
  • Your phone number.
  • Your physical address (This must include your street address, city, state, and ZIP code).

Click “Next” once all required fields are complete to continue.

3. Confirm Your Email Address

The system will show a notification indicating that “email confirmation is required” once you’ve submitted your account information. You can close your browser tab at this point.

After closing your browser, check the email inbox associated with your account. You should have a message from TNCaB.

b. Click The Confirmation Link

4. Create Your Account Password

Once you’ve confirmed your email, the system should redirect you to the Account Password Creation page. This step secures your TNCaB account and allows you to log in and begin your Articles of Organization filing.

Your password must meet these required security rules before it can be saved:

  • It must be at least 8 characters long.
  • It must include at least one number.
  • It must include at least one special character (!, &, #, or $).
  • It must include at least one uppercase letter.
  • It must include at least one lowercase letter.
  • It cannot match any of your previous five passwords.

Click “Save Password” once you’ve entered one according to the required security rules.

Note: The password field does NOT include a visibility toggle. Therefore, type carefully to avoid errors.

5. Confirm Your Account Creation

The online system will notify you that your account has been successfully created and is ready for use once you’ve saved your password.

Click the link on the confirmation screen to log in and begin your online Tennessee Articles of Organization filing.

How To File Your Paper Tennessee Articles Of Organization

You can also submit a hardcopy Articles of Organization instead of filing online.

Download the Official Paper Form or click the “Download” button on the right-hand side of the screen.

Make sure you have the following items ready in an envelope to properly prepare for your filing:

  1. Your completed Articles of Organization filing.
  2. A money order or check for your exact filing amount and made payable to the Division of Business and Charitable Organizations, Secretary of State.

1. Provide Your Official Limited Liability Company Name

The first section requires you to state your legal LLC name as it appears in Tennessee’s official records. Your name must be unique and distinguishable compared to existing state businesses and comply with the state naming requirements.

State your desired LLC name in the appropriate field. It must include the words “Limited Liability Company” or the abbreviation “LLC” or “L.L.C.” to properly reflect your company’s legal status.

This section only applies if you intentionally chose a business name that is already taken and have written permission to use it. Obtaining consent confirms that the existing business has agreed to change its name or cancel its reservation so the name conflict no longer exists and

Check the box indicating that you have the required consent if this applies to your filing. You can leave this section blank and proceed to the next section if not.

Reminder: Remember to complete your LLC name search before filing your Articles of Organization. This confirms that your name is available to use. While it’s possible to file your application with written consent, it often takes more time, making it inefficient.

3. Add Additional Designation And Series LLC Details

Next, you must clarify your LLC’s business purpose and indicate if it operates using a series LLC structure.

a. Additional Designation

This field allows you to include extra wording describing your LLC’s business purpose.

You’re NOT required to complete this field. You can leave this blank and continue to the next step if your LLC does NOT need a special designation.

b. Series LLC

A Series LLC is a type of limited liability company allowing a single parent LLC to create multiple separate series. Each series can have its own liabilities, operations, and assets. At the same time, your liability protection is maintained.

Check the appropriate box to indicate that you have a Series LLC if this is the case. If not, leave the box unchecked and proceed.

4. Choose Your Fiscal Year Ending Month

Your fiscal year ending month states when your LLC’s financial year finishes for reporting and accounting purposes. I advise choosing a month that correctly aligns with your financial records and your business operations.

Enter the most suitable month for your LLC in the provided field.

Note – Most LLCs will choose December to match their calendar year. This makes tax reporting, bookkeeping, and ongoing financial management easier.

5. Decide Your Period Of Duration

Your period of duration defines how long your LLC intends to exist under the state records. Your provided answers in this section determine if your business ends on a specific date or automatically continues.

  • Perpetual – Your LLC will continue indefinitely and will NOT automatically dissolve due to changes in management, ownership, or members. This is the most common option as it supports long-term planning and avoids potential refiling or dissolution and
  • Other – Your LLC will close on a specific expiration date. You must enter the specific date in this case.

6. Enter Your Principal Office Address

This section identifies your LLC’s primary business location. Once filed, it becomes part of Tennessee’s official records.

Complete the required fields to enter your principal office address. This must include your street address, city, state, ZIP code, and county. This can NOT be a P.O. box.

7. Provide Your LLC Mailing Address

The state will use your LLC’s mailing address to send official correspondence regarding your business operations. This can be the same as your principal office address or a different location.

Leave this section black if it’s the same as your principal office address.

If it’s different, enter the full mailing address. This should include the street address, city, state, ZIP code, and county. You can use a P.O. box for your mailing address.

8. Enter Your Business Email Address

Use the provided fields to enter your LLC’s business email address. They will send notices regarding filings and official documents.

Make sure you provide a valid email to receive timely updates regarding your business.

9. Describe Your LLC’s Nature Of Business

Next, you must describe your nature of business. This identifies what your LLC does using the North American Industry Classification System (NAICS) codes.

You can provide up to three NAICS codes along with a description. However, most LLCs only need one NAICS code to accurately describe their main operations.

You can access the NAICS & SIC Identification Tools of the NAICS Association for a searchable list of available NAICS codes.

10. Select Your Management Type

After classifying your business activities, you need to state how your LLC will be managed. Your chosen management structure determines who has control over your business. Therefore, choose the best one that suits your business needs.

  • Member-managed LLCs – All LLC members participate in daily operations and decision-making processesa and
  • Manager-managed LLCs – Members appoint one or more managers to oversee the LLC’s daily operations.
  • Director-managed LLCs – A board of directors will oversee the major decisions, and the LLC managers or officers will manage the daily activity.

11. State Your Number Of LLC Members

This concerns the number of LLC members at the time of completing your filing. This information is used by the state to calculate your Articles of Organization filing fee. Therefore, entering an accurate number is vital to avoid processing delays and payment errors.

Carefully enter the total number of LLC members based on your LLC’s structure. Your filing fee is then calculated as follows.

  • Six members or fewer: $300 filing fee and
  • More than six members: An additional $50 is added per member, with the total fee capped at $3,000.

12. Identify Your OME Status

An OME status means that an organization or company is an LLC member and also legally responsible for its obligations.

15. Choose A Delayed Effective Date

Your delayed effective date determines if your LLC becomes legally effective on a future date instead of immediately upon approval. This is useful if you want to control when your LLC officially begins.

Enter the date and time in the field provided if you want to use a delayed effective date. You can leave this section blank if you don’t. In this case, your LLC becomes effective as soon as your filing is approved.

Timing Consideration: Again, I highly advise setting the effective date around January 1 of the following year if you’re forming your LLC later in the year and do NOT need to begin any filings right now.

This helps simplify your tax reporting as you don’t face a short first tax year.

16. Appoint Your Registered Agent

All Tennessee LLCs must officially appoint and maintain a Registered Agent to receive legal documents and official notices on their behalf.

First, choose whether your LLC’s Registered Agent will be an individual or an organization.

  • An individual: Yourself, a family member, or a trusted friend.
  • An organization: This is typically a professional LLC service company authorized to act as a Tennessee Registered Agent.

Next, provide your Registered Agent’s address information. This includes the following details:

  • Name of your Registered Agent.
  • Street address.
  • City.

You must sign your hardcopy to officially authorize the document. Your LLC organizer’s signature confirms that all information provided is accurate and true to their knowledge.

State the LLC organizer’s name and filing date. Then, have them (or you) sign the document by hand after it’s been printed.

18. Submit Your Hard-Copy Filing

Finally, you must submit your completed hard copy to the state along with your required filing fee.

The state allows you to submit your filing by mail or in person.

  • All business actions are seen as personal activities, not LLC actions.

Try operating without the proper formation docs or misrepresent your legal status and you’ll face penalties and potentian sanctions.

The Tennessee Secretary of State can impose civil penalties of up to $5,000 for registration documents containing misleading or false statements. This is set under Tenn. Code Ann. § 48-101-514.

c. State-Level Criminal Offense

Under Tennessee law, it’s a crime to knowingly file false information with the Secretary of State. This rule applies if the filer knowingly submits or signs a document containing false details and intends for it to be officially filed and

d. Federal Level Penalties

If everything above wasn’t enough, you’ve got to deal with federal penalties set under the Corporate Transparency Act (CTA). You can’t get away from not reporting your beneficial ownership info.

The bad news? The government can impose criminal penalties or daily fines if you don’t comply, including daily fines of $591 for ongoing violations.

Things get much more serious if you’re deemed to have intentionally done so. Think fines of up to $10,000 and up to 2 years in prison. Definitely something you want to deal with.

3. It Blocks Your Tax And License Setup

With no formation docs in place, you’re in trouble. Until you get them officially approved, theres now ay for you to complete your necessary licensing and tax steps.

Forget registering for business taxes, securing permits, or getting an EIN from the IRS.

Without these docs in place you can’t open a dedicated business bank account or hire employees. other responsibilities such as paying required taxes and complying with any applicable regulatory obligations also aren’t possible. Put together, you can’t establish yourself as a legitimate entity.

4. It Opens Up Other Operational Risks

Without a properly formed LLC, your operational problems extend beyond licenses and taxes.

Potential operational risks include:

  • Banks may refuse to let you open or maintain a dedicated business bank account.
  • Contracts signed in your business’s name may become unenforceable or legally challenged.
  • With no limited liability shield, you may face personal liability.
  • As an unrecognized business, landlords, vendors, and partners may decline to work with you.
  • You may be unable to defend or assert your legal rights in disputes.
