You must file your Articles of Organization with the Ohio Secretary of State to officially form your LLC. This can be done using the online portal or by mail, with both methods requiring you to pay a $99 processing fee. You can pay an additional fee to expedite the process.
In this article, I will explain everything that you need to know about the Articles of Organization in Ohio. You’ll learn how to complete both filing methods and how to create an online account so you can form your LLC all by yourself.

Overview Of Articles Of Organization In Ohio
You must file your Ohio LLC Articles of Organization with the Secretary of State to get your LLC legally recognized in the state. This requirement is set under the Ohio Revised Code (O.R.C) § 1706.16.

Once your application is approved, the state records will officially display your details in Ohio’s public business records. This includes your LLC’s official name, Registered Agent details, and principal office address.
There are 2 filing methods, which I will guide you below:
- Online: Use the Ohio Business Central portal.
- By mail: Complete the Ohio Articles of Organization Paper Form (Form 610) and mail it to the Secretary of State.
1. Ohio Articles Of Organization Approval Time And Filing Cost
It typically takes about 3–7 business days for the state to process the Articles of Organization for your LLC in Ohio. You can either pay a one-time $99 filing fee or use an expedited processing option for faster approval. If you choose the mail filing method, you’ll also have additional mail delivery time.
I’ve summarized the different processing methods that you can use when filing your LLC Articles of Organization in Ohio using the table below.

In the following sections, I will give you a step-by-step guide so you can complete your online filing yourself.
1. Get Started
First, you will need to log in to your Ohio Business Central account before beginning your actual filing.
a. Navigate To The Login Page
Navigate to the Ohio Business Central portal of the Ohio Secretary of State. In the left navigation menu, click “Log In | Create Profile”.

b. Log In To Your Account
Simply log in and continue with the process if you already have an account.

Choose “Click here to create profile” if you don’t have an account yet. I will provide step-by-step guidance on how to create an account after this section.
2. Navigate To The Articles Of Organization Filing
You should see a few filing options in the center of the screen once you’ve logged in. Select “File a new business or register a name“.

3. Choose Your Filing
Note: The following instructions only apply to domestic LLCs formed in the state. You must file a foreign LLC registration by selecting “Limited Liability Company (Non-Ohio)” if your LLC was formed in another state.
This article does not cover the foreign registration filing process, even though the process is very similar.
Choose “Limited Liability Company (Ohio)” from the dropdown list. Following this, choose your desired processing time and corresponding fee for filing your Ohio Articles of Organization.
Following this, click “Continue.”
I recommend choosing an expedited processing option if you need faster approval, as long as you’re happy to pay the added cost. Choose “Regular processing: No additional fee” if you don’t mind waiting.

4. Perform A Name Availability Check
Enter your desired LLC name into the search field and click “Search.” The system should then generate a results table under the search field.

Unfortunately, the online system does NOT directly tell you if your desired LLC name is available to use or not. Therefore, you must follow the Ohio Secretary of State’s guidelines to find out whether your name can be used.
Click “Begin filing” once you’ve made sure that your name is available.
5. State Your Entity Information
After confirming that your desired LLC name is available, enter it into the name field. It must contain a required designator (Name ending) such as “Limited Liability Company”, “Limited”, “LLC”, “L.L.C.”, “LTD.” or “LTD”.

The date and filing time fields are optional:
- Your LLC becomes effective immediately if you leave these fields blank. This is as soon as the state has approved your Articles of Organization.
- Your LLC becomes effective on the chosen date that you enter.
- Your delayed effective date can NOT be more than 90 days after your Articles of Organization are received by the Secretary of State.
Tip: I recommend setting your effective date to January 1 of the following year if you’re forming your LLC between October and December. This helps simplify your tax reporting procedures if you don’t need your LLC to be active immediately.
6. Add Your LLC’s Purpose
Enter a specific LLC purpose in the provided box if you want to list one. For example, you could say “real estate investing” or “interior design consultant”.
Your LLC will automatically have a general purpose if you leave this section blank. I advise choosing this option as it allows you to engage in any legal business activities that you want.
Click “Continue” to proceed.

Note: Your purpose clause is limited to 500 characters. Enter “Please see attachment” and upload a full purpose clause as a PDF on the next page if yours exceeds this limit.
7. Provide Your Statutory Agent Details
An Ohio Registered Agent is often referred to as a “Statutory Agent” or a “Legal Agent” in the law code. Remember that these terms all refer to the same thing.
I will use “Statutory Agent” and “Registered Agent” throughout my article.
a. An Individual As Your LLC Statutory Agent
Provide the required information if you appoint yourself or an acquaintance to be your LLC’s Statutory Agent:
- Their name.
- Their address (Street number, city, and ZIP code). This must be in Ohio and can NOT be a P.O. box.
- Their email address. While this field is optional, I recommend completing it as it makes it easier for your LLC’s agent to receive state communication.
Click “Validate address” after entering your agent’s information. Then, enter your agent’s name again in the consent field. Click “Save and continue” once everything is complete.

b. An LLC Service Company As Your LLC Statutory Agent
If you use a third-party LLC service, you’ll need to ask them how to complete this section. This is because the portal won’t let you enter their name directly.
Once the required fields are completed, click “Save and continue.”

8. Add Any Relevant Attachments
Next, you’re able to attach additional documents. Examples include your LLC Operating Agreement or your business purpose as mentioned in a previous section.
- Click “Select a file or upload” and upload your file.
- Click “Attach file.”
- Repeat both steps if you have 2 or more files.
- Click “Save and continue.”
In most cases, you do NOT need to upload additional attachments or provisions unless you’ve been advised to do so by your attorney. Click the “No attachment(s) needed, continue” button to move to the authorization section.

Note: Remember the following points if you want to add attachments:
- Attachments must be PDF files under 2MB; split larger files into multiple uploads.
- Don’t upload duplicate filing forms or documents intended for mail submission.
- Don’t include personal identifying information. Examples include SSNs, EINs, passwords, bank details, or dates of birth.
9. Authorize
Next, you need to provide your LLC’s organizer information to authorize your filing. Complete the following, then click “Add.”
- Name (or business entity): Enter your organizers’ first and last names in the applicable fields. Then, click “Add” followed by “Save and continue.”
- By (If applicable): Leave this part blank.
Once everything is complete, click “Save and Continue” to move to the next section.
You only need one LLC organizer to sign your Articles of Organization. However, you can add more if you desire.

Note: A person or an entity serving as an LLC organizer does not automatically make them an LLC member (owner).
10. Review Your Information
Carefully review the information that you’ve provided in the previous sections. Click “Edit” if you need to change any of the information. Alternatively, you can click on each section name to go back to it.
Choose “Preview document” once everything looks correct.

11. Answer The Additional Survey
After reviewing your document, you’ll be redirected to a PDF version of your completed filing.
Once you navigate back to the filing portal, you should see an optional pop-up survey. This is used to guide you on Ohio’s business resources.
You can either complete it or click “Cancel” or the “X” to close it before moving to the verification page.

12. Verify For Checkout
Click the “Verify for checkout” button.

The system should show you a “Filing in progress” table with your LLC filing listed. You should see a “YES” status in the “Verified” column. You can remove additional filings auto-created from incomplete attempts by clicking “Delete.”
Check the box next to your draft Articles of Organization. Then, click “Add selected filing(s) to check out”.

13. Make Your Filing Payment
Check the table to confirm that your filing fee is correct. Then, click “Pay for filing(s)”.

Next, enter your card and billing information. Click “Confirm and proceed” once you’ve filled in the required fields.

On the following page, click “Confirm and submit” to send your Ohio LLC filing to the state. You should then get an email from the Ohio Secretary of State once your LLC is approved.
Tip: Click “Print approval certificate/Invoice” if you want a receipt. Then, select “Click here for a copy of the invoice.”
14. Wait For Your Approval Documents For Your Online Filing
Your Ohio LLC Articles of Organization online filing should be approved in 3-7 business days when using the standard processing option.
The Ohio Secretary of State will send you an email to inform you of the filing outcome once your LLC has been officially approved. The email will also contain an attachment, which you can ignore as it’s available on your online account.
Once your formation documents are approved, log in to your online account and download your approved documents. Follow these steps:
- Navigate to the Ohio Business Central page and click “Log In | Create Profile” on the left-hand side of the screen.
- Enter your login information and click “Click here to log in”.
- Hover over “Recent filings” on the left-hand side and click “Approved filings.”
- Download your approval documents. I’ve explained how to do this below.
I highly recommend saving a digital copy on your computer and printing a physical copy. This should be stored alongside your official business records in a safe place.
You should have 3 approval documents from the state:
a. Certificate Of Organization
This document confirms that your LLC has been properly filed and approved. It should be signed by the Ohio Secretary of State. Click “View certificate” to open a new tab displaying your Certificate of Organization.
b. Articles Of Organization (Stamped And Approved)
Under “Document ID,” click the Document ID number to view your Articles of Organization. The system will open a new tab showing your stamped and approved Articles of Organization.
Again, I advise saving a digital copy as well as printing a physical copy of your approved Articles of Organization. This includes a duplicate copy of your Certificate of Organization.
c. Invoice
Click the invoice number under “Invoice number.” The system will open a new tab with your invoice. Save this and store it with your official business records.
How To Create An Ohio Business Central Account
You need to create an Ohio Business Central account to complete your Articles of Organization filing. Here is how to create an account.
1. Access The Online Portal
Navigate to the Ohio Business Central portal. Then, click “Log in | Create Profile” on the navigation menu on the left-hand side.

2. Click The Create Account Button
Press the “Click here to create profile” button under the title.

3. Enter Your Personal Information
Next, enter your personal information. Your name and address will appear on your approved certificates alongside Ohio’s public database. Your email and phone number will NOT be published. Therefore, make sure you enter them carefully.
Enter the required information in the applicable boxes:
- Email address: This will be used as your account username.
- First name & last name: You don’t need to provide your middle name.
- Password: This must contain 15-20 characters, 1 uppercase letter, one lowercase letter, 1 number, and 1 special character.
- Address: This must include your street address, city, state, and ZIP code.
- Phone number.
Click “Next” after entering your required information.

4. Read The Email Notification
The system should take you to the profile confirmation page. The page should say that your account has been created and that you can now log in. You should also receive an email with your registered information, including your name, address, and phone number.

Click “Continue” to log in and continue your filing.
Important: The online portal historically provides you with a 4-letter “e-signature.” This is the same as a PIN code to log in to your account.
You no longer need a PIN to log in after June 12, 2025. You can log in using your email and password once you’ve created your account.
Filing Your Articles Of Organization By Mail
Note: You can only use this filing method if you’re a domestic LLC (formed in Ohio). You must file a foreign LLC registration by using Form 617 if your LLC was formed in another state. My article does NOT cover the foreign registration process, even though the filing process is similar.
If you don’t want to file online, you can submit a hard copy of the Articles of Organization.
To begin, download the Ohio Articles of Organization Paper Form or click the “Download” button on the right-hand side of the screen.
Ensure you follow these key state requirements when completing your paper filing:
- Submit a completed form printed on single-sided 8.5 × 11 paper.
- All information must be typed.
- Handwritten, double-sided, or illegible forms will be rejected.
Furthermore, prepare a money order or check made payable to the Ohio Secretary of State. You can either pay the standard $99 filing fee or use an expedited processing option. I will discuss these in more detail below.
1. Enter Your Personal Information
Enter your personal information in the first section. This is where the state will send your approved Articles of Organization once reviewed.
Provide the required information:
- Name: This can be an individual or a business name.
- Email address: Your current email address.
- To the attention of: Not required.
- Address: State your street address, city, state, and ZIP code.
- Phone number: Enter your current phone number.

2. Choose Your Processing Time
Next, choose your document processing time from the options provided. Check the box next to your desired processing option.

I recommend choosing an expedited option if you need fast approval and don’t mind paying the extra fee. If you’re not in a hurry, choose a regular filing method.
3. Enter Your Entity Information
After choosing your processing time, enter your desired LLC name in the “Name of Limited Liability Company” field. Your desired name must contain one of the required designators (Name endings). These include “Limited Liability Company”, “Limited”, “LLC”, “L.L.C.”, “LTD.” or “LTD”.

4. Provide Your Effective Date
In the next section, the system asks you to provide an Effective Date and Effective Time. These fields are both optional.
- Your LLC becomes effective immediately once your Articles of Organization have been approved if you leave this field blank.
- Your LLC becomes effective on your chosen date if you enter a specific date. If you’re using a delayed effective date, it can NOT be more than 90 days after your Articles of Organization have been received by the Secretary of State.

Tip: Set your effective date to January 1 of the next year if you’re forming your LLC between October and December and don’t need it to be active immediately. This helps to simplify your tax filings.
5. State Your LLC’s Purpose
The next section asks you to enter your LLC’s purpose. If you want to list a specific business purpose, enter it in the required box. For example, you could say “interior design consultant” or “real estate investing.”
Your LLC is given a general purpose if you leave this box blank. This means that you can engage in any legal business activities without having to be specific.
I suggest leaving this box blank to give your LLC more flexibility.

6. Give Your Statutory Agent Details
All Ohio business entities and foreign entities registered or licensed in the state must appoint and maintain an official Ohio Registered Agent to receive service of process.
Your Statutory Agent must be one of the following:
- An individual residing in the state. This can be yourself, a friend, or a family member.
- A domestic or foreign business with an Ohio address. You can use a third-party LLC service if you want.
State your LLC name and Statutory Agent’s name and address in the provided fields.

Your Statutory Agent address must meet these requirements:
- It must be an Ohio address.
- It can be the agent’s primary residence or usual place of business.
- It can NOT be a P.O. box or a commercial mail receiving agency address.
Note: Make sure you ask your third-party LLC service how to complete this section if you’re using one.
7. Complete The Acceptance Of Appointment Section
This is a legal confirmation that your individual or organization, acting as your Registered Agent, has agreed to take the role.
- Provide the name of your Statutory Agent and LLC name in the applicable fields.
- Print the form and get your agent to sign it.

8. Add Your Signature
Lastly, add your signature to make your filing official. This must be signed by your LLC organizer (You can add up to 3):
- Enter your organizer’s name in the “Print name field: if your organizer is an individual. Then print the document and sign it in the signature field. You can leave the “By (If applicable)” field blank.
- Enter the company’s name in the “Signature” field if your organizer is an entity. Enter the name of the organization’s authorized representative in the “Print name” field. Then, get the representative to sign in the “By” field after printing the document.

9. Mail The Completed Document
Mail your completed document to one of the following addresses (depending on whether you use a regular or expedited service). Make sure you include your document and a money order or a check of $99.

10. The Mail Filing Approval Process
Once your LLC filing is approved by the Ohio Secretary of State, they’ll send it back to you via standard mail using your provided return address. You’ll be given:
- Certificate of Organization: This document confirms that your LLC has been properly filed and approved. It will be signed by the Ohio Secretary of State.
- Articles of Organization: This document will be stamped and approved.
- Invoice.
Recommendation: I recommend saving digital copies on your computer. Alongside this, keep printed copies alongside your official business records.

Why Is It Important To File Your Ohio Articles Of Organization?
Filing your Articles of Organization and getting them approved by the Ohio Secretary of State establishes your LLC’s legal foundation. Failing to file carries several legal and operational risks. I will discuss the main ones below.
1. Your LLC Doesn’t Legally Exist
Your LLC doesn’t legally exist without getting your Articles of Organization approved under O.R.C § 1706.16.

This can lead to several serious consequences, such as:
- Your LLC is NOT recognized as a separate business entity without filing. Therefore, all business actions are seen as personal rather than LLC activities.
- You do NOT receive limited liability protection.
2. You Show A Deceptive Or Misrepresented Legal Status
Operating as an LLC before getting your Articles of Organization approved is seen as “misleading” under O.R.C § 4165.02. This is because using “LLC” or similar terms falsely suggests that your business is legally established in the state.

Unregistered foreign LLCs are prohibited from legal actions in Ohio courts until they’re officially registered with the state under O.R.C § 1706.515(D). This allows the Attorney General to sue for violations, including:
- Civil penalties: This is usually the set fee/amount that would have been paid to register.
- Injunctions: This stops your business from operating.
- Court costs and accrued interest.

3. It Blocks Your Tax And Financial Setup
You must get your Articles of Organization approved by the state before you can obtain an Employer Identification Number (EIN) for federal tax purposes. According to the Internal Revenue Service (IRS), applying for your EIN before getting your formation documents officially approved may result in filing delays or rejection.

With no EIN, you can NOT obtain your required licenses or register for state tax. This is because these filings require your LLC to be approved alongside an official EIN.
The potential consequences are as follows:
- You may be unable to obtain your required business licenses.
- You may be unable to register or file for State Taxes. For example, your Sales and Use Tax filings must be completed via the OH Tax eServices, which requires an EIN.
- You may be unable to apply for loans and other financial transactions at banks.

4. It Opens Up Other Operational Risks
You have no proper legal recognition without your LLC being officially formed. This creates operational uncertainty, exposing you to significant financial and legal risks. These include:
- Contracts in your company name may be unenforceable.
- Landlords, partners, and vendors may refuse to work with your business.
- Banks may decline to open and maintain business accounts.
- You open yourself up to personal liability without your LLC liability shield.
- You may be unable to assert or defend your legal rights.
