North Carolina Articles Of Organization Overview
Under GS § 57D-2-20(b), North Carolina Articles of Organization is the official document that forms your LLC after getting filed and approved by the Secretart of State.

You have two main filing methods, both of which have a processing time of 10-15 business days:
- File online via the North Carolina Business Registration system.
- Submit your Article of Organization form (Form L-01) by mail or in person.

How To File Your North Carolina LLC Articles Of Organization Online

Before filing the Articles of Organization for your LLC in North Carolina:
1. Begin Your Filing
To begin your filing, answer both questions on the “Begin Creation Filing Page” as you log into the North Carolina Business Registration portal.

a. Formation In Another State Or County
Check “Yes/No” for the provided dropdown box.
- Choose “Yes” if your LLC has been formed in another state or county, and you wish to do business.
- Choose “No” if you’re establishing your LLC for the first time.
b. Type Of Entity
Select “Limited Liability Company” in the applicable dropdown box.
c. Start Filing
You should be taken to the Articles of Organization filing information page after selecting options from both dropdown menus.

Click “Start Filing” to begin your application process.
2. Choose Your Filing Method
Next, indicate if you will upload a signed copy of your document or allow the system to generate a document based on your answers.

Your uploaded file will become your official filed document on record if you upload a copy. In this case, the online system will NOT generate a separate image. This is optional but often used by law firms and service companies.

- Choose “Start Online Filing” if you want to use the online filing option.
3. Enter Your LLC Name
Enter your desired LLC name in the next step.

State your full LLC name, including a required designator (for example, “Limited Liability Company” or an accepted abbreviation like “LLC” or “L.L.C.” You can also use “Ltd. Liability Co.”, “Limited Liability Co.”, “Limited Liability Co.”, or “Ltd. Liability Company”).
4. Enter Your Registered Agent Information
State if your LLC’s Registered Agent is an individual or a business entity.

Your Registered Agent is defined as the following, according to the North Carolina legislature:
- It must be a North Carolina resident OR a qualified foreign or domestic business Corporation, Nonprofit Corporation, or LLC registered with the North Carolina Secretary of State.
- Your Registered Agent’s duty is to receive and process official state documents and legal filings on behalf of your LLC and forward them to the appropriate address.
a. Scenario 1: If Your Registered Agent Is A North Carolina Resident
This section applies if your North Carolina Registered Agent is an individual with an official state address. This may be yourself, a trusted friend, or a family member.
You must provide information about your LLC’s Registered Agent (first name and last name) if you appoint a North Carolina resident.
Note: Skip the “Middle” and “Suffix” boxes for this section.

b. Scenario 2: Your Registered Agent Is A Business Entity
You’ll find your LLC’s Registered Agent’s information on the state database if you appoint a state-registered business entity.
b1. Registered Agent Lookup
Enter the first few words of your entity’s name. Then, click “Lookup” to fill in the correct details (Spelling and address) for your Commercial Registered Agent.

Next, select your Appointed Registered Agent in the “Common Registered Agent” table. Finally, press “Save the agent.”
c. Registered Agent Email Address
Provide your appointed Registered Agent’s email address. This will be used for your appointment arrangement and consent verification.

d. Registered Agent Street Address
Enter your registered office’s street address and county. You must use their physical North Carolina street address where they can receive and process state notices, legal filings, demands, and Service of Process. You can NOT use a P.O. box for this section.

e. Registered Agent Mailing Address
State if your Registered Agent’s mailing address is the same as your provided street address.

e1. Scenario 1: The Mailing Address And The Street Address Are The Same
Your recorded information will be autofilled if you choose “Yes.” Then, you can move to the next step.
e2. Scenario 2: The Mailing Address And The Street Address Are Different
You will need to fill in the boxes relating to your appointed Registered Agent’s mailing address if you choose “No.”

Finally, enter the complete mailing address. This is where notices can be sent by the U.S. Postal Service. This must be located in North Carolina. You can also use a P.O. box for this section.
5. State Your Principal Office Address
First, use the “Yes/No” boxes to state whether your LLC has a principal office.
You can move to the next step if you indicated “No” in this section.

If “Yes“, answer the questions regarding your LLC’s principal office information.
a. Phone Number

Enter your principal office phone number, then press “Save The Phone Number.”
b. Principal Office Street Address
Use the blank boxes to enter the full physical street address. You can NOT use a P.O. box for this section.

c. Principal Office Mailing Address
Use the “Yes/No” boxes to indicate if your principal office mailing address is the same as your street address.

Press “Yes” if your principal office mailing address is the same as your street address. Then, move to the next step.
Press “No” if your principal office mailing address is NOT the same as your street address. Then fill in the blank boxes provided.

6. Add Any Additional Provisions
This section allows you to add additional provisions (If applicable).

You can also attach a list of your LLC Initial Members’ names and addresses. Anyone listed in this section becomes an LLC member once your filing takes effect, unless stated otherwise.

All uploads must be in PDF format under 9MB. Also, the file name can NOT include “/<>#$*%^!” and you must set the PDF security to “No Security.”
You can skip this step and continue to the next step if you don’t need to upload additional provisions.
7. Give Your List Of Organizers
Choose “Add organizer” as your LLC is newly established.

Then, list each Organizer’s full name and address. Do NOT list your LLC as an Organizer. Also, make sure that none of your Organizer names are the same as your business.
Following this, answer the required questions related to your Organizer’s information. This includes:
- Organizer type
- Organizer’s full name.
- Organizer capacity.
- Individual Organizer’s address.
a. Indicate The Type Of Organizer
First, state whether your Organizer is an individual or a business entity.

Use the dropdown box to select your Organizer type.
b. Enter The Organizer Information
b1. If The Organizer Is An Individual
Complete the “First” and “Last Name” boxes to give your organizer information. You do NOT need to fill out the “Middle Name” or “Suffix” boxes.

b2. If The Organizer Is An Entity
Enter your organizer’s entity name in the entity box (If applicable).

c. Select The Organizer’s Capacity
Choose either “An Organizer” or “Both Organizer And Member” to indicate your organizer’s capacity.

d. Enter The Organizer’s Address
Fill in the blank boxes regarding your organizer’s address. This includes their street address, city, state, ZIP Code, and Country.

e. Check And Save Your Input Organizer Information
Check your organizer’s information before adding other organizers (If applicable).
- Press “Add Organizer” to add additional Organizers.
- Press “Save Organizers” to save the record.

Click “Edit Organizer” if you need to adjust your input information.
8. Complete Your List Of Officials
Next, enter the main information regarding your company officials, such as your LLC members or managers. This includes their names, titles, and business addresses. Do NOT list an official with the same name as your business.
Press “Add Company Officials” as you’re filing your Articles of Organization for the first time.

a. Select Officials’ Title And Type
Use the dropdown boxes to select your officials’ title and type.

You must choose the title of your LLC’s Managers and/or Members according to your management structure:
- Member-managed LLCs: All LLC members take part in decision-making processes and daily operations.
- Manager-managed LLCs: Members appoint one or more managers to handle daily operations and key decision-making processes.
b. Enter The Official’s Name
To start, enter your LLC Official’s name.
b1. If The Official Is An Individual
Fill the “First Name” and “Last Name” boxes as needed. You do NOT need to fill the “‘Middle Name” and “Suffix” boxes, unless desired.

b2. If The Official Is An Entity
Enter your business entity official in the blank box if you want to add one.

c. Enter The Official’s Address Information
Then, add the official’s address in the blank boxes provided. This includes their street address, city, state, ZIP code, and country.

d. Save The Official’s Information
Once you’ve completed the required information, use the buttons to save or edit your official’s information.

9. Add Your Expected Effective Date
Your LLC becomes effective at 11:59:59 P.M. Raleigh, North Carolina time on your input date. If you want, you can set a delayed effective date up to 90 days in the future.
The date used in this section determines your Annual Report schedule:
- All North Carolina LLC reports are due by April 15 every year.
- Your first Annual Report is due in the year following your LLC’s approval.
For example, if your LLC was approved on March 15, 2026, your first Annual Report must be filed by April 15, 2027.
a. Indicate Whether Your LLC Needs A Different Effective Date
Indicate if your LLC needs an effective date. This will be a date later than your Articles of Organization filing date.

Click “Yes” if you want your Articles of Organization to become effective upon submission.
Press “No” if not. Then, enter your desired effective date.

10. Provide Your Notifications Email
Enter the email address that you want to receive notifications regarding your Articles of Organization filing.

11. Customer Reference Number
Skip this next step as you’re filing your application on behalf of your LLC. You only need to complete this step if you’re a Commercial Registered Agent or a Consulting Firm.

12. Complete Your Signature
Sign your filing and confirm your authorization in the required boxes. This requires you to verify the accuracy of your input information.

13. Recruitment Plan
Indicate whether your LLC intends to hire more than 1 employee. Use the “Yes/No” boxes or choose “I Don’t know.”

a. If You Press “Yes”
You should then see a notification that the Department of Labor offers required workplace posters for free, while some companies charge. Use the Department of Labor website to get a free copy. You’ll find the website link in the New Business Resource list shown above your receipt.

b. If You Press “No” Or “I Don’t Know”
You’ll be taken to the next step.
14. Review Your Application
Preview the PDF version of your application. You can continue with your checkout process if all information is correct. If not, press “Back” to edit your information.

15. Decide if You Need An Expedited Service
Before the checkout, decide if you want to use an expedited processing service.
You can choose between two expedited options (If required):
- Same day service: Requires submission before 12:00 noon on a business day and gives you a decision (Filed or rejected) by 5:00 P.M. the same day.
- 24-hour service: Provides a decision within 24 hours of receipt.

Once your document is filed or you’re notified of the rejection, your expedited request is classed as being “Satisfied.” Your expedited fees are non-refundable, and if rejected, you must correct and resubmit your document.
16. Make A Payment
Finally, select a suitable payment method and submit your filing.
Unless you’ve entered a future effective date, your Articles of Organization filing becomes effective upon submission. Wait a few days for the North Carolina Secretary of State to process your application.
How To Create An Online Filing Account For Your Articles of Organization In North Carolina
You must first create an online account with the North Carolina Secretary of State’s Office to begin registering your LLC in the state.
1. Provide Your Account Information
To begin, enter your account information. This includes your username and password. Fill the applicable boxes with your desired login information.

Make sure your password meets the following requirements:
- At least 8 characters.
- Includes at least one number.
- Includes both an uppercase and a lowercase letter.
- Includes at least one special character. Allowed special characters include:
@ # $ % & * !?
Then re-enter the same password in the confirm password field.
2. State Your Name
Next, enter your name in the portal using the provided fields.

Make sure you fill in the asterisked fields with your first and last name.
The Entity name, Middle name, and Suffix fields are optional. However, I highly recommend completing them so your information is properly recorded by the state.
3. Enter Your LLC Mailing Address
Next, provide your LLC mailing address. Use the fields on the screen to fill each section. You can NOT use a P.O. box for this section.

4. Complete Your Contact Information
Finally, provide your contact information. Include your contact email, notification email, and billing email in the asterisked fields.

The phone number field is optional. However, I recommend completing it to ensure the state sends timely updates and communications.
How To File The North Carolina Articles Of Organization By Mail
Alternatively, you can download Form L-01 from the right-hand side of the screen, complete the required fields, and submit it by mail or in-person to the following addresses.

Otherwise, upload your completed form to the online portal via the North Carolina Business Registration page. Log in to your online account using the guidance above and upload your completed form by clicking “Upload A Signed Copy.”

You must pay a $125 filing fee, regardless of your chosen filing method.
Follow the steps below to complete the Form L-01.
1. Item 1: Your Desired LLC Name
In Item 1, enter your desired LLC name. This must include an approved designator such as “Limited Liability Company,” “L.L.C.,” “Ltd. Liability Co.,” “Limited Liability Co.,” or “Ltd. Liability Company.”

2. Item 2: Name And Address Of Each Person Executing Your Articles
List the name and address of each person signing your document. Make sure to check whether they’re signing as an organizer, member, or both. Anyone signing as a member becomes an LLC member once the filing is effective, unless stated otherwise.

3. Item 3: Name Of Your Initial Registered Agent
Enter your LLC Registered Agent’s name in Item 3.

Your North Carolina Registered Agent must be:
- A North Carolina Resident: This can be yourself, a trusted friend, or a family member.
- A domestic North Carolina Corporation/Nonprofit/LLC: They must have a business office matching their Registered Office.
- A foreign LLC/Corporation/Nonprofit: They must be authorized to do business in the state and have a business office that matches the Registered Office.
4. Item 4: Street Address Of Your Initial Registered Office
Enter the full street address and county of your registered office. You can NOT use a P.O. box for this section.

5. Item 5: Initial Registered Office Mailing Address
Provide your registered office’s full mailing address (Only if mail is NOT delivered to your street address stated in Item 4). You can also complete this section if your Registered Agent prefers to use a P.O. box or drawer.

6. Item 6: Principal Office Information
Indicate if your LLC has a principal office in the state or not.
a. Scenario 1: Your LLC Has A Principal Office In North Carolina
Check box a if your LLC has a principal office.

a1. Principal Office Street Address
Provide your principal office telephone number, full street address, and county.
a2. Principal Office Mailing Address
Enter your principal office mailing address if your mail is NOT being delivered to your provided street address, or you prefer to use a P.O. box or drawer.

b. Scenario 2: Your LLC Does Not Have A Principal Office In North Carolina
Check box b if you do NOT have a principal office in North Carolina.

7. Item 7: Additional Provisions
For Item 7, add any additional provisions that fit with North Carolina law. This may include your Operating Agreement.

You may also attach a list of your initial LLC Members’ names and addresses. Anyone listed as a member becomes an LLC member once your filing becomes effective, unless stated otherwise.
8. Item 8: List Of LLC Officials (Optional)
While this next section is optional, this information helps identify your LLC’s officials and supports compliance with important Federal banking regulations.

9. Item 9: Provide Your Business Email (Optional)
Item 9 is also optional. State your business email address to enroll in the free voluntary notification system provided by the Department.

Note: Your email will NOT be displayed on the department website.
10. Item 10: LLC Effective Date
Unless you specify an LLC effective date in this section, your Articles will become effective once filed. Enter a future date if desired.

Your Articles of Organization become effective at 11:59:59 P.M. (Raleigh, North Carolina time) on that date if you’ve listed a delayed date with no time.
You can delay your LLC’s effective date for up to 90 days.
11. Add Your Execution/Signatures
Include your execution date and complete the signature section. This must include:
- The name of the entity executing your Articles. You can leave this box blank if you’re an individual.
- The signature of the organizer, Member, or authorized representative.
- Then signers printed name.
- The signer’s title (Member, organizer, or both).

North Carolina Articles Of Organization Approval
Once submitted, your North Carolina Articles of Organization are typically approved within 10-15 business days. Furthermore, you can reduce your processing time by using an expedited service.
You’ll then receive an email with your stamped and approved Articles of Organization if you file online. You should also get a Cover Letter to confirm your online filing.

I highly recommend keeping these documents in a safe place. Keep a physical and digital copy stored on your computer just in case you lose one.
Check your LLC status via the Search Business Registration portal or contact the North Carolina Secretary of State via phone or direct communication if you’ve filed your L-01 Form via mail and it’s been 10-15 business days.
Why Is It Important To File Your North Carolina LLC’s Formation Documents?
State law explains the legal basis behind completing your formation documents and also outlines the potential penalties for operating without completing your required filings.
1. It Provides The Legal Basis For Your LLC’s Formation
Under GS § 57D-2-20(b), your North Carolina LLC is not officially recognized under state law until your formation documents have been submitted and accepted by the North Carolina Secretary of State.

Once approved by the state, your business entity is officially recognized as an LLC. Under GS § 57D-2-21.(a), your Articles of Organization should include:
- Your official LLC name.
- The name and address of each document signer. Also, include whether each person is signing as a member or an organizer.
- Your initial registered office details: This should include your street address, mailing address (If different), county, and the name of your initial Registered Agent.
- Principal office details (If any): Provide the street address, mailing address (If different), and county.
- Professional services (If applicable): List the professional services the LLC will provide (If forming a professional LLC).

2. It Allows Your LLC To Obtain An Employer Identification Number (EIN)
Your LLC must be officially recognized by the State of North Carolina before you can complete certain State and Federal requirements. You’ll likely also need your formation documents before applying for your Employer Identification Number (EIN) with the IRS.

You can NOT complete key business tasks without an EIN. These include:
- Opening a dedicated business bank account. Many banks need approved formation documents to confirm that your LLC is actually a separate legal entity in the state.
- File your required state and federal taxes.
- Hire LLC employees.
Your LLC may become noncompliant with state and/or federal requirements if you don’t obtain your EIN when required. This can lead to formation delays, penalties, and poor limited liability protection if your personal finances and business assets are mixed.
3. Penalties For Not Acquiring The Required Business License
Your LLC does not legally exist if you have not filed your Articles of Organization. In this case, you may be unable to obtain your required Business Licenses and Permits.
If you operate without a required license, you may face a penalty equal to 5% of your license fee per month (Or part of a month), up to 25% total, with a minimum $5 penalty.
Additionally, you may be faced with a $1,000 penalty under GS § 105-236.(2) if you fail to obtain your required licenses after getting written notice

4. Other Operational Risks
- Business name protection: Your desired business name remains unprotected until your Articles of Organization have been filed. In this case, someone may register a similar business name.
- Personal liability: You may not have limited liability protection if you haven’t properly formed your LLC. This exposes your personal assets to lawsuits and debt collection.
- Funding access: Most lenders, banks, and investors require formation proof before allowing you to open a dedicated business bank account or offer financing. You may be asked for your approved Articles of Organization and Operating Agreement.
- Corporate veil risk: A court may see your business as indistinct from you personally if you operate without a properly formed LLC. This increases the risk of you being held personally responsible for your business obligations and debts.
