New York LLC Articles Of Organization Overview

The Articles of Organization is the official legal document used to form your LLC in the state of New York. It contains key business information such as your legal name, official address, and Registered Agent details.

Your LLC is only considered “legally formed” once your Articles of Organization have been filed and approved by the NY DOS. This is set out under New York Limited Liability Company Law §203(d).

Filing your New York LLC Articles of Organization costs a one-time fee of $200. You have 2 filing methods which have different processing time:

  • Online: using the New York Business Express website. Approval is usually immediate when applications are submitted during normal business hours.
  • By mail, fax, or in person: complete and submit the New York Articles of Organization application to the New York Department of State, Division of Corporations. Approval takes approximately 2–3 weeks plus Mailing time.

You can also pay an additional fee to have your application processed faster. The table below states the expedited processing options for paper filings. These are available for an additional fee.

Forming Your New York LLC Online: My Step-By-Step Guide

  1. Start by visiting the New York Limited Liability Company page.
  2. Scroll down to the How to apply” section.
  3. Click “Apply online as an owner.”
  4. Log in if you already have a NY.gov Business account.
  5. Click “Register here” to create a free account if you don’t already have one.

1. NY.gov Account Registration

Your first step when beginning your online filing is to create a NY.gov Business Account. Follow these steps carefully to register an account:

  1. Enter your name, email address, and preferred username.
  2. Click “Create account.”
  3. Review your information carefully.
  4. Click “Continue.”
  5. Click “Finish” at the bottom of the page once you see an email activation message.
  6. Close your browser tab or window.

2. Email Activation, Security Questions, And Password

Now that your initial account registration is completed, you need to activate your account and set a password.

  1. Navigate to your email inbox.
  2. Open the activation email from the State of New York.
  3. Click the provided activation link.

You’ll be directed to a new page and prompted to create three security questions. Keep a record of these along with your login information. Once you’re done, click “Continue” to proceed.

Next, you’ll be asked to create an account password. Choose a suitable one and save it securely. Click “Continue” to be redirected to the MyNy dashboard.

Lastly, scroll to the bottom of the page and select “NY BUSINESS EXPRESS.”

Note: I advise you to set a strong password using uppercase letters and a special symbol. Avoid using your business name or common phrases.

How To File Your New York LLC Articles Of Organization Online

You’ll be redirected to your NY Business Express account once you’ve clicked the “NY BUSINESS EXPRESS” button. Your first task is to complete the “Name Determination” step of the LLC filing process.

Return to the New York Limited Liability Company page if you’re not automatically redirected.

  1. Scroll down to the “How to apply” section.
  2. Click “Apply online as an owner.”

You should be taken directly to the Name Determination step to begin your Articles of Organization online filing process.

In the next section, I’ve provided a step-by-step walkthrough. These are the main sections that I’ve discussed:

1. Name Determination

Tip: You can use the New York Department of State’s Corporation & Business Entity Database to pre-check your LLC name availability before starting your online filing. This ensures your desired name is unique and distinguishable compared to existing state business names.

The first step of your online application process is to check that your desired LLC name is available.

  1. Enter your desired LLC name, including the appropriate designator (Exactly as you want it to appear).
  2. Click “Check name.”
  3. The system will automatically check your desired LLC name against existing state businesses.
  4. You will get a confirmation message, “This name is accepted,” if your desired name is available to use.
  5. Re-enter your information in the confirmation field at the bottom once your desired name has been approved.
  6. Re-enter it in the confirmation field at the bottom.
  7. Click “Save & Continue.”

You can use the following designators under New York Limited Liability Company Law §204:

  • LLC (Most common).
  • L.L.C.

2. Name Verification, County

The next section asks you to confirm key details regarding your LLC. This includes your name, setup, business purpose, and country location. Make sure that you review each subsection carefully before proceeding.

For this part, you can choose whether you want to include a standard opening statement. This confirms that your LLC was formed under Section 203 of the New York Limited Liability Company Law by an organizer who is at least 18 years old.

  • Most people choose to leave this box unchecked.
  • This section is optional and not required by law.

b. Limited Liability Company Name

The question in the next part of your application depends on your LLC name.

  • Click “No” if your LLC name does not contain any non-English words or phrases.
  • Click “Yes” if your name includes non-English words. Provide an English Translation of the full name when asked.

c. Optional Purpose Clause

In this section, you can choose whether to include a general business purpose clause. This states that your LLC will engage in “any lawful act or activity” permitted under New York law.

Tip: While this section is optional, I suggest that you select it. This ensures that your LLC has a general, unrestricted purpose.

d. County

After the Optional Purpose Clause, you must select the New York County where your LLC office is located.

  • This directly affects the cost of your required newspaper publications. You’ll be given two designated newspapers from the County Clerk.
  • Your publication costs can range from $100 to more than $1000, depending on your chosen county.

Once you’ve selected your company from the dropdown list, click “Save & Continue.”

3. Service Of Process, Registered Agent

This next section determines where your LLC’s legal documents will be sent. This mainly applies to situations where you’re served a lawsuit or other legal papers.

You have two options for this:

  1. Use the New York Secretary of State (NYSS) as your default Registered Agent.
  2. Appoint a professional third-party Registered Agent service to receive documents on your behalf (My recommended choice).

a. Service Of Process & Optional Electronic Service Of Process

Service of Process is defined as the official delivery of legal mail, including summons, complaints, subpoenas, and other court documents.

The New York Secretary of State (NYSS) is your Agent for Service of Process by default. This is another way of referring to a “Registered Agent” in New York.

Your legal papers will be delivered to the NYSS office in the case that your LLC is being sued. Once received, the NYSS will forward them to your Service of Process Postal Address. You’ll provide this underneath.

You can select “Select a Service Company” If you want to appoint a professional third-party Registered Agent service instead.

  1. Choose your Registered Agent from the list.
  2. Select “Enter Service of Process Postal Address” if you can’t find your Registered Agent.
  3. Manually enter their full address.

Note: You can enter your own address in this section if you haven’t hired a Registered Agent. The NYSS will forward any legal papers directly to you instead.

At the bottom, the “Optional Electronic Service of Process” field lets you enter your personal or your Registered Agent’s email address. This allows the NYSS to send you electronic notifications of legal mail.

This next section is optional and not required in most cases. You can leave this part unchecked and click “Save & Continue.”

However, you can follow the same process as above if you wish to disclose and include your Registered Agent in your filing. Enter their name and address or select them from the list of service companies.

4. Optional Statements

In section four of your application, you’ll be asked to include additional details about your LLC operations. While each part is optional, it allows you to customize your Articles of Organization based on your management structure, duration, start date, and liability preferences. Therefore, I suggested that you fill as much of it in as you can.

In this section, you can specify how you want your LLC to be managed in your Articles of Organization. Check the first box and choose which option applies to your LLC.

  • One or more members.
  • A class or classes of members.
  • One or more managers.
  • A class or classes of managers.

Note: This section is optional, meaning you can leave it unchecked if you wish. If so, you can define your LLC’s management structure in your Operating Agreement after formation.

b. Optional Effective Date

The next part, below the “Management Structure” section, is your “Optional Effective Date.”

Your effective date is the date when your LLC was officially formed under New York law.

  • Your LLC will exist from the date it is approved by the New York Division of Corporations if you leave this box unchecked.
  • Check the box “on the following date” if you want your LLC to start on a future date. You can then use the calendar tool to choose a date.

Note: The effective future date cannot be more than 60 days in the future according to §203 of the New York Limited Liability Company Law.

Tip: Choose January 1st as your effective date if you’re forming your LLC late in the year (November or December) and don’t need it to start immediately. This helps to simplify your tax filing and bookkeeping for the following year.

c. Optional Dissolution Date

Check this section if you want your LLC to automatically dissolve (shut down) on a specific future date. Alternatively, leave this section unchecked if you want your LLC to continue indefinitely.

Note: Most LLCs prefer to have perpetual existence. This means that you remain active until you decide to dissolve it manually.

d. Optional Liability Statement

The last part of this section asks you if you want to check the “Optional Liability Statement.”

Note: This statement does NOT affect your personal liability protection. Whatever you choose in this section, your personal assets are protected by law.

I’ve broken the Optional Liability Statement into three key sections:

  1. Defend: Your LLC will cover legal expenses for its Members and Managers.
  2. Indemnify: Your LLC agrees to pay for losses, damages, or liabilities arising from lawsuits involving Members or Managers.
  3. Hold Harmless: Your LLC agrees to take legal responsibility for damages caused by actions of its Members or Managers during company duties.

This box is often left unchecked by most LLC owners. Selecting it means that your LLC must uphold the stated responsibilities (Defend, indemnify, and hold harmless) for its Members and Managers, regardless of who is at fault.

Most LLC owners will leave the box unchecked and handle it on a case-by-case basis using the Operating Agreement.

Note: This section doesn’t matter for Single-Member LLCs, as you and your LLC are considered as one entity for management purposes. Most Multi-Member LLCs leave the box unchecked and address liability terms in their Operating Agreement.

5. Organization Attestation

The next part of your filing focuses on your LLC’s Organizer. This is the person responsible for submitting your Articles of Organization to the state.

Enter the name and address of your LLC’s Organizer. This can be a member of your LLC or someone hired specifically for the role.

Note: Click the “Use Service of Process address” button if you wish to use the same Service of Process Address. Clicking this will auto-populate the address fields.

Once you’ve entered the required information, type your Organizer’s name at the bottom. This serves as your electronic signature.

Click “Save & Continue” to proceed to the next section.

Tip: You can use your Registered Agent’s address as your Organizer’s address if you appointed a professional third-party service. Doing this helps reduce junk mail from marketing companies that often send mail to publicly listed businesses.

The state of New York does NOT send official correspondence to this address.

6. Filer Attestation

After completing your Organizer’s details, you’ll be asked to do the same for your “Filer.”

Note: Your filer is the person who delivers your Articles of Organization to the New York Department of State. An Organizer prepares it, while a Filer submits it.

Example: An attorney forms an LLC for a client and has their assistant deliver the paperwork to the state office.

  • The Organizer is the attorney.
  • The Filer is the assistant.

Most LLC owners choose to act as both the Organizer and the Filer if completing their own Articles of Organization.

Just like the section before, click “Use Service of Process address” or “Organizer’s address” to auto-fill the address details. Confirm the auto-filled information and click “Next.”

If not, manually enter the Filer’s name and address and click “Next.”

Tip: The state of New York does NOT mail documents to the Filer’s address. I suggest that you use your Registered Agent’s address if you want to reduce junk mail from marketing companies.

7. Review Information

Once you’ve completed the required filing, you’ll be asked to review the information entered. You should see a PDF summary of your LLC filing.

  • Carefully review the main information according to the filing requirements. Ensure it’s accurate and free of typos.
  • Check that your LLC name, address, and contact details are correct. These will appear on your official record once filed.
  • Click “Back” if you notice any errors and need to make adjustments. Perform the required edits.
  • Click “Proceed” when everything looks correct.

8. Additional Services

Before payment, the NY DOS will ask if you require additional services in addition to filing your Articles of Organization.

These are your three options:

9. Payment

Now that you’ve entered and confirmed the required information, you’re asked to pay the total filing fee.

  • The flat fee for filing your New York Articles of Organization is $200.
  • This does NOT include any additional document fees.

Review your total filing fee on the final page. Once confirmed, scroll down to the bottom and click “Proceed to payment.”

  1. Enter your credit card information.
  2. Enter your billing address.
  3. Click “Process” to submit your payment to the New York Division of Corporations.

Your LLC Articles of Organization filing is officially submitted to the state once the payment is complete. All that you need to do now is wait for approval.

  • Approval is usually granted immediately or the same day if you filed online during business hours.
  • Approval will be granted on the next business day if you filed your application outside of normal business hours.

Your online Articles of Organization filing will be processed and reviewed by the New York Division of Corporations within minutes if submitted during normal business hours.

You’ll receive a Filing Receipt once your LLC is approved, along with additional documents (If ordered). Examples include a Plain Copy or Certified Copy of your Articles of Organization.

You’ll also get an email notification from the state to confirm your LLC’s approval.

Warning: You’ll only be issued a Filing Receipt once by the NY DOS. This acts as official proof of your filing.

The Filing Receipt includes:

  • The official name of your Limited Liability Company.
  • The date of filing.
  • A summary of key details from your Articles of Organization.
  • An accounting of all filing fees paid.

I highly recommend that you save multiple copies of your Filing Receipt. Make sure that you save both digital copies and printed versions.

You will need to request a replacement document from the NY DOS for an additional fee if you ever lose or destroy your Filing Receipt.

Forming Your New York LLC By Mail

Your Articles of Organization can also be mailed directly to the NY DOS when forming your New York LLC.

You’ll need to download Form DOS-1336-f – Articles of Organization from the Department of State’s website.

  • The form can be filled out digitally on your computer or printed and completed by hand using black ink.
  • The filing fee is $200 (This must be included alongside your mailed form).

I’ve covered the additional fees and services (Plain Copy, Certified Copy, Certificate of Existence, and expedited processing) above. You can refer to the online guide for reference if you require any of these services.

1. Completing Form DOS-1336-f: A Step-By-Step Guide

The majority of the filing information required in Form DOS-1336-f is identical to that required during the online filing process. I’ll briefly go over it again to remind you of what each part means.

Form DOS-1336-f consists of two main sections. These must both be completed before submission:

a. Cover Sheet

The Cover Sheet section contains your main contact details. This gives the New York Department of State an address to send your Filing Receipt to and an address to reach out to if additional information is needed.

  1. Complete the “Contact Information” section.
  2. Enter your name, mailing address, email address, and phone number.
  3. Move down to the “Request for Filing of Document” section.
  4. Enter your LLC’s legal name in the “Exact Name of Entity” field (Exactly as it appears in your Articles of Organization).
  5. Write “Articles of Organization” in the “Document Type” field.

You can request additional services in the “Request for Copies or Certificates of Status” section by checking the relevant box. These are your options:

  1. Certified Copies of all Documents on File ($10 per document).
  2. Plain Copies of all Documents on File ($5 per document).
  3. Certified Copy of (Specific document) ($10 per document).
  4. Plain Copy of (Specific document) ($10 per document).

Check the appropriate box (If applicable) before moving to the next section. The Department of State will only send your Filing Receipt as proof if you leave all boxes unchecked.

b. Fill Out The Articles Of Organization

The second part of Form 1336 is your dedicated Articles of Organization information. Follow the steps below to enter your required information in the appropriate boxes.

  1. Enter your LLC’s legal name in both required name fields (It must match exactly with the one listed on your Cover Sheet).
  2. Your LLC’s name must include the appropriate designator (LLC, L.L.C., or Limited Liability Company). This needs to be consistent across all your filings.
  3. Enter the county where your LLC’s principal office is located (This must match exactly with what’s listed in your Cover Sheet and other state filings).
  4. Enter your mailing address for Service of Process in the THIRD section. This section corresponds to the “Service of Process, Registered Agent” step in the online filing process.
  5. List your own address if you want the NYSS to forward legal documents directly to you. Use your Registered Agent’s address if you want to keep your name off the public record and maintain privacy (My recommended option).
  6. Fill in your email address in the required field (Optional). This allows the NYSS to send you electronic notices.

Note: Your LLC’s legal name must be kept consistent throughout all of your official filings. It needs to be unique and distinguishable from existing state businesses, and it must follow the state’s naming rules.

Furthermore, your county name must also match exactly what’s listed on your Cover Sheet. This is because it determines where your LLC’s publication requirement will take place after formation.

Once you’ve filed the required information, sign the form at the bottom and print/type your name as the Organizer. Doing so certifies that you’re the individual submitting the Articles of Organization to the state.

Next, move to the second page of the form.

c. Articles Of Organization’s Second Page

The first part asks you to fill in the “Filer’s Name and Mailing Address.” Most Organizers forming their own LLC will also act as the filer. Therefore, enter your name, company (If applicable), and mailing address in the fields provided.

2. Make Payment To The New York Department Of State

Once you’ve completed the required information, the last step is to make a payment to the NY DOS.

  • The filing fee to process your Articles of Organization is $200.
  • You can pay using a Mastercard, Visa, American Express, or money order (Make your money order payment payable to the “Department of State.”)

I’ve outlined the steps to complete Form 151 correctly below (If you’re paying by credit card or debit card):

  1. Enter your LLC’s legal name (Exactly as it appears on your Articles of Organization).
  2. Select “Filing of Document of Certificate.”
  3. Choose routine or expedited service (Review the associated fees carefully).
  4. Enter “$200” in the “Processing Fee” section.
  5. Add the expedited processing fee (If applicable).
    • 24-hour service: $25.
    • Same-day service: $75.
    • 2-hour service: $150.
  6. Calculate all applicable fees and enter your total amount in the “TOTAL” section.
  7. Choose your card provider (Visa, MasterCard, or American Express).
  8. Fill in the required cardholder information (Name, billing address, and email address).
  9. Sign and print your name at the bottom of the form (This authorizes payment).

Note: Your Articles of Organization will be hand-delivered or faxed no later than 2:30 p.m. on the same business day if you’ve selected the 2-hour expedited service.

3. Submit The Form

You have three submission options once you’ve completed the required forms and payments. I’ve listed each one, including the relevant contact details, below.

Articles Of Organization Approval (Mail Method)

The New York Department of State typically takes around 2–3 weeks to process your Articles of Organization by mail. This does not include the additional mail delivery time.

Once approved, you’ll be sent a Filing Receipt. This is your legal proof of formation, so it should be kept safe alongside your official business records. Additional services (Plain Copy, Certified Copy) will be included in the same mailing alongside your Filing Receipt.

Tip: I recommend saving multiple digital and printed copies. Therefore, you have backups in case your original one gets lost or damaged. The Department of State will only issue your Mailing Receipt once.

What To Do Next After Your LLC Is Approved?

Filing your Articles of Organization with the New York Department of State is the first step when forming your LLC. It officially recognizes your LLC as a separate business entity, but does not allow you to perform full business operations.

You’ll need to complete additional tasks before you can operate legally and maintain state compliance. These are the four main additional steps once your LLC has been approved:

1. Obtain Your Employer Identification Number (EIN)

An Employer Identification Number (EIN) is a unique 9-digit business number issued by the Internal Revenue Service (IRS). Alongside identifying your LLC for Federal tax purposes, it allows your LLC to perform several important business functions:

  • Open a business bank account.
  • Hire employees.
  • File and pay Federal taxes.
  • Apply for certain business permits and licenses.

Note: Most banks, investors, and vendors will ask for proof of your EIN when working with you. Therefore, every LLC should get an EIN, regardless of state requirements.

2. Write Your Internal Operating Agreement

All LLCs operating in New York must complete a written Operating Agreement within 90 days of formation. This requirement is set under New York Limited Liability Company Law §417.

This crucial business document defines how your LLC will be operated, managed, how profits and losses will be distributed, and what will happen if a member leaves. Use it as your internal rulebook to set the backbone on which you operate.

As an internal business document, you do not need to file it with the New York Department of State or any other official state agency. It should be stored safely alongside your official business records.

Tip: Make sure all LLC members have a signed copy of the Operating Agreement. This helps to avoid confusion and prevent internal disputes or disagreements.

3. Complete The State Publication Requirement

New York is one of only three U.S. states that require you to complete a publication requirement. While considered outdated, you must publish a Notice of Formation in two designated newspapers under New York Limited Liability Company Law §206. This notifies the public of your LLC’s formation.

These are the main guidelines that you must follow:

  • The publication requirement must be completed within 120 days after your LLC formation.
  • Your Notices of Formation must be run once per week for six consecutive weeks in two qualifying newspapers.
  • The newspapers must be designated by the County Clerk in the county where your LLC is located.

You’ll be sent an Affidavit of Publication and a copy of your ad from each newspaper once the required six-week period is finished.

File the affidavits along with the Certificate of Publication to complete the state publication requirement.

  • The Certificate of Publication filing fee is $50.
  • This does not include the newspaper publication fee (Varies by county).

4. Obtain Your Required Business Licenses

Filing your Articles of Organization with the New York Department of State is the first and most important step when forming your New York LLC. Your business does not legally exist under state law without one. It cannot perform business operations, receive legal protections, or get tax benefits.

If you don’t file your Articles of Organization, you expose your LLC to serious legal, financial, and operational risks:

1. Your LLC Does Not Legally Exist

A domestic Limited Liability Company is only legally formed when the Articles of Organization have been filed with the New York Secretary of State. This is according to N.Y. Limited Liability Company Law §203,

Your LLC has no rights, no legal existence, and no powers under New York law until your filing is accepted by the state.

2. You Cannot Obtain Essential Tax Or Licensing Documents

To obtain an Employer Identification Number (EIN) from the Internal Revenue Service (IRS), you must be recognized as a legal New York entity.
