To form a Limited Liability Company (LLC) in most states, you just need to file the an Articles of Organization with the Secretary of State. However, in Nevada, you actually have to file 3 documents to form your LLC:
- Nevada LLC Articles of Organization.
- Initial list of managers or members.
- Business license application.
In this article, I will walk you through the Articles of Organization in Nevada filing steps so that you can form an LLC yourself.
An Overview Of The Nevada LLC Formation Filings
Under NRS § 76.100 (1).(a), you must submit three mandatory formation documents to form your Nevada LLC. These documents includes:
- Articles of Organization
- Initial list of managers or members (Hereinafter named as “Initial list”)
- State business license application (Hereinafter named as “Business license”)

The Articles of Organization is the document that officially creates your Nevada LLC. The Initial List and the Business license are additional mandatory filings and must be submitted along with the Articles of Organization.
Because all three documents are required at formation, the total filing fee of $425 must be paid at the time of submission:
- Nevada Articles of Organization filing fee is $75.
- Initial List filing fee is $150.
- State Business License fee is $200.
You have two main filing options:
- Fill out the online form via Nevada SilverFlume. This is Nevada’s official business portal. Once completed, your LLC will be approved within 1 business day.
- Download and complete the Combined Packet Form. Then, mail it to the Nevada Secretary of State. Your LLC will be approved in 3-4 weeks (Plus mail time).
With the mailing method only, you can pay an additional fee to expedite the procesing time by completeing the corresponding Customer Order Instruction Form which is included in the Combined Packet Form.

How To File Your Nevada LLC Articles Of Organization Online?

Before you file:
In the following sections, I’ve walked you through the full Nevada SilverFlume registration process. You must complete 11 steps before your LLC can be fully recognized as a separate legal entity by the Nevada Secretary of State.
You also need to create a Nevada SilverFlume account before filing your online formation documents. You can read my instructions below to register in the portal.
1. Enter Your Dashboard
Once you’ve logged in, you’ll see a dashboard that records your transactions and filings.

Press “Click here to get started” to start your formation documents filing process.

Then, choose “Register my business” at the Quick Start site page.
2. Choose Your LLC’s Business Type
a. Select Your LLC’s Entity Type
First, choose your LLC business type in the drop-down list.

Then, click the plus sign for the box “Start a Nevada Business (LLC, Corporation, etc.) and choose “Domestic Limited Liability Company (NRS 86).
b. Find Your Articles Of Organization Filing Process
After picking your business type, you’ll be taken to the Business Registration Overview. This is where your required formation documents are listed.

Locate “Articles of Organization” and press “Start” to begin filing.
b1. Common Business Registration
3. Pick A Suitable LLC Name
All Nevada LLCs must choose a unique and distinguishable business name. It must be different from existing businesses operating in the state, and also follow Nevada’s naming rules and regulations.
a. If Your LLC Has Not Reserved A Name
In this scenario, you will need to check whether your desired LLC name is available or not by running the Name Availability Search tool.
a1. Enter Your Desired LLC Name

First, enter your desired LLC name in the box labeled “Desired entity name.” Make sure you enter your full LLC name, including the main part and the designator (LLC., Limited Liability Company, etc.)
a2. Check Your LLC Name Availability
After this, press “Search” to check if your desired business name is available.

- If your result looks like the image above, your desired LLC name is unique and available, so it can be used for your LLC registration.
- If it’s not, you can rename your LLC using my tips in my article: Nevada Business Name Search LLC.
Tip: You can decide whether to use a comma before “LLC,” depending on your preferred naming style.
Example: The names “Rot Busch, LLC” and “Rot Busch LLC” are acceptable business name formats.
b. If Your LLC Has A Reserved LLC Name
You should enter your reservation ID in the “Name Reservation ID” box if you’ve already registered an LLC business name.
Then click “Search.” As your reserved name appears on the screen, select it and move to the next step.

4. Clarify Your LLC’s Business Information
Next, you must choose whether your LLC will be a series LLC or a restricted one (Optional).
You can skip this step and move to the next section if your LLC does NOT belong to either of these categories.

a. Series Limited Liability Company
b. Restricted Limited Liability Company
5. Appoint A Nevada Registered Agent
After confirming your desired LLC name, the next task is to appoint a suitable Nevada Registered Agent. This can be either an entity or an individual, such as:
- Yourself.
- A family member or a friend.
- Your LLC.
- A commercial Registered Agent Service.
Under NRS 86.231, your Nevada Registered Agent must maintain a physical Nevada street address. You’re not allowed to use a P.O. box address.

a. Appointed An Existing Registered Agent
You might NOT need to enter your Registered Agent’s information if they have their information recorded by the Nevada Secretary of State. This is regardless of whether they’re a commercial or non-commercial agent.
a1. Find Your Appointed Registered Agent Information

Enter your LLC Registered Agent’s name in the box and click “Search.” The system will look up their information. This tool is available to find both registered individuals and entity Registered Agents.
a2. Select Your Registered Agent
You should see a list of results similar to your Registered Agent’s name once you’ve performed your search.

Check the “Name”, “Address”, “Type”, and “Email” columns to find the correct appointed Registered Agent. Then, select them.
a3. Review Your Appointed Registered Agent Information
After selecting your appointed Registered Agent from the list, you’ll see that their registered information is auto-filled in the boxes. You can now move to the next filing step.

Note: You will not be able to adjust the information once it’s been auto-filled since it is recorded by the state.
b. Appoint A Newly Created Registered Agent
If you, your LLC, a friend, or a trusted family member acts as your Registered Agent, the database may not have your LLC’s Registered Agent’s information on file.
In this case, you must input their information manually.
b1. Create Your Registered Agent
First, enter their name in the correct box. Then, perform the search as mentioned above. If the system shows “No records to view,” click “Create Agent” to input your LLC’s Registered Agent information.

b2. If You Are Using An Individual Registered Agent
Your individual LLC Registered Agent can be:
- A non-commercial Registered Agent.
- A represented entity.

Next, fill in the asterisked boxes related to their information.
- You don’t need to provide your Registered Agent’s email and phone number.
- You must fill the required boxes with your Registered Agent’s physical Nevada address (P.O. boxes are NOT allowed).
b3. If You’ve Used An Entity As Your LLC’s Registered Agent
This happens if you designate your LLC to act as its own Registered Agent. The state allows any entity to serve as a non-commercial Registered Agent, as long as they do NOT act as the Registered Agent for 10 or more businesses.

In this case, fill the asterisked blank boxes with your LLC’s physical address. P.O. Boxes are also not accepted here.
Note: You do NOT need to provide their email address or phone number in this section.
b4. Enter Your Newly Created Registered Agent Mailing Address
Next, scroll down until you find the box labeled“Registered Agent mailing address provided.” Then, tick it and add your Registered Agent’s mailing address, if it’s different from your physical address above. You can use a P.O. box address for this section.

6. Choose Your LLC’s Management Structure
In this section, select your LLC’s management structure and file your record of officer information.
a. Management Structure
You have two main LLC management structures to choose from:
- Member-managed LLCs: All LLC members participate in daily business operations and decision-making processes.
- Manager-managed LLCs: Members appoint one or more managers to oversee company operations and make the key decisions regarding the business.

Note: I recommend that your chosen LLC management structure aligns with the one in your Internal Operating Agreement. You can read my article on the Operating Agreement In Nevada for more information.
b. Officer Information
Once you’ve selected a suitable LLC management structure, you must file a record of your LLC’s officer information.
b1. Select Your Officer Type
First, select your officer type by choosing “Individual” or “Entity”.

b2. Enter Your Officer’s Title
Next, click the “Title” dropdown box to select your added officer’s position.
b3. Enter Officer Information
As there are blank boxes regarding your LLC officers’ names and addresses, you must fill out all of the asterisked boxes with your initial LLC Managing Members/Managers under NRS § 86.161.(1).(d).

Note: For other officers, you must provide the information of the officers who sign your LLC’s Articles of Organization under NRS § 86.161.(1).(c) You can find their title as “Other” in the box “Title”.
b4. Check Your Input Information
The system will record this information and list your LLC officer information as a list at the bottom of the page. If you need to make updates later, you can adjust this information afterwards.

You can add other officers by pressing the “Add officer” button.
7. Sign As The Filer
With your LLC’s information completed, the next section requires you to confirm your information and authorize your filing.
a. Declare The Accuracy Of Your Input Information
First, tick the declaration box to confirm your registered information and authorization.

b. Insert Your Signature
Next, provide your information as an organizer. Remember, you need to insert your physical address.

Click “Save” once you’ve filled the boxes with your information. Then, the database will record it in your list of organizers.

Note: You don’t need to complete the box labeled “Certificate of Acceptance of Appointment of Registered Agent” if you hire a commercial Registered Agent. They will fill these boxes for you.
If not, you can skip this step. Your Certificate of Acceptance will be submitted in the next step.
8. Attach Supporting Documents
In this section, attach your Certificate of Acceptance. This serves as your Letter of Authorization, stating that your LLC has nominated a Registered Agent and that your Registered Agent has accepted to represent your LLC.
You can find a Certificate of Acceptance form in the link on the right-hand side of the form. Look for the form titled “Registered Agent Acceptance.”
You must get your Certificate of Acceptance signed by two entities: Your LLC and your appointed Registered Agent.
Tip: Your appointed Registered Agent’s information MUST align with the information in the previous filing section.
Use the instructions below to fill out your LLC’s Certificate of Acceptance.
a. Fill The Certificate Of Acceptance/Registered Agent Acceptance
a1. Section 1: Entity Information
In Section 1, you will need to fill out the box with your LLC name.

You don’t need to provide your Nevada Business Identification Number after entering your LLC name in this section. This is because it’s still being formed.
a2. Section 2: Registered Agent Acceptance
Tick the box “Registered Agent Acceptance” in Section 2.

a3. Section 3: Information Being Changed
Tick the box “Appoints New Agent” in Section 3.

a4. Section 4: Registered Agent Information Before The Change
You can skip Section 4.

a5. Section 5: Newly Appointed Registered Agent
You need to state that your Registered Agent is a Commercial, non-commercial agent, or an office or Position with theeEntity in Section 5.
If you appoint a Non-commercial agent or Office/Position with entity, fill the boxes with your Registered Agents’ information (Their full name and address).
- You must use a physical Nevada street address (P.O. boxes will not be accepted).
- Fill the box with your Registered Agent’s mailing address if it’s different from your street one. You CAN use a P.O. box for this section.

If you appoint a Commercial Registered Agent, you will only be allowed to write down the Agent’s name in the “Name of Registered Agent” box.
a6. Section 6: Electronic Notification
Your Registered Agent email is optional. Therefore, you can skip Section 6.
However, I strongly recommend that you write down your email address in this Section so that the State will be able to notify you of the filings or administrative updates.

a7. Section 7: Certificate Of Acceptance Of Appointment Of Registered Agent
Your appointed Registered Agent will need to sign in Section 7.

a8. Section 8: Signature Of Represented Entity
You will need to sign on behalf of your LLC in this section.

b. Upload The Certificate Of Acceptance
Once completed, save your form as a PDF (.pdf) or Word document format.
Find the upload icon in the “Action” column.

Note: The uploaded documents will be published on the Nevada Business Database. I highly recommend checking them to ensure you don’t mistake your LLC’s documents with your private ones.
9. File Your LLC’s Initial List And Business License
Note: While the top of the page states “Initial list of officers,” this step also relates to your state business license.
You cannot complete your LLC filing online if you’re claiming a business license exemption. This must be completed by mail.
In this section, file your LLC’s Initial list of managers or members.
a. Start Your Initial List Filing
Click “Start filing” to be directed to the Initial List filing page.

b. Business Information
Here, you should see the total filing fee of the initial list and business license ($350).

You still need to pay the Business License application fee if your LLC is not a governmental entity or an insurance company. You can skip the “Business license exemption” box.
c. Officer Information
In this case, you’ve already registered your LLC’s officer information in the previous section. Therefore, you can add your registered information by clicking “Get previous officers.”

Click “Add officer” if you want to add other LLC officers to your list.
d. Signature
You will need to tick the declaration box before inserting your name in the blank box.

Then, choose your title as “Authorized signer” or the “Managing member”.
You can move to the next filing step after saving your information.
10. Review Your Registered Information
In this section, review your registered information thoroughly to ensure it’s accurate and up-to-date.
a. Adjust Your Input Information (If Needed)
Click “Edit” in each field if you want to update your registered information.

b. Add Your Filing To The Shopping Cart
Finally, if everything is correct, click “Add to shopping cart” to be directed to the Payment page.

11. Make A Payment
This is the final stage of your filing process. Your filing will be added to your shopping cart so you can make a payment.
a. Checkout
Press “Enter payment information” to complete your payment.

Tip: Your fees for pending or saved items may change at any point. Make sure you pay for all entity and non-entity filings by 11:59 P.M. PT on the last day of the month in which they were added to your Shopping Cart.
b. Payment Method
Next, choose your payment method. Currently, you can only use a credit card on the online filing system.

c. Payment Information
Insert your information in the blank boxes.

Confirm the payment once you’ve entered your credit card information. Then, click “Continue checkout” to complete your payment.
Creating A SilverFlume Account For Your LLC Registration
To start registering your Nevada LLC at SilverFlume, you must first create an account. Then, follow these two main steps:
1. Provide Your Contact Details
Note: You must provide a name, email, and contact number in this section. However, you do NOT need to fill the “Organization” box.

Next, insert your desired password and confirm the data.

Following this, provide your LLC’s physical address (You can NOT use a P.O. box for this field).
Choose 2 account recovery questions and answer them. Once you’ve done this, agree to SilverFlume’s Terms and Conditions.
Once you’ve verified your captcha, submit your information and move to the next step.
2. Activate Your SilverFlume Account
You should now get an email confirming your SilverFlume account creation. Click “Activate my account,” and you can log in to your new account with your registered information.

How To File Your Articles of Organization In Nevada By Mail
While the online filing is simple enough, it can be difficult for people who are not familiar with technology.
If this is you, the Nevada Secretary of State allows you to file your Nevada LLC formation application by mail.
To begin, download the attached formation application on the right-hand side. Then, complete it by following my step-by-step guide and send it to the Department’s address listed below:
SECRETARY OF STATE

To complete your formation process, complete the following forms and submit them as one packet:
- LLC formation documents.
- Initial list and state business license application.
- Customer order instructions or 1 or 2-hour expedited customer order instructions (If you use the 1 or 2-hour expedited services).
You may also need to fill in the following forms depending on your choices:
- Registered Agent acceptance/statement of change: if your Registered Agent cannot sign in Section 4a on page 1 of the form “Formation – Limited Liability Company”.
- ePayment checklist: if you want to pay the filing fee by credit/debit card.
You must include proof of payment of your $425 filing fee when submitting your formation dossier.
This applies when making payment by check/money order, trust account, or by using your remaining balance.
In this case, you do NOT need to include the ePayment Checklist in your packet.
1. Articles of Organization LLC Formation Documents
Your first task is to complete your LLC Articles of Organization. I’ve walked you through each filing step below.
a. Section 1: Name Being Registered In Nevada
First, you must officially name your LLC. This is one of the most important steps when filing your LLC formation documents.
To begin, select to file the “Articles of Organization under NRS Chapter 86” by ticking the relevant box.

Then, state your desired LLC name in Section 1. Before you do this, check out my article on the Nevada Business Name Search to use my tips and avoid having your filing delayed or rejected.
b. Section 2: Foreign Entity Name
Only fill in Section 2 if you’re a foreign entity filing in the state.

c. Section 3: Jurisdiction Of Formation
You do NOT need to fill in Section 3 if you’re skipping Section 2. This is required for foreign entities only.
d. Section 4: Registered Agent For Service Of Process
As you are applying to form an LLC, your nominated Registered Agent can be a Commercial Registered Agent, a non-commercial Registered Agent, or an office or position with entity. You can read my explanation on both types of Registered Agent in the Section above.
d1. What Is An Office Or Position With Entity?
This requires you to insert your Registered Agent information in this section.

You must provide your Registered Agent’s physical address and mailing address (If different) if you appoint a non-commercial Registered Agent or an office or position with entity.
e. Section 4a: Certificate Of Acceptance Of Appointment Of Registered Agent

Your Registered Agent needs to sign at the bottom of Section 4a.
Note: You must file a Registered Agent Acceptance form along with your formation documents if your nominated Registered Agent can’t sign this section. I’ve provided a detailed guide in my “Certificate of Acceptance” section above.
You do NOT need to include your Registered Agent Acceptance form in your dossier if your appointed Registered Agent signs in Section 4a.
f. Section 5: Management
State your LLC’s management information, including your management structure and list of managers/managing members.

Note: Your registered information MUST align with the data in your Internal Operating Agreement. This avoids potential conflicts when operating your LLC.
Choose one of two management structures:
- Member-managed LLCs: All LLC members actively participate in daily business operations and decision-making processes.
- Manager-managed LLCs: Members designate one or more LLC managers to handle important decisions and run the daily LLC operations.
g. Section 6: Name And Address Of Each Manager(s) Or Managing Member(s)
Write your managers/managing members’ information in this section.

You must insert a physical street address in the required boxes. P.O. box address is not allowed here.
h. Section 7: Dissolution Date (If Applicable)
Your LLC may be automatically dissolved without submitting your LLC Articles of Dissolution if you register your expected LLC dissolution date when filing your Articles of Organization.

You do NOT need to enter an expected date in Section 7 if you want your LLC to have a perpetual existence.
i. Section 8: Profession To Be Practiced
In Section 6, you MAY need to state your LLC’s business activities (Optional). You can skip this step if your LLC does NOT qualify as a Professional Limited Liability Company.

A Professional Limited Liability Company is an LLC formed specifically to provide professional services under NRS §89.020.(9).

If your LLC qualifies, you must write your profession in Section 8. If not, leave the box blank.
j. Section 9: Series And/Or Restricted LLC
Next, you may need to indicate if your LLC is a series LLC or a restricted LLC (Optional). Leave this section blank if your LLC doesn’t fall into either category and proceed to the next step.

j1. Series LLC
j2. Restricted LLC
k. Section 10: Records Office
This section is for foreign LLCs only. Therefore, you can skip it.

l. Section 11: Street Address Of Principal Office
If you’re not a foreign LLC, you can skip Section 11 as well.
m. Section 12: Name, Address, And Signature Of The Organizer/Manager/Managing Member
With the required information complete, you must complete the declaration section. You’ll act as either an LLC Manager/Managing Member or an authorized organizer when completing this section.
You’ll see a blank space at the end of the information sheet for this information (Optional). Therefore, you can leave this part blank.

You can find a blank space at the end of the information sheet. This box is optional, and you may leave it unfilled.
2. Initial List And State Business License Application
For this form, you must provide a list of your LLC managers or managing members alongside your completed state business license application.
a. LLC’s Entity Type
To begin, state your desired LLC name in the box “Name of entity” on page 1 of the form.
Your filing fee is calculated according to your type of business entity. Tick the “Limited Liability Company” box to indicate that you’re an LLC.
Note: If your LLC does NOT fall within a fee-exempt case listed below, you must pay the required fees when filing your formation documents.
Leave the fee exemption box blank and move to the next section.

b. List Of LLC Managers/Members

In the next section, enter your LLC members and managers in the blank boxes.
Note: Each address must be a physical address, and P.O. boxes are NOT accepted.
c. Sign The Form On Behalf Of Your LLC
Sign at the bottom and provide your title once you’ve completed the form. You can be an LLC manager, member, or authorized signer.

3. Registered Agent Acceptance Form
As I’ve mentioned above, you must include a Registered Agent Acceptance form in your formation dossier if your nominated Registered Agent can NOT sign your Articles of Organization. This requires an additional $60 fee.

4. Customer Order Instruction Form
As stated above, you must complete and file your Customer Order Instruction Form along with your other Nevada LLC formation documents. This is the where you select your preferred processing option, including expedite service.
Choose one of two Customer Order Instructions, depending on your desired processing time:
- Customer order instructions: Standard processing times and 24-hour expedited processing.
- 1 or 2-hour expedited customer order instructions: 1 or 2-hour expedited processing services.
Both forms are exactly the same, with the only difference being their processing speed.
a. Return Information
a1. Insert Your Return Information
First, choose your desired processing service. If you choose the expedited services, you’ll need to pay an additional fee.

Then, insert your LLC name and your filing date.
Enter your LLC’s or your Registered Agent’s mailing address in the “Return to” box.
a2. Select Your Desired Return Delivery
After this, you must choose your desired return delivery. Most orders can be returned by email.
Note: Your documents will be mailed by first-class mail if you didn’t request a pick-up, unless you’ve provided a FedEx number or arranged to use another courier. Each order will be sent to one address only.

The state will NOT send you a physical copy of your documents if you apply for an email or fax document receipt. You’ll need to order it separately if you want your result dossier to be mailed.
You can only use the fax-back service for certificates or copies of 50 pages or fewer. Furthermore, you must request this when placing your order and provide complete fax details.
b. Order Description
In the order description box, list all submitted documents along with their corresponding fees. Refer to the LLC Fee Schedule included in the packet for guidance.

Then, calculate the total fee yourself and put it in the box.
Note: Your first stamped copy (When requested at the time of filing) is free from the Nevada Secretary of State. Additional copies cost $2 per page + $30 for each certification.
Fill the box “Other description” as below:
- Articles of organization: $75.
- Initial list: $150.
- Business license application: $200.
- Expedited services (if applicable): You can find the extra fee for expedited services in the section below.
Write the total filing fee in the “Total amount” box.

c. Payment Method
Then, tick the box related to your chosen payment method. I will show you how to pay by credit card in the section below.

5. EPayment Checklist
You must complete and include an ePayment Checklist as part of your dossier if you choose to pay by credit card.
Your checklist must be printed and signed because of your credit card security information. Do NOT email it to the Nevada Secretary of State to keep your personal details private.
Accepted credit card types: Visa, Mastercard, Amex, and Discovery.
When doing this, you must select one of four available processing methods that matches with your Customer Order Instructions. These include:
- Regular filing.
- 24-hour expedited filing.
- 2-hour expedited filing.
- 1-hour expedited filing.
Make sure you fill in all blank boxes with your order and card information when paying your filing fee. Your credit card payment will NOT be processed if you don’t.

Approval Time For Your Formation Documents
Your document processing time depends on your chosen filing method.
1. Online Filing
When filing online, your formation documents should be processed within 1 business day. You can check the SilverFlume website to find a record of your approved documents for 365 days from the date of application. After this, you may need to pay an additional fee to regain access to them.

2. Mail Filing
Mail submissions are processed in approximately 3–4 weeks (Including mailing time). You can accelerate the filing process by paying extra to use an expedited service.
Once approved, the Nevada Secretary of State will send your documents in accordance with the information you have registered in the Customer Order Instructions.
The Importance Of Filing Your LLC’s Formation Documents
The Nevada Revised Statutes explain the legal basis behind your formation documents and outline the penalties that may be imposed if you operate without submitting your formation filings.
I’ve broken the legal guidelines down into straightforward sections and explained each one. You should be able to understand their importance when forming your Nevada LLC.
1. It Provides The Legal Basis For Your LLC’s Formation
As I’ve mentioned above, your LLC is NOT officially recognized under Nevada law until you’ve submitted and had your formation documents approved by the Secretary of State, as required by NRS § 76.100 (1).(a).

Once your Articles of Organization have been approved by the Nevada Secretary of State, your business is officially recognized as an LLC. Under NRS § 86.161.(1), the information in your Articles of Organization should include:
- Your legal LLC name.
- Your Registered Agent details.
- The name and address of each organizer signing your formation documents.
- Your LLC management structure (Manager-managed or member-managed).
- A statement discussing if the LLC can have one or more series of members.
- A statement discussing if the LLC wants to be a restricted LLC.

Under NRS § 86.263.(1), the information in your initial list should consist of:
- Your LLC name.
- Your LLC’s file number (If known).
- The names and titles of all LLC managers (Managing members if you have no managers).
- The residential or business address, or listed managers or managing members.
- The signature of one authorized individual (LLC manager, managing member, or a designated representative) certifying that the information is true, accurate, and complete.

2. It Allows Your LLC To Obtain An EIN
You can NOT complete your required state and federal obligations until your LLC is officially recognized by the State of Nevada. The Internal Revenue Service (IRS) will NOT issue you an Employer Identification Number (EIN) until your LLC formation documents have been completed and approved by the state.

You can NOT complete several important business functions if you don’t have an EIN. These include:
- Opening a dedicated business bank account (most banks require approved formation documents ot confirm that your LLC is a separate legal entity).
- File your mandatory State and Federal Tax documents.
- Hiring LLC employees.
Your LLC will be non-compliant with state and federal regulations if you don’t have an EIN. This can lead to penalties, operational delays, and poor liability protection due to the lack of separation between your personal finances and business debts and obligations.
Furthermore, local business licenses, permits, and specialized certifications will not be issued in most Nevada cities and counties without proof of LLC formation. Your request may even result in fines or cease-and-desist orders.
3. It Prevents Your LLC From Administrative Penalties
You must file your mandatory formation documents to keep your LLC compliant from the start of business operations. This ensures that your LLC is officially recognized as a legal entity and helps avoid costly penalties that may delay your business operations.
a. Penalties For Not Filing Articles Of Organization
If you conduct business in the state claiming to be an LLC without having your approved Articles of Organization, you face fines from $1,000 to $10,000, according to NRS § 86.213.(1).

If the Secretary of State notices a potential violation, they’ll refer the case to the local district attorney or the attorney general. They will then decide whether to pursue legal action against the LLC. If the fine is successfully recovered by the state, they’ll also collect the attorney fees and investigation costs.
b. Penalties For Not Filing The Initial List Of Managers Or Members
If a Nevada LLC fails to file its required Annual List and pay the associated fees, the company will be placed in default. This is according to NRS § 86.272. Once this happens, the LLC must pay a $75 penalty fee, plus the overdue filing fee to be reinstated.

Until all outstanding filings, fees, and penalties are fully paid, the Nevada Secretary of State will NOT return your LLC’s good standing. If you remain in default, you jeopardize your legal status and ability to conduct business in the state.
c. Penalties For Not Applying For The State Business License
In accordance with NRS § 76.110.(1).(a), you face significant penalties if you operate without a State Business License and without paying the necessary fees.

All LLCs found to be non-compliant must pay a $300 penalty fee. This includes your $200 Annual Business License Fee and a $100 fine for each year that your license was not acquired.
Furthermore, you’ll be considered “non-compliant” with your Annual List filing, meaning you’re subject to the related consequences.
Examples include being placed in default and having your authority to conduct business in the state revoked until all penalties and required fees are resolved.
4. Other Operational Risks
Your LLC has no legal existence without your completed formation documents. This exposes your business to significant operational and legal problems:
- Funding access: Lenders, investors, and banks require proof of official business formation to secure financing and establish financial relationships. You’ll need to provide your approved Articles of Organization and internal Operating Agreement.
- Business name protection: Until your Articles of Organization have been successfully filed, your desired business name is not legally secured. Before this, someone can register and claim your name, possibly preventing you from using it.
- Personal liability: Your personal assets, including your car, home, and bank account, may be targeted without the protection of an approved LLC. This can happen in lawsuits and debt collection if your business runs into legal or financial trouble.
- Corporate veil issues: Courts may ignore your limited liability status if you don’t have an approved Articles of Organization, even if you’ve created an Operating Agreement. This greatly increases the risk of “piercing the corporate veil,” meaning you’ll be held personally responsible for your business debts and obligations.
