Navigate to the MiBusiness Registry Portal and click “Login.” You should automatically be logged in once your account is authenticated.

b. Launch Service
Click “Launch Service” on the “MiBusiness Registry Portal” section to go to the filing dashboard.

c. Select ‘Forms’
Select “Forms” on the left-hand navigation menu.

d. Find Your Articles Of Organization Form
Find “CSCL/CD-700 – Articles of Organization – Domestic LLC” and click it.

Finally, click “File Online.” This opens your digital filing form, where you can begin entering your LLC information.

2. Choose Your Filing Fees & Processing Options
In this step, you can choose your desired processing time and fee that matches with your business needs.
a. Standard Review
The default option is “Standard Review” with $50 filing fee. As I stated above, your application will be processed within 7 to 10 business days.

b. Expedited Options
You can speed up the approval of your Articles of Organization by choosing an expedited processing service.
One of the most common and budget-friendly options is a 24-hour review, which typically costs an extra $50 (about $100 total including filing fees).
Click “Next Step” once you’ve chosen your preferred processing speed and applicable exemptions.
Veteran fee exemption: You may be eligible for a free LLC filing if you qualify as a veteran. Check the “I qualify for a veteran fee exemption” box then upload these documents:
- Proof of Veteran’s Status
- Fee Waiver Request form
3. Provide Your Official Limited Liability Company Name
This step requires you to provide your official Michigan LLC name in the required fields.
a. You Have A Reserved Name
Select “Yes” if you have already reserved an LLC name. Then, choose your reserved name from the dropdown menu.

b. You Don’t Have A Reserved Name
Select “No” if you didn’t reserve a name. Then, manually enter your desired LLC name twice. Your LLC name must include one of these required designators at the end:
- LLC
- L.L.C.
- LC
- L.C.
- Limited Liability Company

Click “Next Step” once you’ve entered your LLC name.
Note: Your name is most likely taken if the name field turns red. In this case, you must choose a different LLC name before moving to the next step.
4. Business Purpose
In this step, you will need to describe the main purpose of your Michigan LLC. To do so, enter your LLC’s purpose in the “Additional specific purpose”
If you leave this field blank, you’ll automatically operate under a general-purpose clause. This authorizes your LLC to engage in “any lawful business activity in Michigan.”

Recommendation: I recommend that you leave this section blank in most cases. Having a general-purpose clause gives your LLC more flexibility and allows your business to grow over time.
Click “Next Step” to proceed.
5. Decide Your LLC’s Term Of Duration
Next, state how long you want your Michigan LLC to exist.
I recommend choosing the option “Perpetual/Ongoing”. This means that your LLC will continue to exist indefinitely until you choose to dissolve it.
If you want your LLC to automatically end on a specific date, choose the “Future Date” option then enter your intended dissolution date.

Click “Next Step” to continue once you’ve confirmed your choice.
6. Resident Agent & Registered Office Address
Note: Michigan uses the term “Resident Agent.” However, some states may use terms such as “Statutory Agent” or “Agent for Service of Process.” These all refer to the same role.
Next you must provide your LLC’s Resident Agent details alongside your Michigan Registered Office Address. You can either list an individual or hire a professional third-party Registered Agent Service.
Note: All Michigan LLCs must list a Resident Agent with a physical Michigan street address.
a. If Your Registered Agent Is An Individual
Select “Individual” and enter your agent’s first and last name.
Then, provide their Michigan street address and leave the separate mailing address box unchecked, unless your mailing address is different.

Then, check the “I Certify” box to confirm that the information is correct and choose your delivery method.
Finally, click “Next Step” to continue your filing process.

b. If You Hired A Registered Agent Service
Follow the steps below if you’ve hired a professional third-party Registered Agent Service:
- Select “Resident Agent Company.”
- Enter the company name and click “Search.”
- Choose the correct company from your search results.
- Check the “I Certify” box.
- Select “mail” as the delivery method.
- Click “Next Step.”

7. Optional Articles
a. LLC Management Structure
Choose one of the following options to reflect your LLC management structure:
- Member(s): Choose this if you want your LLC to be Member-Managed. All members take part in daily business operations and make key business decisions.
- Manager(s): Choose this if you want your LLC to be Manager-Managed. Members appoint one or more managers to handle daily business operations.
b. Article VI
Underneath, you should see the liability provisions section. You have two checkboxes which must either be checked or left blank:
- First checkbox: This states that all LLC Members or Managers are “not personally liable for LLC debts or obligations.” Most people check this box to make the protection extra clear, even though it’s already established under Michigan LLC law.
- Second checkbox: This box explains that members of a Member-Managed LLC and managers of a Manager-Managed LLC are not “financially liable to the LLC or other members for certain breaches of duty.” This is commonly checked if you’re a Multi-Member LLC, especially if you want additional internal liability protection.

c. Optional Article(s)
Underneath the checkboxes, the Optional Article(s) section lets you add custom LLC provisions or rules. These are commonly written by a qualified attorney.
You can choose:
- “Not Applicable”: If you have no additional LLC rules. This is commonly selected by most LLCs.
- “Entered below”: If you have custom provisions to add.

d. Filing Effective Date
Your filing effective date determines when your LLC will be officially formed in the state.
You can choose between two options:
- When filed by the Corporations Division Administrator: Your LLC is officially active when your formation documents are approved by the state. This is the most commonly used selection.
- Select a future date: You can choose a future effective date up to 90 days in the future. This is a good idea if you’re forming your LLC late in the year and want to avoid unnecessary taxes.
Tip: Your future start date must be at least 10 business days ahead if you’re filing using the Standard Review
Click “Next Step” to continue to the next section once you’ve completed everything.
Tip: You can set your effective date to January 1 if you’re forming it towards the end of the year (October, November, or December), and you don’t need to begin business operations immediately. Doing so helps you avoid extra tax filings for the current year.
You should select “when filed by the Corporations Division Administrator” if you plan to conduct business during these months or need to open a dedicated LLC bank account before January 1. This means that your LLC becomes active as soon as your formation filing has been approved.
8. LLC’s Organizers
Confirm and authorize the information in your Michigan LLC Articles of Organization. You must at least one Organizer to sign your filing before submitting it.
a. Attestations
Check all three boxes:
- You understand that the information in your Articles of Organization will become a part of the public record.
- You’re authorized to submit your formation documents on behalf of the LLC.
- The information you’ve given is accurate and truthful.
Ticking these boxes ensures that the state can legally process your document.

b. Organizers
All Michigan LLCs must have at least one Organizer (Someone completing and submitting your Articles of Organization). Click “Add” to complete this required step.
Note: This can be yourself, another LLC member, or a representative.
Click “Add” to state your LLC Organizer.

Click “Save” after entering your LLC Organizer’s full name.

Next, choose the Signer’s Capacity:
- Choose “Self” if you’re signing on behalf of your own LLC.
- Choose “Authorized Agent” if you’re signing on behalf of someone else.
Type your name in the signature field and select “Today” in the Date field.

Click “Next Step” once all required details are complete to move on to the review step.
9. Review Your Filing
Before making payment, you must review your provided information carefully to ensure that everything is accurate.
If you want to make any changes, click the relevant section in the left-hand navigation menu and edit the information.
After confirming everything is correct, click “File Online” and proceed to payment.

10. Make Your Payment
To pay the filing fee, select “Pay now with credit card.”
On the next page, click “Next.” You do not need to do anything else for this section.

Then, enter your billing information and payment details. Click “Next” again to finalize your payment.

Finally, check the agree box, and click ‘Pay Now’ to finalize your payment.

You should receive an email payment receipt after processed. This will be sent to the email provided on the billing page.
How To Check The Approval Document Of Your Online LLC Articles Of Organization?
If you choose the Standard Review option, your LLC should be approved in around 7–10 business days
You will not get an email notification from Michigan State once your Articles of Organization have been approved. Instead, you must use the MiBusiness Registry Portal to check your filing status.
Follow the steps below to verify your approval status:
- Navigate to the MiBusiness Registry Portal.
- Click “Search” and enter your LLC name.
- Select your LLC from the search results.
- Click “View History & Filings.”

You should see “Articles of Organization” listed in your filing history once your formation filing has been approved by the state. This allows you to download a stamped and approved copy for your business records.

Tip: Wait at least 7–10 business days (The standard processing time) before checking your approval status. This is because approvals are not always immediate.
How To Create Your MiLogin Account For Your Online Filing?
As I’ve briefly mentioned above, you only need to complete this step if you don’t have a MiLogin for Business account to file your LLC Articles of Organization. This is a very straightforward requirement that can be completed in no time at all.
To begin, visit the MiLogin for Business account creation page and follow the on-screen instructions.
1. Enter Your Email Address
To begin, enter your email address.

2. Enter Your Verification Passcode
You will need to check your email for your verification passcode. Enter it on the MiLogin page before continuing to the next step.

3. Provide Your Profile Information
Enter your full name (First and last name) and agree to the Terms and Conditions to proceed.

4. Enter Your Work Phone Number
Next, provide your work phone number (you may also use your mobile number).
You should receive a phone call with a verification code.

Enter your verification code to confirm your mobile number before moving to the next step.

5. Add Your Mobile Phone Number
Next, add your mobile phone number and complete the code verification process. You’ll use the same process as above.
- Enter your phone number.
- Receive the passcode.
- Enter it in the required field.
Note: You can use the same phone number and work number.

You must select which method (text or voice call) is better for you. You’ll receive your passcode using your chosen method.

6. Create Your User ID
Create your User ID in the next section. Under Michigan law, this must follow a certain format:
- Begin with your last name.
- Follow this with your first initial.
- Add four random digits.
Example: Your name is Susan Binkowski.
- A valid ID would be BinkowskiS4455.

7. Set Your Password
Set your password, confirm it, and finalize your account setup.

If you prefer not to file online, you can complete your Michigan Articles of Organization filing by mail using the straightforward filing process.
You must download the official Form CD-700, complete it by hand or on your computer, prepare your required payment, and mail everything to the Michigan Corporations Division.
Ensure you have the following documents in your dossier before submitting:
- Your CD-700 Articles of Organization form.
- A $50 check or money order made payable to “The State of Michigan.”
- The optional Expedite Service Request form if you want to use the expedite service and pay the extra fee.

1. Provide Your Mailing Address
On the first page of Form CD-700, the top section asks you to provide your name and mailing address. This is an important part as it tells the state where to send your approved and stamped Articles of Organization once processed.

Make sure you include the following details:
- Your full name.
- Your street address (No P.O. Box is required).
- Your city, state, and ZIP code.
Note: I highly recommend that you ensure your address is accurate and reliable, as this is where your official LLC filing documents will be sent.
Move to Article I (Your LLC’s Full Legal Name) once this section is completed.
2. Article I (Your LLC’s Full Legal Name)
Provide your full legal Michigan LLC name here. All LLCs operating in the state must include one of the following approved designators:
- LLC
- L.L.C.
- LC
- L.C.
- Limited Liability Company

3. Article II (Company Purpose)
Next, state your official company purpose,
- Enter a specific company purpose in the required field.
- Leave it blank if you want your LLC to have a general-purpose clause. This means that you may engage in “any lawful business activity” in the state. Most LLCs choose this option for maximum operating flexibility.

4. Article III (LLC Duration)
In Article III, you must specify how long your LLC will exist:
- You will be given a “Perpetual Duration” if you leave this section blank. This is recommended for most LLCs.
- Enter a future expiration date if you want your LLC to end on a specific date. This is uncommon for most LLCs.

Tip: A perpetual duration means your LLC will continue indefinitely unless you choose to dissovle it later.
5.Article IV (Resident Agent & Registered Office Address)
Underneath the LLC duration box, you must provide your Resident Agent & Registered Office Address.
Complete the following details:
- Your Resident Agent’s full name (Yourself, another individual, or a Registered Agent Service).
- Your Registered Agents Michigan office street address.
- Your mailing address (If different from your street address).
Your agent receives official state correspondence, legal filings, and Service of Process on behalf of your LLC. Therefore, they must have a physical Michigan address (P.O. boxes are NOT allowed).

Move to the next stage of your form once you’ve filled in the required information for Article IV.
6. Article V (Additional Provisions)
You only need to complete this section if you want to add additional rules or custom LLC provisions. These are typically drafted by your attorney and are only required for complex LLC structures.
You can either:
- Leave the section blank: This is what most people do.
- Enter additional rules: Only do this if you have specific clauses to include.
Note: I advise that you totally skip this section if you have no special LLC requirements.

7. Provide Your Organizer Information And Signature
The bottom section of the page is used to finalize your paper filing.
- Enter your form completion date.
- Provide your name and phone number.
- Print the form and sign it by hand in the signature field.
Your signature confirms that your provided information is true and accurate and that you’re authorized to file your LLC Articles of Organization.

8. Send Your Completed Articles Of Organization And Required Payment
After filling out Form CD-700 and signing it at the bottom, you must mail your completed documents along with the required payment.
Place your completed and signed Michigan LLC Articles of Organization and payment together in an envelope. Mail everything to the:

Why Is The Michigan LLC Articles Of Organization So Important?
Your Michigan Articles of Organization filing is much more than just a formality. It gives your LLC its legal identity and protects you as the business owner. You may lose your fundamental business rights and face serious compliance risks if you skip this filing or begin operating before your LLC is officially formed.
I’ve discussed some of the key risks that you could run into if your Articles of Organization are not properly filed and approved.
1. Your LLC Doesn’t Legally Exist
As stated above, your Michigan LLC is not legally formed until your Articles of Organization have been approved by the state. This is according to MCL – Section 450.4202. This key formation document brings your LLC into legal existence, allowing it to operate as a separate business entity in the state.

You face the following risks and consequences if your LLC Articles of Organization haven’t been filed and officially approved:
- Your Michigan LLC is NOT recognized as an official business entity in the state.
- You do NOT have limited liability protection, putting your personal assets at risk.
- All business activities are considered personal, not LLC operations.
Without your approved Articles of Organization, you have no legal standing, you cannot establish business credibility, and you lose the protections and benefits that come with forming an LLC.
2. You’re Misrepresenting Your LLC Under Michigan Consumer Protection Law
It is considered misleading or deceptive if you pretend to be an LLC without officially forming one under Michigan law. According to the Michigan Consumer Protection Act (MCL 445.903), it’s illegal to “create confusion” about your business’s approval, status, or legal standing.

If you act as an LLC or use “LLC” in your business name before officially becoming an LLC (before your Michigan Articles of Organization are approved), you’re seen as misrepresenting your business.
In this case, the state can take action, enforcing penalties, orders to stop business operations, and bring claims from customers relying on false business information.
For example, under MCL 445.911, individual customers suffering losses due to misrepresentation can bring lawsuits for actual damages or be given at least $250 + reasonable attorney fees.

3. You Cannot Obtain Essential Tax Or Licensing Documents
Your LLC can NOT secure the essential documentation needed to operate properly without your legally-approved Articles of Organization, such as:
- Obtaining your Employer Identification Number (EIN) from the Internal Revenue Service (IRS).
- Registering for your Michigan state business taxes.
- Applying for or receive business licenses and permits.

These documents allow your LLC to open a dedicated business bank account, hire LLC employees, pay taxes, and legally conduct business in the state.
4. Operational And Credibility Risks
You have no legal authority to operate your LLC in Michigan without an approved Certificate of Organization. It limits your legal business operations and damages your business credibility.
