An Overview Of The Maryland LLC Articles Of Organization

The Maryland Articles of Organization is the official formation docs that establish your LLC as a separate entity under the Maryland Corporations Code §4A–202.

You’ve got two main options when filing with the SDAT. Complete everything online or file manually by mail.

Both methods cost $100 and take around 8 weeks to be processed.

Alternatively, you can upload the PDF version if you’re filing online. While this is certainly an option, I suggest sticking to the step-by-step form. It’s convenient and reduces the chances of frustrating mistakes.

How To File Your Articles of Organization In Maryland Online

1. Begin Your Online Filing Process

To get started, navigate to the Maryland Business Express page and log in with your account.

Note: Don’t worry if you haven’t created an account yet. Scroll down to learn how to create one, then come back to this section.

Click “Start a New Filing” on your account dashboard. Open the “New Filings menu” and choose “Register a Business. This starts your online process.

2. Business Type

Select “Maryland Limited Liability Company” from the list.

3. How Would You Like To File?

Choose “I will use the online forms.” Then save & continue.

Note: The online system will show the expected processing times and fee options if you click the “Fees and Processing options” dropdown menu.

Don’t worry about this too much. You can check everything for consideration, but won’t be able to choose anything.

4. Business Name

Note: Read my Maryland Business Name Search article to save time if you still need to learn how to check your name availability.

State your desired business name exactly as you want it to appear in your official formation docs in the Business Name field. Don’t include your LLC suffix (aka “ending”). You’ll choose a suffix from the dropdown menu underneath.

Then, click “Check Availability. You’ll be taken to the next page if your name is available to use.

5. Business Information

a. Principal Office Address In Maryland

Enter your Maryland LLC’s Principal Office address. This is the place where your main business operations take place and/or where you keep company records.

Do not use a P.O. box. It has to be a street address located in Maryland to be accepted.

Your address may be one of the following:

  • A home address.
  • A mailbox rental or virtual office address.
  • An office address.
  • Your Registered Agent’s address, provided that you have consent.

Have a different mailing address? Check the box at the bottom and then enter your mailing address.

b. Contact Information

The state uses this info if they have additional questions regarding your filing.

Provide your email address and contact phone number in the relevant fields. You can also use your personal email here if you want.

c. Business License

Not sure whether you need a business license? Don’t panic. There’s no need to make a decision or do anything just yet.

Most filers choose “Uncertain” and sort this at a later date. It makes much more sense to read my guide on the Maryland Business License to know your LLC’s business license requirement.

6. Resident Agent

Note: Check out my recommendation on the Best Registered Agent services in Maryland before completing this section.

Some states refer to a Registered Agent as a “Resident Agent” or “Statutory Agent.” These all mean the same thing, so I’ve used “Registered Agent” throughout to keep things simple.

a. Individual As Registered Agent

Choose “An Individual” from the drop-down menu and enter their name and contact info in the fields below. The address must be in Maryland.

b. Entity As Registered Agent

If you’ve hired a Registered Agent service (which I highly recommend), select “A Maryland Corporate or LLC” from the dropdown.

Then, use the Business Name field to search for your chosen service. Click “Confirm Business as my Registered Agent” from the search results to add your Registered Agent.

You’ll be asked to provide details of an individual associated with your Resident Agent business underneath.

Don’t worry. All required fields are pretty much the same as when listing a normal individual above. However, the address will automatically be the business’s address.

Note: You should contact your LLC formation service and ask them how to complete this section if you’ve hired one.

7. Alternate Contact Information (Optional)

This part has a confusing name. It basically asks if you want to get your approval docs set to a different address.

Once you’ve created an account, all correspondence is sent to the account holder’s info. Skip this step and click “Save & Continue” if you’re happy with everything. Easy enough.

If you want to use another contact point, provide their name, contact details, and address in the applicable fields.

8. Summary

Carefully review your filing for accuracy and grammatical errors.

Click “Save & Continue” if everything looks good. If changes are needed, select the “Edit” buttons next to the relevant sections.

9. Certification

a. Authorized Person (or Organizer)

This is the person who signs and submits your completed filing to the state. In most cases, this is you. Enter your name in the first box, which acts as your e-signature.

Oh, don’t forget to check the consent box to agree to the filing terms.

b. Resident Agent

c. Filing Party

Enter your contact information. You can leave the “Optional” field blank.

d. Certified Copy (optional)

A Certified Copy costs you $41 and is not required. You’ll hardly ever use one, so it’s basically a way for the state to make more money.

Don’t check the box and click “Certify and Continue to Payment” to continue.

10. Payment

Choose “View Cart” to go to the payment section.

Time to choose your process time and fee. You’ve got three main options.

  • The standard filing option costs $100 and should be processed in around 8 weeks.
  • Pay $150, and you’ll get things sorted faster. Your formation docs should be reviewed in approximately 7 to 15 business days.
  • You can choose the same-day filing option if you’re happy to pay $425 to get everything reviewed within 1 business day, or by Monday if you file on the weekend.

Once you’ve chosen a suitable option, the system will take you to the transaction page. Choose your payment method, enter your billing info, and press “Submit.

All that’s left to do now is wait for approval.

The state will email your Confirmation Letter along with a copy of your stamped Articles of Organization once everything has been approved.

How To Create A Maryland Business Express Account

1. Go To The Registration Page

First, navigate to the Maryland Business Express – Register Account page.

Provide your full name, contact phone number, and email. The address fields are mandatory, so skip these if you want.

Note: Your provided email address will be used for all account-related messages. Make sure it can consistently receive emails and is valid.

2. Username & Password

You need to set your username and password below. Follow the guidelines in the yellow box to the right of the screen, and you’re good to go.

Choose “Business Owner/Representative in the “Type of User” dropdown list, then click “Create User Account” to finish your setup.

Note: You should get a message stating that “Your account has been created” on the screen once done. This verifies that everything is complete.

How To File Your State Of Maryland Articles Of Organization By Mail

If you’re not good with tech, you can submit your Articles of Organization as a hard copy.

Download the Official Paper Form or click “Download” on the right-hand side of the screen to get things started.

You can mail your completed PDF and pay via check or money order, or upload everything and pay online.

Your filing fee is based on your chosen processing speed.

1. LLC Name

Enter your desired LLC name and approved designator in the first field. The name must be available for use.

Check the online filing steps above if you need to check your name against those already existing in the state. It’s quick and simple to do.

2. Purpose

You’ll be asked to provide your business purpose in the field underneath. This must be done using 1 to 2 simple sentences according to the form.

Alternatively, you can use a general-purpose statement below for maximum flexibility. I definitely recommend doing this.

The purpose of the limited liability company is to engage in any lawful act or activity for which a limited liability company may be formed under the Maryland Limited Liability Company Act.

3. LLC Address

Your LLC address is the location where your business operates and keeps its official records. Do not use a P.O. box. It must be a physical street address in Maryland to be accepted.

4. Resident Agent

Next up, your Resident Agent details. Provide their full name and address.

The address must be a physical address in Maryland. Make sure that your appointed agent also signs the form once it’s completed. This is mandatory.

5. Filing Party’s Return Address & Signature

Enter your full name and address in the Filing party’s return address field so the state knows where to send your filing result. Simple.

You’ll need two signatures in the fields above to validate your filing.

  • Authorized Person is the person who signs and submits your completed filing, which is usually yourself as the Organizer. Sign your own name here. You can get up to 3 authorized people to sign your form if needed.
  • Get your agent to sign in the “Signature of Resident Agent” field.

6. File The Form

With everything complete, all that’s left to do is to file your completed form.

Place your form alongside a paycheck or money order into an envelope and send it to the following address.

Note: You can use an alternative payment method. Scan your completed document, upload it to the system, and pay online.

If you want to do this, go back to step 3 on the online filing method and click “Use My Own Document.”

So, how much do you need to pay?

  • The standard processing option costs $100. Expect to wait around 8 weeks.
  • If you’re in a rush, pay $150 for expedited processing and get things done in around 7 to 15 business days.
  • Same-day processing costs $425. Filings submitted on a weekend will normally be completed by Monday.

Once approved, the SDAT will mail you a Confirmation Letter alongside a copy of your Articles of Organization.

If your formation docs have been stamped, you’re officially a legal business entity. Congratulations!

Why Do You Need To File The Articles of Organization For Your LLC In Maryland?

1. Your LLC Does Not Legally Exist If You Don’t File

Getting your formation docs officially accepted by the Maryland SDAT is a mandatory requirement. This fundamental filing creates your LLC and establishes it as a fully separate business entity.

The consequences can be serious without your approved Articles of Organization in place.

  • You have no legal recognition. You’ll lose the valuable liability protection normally provided by an LLC.
  • Any business activities are seen as your personal actions. Your home, savings, and vehicles could be seized to pay any business debts or legal judgments. Not good at all.

Try to operate as an LLC without officially being one, and you’re in trouble.

Businesses operating in the state can not make any false or misleading claims about their status or approval under the Maryland Commercial Law § 13-301,

In other words, don’t advertise that you’re an LLC or enter into contracts without being officially recognized by the state. It won’t work. You’ll be seen as misrepresenting your business’s legal status and have to face the consequences.

If anyone believes that they’ve suffered a loss due to your misleading practices. You may be sued, leading to damages and attorney fees.

Per Maryland Commercial Law §13-410, first violations may incur a civil fine of up to $10,000, which could rise to $25,000 for subsequent offenses.

And when the court sees it as a misdemeanor, you could even spend a year in jail, be fined $1,000, or both under Maryland Commercial Law §13-411.

3. Not Filing Blocks Your Tax And License Setup

You can’t move forward without your taxes and license setups in place. Why? With no LLC, you can’t get an EIN from the IRS.

Without an EIN, you won’t be able to file your federal taxes, register for state taxes, or even complete some of your licensing agency obligations.

That’s not all. Simple things like opening a business bank account, hiring employees, paying business taxes, or even meeting normal legal requirements become impossible, which hinders future business operations.

Finally, vendors, landlords, and any potential business partners may simply refuse to work alongside you. You’ve got no legal recognition, so it’s better to be safe than sorry.
