Forming a Limited Liability Company (LLC) in Kentucky gives you access to a business-friendly operating state with strong growth opportunities. To start your formation process, file your Articles of Organization with the Kentucky Secretary of State (SOS) online or using the paper form. You need to pay a $40 filing fee as a domestic LLC and $90 if you’re a foreign LLC. Once approved, you must file one of the returned copies with your county clerk and pay the $9–$15 recording fee.

Articles Of Organization In Kentucky Overview

Under KRS § 275.020, you need to file your Kentucky Articles of Organization with the SOS to become an official, legally-recognized business in the state.

Once your formation documents have been approved, your business is officially on the Kentucky Public Business Records. The publicly available information includes your legal business name, Registered Agent details, and principal office address.

1. What Filing Methods Can You Use?

You have 2 main filing methods to choose from:

  1. Online: Via the FastTrack Online Filings System.
  2. Paper form: Complete the Articles of Organization (KLC) for a profit LLC form. Non-profit or professional LLCs use different forms, which I’ve discussed in a later section. You can send your paper form by mail or in-person at the office of the SOS.

All documents filed online should be processed within 1-3 business days. If you file by mail, your processing time is the same, plus the mailing time. Your application will be approved immediately if you complete your filing in person.

Note: Domestic businesses must file the Articles of Organization documents to be recognized as a separate legal entity. However, foreign LLCs need to file the Certificate of Authority instead.

The process for filing both formation documents is very similar. Therefore, my guide will focus on the domestic filing process.

2. Kentucky Articles Of Organization Filing Fees

You need to pay a one-time filing fee based on your business type. This is regardless of whether you file online or by paper:

  • Domestic LLCs: $40.
  • Foreign LLCs: $90.

Once you’ve received two file-stamped copies as proof of filing, you must submit one to your local county clerk and pay a $9-15 fee. Therefore, your total filing fees are as follows:

  • Domestic LLCs: $49 – $55.
  • Foreign LLCs: $99 – $105.

1. Access The Portal

To begin your filing, navigate to the SOS Online service index and click “Start Your Business.”

2. Choose The Correct Form

a. Domestic LLC

Then, choose the correct filing form:

  • For the “Where is the business located” field, select “Kentucky.”
  • Select “Limited Liability Company (profit, non-profit, professional)” for your type of business.

b. Foreign LLC

Select “out of state” then choose “Apply for a Certificate of Authority” if your LLC is formed out of Kentucky.

3. Choose Your LLC Type 

Once you have the correct form, you need to choose the type of LLC you’re making the filing for. As most LLCs are for-profit, the system automatically selects “Profit.”

I will focus on profit LLCs in this article. While non-profit and professional LLCs require additional attachments (non-profit certification or professional licenses/certificates), the overall filing process is similar.

4. Enter Your LLC Name

Next, enter your desired LLC name. This must be exactly as you want it on your official business documents. Do NOT include a designator (LLC, L.L.C., Limited Liability Company, etc.) when completing this field.

Instead, choose your preferred designator from the provided dropdown menu called “Choose a business ending for your LLC“. If you’re having trouble making a selection, “LLC” is the most common.

Tip: You can decide whether you want to use a comma in your Kentucky LLC name. For example, you can use “John Doe, LLC” and “John Doe LLC.” Make sure to include the comma in the LLC Name field if you want to use one.

5. Add Your Email Address

For this section, enter your company email address. You can use your personal email address or business email address. 

I highly recommend entering an email address in this section to promptly receive state notices. The state will keep this private, meaning it will NOT go on the public record.

Check the box if you’re a retailer of authorized nicotine vapor products. Otherwise, skip this line.

7. State Your LLC Management Type

Next, choose whether you want your LLC to be member-managed or manager-managed.

  • Manager-managed LLCs: Members appoint one or more managers to run daily operations and make key business decisions. Other LLC members act as passive investors.
  • Member-managed LLCs: All LLC members can run daily business operations and make key business decisions.

8. Complete The Veteran-Owned LLC Section (If Applicable)

Due to the Boots to Business program, your LLC filing is free ($0) if your LLC is majority owned (51% or more LLC membership interest) by a military veteran or active-duty service member. This program also applies to members of the National Guard.

Check “This LLC is veteran-owned” if you’re forming a veteran-owned Kentucky LLC. Then, prepare DD-214 forms for all prospective veteran-owners with redactions to remove social security numbers, dates of birth, and home addresses.

Note: Form DD-214s will NOT be available for public view and will be destroyed after verification by the SOS.

9. Provide Your Principal Office Address

In this section, enter your principal office address. This is the address where the Kentucky SOS will send LLC correspondence.

Follow these rules when entering your LLC’s principal office address:

  • The address can be located in any area.
  • It can NOT be a P.O. box address.
  • It can be your office address or home address.
  • It can be your Kentucky Registered Agent’s address (if allowed).

10. Additional Articles Section

Complete this section if you need to include any additional provisions with your Articles of Organization filing. These must be consistent with Kentucky law. Examples include special management provisions, limitations on member or manager liability, indemnification clauses, and other governance terms.

Leave this section blank if you do NOT wish to add additional provisions.

11. Add Your Effective Date

For most people, your effective date is the date that you file your Articles of Organization. This means that your LLC comes into effect once approved by the Kentucky SOS. Alternatively, you can choose a delayed effective date.

Tip: Consider using a delayed effective date (January 1) or wait until January to file if you don’t need to start your LLC immediately.

Kentucky Annual Reports are due between January 1 and June 30. Your first Annual Report is due the year after your approval date. Therefore, forming your LLC in January helps you avoid a short tax year. It also lets you delay your first Annual Report filing.

12. Enter Your Organizers’ Signatures

Provide the name (first name and last name) of the person submitting your Articles of Organization filing. Then, click the “Add Organizer” button. You can add multiple organizers if needed.

13. Provide Your Registered Agent Details

Every Kentucky LLC must appoint and maintain an official Registered Agent. They must meet one of the following requirements:

  • An individual residing in Kentucky.
  • A domestic entity.
  • A foreign business is allowed to conduct business in Kentucky.

Note: You can NOT be your own agent if you’re a registered entity.

Furthermore, your Kentucky Registered Agent must meet the following key requirements:

  • Be available during normal business hours.
  • Maintain a physical Kentucky street address.

a. Your Registered Agent As An Individual

If your Registered Agent is an individual, select “Individual” and enter their full name and address. The address must be a physical Kentucky street address (P.O. boxes are NOT allowed).

Following this, enter your Registered Agent’s name again on the signature line.

b. Your Registered Agent As An Entity

If your agent is an entity, select the “Entity” checkbox. Then enter their legal business name and official address. This must be a physical street address located in the state (P.O. boxes can NOT be used).

Then, enter your Registered Agent’s name once more on the signature line.

14. Complete Your Organizational Filing Form

The question in this section asks if you’re using the state’s standard Articles of Organization or custom Articles of Organization.

Most people do NOT need a custom Articles of Organization, so choose “The standard official form.

15. Review Your Filing Information

In this section, you can review your filing information already submitted. To do this, click the link to open a PDF in a separate tab. Then, carefully review the information in your PDF document, checking for any typos or incorrect information.

  • Click “Made a mistake” if you need to go back and make changes.
  • Click “Continue” if everything looks correct. You will then proceed to the next section.

16. Make Payment

Next, you need to make your filing payment.

You have two payment options:

  1. A credit card.
  2. A prepaid account registered with the office.

Then, enter your card and billing information. After, click “Next” then “Pay Now.”

b. Payment Using A Prepaid Account

You can follow the state’s guidelines if you don’t already have a registered prepaid account with the SOS: Kentucky SOS Prepaid Account.

If you want to make a payment using this method, enter your prepaid account information, then click “Pay using Prepaid Account.

Note: The transaction may take a few seconds to complete. Make sure you don’t click the button below. Once you click “Pay for certificate,” do NOT click it again or attempt to refresh your browser. If you do, your credit card may be charged more than once.

17. The Approval Process

Once completed, your Articles of Organization filing will be processed in 1-3 business days.

  • Two file-stamped copies will be returned to your LLC as evidence of your filing.
  • One file-stamped copy needs to be filed with the county clerk of the county where your LLC’s registered office is located.

You can use the County Clerk finding tool of the State Board of Elections to find their contact details. Then, speak to the “recording department”, find out the recording fees, and get detailed instructions on how to send your approved Articles of Organization.

The recording fees are usually between $9 – $15.

Tip: I recommend saving a few copies (both physical and digital) and keeping them with your business records.

Filing Your Kentucky Articles Of Organization By Mail

If you want to file your Articles of Organization by mail, you can use the paper-based Articles of Organization (KLC) form. Click the link or click the “Download” button on the right-hand side of the screen.

Make sure you file two exact or confirmed copies with the SOS’s office.

The KLC form is for profit LLCs. You must use the other forms if you have a different type of LLC:

1. Enter Your LLC Name

First, state your desired LLC name, including your chosen designator (name ending).

2. Add Your Registered Agent Details

Next, add your Registered Agent details. Every LLC conducting business in Kentucky must appoint and maintain an official Registered Agent when operating.

This may be one of the following:

  • An individual residing in Kentucky.
  • A domestic entity.
  • A foreign business is allowed to conduct business in Kentucky.

Note: You can NOT act as your own agent if you’re a registered entity.

Your agent must meet the following key requirements, regardless of your choice:

  • They must be available during normal operating hours.
  • They must maintain a physical Kentucky street address.

Begin by entering the address of your LLC’s Registered Agent. This must be a physical Kentucky street address (you can NOT use a P.O. box).

Then, state your Registered Agent’s official name. Enter the legal name if your agent is an entity.

3. Provide Your Business Mailing Address

4. State Your LLC Management Type

In the section underneath, you need to state your LLC management type. Choose between one of these two management types:

  • Manager-managed LLCs: Members agree to appoint one or more LLC managers to run the business and make key decisions. Other members take passive investor roles.
  • Member-managed LLCs: All members run the daily business operations and are responsible for key business decisions.

5. Complete The Additional Articles Section

This section of your filing allows you to include additional provisions NOT stated in your Articles of Organization documents. However, they must be consistent with Kentucky state law. For example, you could include limitations on member/manager liability, indemnification clauses, special management provisions, and other governance terms.

You can move to the next section if you do NOT want to add any additional provisions.

6. Fill In The Veteran-Owned LLC Section (If Applicable)

Under the Boots to Business program, your LLC can file its formation documents for free if it is majority-owned (51% or more LLC membership interest) by a military veteran or active-duty service member. This program is also available for members of the National Guard.

Check the box labelled “If checked, this is a veteran-owned business” if you’re forming a veteran-owned LLC in Kentucky. Following this, prepare DD-214 forms for all prospective veteran-owners. This should include redactions to remove social security numbers, dates of birth, and home addresses.

8. Add Your Signatures Of Organizers

Next, state the full name and official title of the person submitting your Articles of Organization filing. You can enter 2 LLC organizers on your paper form.

Then, ask them to sign your completed form once it’s printed out.

These are the titles that can be used for this section:

  • Enter “Member” if you’re an LLC owner.
  • Choose “Manager” if you’re an LLC manager.
  • Choose “Managing Member” if you’re an LLC owner and manager.
  • Enter “Organizer” if you are NOT an LLC manager or member, but you’re authorized to file the Articles of Organization on behalf of the LLC.

9. Add The Signature Of Your Registered Agent

After adding your organizer signature(s), enter your Registered Agent’s official name. This must match the name entered for your Registered Agent in the section above.

You will need to get a signature from the individual authorized to accept the appointment on behalf of your Registered Agent if your agent is an entity or a foreign entity.

10. File Your Completed Document

a. File By Mail

To file your completed document, take your Articles of Organization sheets (2 copies) and additional attachments (if applicable), and place them into an envelope alongside a $40 check/money order or a $90 check/money order as a foreign LLC. Then, send it to:

  • Office of the SOS
    P.O. Box 718

b. In-Person Filing

Go to the office to file in person. I’ve written the address below:

11. The Approval Process

The processing time is determined by how you file the form:

  • Your LLC formation documents will be processed in 1-3 business days + mailing time if you file by mail.
  • Your documents will be approved immediately if you file in person.

You’ll be given two file-stamped copies as proof of your LLC formation filing. Like the online process, you need to file one copy with the county clerk in the county where your registered office is located.

You can find the official contact details by using the County Clerk finding tool of the State Board of Elections. Once connected, ask for the recording department, confirm your required fees, and request further instructions. Your recording fees are generally around $9 to $15.

Tip: I highly suggest saving some copies (digital and physical) and keeping them with your official business records. This reduces the risk of you losing them and needing to request a new copy.

Why You Have To File The Kentucky LLC Articles Of Organization

Once your Articles of Organization filing has been approved by the SOS, your LLC’s legal foundation is officially established. You face several operational and legal challenges if you fail to complete your filing. I’ve discussed the main ones in the sections below.

1. Your LLC Doesn’t Legally Exist Without It

Under KRS § 275.020, your business must file its Articles of Organization with the SOS. Once officially approved, your LLC is recognized as a separate legal entity in the state.

If you fail to file this key formation document, your business faces several serious consequences. These include:

  • NOT being recognized as a separate business entity in the state. In this case, any business actions are seen as personal rather than by your LLC.
  • NOT having limited liability protection. Business debts and obligations pass to you as the individual rather than your business.

Under KRS § 367.170, your business will be viewed as being “misleading” if you attempt to operate without the required registrations.

Any individual violating this law or applying for certifications using fraudulent or false information is seen as committing a Class A misdemeanor under KRS § 310.990.

In Kentucky, a Class A misdemeanor is punishable by the following under KRS § 534.040:

  • A fine of up to $500.
  • Jail time.

Warning: The fine may be issued in addition to or instead of jail time. This is at the discretion of the jury or judge. Fines will NOT be imposed on individuals determined to be indigent by the court.

Furthermore, violations under this chapter are considered violations of the state’s Consumer Protection Act. If this happens, the responsible individual may face court orders (injunctions) and other penalties.

3. It Blocks Your Tax And Business License Setup Procedures

a. You Can’t Obtain Your EIN

You can NOT obtain an Employer Identification Number (EIN) for federal tax purposes and complete several key operational tasks. Alongside this, under IRS rules, your LLC may face several filing delays and/or rejections if you try applying for an EIN before receiving your approved LLC formation documents.

b. Not Having An EIN Leads To Other Consequences

Every Kentucky LLC must pay an Annual Limited Liability Entity Tax (LLET). This is a required privilege tax required when operating with limited liability protection. You need to register with the Department of Revenue and obtain an EIN before completing your filing.

You face several state-level penalties if you fail to pay this tax. These are set under KRS 131.180KRS 131.150KRS 131.440, and KRS 131.183:

  • Late filing: 2% of your tax due every 30 days, up to a maximum of 20%. There is a $10 minimum, which rises to $100 after jeopardy assessment.
  • Late payment/ Failure to withhold: A 2% penalty per 30 days applies to unpaid tax, up to a maximum of 20%. This has a $10 minimum charge.
  • Failure to file required information: 5% per 30 days, up to a maximum of 50%. There is a $100 minimum charge.
  • Failure to obtain the required tax ID/ Permit: You’ll be charged 10% of your required fee. There is a $50 minimum with no maximum.
  • Underpayment of estimated tax or LLET: This is an interest-based penalty that applies to each missed installment. There is no minimum or maximum.
  • Negligence: You’ll be charged 10% of the tax assessed due to negligence. There is no minimum or maximum charge.
  • Fraud: 50% of the tax assessed due to fraud. There is no minimum or maximum.
  • Collection fee: 25% is added after 60 days. This rises to 50% during certain amnesty failures.

4. It Creates Operational Risks

Your LLC has no proper legal recognition with no EIN, and until it’s officially formed in the state. This requires you to complete your Articles of Organization filing. If this happens, you face operational uncertainty. This exposes your business to serious financial and legal risks, including:

  • Banks can decline to maintain your business bank accounts.
  • Contracts made in your business name may be unenforceable.
  • You may be unable to assert or defend your business’s legal rights.
  • Partners, vendors, and landlords may refuse to work with you.
  • You’re exposed to personal liability without your LLC liability shield.
