Overview Of The Articles Of Organization In Kansas
You need to file your Kansas Articles of Organization with the Kansas SOS to become an officially recognized business entity under K.S.A. 17-7673.

Once approved, your business is officially recognized in the Kansas Public Business Records, including your legal business name, Registered Agent details, and principal office address.

2. Kansas Attorney General Notice On Foreign-Owned Property Near Military Bases
From July 1, 2025, some individuals and businesses need to register with the Kansas Attorney General if they own or acquire real estate within 100 miles of a military installation in the state. They must submit the Foreign Principal Real Property Interest Registration Form at www.ag.ks.gov.
This requirement applies to companies, agents, governments, and citizens connected to the following countries: China (including Hong Kong), Cuba, Iran, North Korea, Russia, Venezuela, and any organization designated as a foreign terrorist organization. It also includes individuals controlling companies holding real estate on behalf of these entities.

Before you file:
To file your Articles of Organization online, you must have a Kansas SOS user account. If you already have one, follow the instructions below.
If not, you’ll find instructions on how to create one further below.
1. Register A Business Page
Navigate to the Kansas SOS – Register A Business page. Scroll down, click “Limited Liability Company,” then choose “File Online.”

2. Log In
Provide your email address and password and click “Sign in.”

3. Access The Form
Click “Create a Business.”

4. Select Your Entity Type
Click “Kansas limited liability company $85.00”. Then, click “Next.”

5. Enter Your Desired Business Name
Next, provide your desired LLC name. This must be exactly as you want it to appear on your official business documents. Make sure you include a required designator (LLC, L.L.C., etc.). Then, click “Check Name.”

Click “Next” if your name is available. If not, choose a different name and repeat the same steps.

6. Pick Your Resident Agent
Note: A Registered Agent is officially called a “Resident Agent” in Kansas. Your agent is primarily responsible for receiving and processing official state notices and legal documents on behalf of your LLC.
You can choose between 3 options:
- An individual located in Kansas.
- Act as your own Resident Agent. You must be a domestic LLC with a physical street address in the state.
- A business registered with the Kansas SOS’s office.
Click “Next” after choosing an option. I will discuss each of the available options below.
Your Kansas Resident Agent must meet the following key requirements:
- Be available during normal operating hours.
- Maintain a physical street address in Kansas.

a. An Individual As Your Resident Agent
If your agent is an individual, you need to provide their main details:
- Individual Name: Enter the full name of your Resident Agent (a person).
- Address 1: Enter your agent’s physical street address.
- Address 2 (optional): Add additional address details (if needed).
- Zip/Postal Code, City, and State: Enter the correct information. The state must be Kansas.
Click “Next” to continue to the next step once you’ve entered the required information.

b. Your Business Is Its Own Resident Agent
If your business acts as your own Resident Agent, you must provide your company’s physical address in Kansas on this page.
Fill in these required fields:
- Business Name: This is the business name entered in the previous section.
- Address 1: Enter your company’s physical street address.
- Address 2 (optional): Add additional address details (if necessary).
- Zip/Postal Code, City, and State: Enter the correct information. This must be located in Kansas.
After completing the required fields, click “Next” to proceed to the next step.

c. A Business Registered With The Kansas SOS’s Office
This section must be completed if your LLC hires a commercial Registered Agent. I recommend asking them how to fill in the required fields. The information below is only for reference.
c1. Find The Business
Once chosen, the page will provide fields to find your Resident Agent business.
Choose from one of these two search options:
- Find using its name.
- Find using its Kansas business ID (not Employer Identification Number (EIN)).
Click “Search” after entering the required information. Then, click “Select Entity” after you’ve found the correct business. Finally, click “Next” to continue.

c2. Enter The Business’s Address
Enter the applicable business address and click “Next.”

7. Review Your Information
Review all your information. If you need to edit anything, click “Back”.
If everything is good, click “Next” to continue.

8. Provide A Signature
Next, provide your email address and enter your authorized signature to complete your filing. Your provided email address will be used for notification.
Complete the following steps:
- Enter your email address: Give the email where you want to receive official updates about your business filing.
- Click “Save Email.”: The system will store your address.
- Enter the name of your authorized person: This must be the full name of the person submitting your filing.
- Click “Save Signature”: This confirms your electronic signature.
- Click “Submit”: This should be done after saving your email and signature. This completes your filing process.
You can add more than one email or signature.

9. Make Your Payment
First, click “Pay For Items” at the shopping cart page.

Then, enter your card and billing information. Once finished, click “Submit.”

10. The Approval Process
Your filing should be processed within minutes once submitted. After being approved, you can print your certified copy of your Articles of Organization from the same website.
How To Create An Office Of The SOS User Account
To begin, navigate to the Log in page and click “Create Account.”

1. Enter Your Email Address And Password
Next, enter your email and create a suitable password. Ensure that you can receive verification messages at your email address so you can validate your account. Your account will be created for you and will let you file and purchase documents for your business needs, once logged in.
Your password must meet the following requirements:
- A minimum of 12 characters and a maximum of 40 characters.
- At least 1 uppercase letter.
- At least 1 lowercase letter.
- At least 1 number.
- At least 1 of the following special characters: !@#$%^&*-_()?+=

2. Add Your Address And Phone Number
Next, provide your address and phone number. Your address can be a domestic address or an out-of-state address.

3. State Your First & Last Name
Enter your first and last name and click “Submit.”

4. Complete The Email Verification Process
Once you’ve entered your email address, the online system will notify you that it has sent a verification link to your email address.

Open your email inbox and click the provided link. Check the “All Mail” or “Spam” folders if you can’t find the email.

5. Account Activation Message
The system should inform you that your account has been successfully created. You can now log in and file your Articles of Organization formation documents.

Filing Your Domestic LLC Articles Of Organization By Mail
If you don’t want to use the online filing method, you can file your Articles of Organization by mail using the Kansas Articles of Organization (DL) paper form. Click the link or “Download” button to get started.
You must prepare a check for $90 or pay by card using the Credit/Debit Card Cover Page when filing your documents.
This form is only for domestic general LLCs. You need to visit the Register a Business page and select the appropriate form if you want to form another type of LLC. This applies if you’re a series LLC or a professional LLC.
Most forms require you to provide similar information. However, some may need additional details or documents. Because of this, I recommend carefully reviewing the instructions before submitting your filing.
Note: You only need to submit your Articles of Organization page and cover page if you’re paying by credit card. DO NOT file the instructions page.
1. Provide Your Business Name
To begin your filing, enter your desired LLC name. This must be exactly as you want it to appear on your official business documents, including the required designator (LLC, L.L.C., etc.).

2. Add The Name Of Your Resident Agent
Note: Your LLC can serve as its own Resident Agent in Kansas, as long as you have a physical state address. This will be provided in the registered office section of your form.
You can pick between 3 main options for this section:
- An individual: Yourself, a friend, or a family member, as long as they live in Kansas. Make sure you provide the individual’s full name.
- Your business: Provide your full legal name in line 1.
- A business registered with the Kansas SOS’s office: Use the Business Entity Search tool to find the business’s legal name. Make sure you enter it exactly as shown on the screen. If you hire a professional Registered Agent service, ask them how to fill this field in.

b. Your Business Is Its Own Resident Agent
State your business’s physical address if you’re acting as your own Resident Agent. The requirements are the same as above.
c. The Business Is Registered With The Kansas SOS’s Office
You can use the Business Entity Search tool to find the registered business name. You can click “Select Business” to see its details. Scroll down to the “Principal Office” section and enter the name exactly as it appears. This address must be in Kansas and can NOT be a P.O. box.

4. Complete The Signature Section
Sign your completed document once you’ve printed it out. You’re required to provide the signature of one or more authorized persons to officially form your LLC.

5. Complete Payment
Choose between two main options:
- Pay by check: Prepare a $90 check made payable to the Kansas SOS.
- Pay by credit card: Enter your contact information and card information in the credit/debit card cover page (this is on page 4 of the PDF).
6. File Your Completed Form

7. The Approval Process
When filing by mail, your completed documents should take 2-3 business days + mailing time to be approved.
Once processing is complete, a certified copy of your Articles of Organization will be mailed to the address of the sender.
The Importance Of Filing Your Articles Of Organization
Once the Kansas SOS approves your Articles of Organization filing, your LLC’s legal foundation is officially established. If you fail to complete your filing, you face several legal and operational challenges. I’ve discussed the main ones in the following sections.
1. Your LLC Doesn’t Legally Exist Without It
Every business operating in Kansas must file its Articles of Organization with the Kansas SOS under K.S.A. 17-7673. Once approved, your LLC is officially recognized as a separate legal business in the state.

Your LLC faces several serious consequences if you don’t file this key formation document. These may include:
- Not being seen as a separate business entity in Kansas. If this happens, any actions will be seen as personal rather than by your business.
- Having no limited liability protection. In this case, business obligations and debts pass to you rather than your business.
2. Conducting Business Without Registration Is Seen As Fraudulent Or Illegal
It is considered to be fraudulent or illegal activity if you operate your LLC without the required registrations. Under K.S.A. 17-76,117, your LLC may face involuntary dissolution.

3. It Blocks Your Tax And Business License Setup Procedures
You can NOT obtain your EIN for federal tax purposes and complete several key operational tasks if your business isn’t officially established as a separate business entity. Under Internal Revenue Service (IRS) rules, your LLC may face filing delays and/or rejections if you try to apply for your EIN before getting your formation documents approved.

Additionally, you can NOT register for state tax or obtain your required operating licenses if you don’t have an EIN. Your LLC must be approved before you can get your EIN to complete these key tasks.
There are several potential consequences if this happens:
- You can NOT obtain your required business licenses.
- You need an EIN to register for state taxes. For example, LLCs selling or renting physical goods, providing specific related services, or charging admission to entertainment venues need to register for Retailer’s Sales Tax. This requires you to obtain an EIN.
- You may NOT be able to apply for loans and other financial transactions at banks.

4. It Creates Operational Risks
Without your approved formation documents and EIN, your LLC has NO proper legal recognition. Your business faces operational uncertainty if this happens, including serious financial and legal risks:
- Banks may refuse to maintain your business bank accounts.
- Business contracts may be unenforceable.
- Vendors, landlords, and partners may refuse to work with you.
- Without your LLC liability shield, your business is exposed to personal liability.
