1. What Is An LLC Articles Of Organization In Illinois?

- The names and addresses of LLC members and organizers.
- Any other provisions set by the state law.

Note: The state also recognizes Series LLCs. These allow an LLC to create separate internal units. However, this is a complex business structure and should only be formed with the help of a professional attorney.
2. Illinois Articles Of Organization Processing Time And Costs
The state provides a filing form, which can be submitted by 2 methods:
- Online: Via the ILSOS online portal. Filings take approximately 5-10 business days to be processed.
- By mail: Complete Form LLC-5.5 and mail it to the ILSOS. Applications take around 10-15 business days to process.

Visit the ILSOS’s online portal to begin your filing. Then, follow the instructions below so you can complete your formation documents by yourself.
1. Choose Your LLC Type (Standard Vs. Series)
As stated above, you should consult an attorney before deciding if you need a Series LLC. Note that this is more expensive and far more complex compared to a normal LLC.
You will select the standard LLC option in most cases to indicate that you’re forming a regular business.

2. Confirm Your Default Provisions
Next, review the default provisions shown on the screen. These are the standard statutory terms for Illinois LLCs, which include:
- A statement confirming your LLC’s business structure: Single-member or multi-member.
- A general purpose clause: This covers your LLC’s main business activities.
- Confirmation of whether your LLC will expire on a specific future date.
Click “Yes” to agree to all terms, then click “Continue.”
Note: You must file by mail if you want to adjust anything. The online system will show a message stating that amendments aren’t allowed if you click “No” in this section.
Example: You must use the paper form version to enter a future filing date.

3. Enter And Confirm Your Proposed LLC Name
After confirming your default provisions, enter your desired LLC name in the applicable field. This must be exactly as you want it to appear on the public record and also contain a required designator (“LLC”, “L.L.C.”, etc.).

The Secretary of State will provide a brief statement notifying you that there is no refund, even if your application is rejected due to your name being unavailable.

4. State Your Principal Place Of Business
Next, state your principal place of business. This is the physical address where your LLC operates from. It could be:
- A home address.
- An office location.
- Your Registered Agent’s address (if allowed).
Note: This address does NOT need to be in Illinois. However, it must be a physical location. This state does NOT accept P.O. box addresses.

5. State Your Registered Agent And Registered Office
In the next section, state the individual or company who will serve as your LLC’s Registered Agent. Most LLC owners will choose to use a commercial agent. This must include:
- Their legal name or business name in the “Agent” field.
- Their Illinois street address (P.O. boxes are NOT accepted).

Once completed, review your input data in the table carefully. Make sure that everything is correct before proceeding to the next step. The state will use this as your primary contact address when sending official notices to your LLC.

6. State Your Manager(s) Or Authorized Member(s) Information
You must list the following, depending on your LLC’s management structure:
- Manager-managed LLC: The names and addresses of all LLC managers.
- Member-managed LLC: The names and addresses of all LLC members (unless members agree to appoint an authorized member).

7. Complete The Attestation
This step identifies the LLC organizer submitting your formation documents. This must be a real person (not a company) who is at least 18 years old and authorized to sign.
Provide your LLC organizer’s name and address in the applicable boxes.

8. Review The Filed Information
After entering the required information, carefully review everything. This includes your legal LLC name, Registered Agent details, LLC organizer, principal place of business, and LLC managers.

9. Expedited Services
Next, decide if you want to add the expedited processing service:
- This costs an additional $100, which will be added on top of your standard filing fee.

Select “No Expedited” if you’re not in a rush and want to stick with the standard processing option.

10. Enter Your Billing And Contact Information
Finally, enter your billing details and contact information, including your full name, address, phone number, and email. This is needed to complete your payment.
Once entered, click “Continue” to proceed. Your application will be officially submitted once everything is complete.
Note: Double-check to make sure your email address is correct. The state will send your filing confirmation and receipt to the email address provided.

Filing Your Illinois Articles Of Organization By Mail
If you want to file by mail, you must complete Form LLC-5.5 and mail it to the ILSOS. You can download it from the official ILSOS website or click the PDF link on the right-hand side of the screen.
Either complete the form on your computer and print it out so you can add your signature or handwrite it using black or dark blue ink.
Make sure that your completed filing package includes:
- Two copies of your Articles of Organization: One must be an originally signed document, and the other must be a copy. This can be an original or a photocopy.
- A check or money order for $150: This must be made payable to the ILSOS.

1. State Your Desired LLC Name
To begin, enter your desired LLC name in the provided field. This should be exactly as you want it to appear on the public record. Make sure it includes your chosen designator or capitalization.
Note: Your chosen name must follow the state’s naming rules and be unique and distinguishable from existing business names. Your filing will be rejected if you try to use an unavailable or non-compliant name.

2. State Your Principal Place Of Business
Next, add your principal place of business. This is your main office where your records are located. You must use a physical street address in the state (a home address, office address, or your Registered Agent’s address if you’ve been given permission).
The state accepts out-of-state street addresses. However, P.O. boxes are NOT allowed.

3. Add Your LLC’s Effective Date
After stating your principal place of business, provide your LLC’s effective date. This is the date that your LLC will start to “legally exist.”
- Choose “the filing date” if you want your LLC to start on the day that the state receives your completed form.
- Choose “a later date” if you want your LLC to start later. Then, provide a specific date (up to 60 days after your filing date).
Note: You should forward your filing date to January 1st if you’re forming your LLC in October, November, or December and don’t need your business to open during those months. This means that you don’t need to file more taxes during the first 1-3 months.

4. Provide Your Registered Agent And Registered Office Address
Every LLC operating in Illinois must appoint and maintain an official Registered Agent to serve as the point of contact. This can be an individual or an entity, with most business owners choosing a commercial Registered Agent service.
Your chosen Registered Agent must have a physical street address. Virtual addresses and P.O. boxes are NOT accepted.
Provide your LLC Registered Agent’s name and address in the required fields. Enter their legal business name in the first line of this section if you’re using a Registered Agent service.

5. State Your LLC’s Purpose (Only If Required)
Note: This section is primarily for professional LLCs operating in regulated industries governed by separate regulations.
You can leave this section blank if this doesn’t apply to your business. The state allows you to use a general-purpose clause covering all lawful business activities.

6. Set Your LLC’s Duration (Optional)
Illinois LLCs have a perpetual duration by default. Therefore, you can leave this section blank in most cases.
You should only enter a dissolution date if you’ve set a specific date for this in your LLC Operating Agreement.

7. Add Any Other Provisions (Optional)
Again, you can leave this section blank in most cases.
I advise setting out your internal rules in your Operating Agreement instead. This keeps your information private instead of adding it to the public record.

8. LLC Members Statements
You do NOT need to do anything for this section. It simply shows a built-in legal statement confirming that your minimum LLC member number requirement is met on your effective date.

9. List Your LLC Managers (Or Authorized Members)
Enter the required information based on your LLC management structure:
- List all LLC managers if your LLC is manager-managed.
- List all members if your LLC is member-managed (unless you’ve appointed one or more authorized members).

10. Provide Your Organizer’s Information And Signature
In the last section, enter the date that you’re filing your formation application.
Then, provide your LLC organizer’s full name, title (if applicable), and address.
- Your LLC organizer is an individual filing your LLC’s formation paperwork.
- It can be yourself, a lawyer, or a filing service, provided that the person is at least 18 years old.
- It does NOT need to be an LLC owner or manager.
- You can add an additional LLC organizer if needed.
Finally, print your completed form and sign it by hand. Then, attach your required payment made payable to the Illinois SOS. Your completed dossier is now ready to file with the state.

Your Illinois Articles Of Organization Approval Process
The ILSOS will send back three main documents once your formation filing is approved:
- A stamped and signed copy of your approved Articles of Organization.
- A welcome letter with your LLC’s file number.
- A credit card receipt (if applicable).
Your filing method determines how these documents will be delivered. Online filings are returned by email, while mail filings will be sent to your Registered Agent’s address.
1. When Will You Receive Your Approval?
Your approval should be sent within 10 business days if you used a standard processing option. This can be sped up to 24 hours if you use an expedited processing service, which costs an additional $100.
- Online filings: This is the fastest normal filing option, with your documents potentially approved within 5 business days. You can also use an expedited processing service by following my step-by-step guidance above.
- Mail filings: Processing takes approximately 15 days due to manual handling. You must request to use an expedited service in person at the ILSOS’s flagship centers.

2. How To Find A Copy Of Your Approved Articles Of Organization
If you filed online, you can find a copy of your ILSOS Business Entity Search by searching your LLC and downloading it in the “Filing History” section.
If you need a copy of your approved Articles, you’ll have to send a request to the ILSOS. Online records are not created by mailing your Articles of Organization.
Why Should You File Your Illinois Articles Of Organization?
If you attempt to operate without your approved Articles of Organization, your business faces serious legal and operational issues. I’ve listed the main ones below so you can better understand the consequences.
1. Your LLC Does Not Exist Without It
Your LLC only comes into legal existence once your Articles of Organization have been approved by the Secretary of State. This applies whether it’s on the filing date or a later stated date and is clearly written under 805 ILCS 180/5-5(8)(b).

You have no business separation if your LLC doesn’t exist. This means that:
- Your savings, personal incomes, and assets are all exposed to liability.
- Any claims, debts, and lawsuits personally apply to you.
These consequences happen because your business has no liability shield. Having limited liability protection when forming an LLC is the main benefit under 805 ILCS 180/10-10. However, this only applies once your LLC is legally formed.

2. You Face Penalties For Deceptive Representation
Conducting business in Illinois as an LLC when you haven’t officially registered with the Secretary of State is considered to be a “deceptive business practice.” This violates 805 ILCS 405/1.

Practically speaking, this may be:
- Adding “LLC,” “L.L.C.,” or “Limited Liability Company” to your business name on websites, contracts, or business cards.
- Advertising your business as a legal entity to gain consumer trust or credibility.
- Signing contracts (like leases or vendor agreements) as a “Manager” or “Member” of a non-existent LLC.
This is classed as a Class C misdemeanor under 805 ILCS 405/5 and is punishable by:
- Up to 30 days in county jail, as per 720 ILCS 5/5-4.5-65(a).
- Up to $1,500 fine + mandatory court costs as per 720 ILCS 5/5-4.5-75(a).
- Both of the above.

Note: Each day you violate the rules counts as a separate offence. Therefore, penalties can quickly pile up.
3. You Can’t Obtain Your Business’s Employer Identification Number (EIN), Tax IDs, Or Licenses
You must make sure your LLC is officially approved in the state before applying for your EIN. This is an official requirement stated by the Internal Revenue Service (IRS).

If you don’t have an EIN, you’re unable to hire LLC employees, open a dedicated business bank account, or complete your federal tax filings.
You’re also not allowed to complete the following in the state:
- Apply for your required industry-specific licenses or permits.
- Register for your Tax ID from the Illinois Department of Revenue. This is needed to fulfil your state tax obligations.
You face several potential fines and administrative action if you operate without the required approvals.
4. Your Business Faces Credibility And Operational Risks
Most vendors, banks, and potential business partners will check your business on the state database to make sure that it’s legally registered.
You face several credibility and operational risks if your business isn’t officially registered:
- You weaken your professional legitimacy.
- Clients, vendors, and partners may refuse to work with you.
- It becomes much harder to get financing, credit lines, and loans.
- Your access to industry-specific services may be limited or denied.
