  • Your Operating Agreement determines your official membership structures, not your Articles of Organization.
  • You can use the same person as your Organizer and LLC Member. However, this is not required.

8. Include Optional Provisions

Make sure that it includes one of the following approved designators:

Including commas before the designator doesn’t affect your filing. Both are accepted by the state.

For example, you can use “John Doe Company, LLC” and “John Doe Company LLC”.

Tip: You must enter the confirmed business name from your Alaska Business Name Search.

c. Article 2: Purpose & NAICS Code

For Article 2, you must provide two main pieces of information:

  1. Your LLC’s business purpose.
  2. Your NAICS Code.

d. Article 3: Registered Agent

In Article 3, you must provide your Registered Agent’s information. This is an individual or company responsible for receiving and processing official state notices, legal filings, and Service of Process on your behalf.

Your designated Registered Agent must meet these requirements:

  • If you’ve chosen an individual, they must be a resident of Alaska.
  • They must have a physical Alaska Street address, not a P.O. box.
  • Enter the company’s full legal name if you’ve chosen to use a Commercial Registered Agent.

f. Article 5: Optional Provisions

In Article 5, include any additional provisions or special rules. Once confirmed, these will be attached to your Alaska LLC Articles of Organization.

At the top of page 4, you should see the “LLC Organizers” section.

For this, you must list the Organizer(s) submitting your Articles of Organization to the State of Alaska. An “Organizer” is an individual or company responsible for preparing and filing your formation documents.

Note: This does NOT automatically make them an LLC member.

Follow these steps to complete this part of your filing:

  1. Enter your Organizer’s full name (first and last name) and mailing address.
  2. Print the form and get each Organizer to sign in the designated area.
  3. Repeat the process for each Organizer if you have more than one.

Important notes:

  • It’s common for you to be an Organizer AND an LLC Member. However, membership is officially established in your Operating Agreement, not in your Articles of Organization.
  • If you have four or more LLC members who wish to be listed as Organizers, attach the Additional Organizers Sheet and include their names and addresses.

2. Contact Information Sheet

On Page 5 of your PDF form, you should see the Contact Information Sheet. This requires you to fill out your main contact information so the state can contact you regarding questions about your filing. Furthermore, they’ll send your LLC approval documents here.

Complete these steps to fill it out:

  1. At the top of the page, enter your LLC name.
  2. In the “contact section,” provide your full name, email address, phone number, and mailing address.
  3. Enter your full name and mailing address again in the “Return documents to” section.

3. Credit Card Payment Form

a. Applicant Details

You only need to complete this section if you’re paying your $250 filing fee by credit card. This part appears after the main Articles of Organization pages.

Complete this form following the guidance below:

  1. Applicant name of license: Provide the name of the individual or business submitting your Articles of Organization.
  2. Program type: Write your filing type (Articles of Organization).
  3. License number (if applicable): You can leave this section blank if you’re forming a new LLC and don’t have a License Number.
  4. Payment fee: Check the “Application Fee” box, then enter $250 for the payment amount.
  5. Cardholder information: Enter your cardholder information, including your full name. Alongside this, provide your phone number, email address, and signature.

  • Account number: Enter the 16-digit number on the front of your credit card.

The Alaska statutes clearly outline the fundamental basis and the requirements when filing your Articles of Organization. I’ve outlined the key legal reasons below to help you understand the importance of filing and how Alaska law influences the process.

Your Alaska Articles of Organization must include essential information so the state can officially establish your LLC. This is set under the Alaska Statute AS 10.50.075.

  • Your legal LLC name.
  • Your business purpose (Often stated as “any lawful business”.
  • Your Registered Agent Details (Full name and mailing address).
  • Your LLC Management structure (Member-managed or manager-managed).
  • Additional internal rules or provisions that the organizers want to include.

2. Consequences Of Not Having Your Articles Of Organization

The state will NOT impose a direct penalty if you fail to file your Articles of Organization. However, you face serious consequences according to state law.

Your LLC does not legally exist without your approved Articles of Organization. Therefore, you do not have the limited liability protection that separates your personal finances from your business debts and obligations. In the case of a lawsuit, debt, or dispute, you’ll be held personally liable if you’re not recognized as an LLC.

According to Alaska Statutes AS 43.70.020, all individuals and businesses operating in the state must hold a valid Alaska Business License to engage in business activities. You cannot acquire your Business Licenses without your approved Articles of Organization, so you would effectively be operating without a license.

Under AS 43.70.020(e), knowingly operating without a business license may result in a civil fine of up to $300. Willfully failing to obtain your required licenses may be treated as a misdemeanor under AS 43.05.290(h) in more serious cases. This is punishable by fines up to $2,000, up to six months in prison, or both.
