It confirms your essential business details, including your contact information and Registered Agent details. This ensures that Michigan Licensing and Regulatory Affairs (LARA) can contact you at all times.

Your Annual Statement filing can be completed online or by mail, with both methods costing $25 annually. You must pay this fee for the entire duration of your LLC’s existence, regardless of whether you’ve remained inactive or earned income.

  • You can use the terms “Annual Statement” and “Annual Report” interchangeably. Michigan’s official term is the “Annual Statement.”
  • If you’re a veteran-owned LLC, you can file your Annual Statement for free if you submit an Affidavit and proof of status.
  • The online filing method is efficient and easy to use. Your completed filing should appear in the system in approximately one hour.

1. When To File Your Michigan Annual Statement

The Annual Statement for your Michigan LLC has a deadline based on your LLC’s Date of Organization. This due date repeats every year.

Search for your business name in the MiBusiness Registry Portal (MiBRP) to confirm your LLC formation date. Your Annual Statement due date is always February 15. However, your first filing date depends on when your LLC was initially formed.

  • Your first Annual Statement is due February 15 of the following year if your Date of Organization is January 1 to September 30.
  • Your first Annual Statement is due February 15, two years later if your Date of Organization is October 1 to December 31.

Using the online Annual Report filing process is the fastest and most efficient processing option. Follow the steps below when completing your Michigan Annual Report filing online.

1. Get Started

To begin, go to the MiBusiness Registry Portal and log in using your MiLogin account. You’ll need to set up an account if you haven’t created one yet. It’s required for both your Articles of Organization and Annual Statement filings.

b. Launch Service

Select “Launch Service” under the “MiBusiness Registry Portal” section. You’ll be automatically logged in if you just created a MiLogin account.

Next, click “Launch Service” once more to return to the main portal dashboard.

Note: You must request access to your LLC’s record if this is your first Annual Statement filing.

c. Search your LLC Name

Then, click “Search” and enter your legal LLC name (Exactly as it appears on your Articles of Organization).

d. Request Access

The system should generate your search results based on your name. Select your LLC and click “Request Access.”

e. Enter LLC Identification Number & Initial Filing Date

Next, enter your LLC Identification Number and Initial Filing Date. This is shown on the LLC’s info pop-out section.

Click “Request Access” again to confirm and move on to the next section.

f. Click ‘My Records’

Once you’ve been granted access, click “My Records” in the left-hand menu.

After this, click your LLC name, and select “File Annual Statement” to begin your Annual Statement filing.

Tip: Contact the Corporations Division at 517-241-6470 if the “File Annual Statement” button doesn’t appear. They should be able to offer assistance.

2. Determine Your Application Processing Speed

Before submitting your online filing, you must choose your processing speed. You have several processing options to choose from, with varying fees depending on the processing time. While most LLC owners choose standard processing, you can pick an expedited filing option if you need faster approval.

Here’s the difference between your main processing options:

  • Standard review: This is the recommended option for most LLCs. It’s cheap and processes your Annual Statement within a normal timeframe.
  • Expedited options: You can use this if you need same-day or same-hour processing. However, these come with significantly higher fees.

Note: In most cases, you shouldn’t need to use an expedited service unless you have an urgent need, such as securing a contract or opening a dedicated business bank account.

Standard processing typically takes around 3–5 business days. Expedited fees are added on top of your standard $25 filing fee:

  • 2-hour review: $500.
  • 24-hour review: $100.
  • Same-day review: $200.

3. Provide Your LLC Information

On the next page, you should see your LLC’s full legal name exactly as it appears on your official state records. You don’t need to do anything in this section as the online system automatically fills the required fields for you. Your LLC name cannot be changed within this form.

Review the information and click “Next Step” to continue.

4. Clarify Your Resident Agent And Registered Office Address

After checking your company information, you must review your Michigan LLC Registered Agents information and Registered Office on record. This ensures that all information is accurate and up-to-date.

Note: I highly recommend that you carefully review this section before going to the next step. The state uses this information to deliver legal notices and official documents.

Continue to the next step if you don’t need to make changes. If you do, the online system will guide you through updating your agent, their address, or both.

a. If You Don’t Need To Change Your Registered Agent Information

Select “No” if your Registered Agent details are correct. Then, pick your preferred delivery method (Commonly email) and click “Next Step” to continue.

b. If You Want To Make Changes To Your Registered Agent

Select “Yes” if you need to update your Registered Agent or Registered Office address. Then, choose your Agent Type:

  • Individual: You or someone you know will act as your Registered Agent.
  • Resident Agent company: You’ve hired a professional Registered Agent Service. Search for their name and choose the correct option from your results.

Finally, check the “I Certify” box, select your delivery method (Commonly email), and click “Next Step” to continue.

5. Provide Your Signature

The next step asked you to confirm and authorize the information stated in your Annual Statement. Michigan law requires at least one person to sign your form. Furthermore, the signer must be someone authorized to act on behalf of your LLC.

Follow these steps to complete the signature section:

  1. Check the three acknowledgment boxes. This confirms you understand that your Annual Statement will become part of the public record, you’re authorized to file the document, and the information you’ve provided is true and accurate.
  2. Click “Add” to enter the signer’s details.
  3. Type the name of the signer and click “Save.”
  4. Select “Authorized Agent” or “Self” under the Signer’s Capacity box.
  5. Enter your name in the Signature box.
  6. Choose “Today” for the date field.
  7. Click “Next” once everything looks correct to move forward to the next filing step.

6. Review Your Information

Carefully review your provided information before submitting your Annual Statement. This step confirms that all details entered, including your Registered Agent details and Signer information, are accurate and error-free.

Click on the relevant section in the left-hand navigation menu to make your edits. Scroll to the bottom once everything looks correct and click “File Online” to proceed to the payment page.

7. Make A Payment

In the final step of your online application, you must submit your required Annual Statement filing fee using either a debit card or a credit card.

Follow these steps:

  1. Select “Pay now with credit card.”
  2. Click “Next” on the following page. You don’t need to do anything to this part.
  3. Enter your billing information and payment details in the required fields.
  4. Click “Next” once more to officially submit your online Annual Statement filing. This will then process your transaction.

You should get an email receipt sent to the address you provided during checkout. This confirms successful payment and shows that your filing is being processed by the state.

8. Wait For Approval

Congratulations! Your Michigan Annual Statement has officially been filed once your payment has been submitted. Your application will now be reviewed and processed by the state.

Here are some important notes regarding the approval process:

  • You will NOT receive an approval email from the state of Michigan. This means that you don’t get direct confirmation once your filing has been accepted.
  • Online filings are typically processed within 7–10 business days. Your approved Annual Statement should be added to your LLC’s filing history once completed.
  • Your approval time will be much faster if you choose an expedited processing option (Same day, 2 hours, or 24 hours).
  • You can visit the MiBusiness Registry Portal, click “Search,” and look up your LLC name to check your filing status. Select your LLC from the results and click “View History & Filings.”

In your filing history, you should see the “Annual Statement” listed alongside the current year once your filing is approved. I recommend that you wait the full estimated processing time before reviewing your filing status to ensure the system has been updated.

Creating Your MiLogin Account: A Step-By-Step Guide

As I’ve already mentioned above, you only need to complete this step if you don’t have a MiLogin for Business account. You must get one before you can file your LLC Annual Statement.

To begin, visit the MiLogin for Business account creation page and follow the on-screen instructions.

Then, complete the required steps below to create your account:

1. Provide Your Email

2. Enter Your Verification Passcode

Next, find your verification passcode and enter it on the MiLogin page. This will be sent to the email you provided.

3. State Your Profile Information

Underneath, state your full name (First name and last name). Then, agree to the terms and conditions to proceed.

4. Give Your Work Phone Information

In the next section, add your work phone number. You should get a phone call with your verification code.

Note: You can use your mobile number for this section if you want.

Next, add your mobile phone number. This will be used for additional verification and to complete your code confirmation.

You’ll use the same process as before. Enter your phone number to receive your passcode.

6. Create Your User ID

You’ll then be asked to create your User ID. The state of Michigan requires you to use the following format:

  • It must begin with your last name.
  • Follow it with your first initial.
  • Then, choose four digits.

Example: Your name is Susan Binkowski.

How To File Your Michigan Annual Statement By Mail

The Michigan Annual Statement mail filing process is a straightforward alternative method if you don’t want to file online. You should receive a pre-filed Annual Statement form from the LARA department around 90 days before your due date. This will be sent once a year to your Registered Agent’s mailing address, regardless of whether you choose to file online or by mail.

This is what you need to do when filing by mail:

  • Review and confirm your ID Number (Assigned by LARA).
  • Verify your business name.
  • Update your Registered Agent details (Name and address).
  • Provide the title and signature of the person completing your filing.
  • Add a check or money order to pay your filing fee. This must be made payable to the State of Michigan.

Once the tasks above are completed, mail your form and payment to the address provided on the document. This ensures you maintain your good standing by properly filing your Annual Statement.
