No Ohio Annual Report Requirement

Ohio does NOT require LLCs to file an Annual Report when they form. As a result, there is no Ohio Annual Report filing cost.

This reporting requirement applies only to certain other entity types, such as limited liability partnerships. These need to file a biennial report under O.R.C. § 1776.83.

That said, there are still some Ohio LLC Annual Report requirements that need to be met so you can remain in good standing with the state. These include:

  • Renewing any required business licenses.
  • Registering for Commercial Activity Tax (CAT).
  • Paying applicable taxes.

Even if your LLC isn’t required to file an Annual Report in Ohio, businesses still need to renew applicable licenses and permits.

1. Renewing Professional And Municipal Licenses

Ohio doesn’t issue a general statewide business license, so there is no renewal for this. Instead, renewal requirements apply only to Ohio professional licenses and local municipal licenses. The ones you need for your LLC vary according to your business type and location.

Each licensing authority sets its own renewal rules and deadlines. Therefore, you should check directly with the appropriate state board or local government to prevent penalties or compliance errors.

I’ve listed helpful resources so you can check your exact requirements in this article: Ohio Business License.

2. Renewing Ohio Sales Tax License

Note: Ohio issues a variety of sales tax licenses based on business type. To simplify, they are all referred to here as sales tax licenses.

An Ohio sales tax license allows your business to collect and pay sales tax on taxable transactions.

You obtain this license by registering through the Ohio Business Gateway and creating an OHID (Ohio ID). This secure digital identity also applies to other tax obligations.

Ohio doesn’t require annual renewal of a sales tax license. However, you still need to file returns and submit payments on time to keep the license active. Failure to comply can lead to suspension or revocation of your sales tax license.

Register And Remit The Ohio CAT

The CAT is imposed on the privilege of conducting business in Ohio. Any business running in the state that meets the taxable gross receipts threshold needs to sign up to file and pay CAT returns. This applies no matter the LLC’s industry or legal structure, as required under O.R.C. § 5751.02.

Beginning with tax year 2025 and onward, Ohio CAT applies only if your LLC exceeds $6 million in taxable gross receipts. If your revenues fall below this threshold, CAT isn’t mandatory. Registration, filing, and payment for this tax can all be completed online through the Ohio Business Gateway.

All businesses with an active Ohio CAT account need to submit quarterly CAT returns. The filing deadlines are as follows:

  • January 1 – March 31: Due May 10.
  • April 1 – June 30: Due August 10.
  • July 1 – September 30: Due November 10.
  • October 1 – December 31: Due February 10 of the following year.

Ohio LLC Taxes

In addition to business licenses, your LLC is required to remit taxes to remain compliant with Ohio law.

1. Federal Taxes

To start, your Ohio LLC might be subject to one or multiple federal taxes. Ultimately, this will depend on how the business is structured and operates. Common federal tax responsibilities include:

  • Federal payroll taxes: Required if your LLC employs workers.
  • Federal income tax: Profits are typically reported on individual returns, unless corporate taxation is chosen.
  • Federal excise taxes: Apply to certain services, goods, or regulated industries.
  • Self-employment tax: Members who actively work or handle the LLC need to pay self-employment tax on their share of earnings.

2. State-Level Taxes

Beyond sales tax and CAT above, Ohio LLCs may need to pay additional state taxes, including:

  • Personal Income Tax: LLC income automatically passes through to members and is taxed on Ohio personal returns. The tax is charged at progressive rates, ranging from 0% to 3.5%, with potential reductions available under the Business Income Deduction.
  • Pass-Through Entity Tax (PTET) (optional): A voluntary 3.0% entity-level tax designed to help owners limit federal State and Local Taxes (SALT) caps, with a corresponding Ohio tax credit for members.

3. Local Taxes

Depending on the location, your Ohio LLC may also have local tax obligations. Common examples include:

  • Local withholding taxes: Required if your LLC has employees.
  • Local business or occupational taxes: Certain cities or counties impose extra taxes or fees based on business activity.
