Filing your Wyoming Annual Report ensures that your Wyoming LLC is compliant and in good standing with the state. If you don’t file it within 60 days of the deadline, the state of Wyoming may dissolve (Shut down) your LLC.
Your Annual Report costs a minimum of $60 per year. This is paid annually for as long as your LLC exists. This may be referred to as the “Wyoming Annual Report Fee” or “License tax.” Wyoming does not impose a corporate or LLC franchise tax.
You must multiply your total fee by 0.02% if your total state assets are more than $250,000. This is based only on your assets in Wyoming, not worldwide.
Tip: Most Wyoming LLCs have less than $250,000 of physical assets in Wyoming. This would mean that you’ll pay the $60 fee. Furthermore, most out-of-state or online Wyoming businesses with no physical assets pay the flat $60 fee.

Wyoming Annual Report Overview
Your Wyoming LLC Annual Report is a yearly document that you file with the Secretary of State to confirm your current business information, including your address, current members, and registered agents. All Wyoming LLCs must file a yearly Annual Report.
1. Why Do I Have To Submit It?
LLCs are required to submit Annual Reports in nearly every state. Filing your Annual Report on time ensures that your company maintains good standing and continues operating within state rules. It provides the state of Wyoming with updated information on each business registered, allowing it to send correspondence if necessary and maintain proper records.
2. When Is Your Wyoming LLC Annual Report Due?
You need to file your report before the first day of your LLC formation month. Failure to do this may lead to penalties or your LLC being dissolved. The Wyoming Online System tracks your paid and available Annual Report years. Therefore, you can file up to one year in advance.

Note: There is no tax included with the Wyoming Annual Report.
The only fee you will pay is the Annual Report filing fee, plus a convenience fee if you choose to file online (As shown in the table above).
However, your LLC may still have other tax obligations, including federal income tax based on your LLC’s classification, sales and use tax if you sell taxable goods or services, employer taxes if you have employees, and property tax if your business owns real estate or tangible assets in Wyoming.
Example: Your Wyoming LLC was formed on August 10, 2025.
Your Annual Report is due before August 1, 2026, then every year after. If you want to pay earlier, your 2026 LLC Annual Report can be filed and paid for in 2025.
a. Processing Times
The difference in processing time should be your main consideration when choosing your best option.
- Annual Reports filed out online are processed and approved immediately.
- Annual Reports sent by mail are processed and approved in 3–5 business days.
b. Email Reminders
The state of Wyoming will send three email reminders before your Annual Report is due.
- 60 days before your due date.
- 30 days before your due date.
- 10 days before your due date.
You’ll need to add your email address to the State’s notification system if you wish to get these.
Note: If you don’t enter an email when filing your Articles of Organization, the state won’t send you them. This might cause you issues in the future unless you set your own.

c. Penalties And Reminders
Failure to file an Annual Report is the top reason why most LLCs become dissolved. Therefore, you have to file every year, even if no email reminders are received.
Tip: Set repeat reminders on your phone, computer, or using notes, to help you remember.
3. Where To Fill Your Wyoming LLC Annual Report
Your Wyoming LLC Annual Report can be filed online or by mail. The main difference between the options is the processing time.
- Option 1: Submit the form electronically and pay your online fee.
- Option 2: Print the report form and mail the completed version alongside a cheque or money order.
Submitting your Annual Report form electronically is our recommended option. This is because it’s much easier to complete and pay the fee online.
Note: If your LLC has $2,500,000 or more in physical assets, you cannot file your Annual Report online. This requires a much larger filling fee (More than $500). Therefore, you’ll have to file your report by mail and pay the extra delivery fee.

Filing Fee For A Wyoming LLC With $250k+ Of Physical Assets
If your Wyoming LLC has over $250,000 of physical assets, you’ll need to pay a higher fee. Here’s how it’s worked out by the state:
Formula: 0.02% x your total asset value.
Example 1: You’ll pay an $80 fee if you have $400,000 of physical assets in Wyoming.
Example 2: You’ll pay a $100 fee if you have $500,000 of physical assets in Wyoming.
The Wyoming Online Filing System has a handy built-in fee calculator if you need to check how much you’ll need to pay. I recommend that you use this when filing your report to avoid any potential mistakes.

Completing Your Wyoming LLC Annual Report Online
You’ll need to complete six steps to file your Wyoming Annual Report successfully. Each step has several smaller ones, requiring you to provide your personal details, including physical assets within Wyoming. At the end, you’ll be given your annual reporting fee and be asked to pay.
I found this method to be pretty simple when following the steps below. However, you need to make sure that you have all of your personal business information in front of you. This ensures a much smoother, time-efficient filing process.
Here’s how to file your Wyoming LLC Annual Report online:
1. Navigate To Wyoming’s Online Annual Report

Use the steps below to navigate to Wyoming’s Online Annual Report page.
- Click the Annual Report logo or the “File or print your Annual Report now” link. Both will take you to the same page.
- Enter your LLC filing ID number in the center box and click “Next.”
If you don’t know your filing ID, search your LLC name in the Wyoming Business Center. Verify that the output given is your LLC and click “Next.”
Warning: You only have 30 minutes to complete your online filing once you press “Next.” Your session will expire, and you’ll have to start from the beginning if you don’t finish within the allotted time. I found that this was enough time, but you definitely need all your business information in front of you just to be sure.
2. Filling Your Mailing Address
Once you’ve found your LLC and started the filing process, your next step is to review your LLC’s mailing address. This should already be on the screen according to the current state records. You’ve got two options here before proceeding to the next step.
- Make changes if you notice any mistakes, then click “Next.”
- Click “Next” to proceed if no changes are needed.
a. What Is Your Mailing Address?
Your mailing address is the one that the Secretary of State uses to send you routine mail correspondence. This should be on the system from when you filed your Certificate of Formation. Most notices are sent by email, meaning you might need to check your address if it isn’t regularly used.
Tip: Your mailing address isn’t limited to Wyoming, meaning it can be in any state.
b. Change Your Registered Agent If You Need To
Your Registered Agent is appointed when filing your Certificate of Formation. This can be yourself, an employee, a friend, or a family member. Your Registered Agent is responsible for receiving important legal documents and official notices.
You cannot change your Registered Agent when filing your Annual Report. This must be done by filing a Statement of Change by mail.
3. Adding Principal Address
Next, review your LLC’s principal office address and email. You can make changes if you notice any mistakes.
a. Email
- This is where your Annual Report reminders should be sent.
- You can update your email if it’s changed since your last report.
- Use a semicolon if you wish to add multiple emails.
Click “Next” to proceed once you’ve checked all your details.
b. What Is The Principal Office Address?
Your principal office address is the physical location where your LLC business operations are conducted. This is the address that will be listed on your official filings. It can be your own home, a friend’s, a family’s residence, or any address of your choosing.
Your principal office address can be in any state, not just Wyoming. It can be the same as your mailing address, but it’s not required to be.
4. Providing Officer/Director
Your business must list some of its members, depending on whether it’s a corporation or LLC.
- List at least one officer or director (Corporations).
- List at least one member or manager (LLCs).
Make sure that you provide an accurate name and address for all listed members. The address can be outside Wyoming, but it will be held on public record.
Tip: I would make sure that all listed members are happy with the address stated on file before completing your Annual Report. This helps you keep a cohesive team environment where all members are listened to.
5. Calculating Your Filing Fees
Your Wyoming Annual Report fee is calculated based on the total value of your LLC assets located within the state. Therefore, you must understand what qualifies as an asset before filing your report. If you don’t, you could run into trouble if the State performs an inspection.
You’ve got three potential situations:
a. Your LLC Has No ASSETS In Wyoming
This means that your LLC has no physical business assets located within the state. This is the preferred option by most LLCs to avoid the extra filing fees. You should:
- Leave all “0s” as is.
- Click “Next” to proceed.
b. Your LLC HAS ASSETS Located In Wyoming
If you’ve got physical business assets located in Wyoming, you’ll need to list the total value so that the state can work out your filing fee.
- List the total value of all assets located in Wyoming.
- Click “Calculate” to get your Annual Report Fee.
- Click “Next” to proceed.
Note: You’ll pay a higher filing fee if your physical assets are over $250,000.
c. Your Annual Report Filing Fee Exceeds $500
You can’t file your Annual Report online if your filing fee is over $500. Instead, you’ll have to complete a paper form and send it by mail. This seems pretty easy to complete if you follow the file-by-mail instructions.
6. Confirming
Once you’ve completed the steps above, review all information to ensure accuracy before filing. Double-check typos or missing values, using the “Previous” button at the bottom of the page to edit. You can also click the applicable section link at the top of the page if you prefer.
a. Will You Be Filing Online Or By Mail?
Sending The Wyoming LLC Annual Report Online
You’ll need to complete a few quick final steps once you’ve entered your information. Your filing will be submitted and approved immediately once your payment is processed, and you’ll be able to download your receipt straight away.
1. Signature
Enter your name and email address again, and check the “I certify” box to agree to the terms and conditions. This acts as your digital signature before payment is made. Click “Next” to proceed to the payment page.
2. Payment
Your total Annual Report payment is your Filing Fee + Online convenience fee. I’ve listed the different amounts based on your physical business assets in the table below. You can use this as a quick reference if you need to know your expected payment before filing.
- Click “Start payment process” to go to the checkout page.
- Enter your personal information (Card info, billing address, phone number, and email).
- Click “Process” to submit your application and pay.
Your Annual Report is now submitted. You should be instantly approved and get a receipt for your records.

3. Wyoming LLC Annual Report Approval
If you file your Annual Report online, it will be processed and approved immediately. You’ll receive a filing receipt, which you can download and keep in your records following the payment.
You can get a copy of your Annual Report once it’s filed by following the steps below:
- Search your LLC name.
- Click on your LLC.
- Scroll to the “History” section.
- Click the PDF icon to receive a printable copy.
Note: You can only access the first page of your Annual Report. The second page listing your financials and assets isn’t part of the public record.
Sending The Wyoming LLC Annual Report By Mail
You’ll need to submit your Annual Report by mail if your filing fee exceeds $500. You can also use the mailing process if you don’t want to submit it online.
Once you’ve mailed your report, it should be approved in 3–5 days. This also depends on where you’re sending it from. If you’re filing from somewhere far away, it will take longer to be received.
I don’t advise submitting your application by mail unless required to by the state. There’s no confirmation from the Wyoming Secretary of State, so you won’t know if your report has been filed.
1. Download, Print, And Sign
Once you’ve entered the required information, click “Print” to download a PDF of your completed annual report.
Print the form, write your name, and provide your signature on the correct lines.
2. Prepare Payment
Prepare your check or money order according to the “Total Annual Report Fee.” Check the “License Tax Due” section at the upper left part of the printed form.
You need to make your cheque or money order payable to the “Wyoming Secretary of State.”
3. Mail Documents
With the above steps completed, mail your Annual Report Form and the filing fee to:

4. Wyoming LLC Annual Report Approval
Your Annual Report should be processed and approved within 3–5 business days once received by the state. This doesn’t include the mailing time, which varies depending on your location.
The state of Wyoming will not send you any confirmation by mail or email. Therefore, I only recommend this method if you can’t file online.

- Search your LLC name.
- Find and click your LLC.
- Scroll to the “History” section.
- Click the PDF icon.
