Utah Annual Report Overview
The Utah Annual Report is a filing that must be completed to keep your LLC in good standing with the state. Under Utah Code Ann. § 48-3a-212, all LLCs must complete their Annual Report renewal to confirm their current business information so the state can maintain up-to-date records.

The state usually takes around 7–10 business days to process your application, with additional mailing time for paper filings. Your Utah Annual Report filing fee is $18, regardless of your chosen filing method.
2. Key State Updates Regarding Filing Methods
The state updated all business registration forms in 2024, moving the entire filing process to a new official online portal. Some paper forms were created before the system upgrade, meaning older filing methods, such as “submit a paper filing” online, are no longer supported on the official portal.
Therefore, you can NOT submit your paper Annual Report using the online filing system anymore.

As of 2025, you have two potential filing options as stated above:
- Online via the new portal.
- Submit a physical paper form.
Due Date For Your Utah LLC Annual Report
Your Utah Annual Report is due each year on the last day of your LLC’s anniversary month. This is set under Utah Code Ann. § 48-3a-212(3).

1. Utah Annual Report Deadline
Your LLC’s anniversary month is the month when the Utah Division of Corporations officially approved your LLC. Find this date on your approved Certificate of Organization, or search for your business on the Utah Business Registration Search.
Your first Annual Report is due the year after your LLC was officially approved by the state. Your deadline will always be the last day of your anniversary month.
Example: Your LLC was approved on September 15, 2026.
- Your first Annual Report is due by September 31, 2027.
- Your due date will remain September 31 every year thereafter.
2. When Can You File Your Utah Annual Report?
You may file your Utah Annual Report up to 60 days before your due date.
Example: Your LLC Annual Report due date is September 31.
- You can file your Utah Annual Report as early as August 1.

Filing your Utah Annual Report online is the fastest and most convenient option. You can update your LLC business information, submit your renewal, and complete your payment on the online filing system in just a few steps.
In the sections below, I’ve provided a detailed overview of how to complete your online filing process.
1. Begin Your Online Filing Process
Note: You need to get a UtahID to log in to the Utah Division of Corporations Business Registration System before you can begin your online filing process. You can use my step-by-step guide further down in the article if you don’t have a UtahID yet.
Once you have your UtahID, you can proceed with your Annual Report online filing process.
a. Access The Utah Division Of Corporations Business Registration System
To begin, go to the Utah Division of Corporations Business Registration System. Then, click “Login” to enter the online filing portal.

Note: You’ll complete your renewal process, update your business details, and manage other applicable LLC filings in this portal.
b. Sign In With Your UtahID
First, enter your email address or username. Then, select “Sign In” to continue.

Underneath, type your password and click “Continue” to access your online account.

c. Security Check For UtahID
Once you’re logged in, you’ll be asked to complete a quick security verification. Click the “Verification Code” button to get a code sent to your stated email or phone number.

Enter the required verification code in the appropriate field. Then, click “Submit” to continue.

d. Login Again
The system should redirect you back to the Business Registration page after you’ve completed the verification step. Choose “Login With UtahID” once more to reconnect your UtahID credentials to the online filing system.

Completing this step confirms your identity and ensures you have secure access to your important business records.
e. Enter Your Personal Details
Next, you’ll be taken to the profile setup page. On this, you must enter your personal information, including your full name, phone number, address, and email address.
Note: You may not need to do this step again if you’ve already filed your Certificate of Organization online and accessed this page before.

Your profile is separate from your UtahID account, as it’s used specifically for the Utah Business Registration System. Therefore, I highly recommend that you provide accurate and complete business details before proceeding.
f. Access The Annual Report Form
With your profile complete, you should be taken to the Utah Business Registration System homepage. Open the “Renewals” dropdown menu on the left sidebar. You should see two options to file your Utah Annual Report.
Choose “Annual Report/Renewal With Changes.”

Note: You have two methods: with changes and without changes. However, you can complete your filing using the “With changes” option, even if no information needs updating.
2. Perform An Entity Search
Enter your LLC name in the “Entity Name” field and click “Search” to locate your LLC in the online system.

Find your LLC by scrolling through the search results. Then, click the button next to your business name and choose “Select.”
You should now see your LLC’s basic information on the screen. I recommend briefly reviewing your details before continuing. Once everything looks correct, click “Next.”

Note: You can click “Next” until the end of the form and make your payment if you don’t need to change any of your Annual Report form information.
Click the checkbox at the top of the screen labelled “Select checkbox to update/provide information below” if you need to update any sections at a later date.
3. Submit Your Filing Details (Purpose Statement)
Next, provide your LLC’s purpose statement, which describes your business activities. The state allows flexible options for this section:
You can either:
- Leave this field blank: Your LLC will be given a general purpose, meaning it can engage in “Any lawful business activity.”
- Enter a specific purpose: You must describe your main business purpose using a few words or sentences.

Useful insight: I recommend leaving this section blank. This gives your LLC much broader flexibility for its future business activities.
4. Provide Your Principal Office Address
In the next section, review your principal office address and make the appropriate updates if any information has changed.

You should add an “Email address on file” for this section if you don’t already have one. The state will use this email to send your Annual Report reminder notices, which help you to avoid missed deadlines and maintain your LLC’s good standing.
Click “Next” once everything is accurate to move to the next section.
5. State Your Mailing Address
After reviewing your principal office address, you must do the same with your mailing address. This ensures that it’s still up-to-date and correct.

Make any changes if needed, then click “Next.”
6. Review Your Email Address
Underneath, review your LLC’s email address, making any updates if needed.

The state uses this email for important notices, including Annual Report deadline reminders. Therefore, make sure that it’s current and accessible.
7. Review Your Utah Registered Agent Information
In the next section, you need to review your Utah Registered Agent information. This can be kept the same or updated if something has changed.

a. If You Don’t Need To Change Or Update Your Registered Agent
Click “Next” to continue without making changes if your LLC’s Registered Agent information is correct and up-to-date.
b. If You Need To Change Or Update Your Registered Agent
Follow the steps below if you need to update or replace your Registered Agent information.
To begin, use the search field to look up your Registered Agent by name.

b1. If Your Registered Agent Is Found
If your Registered Agent is found, select the radio button next to their name and click “Select Registered Agent.”

Note: If multiple results appear, ensure you choose the correct entity. Your Registered Agent’s information will be automatically added to the relevant sections. Click “Next” once everything looks correct.

b2. If Your Registered Agent Is Not Found

Click “Create Agent” if no results are found. This mainly applies to unregistered entities and individuals.
Next, choose whether your entity is an “Unregistered Entity” or an “Individual” and enter the required information.
Note: Your Utah Registered Agent must have a physical Utah street address. You can use a P.O. box if you click the “Registered Agent Mailing Address Provided” box.

Reminder: If your Registered Agent is a Utah entity, they will appear in your search results. Do NOT select the “Unregistered Entity” option. If nothing appears, contact the state for assistance.
Your updated details will appear in the “Update Registered Agent” section. Click “Next” if everything is accurate to move to the next filing section.
8. Review And Update Your Principal Information
In the next section, you must review and update your LLC’s principal Information. This is often an LLC member (owner) or LLC manager. You can click “Next” if nothing has changed. Add a new individual or an entity if you need to add new LLC principals.

a. Add An Entity
Click the “Update Information” box if you need to add an entity as a principal.
Then, click the radio “Entity” button and complete the applicable fields. Choose “Add Principal” once you’ve finished.

The system keeps the previously entered information if you need to add multiple principals. Therefore, you only need to update the title and name as needed.
b. Add An Individual
Click the “Update Information” box to add an individual as an LLC principal.
Then, click the “Individual” radio button and enter the required details.
- Title: Choose “Member” or “Manager” from the dropdown menu.
- Name type: Select whether your Principal is an Individual or an entity.
- Name: Enter the individual’s or entity’s name.
- Address: This section is optional and can be left blank.
Click “Add Principal” once you’ve completed the required fields.

You may continue adding, editing, or removing LLC principals as needed. Click “Next” once all required information is updated and correct.
9. Attach Your Supporting Documentation (Optional)
You can leave this section blank and continue to the next step. You’re NOT required to complete it when filing your Utah Annual Report.

Click “Next” to continue if you don’t have any additional documents to upload.
10. Provide Your Signature (LLC Organizer)
Next, check the attestation, authorization, and acknowledgment boxes. This confirms that your provided information is accurate.
Then, type your full name into the signature field and click “Authorized Person” for your title. Finally, choose “Next” to continue.

Your LLC organizer is the individual or entity that submitted your Certificate of Organization with the state to officially form your LLC. While your organizer isn’t automatically an LLC member, one of your LLC Members can serve as your organizer when signing.
11. Review Your Information
You must carefully review your filing information before submitting your completed form to the state. This ensures that all information entered is accurate and up-to-date. Click “Edit” next to the corresponding section if you need to make any changes.

Click “Add To Shopping Cart” when everything looks correct.

Expert advice: If you get logged out by the system, I recommend logging in again with your UtahID. You can continue your filing by going to the “Dashboard” section, selecting “Filings In Progress,” and clicking the green pencil icon next to your Annual Report.
Then click “Next” to continue through the form until you return to the review page. Confirm your information again before clicking “Add To Shopping Cart.”
12. Complete The Shopping Cart Page (Payment)
Once you’ve added your Utah Annual Report to your shopping cart, you should see it listed along with your $18 filing fee.

Choose “Make Payment” and enter your payment details. Then, click “Complete” to finalize your submission once everything looks correct.

13. Wait For Approval
Once your payment has been confirmed, your Utah Annual Report will be processed. Once completed, the state will send an email confirmation verifying that your renewal has been successfully approved.
Note: The standard processing time in Utah is 7–10 business days. However, online filings are normally processed faster than mail filings. Once confirmed, your LLC remains active and in good standing.
A Step-By-Step Guide On Obtaining Your UtahID
Before filing your Annual Report online, you must be able to access the Utah Business Registration System. This allows you to create a UtahID, which is needed to complete your filing process.
Once created, your secure login ID is used across several Utah government services, allowing you to update your business information, manage important filings, and complete your Annual Report online.
Your UtahID only takes a few minutes to set up and requires some basic personal information. Follow the steps below to get your ID.
1. Find The Create Account Page
To begin, visit the Utah Division of Corporations Business Registration System. Then, click “Login” to begin to create your UtahID.

Select “Create Account” on the login screen. From here, you can begin to set up your UtahID.

2. Enter Your Email
Enter your email address in the required field if you want to link it to your UtahID account. Then, click “Submit.”

Following this, you should get a message containing your 6-digit verification code from [email protected]. You need this to continue your account setup.

3. Enter Your Verification Code
To finish linking your email, copy your 6-digit verification code sent to your email and paste it into the verification field. Then, click “Submit” to proceed.

4. Provide Your User Details
Once your email is successfully linked, provide your basic user details, including your first name, last name, and username.
Follow these rules when creating your username:
- Your username must be unique.
- It cannot include “/” or “@.”
- It cannot contain underscores.
- It must not exceed 64 characters.

5. Create Your Password
Lastly, create a secure password that meets your UtahID requirements. It must:
- Be between 8 and 128 characters.
- NOT include your name or username.
- Contain at least three of the following: Uppercase letters; lowercase letters; numbers; and special characters.

You’ll be shown which requirements are not fulfilled when typing your password. Your password is strong enough once the automatic indicators disappear.
Click “Submit” to finalize your UtahID setup process.

How To File Your Utah LLC Annual Report By Mail
You can file your Utah LLC Annual Report by mail using a paper form if you don’t want to file online.
While this takes much longer than the online method due to the mailing times and manual processing, the filing steps are simple if you prepare in advance.
Make sure you complete the following steps before filing your Annual Report:
- Have a printed and completed Utah Annual Report/Renewal Form.
- Complete a check or money order for $18. This must be made payable to the State of Utah, Department of Commerce, Division of Corporations & Commercial Code.
- Have an envelope containing your form and payment.
Click “Download” or download the official form from the state’s website.

First, fill out your essential LLC details on the paper form. This includes your:
- Entity number: A 6–8 digit number followed by a hyphen and a 4-digit suffix.
- Entity type: LLC.
- Expiration date: As listed in your state records.
- Entity name: This must match your official filings.

Check that everything is accurate, then move to step 2.
2. Mail The Form
Once your form is complete, print it out and sign it by hand. Then, mail it with your $18 money order or check to the address below:

3. Approval
The state will process your Annual Report filing once your form and payment have been successfully received. Your filing should be processed in approximately 7-10 business days. However, your mailing time may extend the total processing duration.

1. You Are Compliant With State Law
Under the Utah Code Ann. § 48-3a-212, all Utah LLCs must file an Annual Report once a year to stay legally compliant, regardless of whether you’re a domestic or foreign business. Your filing must be submitted to the Division of Corporations and Commercial Code to maintain your LLC’s active status.

Furthermore, you must submit an up-to-date Annual Report before you can be issued a Certificate of Existence or Certificate of Registration for your business. This is required under the Utah Code Ann. § 48-3a-211.

2. You Face Consequences For Filing Your Annual Report Late
If you file your Annual Report late, you create unnecessary trouble for your business. While the state provides a grace period, you may still face extra fines and potentially lose your LLC’s good standing.
a. Penalty Fee For Late Submission
Under the Utah Code Ann. § 48-3a-708, the state offers a 60-day grace period if you fail to file your Annual Report by the stated due date. However, you’ll be charged a $10 late fee. You’ll be reinstated as an active business and have your good standing restored if you file your Annual Report and pay the associated fee during the 60-day period.
If you fail to do this, you’ll be faced with administrative dissolution. I’ve discussed this in more detail below.

b. Administrative Dissolution
If your Annual Report is filed more than 60 days past the due date, you may face administrative dissolution. This means that the state will shut down your LLC, as stated under Utah Code Ann. § 48-3a-708.

Your LLC still exists once the state administratively dissolves your business. However, you can no longer perform normal business activities. In this case, you can complete any outstanding affairs, liquidate your business assets, or apply to be reinstated with the state.
