Tennessee LLC Annual Report Overview

The Tennessee Annual Report filing is a mandatory state requirement under Tenn. Code Ann. § 48-249-1017. It keeps your business in good standing with the state and ensures that you maintain up-to-date LLC business records.

The report confirms your essential business details. This includes your LLC’s legal name, Registered Agent information, and principal office address. With reliable information, the state can communicate with your LLC and confirm that it remains active and in compliance in the state.

Tip: You must use the Tennessee Secretary of State’s Tennessee Charity and Business Filing System (TNCaB) to file your Tennessee LLC Annual Report online. Your filing will be approved immediately once your filing and payment are submitted successfully. Unfortunately, you can’t file your Annual report by mail in Tennessee.

1. Annual Report Filing Fee

In terms of your filing fee, this depends on your LLC member number at the time of submitting your filing. This is why it’s important that you remember your total member number when filing, so it can be used to calculate your required fee.

The state keeps things pretty simple here. LLCs with 1 to 6 members pay a flat $300 fee, while LLCs with more than 6 members pay $300 + $50 for each additional member.

When I put this into practice, here’s what things will look like. An LLC with 7 members pays a total filing fee of $350 = $300 + $50. A bigger LLC with 10 members needs to pay a total filing fee of $500 = $300 + $50 + $50 + $50 + $50. The same method applies as your member number keeps increasing, up to a maximum of $3,000.

2. Annual Report Due Date

Your LLC’s fiscal year, not your formation date, determines your report deadline. You must complete your filing on the 1st day of the 4th month after the end of that fiscal year to meet your annual filing obligation.

Reminder: Most Tennessee LLCs use January 1 to December 31 as their fiscal year. With the report being due on the 1st day of the 4th month after the end of the fiscal year, April 1 is the Annual Report deadline for most Tennessee LLCs.

a. When Is Your First Annual Report Due?

Your LLC’s first Annual Report is due in the year after your LLC is approved by the state.

Example: Your LLC was approved in September 2026, and your fiscal year is from January 1 to December 31.

Your first Annual Report is due by April 1, 2027. Your Annual Report will continue to be due by April 1 every year after.

b. How Early Can You File?

You can file your LLC Annual Report as early as 30 days before the due date.

Example: Your LLC’s Annual Report is due on April 1, 2026. You can begin filing as early as March 2, 2026.

The same early filing window applies to each year thereafter.

3. Member Information

Your filing fee is calculated by the state based on your LLC member number. This makes this section very important to get correct. Provide accurate member info to get the correct filing fee imposed on your LLC, and everything should continue smoothly.

a. No Need To Change Number Of Members

It’s smooth sailing if your member number has stayed the same since your last filing. Your filing fee stays at $300, as you’ll still have six or fewer members. Choose “No” and move on.

Note: The system will automatically reflect the status and display that your LLC has more than six members if you’ve stated this in your Articles of Organization.

b. Need To Change Number Of Members

Choose “Yes” to update your information if your LLC’s member count has changed.

The form will then ask if your LLC has six or fewer members as of the date of filing. Select “Yes” if your LLC has six or fewer members. Your filing fee remains $300 regardless. You can update your member count when filing the following year if it changes.

4. Officer Information

The section concerns your LLC’s current officer information. Make sure you carefully review this information so the state has accurate details regarding your LLC’s individuals or entities authorized to act on your behalf.

The Importance Of Filing Your Annual Report

If your Tennessee LLC does NOT meet its Annual Report requirement, the Tennessee Secretary of State may take enforcement action under Tenn. Code Ann. § 48-249-604(1). This enforcement process commonly includes the following steps:

The state may issue a Notice of Pending Dissolution if your Annual Report is NOT submitted by the due date. Filing notices are commonly sent using the information on file with the Tennessee Secretary of State. You may NOT get your Annual Report reminders if your information is outdated.

Your LLC may be administratively dissolved if your Annual Report is still NOT filed within 60 days (2 months) after your due date.

Tenn. Code Ann. § 48-249-604(1)

Once dissolved, the consequences for your LLC can be far-reaching and significant. These include:

  • Loss of good standing and legal operating authority.
  • Increased personal risk (if you continue business activities).
  • Loss of business name rights as it may become available to other business entities.
  • Inability to obtain financing, enter into contracts, or maintain banking relationships.
