The state of Oregon is a great place to form and operate a Limited Liability Company (LLC), as it offers competitive business costs and simplified tax filing procedures.
But every LLC operating in the state has to file an Annual Report with the Oregon Secretary of State. It ensures that the state has up-to-date business information and keeps your LLC in good standing.

An Overview Of The Oregon LLC Annual Report
Under ORS §63.787, the state of Oregon LLC Annual Report is a mandatory state filing that keeps the state up-to-date with your current business information.

It includes essential business details, such as:
- Your LLC name.
- Your principal office address.
- Your Registered Agent’s details.
- All member and manager names.
Its primary purpose is to ensure that the Oregon Secretary of State maintains accurate, up-to-date records of all businesses operating in the state. Completing your report ensures that you remain in good standing and do not get administratively dissolved by the state.
The Oregon LLC Annual Report fee is $100, regardless of the filing method you use.
1. Filing Options For The Oregon LLC Annual Report
You can use two main processing methods when filing your Oregon Annual Report for your LLC:
- Online filing (Business Registry web renewal): Your Annual Report is typically processed within 1–2 business hours. You’ll get a confirmation email along with a copy of your filed report. This is the fastest and most convenient filing option.
- Paper filing: Download the Annual Report Form from the Business Registry Web Renewal portal and complete the required sections. Send your completed form to the Oregon Secretary of State along with the $100 fee payment. Your report will typically be processed in several days, + the additional mailing time. I’ll discuss the different paper filing options below.
2. The Oregon Annual Report Due Date
You must file your Oregon LLC Annual Report every year by your LLC’s anniversary formation date. This is the date that the Oregon Secretary of State officially approved your Articles of Organization.
Note: Use the Oregon Business Registry database to locate your Articles of Organization by searching your LLC’s name.

Your first Annual Report is due in the calendar year FOLLOWING the year that your LLC was officially formed.
Example: Your Oregon LLC was formed on May 3, 2026. Your first Annual Report is due by May 3, 2027.
You’ll be mailed a renewal notice from the Oregon Secretary of State approximately 45 days before your report’s renewal due date.
Note: The state will mail the reminder notice to your Registered Agent’s address if your LLC does not have a mailing address on file.
Once you’ve received your notice, you can immediately file your Annual Report.
I advise that you file your Annual Report on time to avoid state penalties and potential administrative dissolution. I’ve discussed these in more detail below.
Filing Your Oregon Annual Report: A Step-By-Step Guide

You can file your Oregon Annual Report using two main types of submission methods:
- Online filing (Business Registry web).
- Printed paper filing (Mail, fax, in-person).
The online filing method is much more efficient and faster than the other filing methods. Furthermore, it provides instant confirmation. However, I’ll take you through both filing methods so you can choose the one that best suits your needs.
1. Completing The Oregon Annual Report Online
Start by locating your Oregon LLC’s Registry Number. This is on your approved Articles of Organization filed with the Oregon Secretary of State to officially form your LLC.
You can find this on your official approval document, or use the Oregon Business Entity Search to search your legal LLC name.
Go to the Business Registry web renewal page and enter your LLC’s Registry Number once you have it.

Click the “Renew online” button to begin your filing process.

Note: If you try to file too early, the system will display the message “This Business Entity is not eligible for renewal online.” If this happens, you’ll need to wait for your filing window before you can complete your filing process.
Following this, enter your email address in both designated fields. This is where your Acknowledgement Letter and Annual Report will be sent once successfully filed and approved.
Scroll to the bottom of the page and click “Start renewal” to continue.

Note: The primary goal when filing your Annual Report is to keep the state up-to-date with your key business information. When completing the report, you’ll either change, add, update, remove, or leave the existing information. Make sure that you perform one of these actions for the required sections.
These are the 5 sections that you must complete when filing your Annual Report:
a. Business Overview
In your Business Overview section, the required fields should already be auto-populated. Review the information carefully to make sure everything is correct. You can leave everything as-is if this is the case.
Alternatively, update each field as needed. I’ve discussed the required fields below.

a3. Mailing Address For Notices
a4. Daytime Contact
b. Jurisdiction And Physical Location

In the next section, update your principal place of business address. You can leave it unchanged if it remains the same.
This address must be a physical street address and can be in any U.S. state. It cannot be a P.O. box or a private mailbox, as it will appear as your principal office location in the record.
c. Notification Delivery Options

After confirming your physical location, you need to update or keep your preferred delivery options as-is. This is where you may receive official notices from the Oregon Secretary of State.
Note: Your address in this section will determine how the Secretary of State will send correspondence and future Annual Report reminders.
Choose one of the following delivery methods:
- Mail: Notices are received through postal mail.
- Paper: Notices are received electronically in digital format.
- Both: Notices are received through both postal mail and electronic delivery.
Proceed to the next section when you’re happy with your current selections.
d. Registered Agent

Once you’ve chosen your notification delivery options, you’ll be asked to update your Registered Agent’s information. You can leave this section as-is if there have been no changes.
Select “Individual” at the top of the form if your Registered Agent is an individual (You, a friend, or a family member). Then, enter their full name and physical Oregon street address.
Select “Entity of record” if your Registered Agent is a commercial Registered Agent entity. Then, enter their Registry number, entity name, and physical Oregon street address.
The Registered Agent address must be a physical Oregon street address. It cannot be a P.O. box, Commercial Mail Receiving Agency (CMRA), or a private mailbox. This is set under ORS §63.111.

e. Member/Manager

After completing your Registered Agent details, you’ll see the “Member/manager” section underneath.
You should see your existing LLC members or managers already listed. If there have been no changes, leave this section blank.
You can add new members or managers if needed (Or remove former ones). Here’s how to add a new member or manager:
- Click “Add Member/manager.”
- A pop-up should appear.
- Choose whether the individual is a Member or Manager at the top of the pop-up.
- Click “Continue” when you’re finished.
Note: You can refer to your Operating Agreement if you’re unsure whether the individual is a member or a manager.
f. Review, Sign, And Make Payment

Once you’ve completed the required information, your final task is to review it for accuracy. Check each section carefully and correct any errors by clicking the “Edit” link.
Click “Continue” at the bottom of the page once all information looks correct.
Following this, you should get a verification and confirmation prompt. This will ask you to confirm that the information you’ve reviewed has been reviewed accurately. Click “Yes” to proceed.
- Enter your title (Member/Manager/Authorized Agent).
- Enter your first and last name.
- Check the “Sign” box to electronically sign the form.
- Click “Submit” to send the completed form.
- Choose “Ok” on the next page to confirm your total filing fee.
- Enter your personal information (Name, address, phone number, and email address). This is kept confidential by the state.
- Enter your payment information, whether you’re using a debit card or a credit card. Enter your number, expiration date, and card name.
- Click “Next” and submit your payment.
Note: At least one signature is required on the form. You can click “Add signer” at the bottom of the page if you want to add more than one.
Once completed, you should receive an email confirmation once your Annual Report has been successfully processed and approved.
2. Completing Your Annual Report By Mail
Just as you did in the online filing option, locate your Oregon LLC’s Registry Number.
- Navigate to the Business Registry web renewal page.
- Enter your LLC’s registry number.
- Click the link that says “Click here to generate and print an annual report.” This will appear if your LLC is due to renew its Annual Report.
- Download the LLC Annual Report Form from the pop-up window.
- Complete the report as instructed.
- Review the information in the report.
Note: Draw a single line through any errors and write the correct details next to it clearly.
You must only use black ink or blue ink, and make sure that handwritten corrections can be read clearly.
Once complete, you can file your Annual Report using several options.

a. In-Person Submission
Give your completed form in person at the following address:

Office hours are 8:00 A.M. to 5:00 P.M. (Monday to Friday, excluding holidays).
Note: You must arrive by 4:00 P.M. to ensure same-day processing. However, some filings may take longer to process and cannot be completed the same day.
b. Fax Submission
Fax your completed Annual Report Form to (503) 378-4381.
Include the Credit Card Cover Sheet with your faxed report if you wish to pay by credit card.
Faxing is a good method if you want to avoid the added mailing time. However, it will be processed in the same queue as mailed filings.
c. Mail Submission
Mail your completed form to the following address:
You may mail the completed form with the $100 filing fee paid by check or credit card (Using the Credit Card Cover Sheet) to the following address:

Make sure to include the $100 filing fee. This can be paid by check or credit card. Make sure all checks are made payable to the “Corporation Division” to ensure proper processing.
Your application should be processed within 7–10 days (Processing and mail delivery time).
Approval Time For The Oregon LLC Annual Report
The time it takes for your Oregon LLC Annual Report to be processed depends on your filing method.
- Online filing: Typically on the same day.
- In-person filing: Often completed the same day, but not guaranteed.
- Mail or fax filing: Processing takes several days. The exact timeframe depends on the mail delivery and state processing volume.
The Oregon Secretary of State will send you an email with your Acknowledgment Letter once your Annual Report is successfully processed and filed.
Note: I recommend that you save a copy of your Acknowledgment Letter and keep it with your official business records.
You can get a copy of your Annual Report filing by searching for your LLC’s name in the Oregon Business Registry.
- Scroll down to the “Summary history” section at the bottom of your business profile.
- You should see a document icon to the left of your recently filed Annual Report.
- Click the icon to download a copy.
- Save a copy for your business records.

Oregon Annual Report Penalties For Non-Filing
You’re automatically granted a 45-day grace period by the Oregon Secretary of State once your Annual Report due date has passed. The state will administratively dissolve your LLC if you fail to file your report within this period. This is set under the Oregon Revised Statutes (ORS) §63.647 (2).

If this happens, your LLC loses its good standing with the state and its legal authority to conduct business in the state. You must file a Reinstatement Form, pay a $100 penalty, and submit your missed Annual Reports to reinstate your LLC.
Note: You will be charged the $100 filing fee for each Annual Report.

The Annual Report is a mandatory state filing required by all LLCs, corporations, nonprofits, Limited Partnerships, and Limited Liability Partnerships. It must be done annually (Each year).
All Annual Reports must be submitted to the Oregon Secretary of State, Corporations Division, using one of the filing methods discussed above. The filing fee is $100 for each annual report, and needs to be completed and paid by the anniversary date listed on your LLC’s Articles of Organization.
