Is There A Missouri LLC Annual Report Requirement?

Note: No, you do NOT need to file an Annual Report once you’ve formed your Missouri LLC. Therefore, there is NO Missouri Annual Report requirement. Alongside this, you have NO Missouri Annual Report filing cost.

Under RSMo § 351.122, this reporting requirement only applies to certain entity types. For example, corporations have to file Biennial Reports.

While you don’t need to file an Annual Report in Missouri, you still need to meet several ongoing compliance requirements to keep your LLC in good standing. Completing these allows you to remain in good standing with the state.

These include:

  • Renewing any required professional or municipal business licenses.
  • Renewing your Sales Tax License.
  • Paying your applicable taxes.

Renewing Your Applicable Missouri LLC Business Licenses

ONLY for BizReport readers: Hire ZenBusiness to form your LLC at $0 plus state fee.

Let professionals handle your filings and stay compliant for FREE.

Even though you have NO Missouri Annual Report requirement, you may still need to renew your necessary licenses and permits.

1. Renewing Professional And Municipal Licenses

There is NO general statewide business license requirement in Missouri. Therefore, there is no renewal requirement or fee. Instead, you have to renew your Missouri local and professional licenses. Your requirements depend on your operating location and business activities.

Because each licensing authority sets its own renewal rules and deadlines, you should check directly with your applicable local government or state board first. This prevents potential penalties or compliance errors.

You can read my article on the Missouri Business License if you want to learn more about the exact requirements and use my helpful resources.

2. Renewing Missouri Sales Tax License

You need to obtain a Missouri Sales Tax License (Retail Sales License) from the Missouri Department of Revenue if your business sells taxable goods or services. This must be done before making taxable sales under RSMo § 144.083.

However, you have NO Sales Tax renewal requirements in Missouri. Even so, you still need to file your required returns and pay any taxes due to prevent revocation.

First, register for a license before filing and returning Sales Tax. You can do this for free using the following methods:

  • Online: Use the MyTax Missouri portal (your application should be approved within 2–3 business days).
  • By mail: Complete Form 2643 (this is generally processed in around 10 business days).

Refer to my detailed article for a comprehensive step-by-step guide: How To Obtain Your Missouri LLC Sales Tax License.

Warning: Your LLC is NOT exempt from its tax obligations if you fail to register. In this case, penalties may apply for not registering and failing to collect and remit the required Sales Tax.

Complying With Missouri State And Federal Tax Obligations

After registering with the Missouri Department of Revenue, you must comply with ongoing tax obligations. These depend on how your business operates.

Note: I highly advise hiring a qualified accountant to manage your tax obligations in Missouri.

1. Federal Tax Requirements

You’ve also got to think about your federal taxes. These depend on your chosen business structure and activities.

These are some of the most common ones that you may need to pay.

  • Federal payroll taxes: If your LLC has employees.
  • Federal excise taxes: Apply to certain products, services, and some regulated industries.
  • Federal income tax: Members’ income is based on their personal tax return. This applies unless you elect corporate taxation.
  • Self-employment tax: For LLC members who are actively running or working for your LLC. It’s calculated based on your profit shares.

2. State Tax Obligations

You also need to take your state taxes into account. Again, these depend on your chosen business activities and management structure.

These are some of the common ones that may apply.

  • State income tax – Based on LLC owners’ profit shares.
  • Self-employment taxes – This is used for Social Security and Medicare payments for all active LLC members.
  • Business or industry-specific taxes – Apply to certain industries or activities under state law.
  • Property tax – For any equipment, real estate, and other taxable assets.
  • Payroll taxes – Employees who need to collect and remit employment taxes.
  • Other applicable state taxes – Depending on your business type.

3. Local Tax Requirements

Alongside your federal and state taxes, you may have several local tax requirements to complete. Your local taxes depend on your business location. Common examples include:

  • City Earnings Tax: Kansas City and St. Louis mandate this tax on net business income.
  • Local Sales and Use Tax: You must charge Sales Tax if your LLC sells taxable services and tangible personal property.
  • Local Occupational Taxes: Additional taxes and fees are charged by certain cities or counties. These apply to specific business activities.
  • Other tax types.
