An Overview Of The Massachusetts LLC Annual Report Filing

Under the Massachusetts LLC Act §12(c), every LLC operating in the state has to file an Annual Report. This is a mandatory requirement, even if you didn’t get income in the filing year.

If you skip this filing, the state flags your LLC as “Not in good standing”. And your LLC will be shut down entirely if you keep ignoring it. More on this below.

1. The Massachusetts Annual Report Due Date

Your report must be submitted once a year before your LLC’s anniversary date. The first one is due the year after your LLC was formed.

Putting these dates into practice, your first Annual Report would be due before April 2, 2027, and every year thereafter if your LLC was approved on April 2, 2026.

Not sure about your anniversary formation date? You’ve got two potential ways of checking it:

  1. Find the date on your approved Certificate of Organization documents.
  2. Use the Business Entity Search tool to search for your LLC. Click your name, then look for the “Date of Organization in Massachusetts” part.

The good thing here is that you don’t need to worry too much about your processing time. Your report will be generally processed in 1 to 2 business days regardless of how you file. Just bear in mind that you’ll need to add the delivery time on if you submit a paper filing by mail. This could be an extra week in some cases.

Don’t forget to follow these guidelines when using the paper form:

  1. You can complete your filing on your computer or by hand using blue or black ink.
  2. The form must be printed on regular white paper (8.5″ x 11″).

Once completed, you can file the paper form by mail, by fax, or in person. Your report will be processed within 1 to 2 business days in most cases, not taking into account delivery and receiving times.

1. Employer Identification Number (EIN)

Provide your Employer Identification Number (EIN) in the “Federal Identification No” field. This is at the top of your form to the left.

2. Year

To the right of your EIN, add the year in which you’re submitting your report.

3. Name Of LLC

Next up, state your legal LLC name underneath. Make sure it’s exactly as shown on your Certificate of Organization docs. Your report will be rejected if it doesn’t match.

4. Amendment Of LLC Name (Optional)

You can skip this section if you don’t need to change your LLC name.

If you do need to change your name, you’ll have to complete a Certificate of Amendment form and file it along with your completed report. Enter your new name in the applicable field and include the additional $100 amendment fee with your filing.

5. Location Of Its Principal Office

Add your LLC’s principal office. You can use a home address, an office address, or the address of your LLC’s Resident Agent. No P.O. Box address here.

6. Address In The Commonwealth Where The Records Will Be Maintained

Next, you’re asked for your LLC’s Massachusetts address. It can be the same as your principal office or something different.

Again, you can’t write down a P.O. box address. This must be a physical address in the state

7. General Character Of Your Business

The section underneath is all about what your business is doing. You can get this from your approved Certificate of Organization or most recent Annual Report filing.

While you’re able to make changes in this section, it’s not needed in most cases.

Note: Keep everything short and sweet if you need to add a new purpose. Suitable examples include “pizza shop,” “real estate investing,” or “landscaping.

You can’t use a general purpose clause in Massachusetts. Careful here. Your application may get rejected if you try doing so.

8. Latest Date Of Dissolution

Leave this part blank if your business has no set end date. Most LLCs do this. It allows them to stay active until owners decide to close the business.

However, if you would prefer that your LLC gets automatically shut down on a specific future date, provide it in the applicable field.

9. Name & Street Address Of Resident Agent (Aka Registered Agent)

This part is pretty simple if your Resident Agent’s information is the same as last year. Complete the relevant fields and move on.

If you do need to change your agent’s details, you won’t be able to do it via your Annual Report filing.

Both forms have a $25 filing fee. This has to be included along with your Annual Report payment.

Note: Make sure you also add your agent’s new information in your Annual Report.

10. Name & Address Of Each Manager (If Your LLC Is Manager-Managed)

Note: Don’t worry about this section if your LLC is Member-managed.

Enter your managers’ information if you’re a manager-managed LLC. You’ll need to give their full names and addresses.

11. Name And Address of Authorized Signer(s) (If Your LLC Is Member-Managed)

Note: Leave this section blank if you’re operating as a manager-managed LLC. Otherwise, add the names and addresses of any additional authorized signers alongside those already listed in section 6.

Provide your authorized signers’ full names and addresses in the relevant fields if you’re a member-managed LLC.

12. Name And Address Of Authorized Signer(s) (For Real Estate)

This section relates to LLC members or managers authorized to sign real estate documents on behalf of your business. If you’re involved in real estate transactions, provide the full name and address of each person.

Leave this part blank if you’re not involved in real estate transactions.

13. Additional Matters

Underneath, you should see an “Additional matters” box. This is used to add any additional rules and regulations for your Massachusetts LLC.

This won’t apply in most cases, so it isn’t required. Leave it blank and go to the Signature field.

14. Signed By

Print your completed filing and provide your signature in the “Signed by (by at least one authorized signatory” field.

15. The Fee & Date You Filed Your Form

You’ll need to finish this section by hand once you’ve printed your completed form. You won’t be able to type into these fields using your computer.

Remember that your filing fee is $500. Write it in the applicable field and enter your signing date.

Leave the effective date blank.

Note: Your total filing fee is $520 if you’re filing by fax. This is because you’ll have to go to the state portal and pay online for a fax cover sheet; write $500 here.

16. Filer’s Contact Information

Underneath, add your filer’s main contact info. Make sure you include their full name, mailing address, and email address. You’ll be contacted by the state if they require additional details.

17. File Your Completed Form

Finally, prepare a check/money order. Ensure its made payable to the “Commonwealth of Massachusetts.” As I’ve said above, your fee ($500 to $520) depends on your chosen submission method.

Send your completed envelope to the following address if you’re filing by mail or in person:

Want to submit your filing by fax? You’ll need to visit the Massachusetts File by Fax portal.

Once there, follow these steps:

  1. Pick your filing type.
  2. Complete the prompts to work out your filing fee.
  3. Make your online payment, which is $520.
  4. Print the bar-coded coversheet and put it on top of your completed Certificate of Organization.
  5. Fax your completed documents to the Massachusetts Corporations Division at (617) 624-3891.

18. Approval

Congratulations! All that’s left to do now is wait around 24 to 36 hours for your filing to be approved.

Note that the state will NOT mail or email any kind of receipt or filing confirmation. You’ll have to look up your LLC on the Massachusetts Business Entity Search to check that your report has been successfully filed.

It’s pretty simple to do this. Wait a few days, click on your LLC name, and scroll down to “View filings for this business entity.” Press “Annual Report” once and click “View Filings” to see if your report is there.

I highly suggest saving or printing a copy of the Massachusetts LLC Annual Report for your records.

How To Complete Your Massachusetts Annual Report Filing Online

Navigate to the Corporations Division Online Filing System to get things started.

You’ll need to provide your Customer ID Number and PIN to log in. These should be on your courtesy reminder mailed to you by the state.

Note: Email the state at [email protected] with your LLC name if you don’t have a Customer ID Number and PIN. They’ll be able to help.

Once you’re logged in, choose Annual Report from the list of filings and press “Select” to continue.

Disclaimer: Most of the required sections in your online and paper forms are pretty similar. I’ve kept things simple by only discussing the ones that you need to be aware of.

1. Amendment Of LLC Name (Optional)

Don’t worry about this section if you don’t need to change your LLC name. Most people just skip it. Simply put your LLC name in the box and move on.

If you do need to change your name, click the “Check if amending entity name” box. You’ll have to pay an additional fee if you need to amend your LLC’s name in your report.

Enter your new LLC name in the field underneath and move to the next section.

2. Delivery Method for Annual Report Notices

This part lets you choose whether you want the state to send you a filing reminder by email or mail.

Enter your current email address in the provided box if you pick email. Make sure it’s working.

3. Signed Under Penalty of Perjury

Next, state your name and sign your Annual Report to certify your filing.

You’ll need to select “Accept” to agree to the filing terms.

4. Review

Press “Review,” and the system will display your Annual Report filing information.

Simply confirm that everything is correct and press “Make corrections” if any changes are needed.

Once you’re all done, click “Submit Filing” to go to the payment section.

5. Payment

All that’s left to do now is provide your payment info and submit the required filing fee.

As you’re filing your report online, you’ll need to pay $520.

6. Approval

Once completed, the state should process your Annual Report in 24 to 36 hours. You unfortunately won’t get an email or receipt to confirm this.

Instead, you’ll have to find your LLC via the Massachusetts Business Entity Search page. This lets you verify that your report has been successfully filed online once you’ve waited for a few days.

Here’s how to do it:

  1. Click on your LLC name.
  2. Scroll down to the section named “View filings for this business entity.
  3. Select “Annual Report.”
  4. Press the “View Filings” button to verify it.

I highly recommend saving or printing a copy of your report for your official business records. It’s always better to be safe here in case something goes wrong.

The Importance Of Filing The Annual Report For Your Massachusetts LLC

You’re in big trouble if you don’t file by the set deadline. Once the state realizes, you’ll lose your good standing status and get marked as “delinquent.”

If you continue to ignore them, your LLC gets administratively dissolved (shut down) under the Massachusetts LLC Act Section 70. In other words, you lose your ability to operate.

Let’s say that you miss your Massachusetts Annual Report filing for 2 consecutive years. Here’s how the process works.

  1. The state mails a warning notice in September to let you know that your LLC risks being administratively dissolved on December 31. This goes to the official address where you keep your business records.
  2. A second notice may be sent to your Registered Agent’s address if it’s returned as “undeliverable”.
  3. You’ll have to file any overdue reports before December 31 to keep your LLC active.
