Once you’ve officially formed your Limited Liability Company (LLC) in the state, you need to file an Annual Report once a year and pay the $30 filing fee to the Louisiana Secretary of State (SOS).
Filing on time ensures that your business remains active and in good standing with the state.
In this article, I will show you how to file your Louisiana LLC Annual Report online and by mail. I will also discuss the due dates, requirements, and the dangers of not completing your filing on time.

Louisiana LLC Annual Report Overview
Under the Louisiana Revised Statutes (RS) §12:1308.1, every LLC operating in the state must file an Annual Report and pay the $30 filing fee once a year to remain active and in good standing. This mandatory filing ensures that the state maintains up-to-date business information on every LLC operating in the state.

You can choose between 2 main filing methods:
- Online: Use the geauxBIZ online portal. Your filing should be processed in 15 minutes or less.
- By mail: Access the State Business Search tool and print your Annual Report form. Then, make any required changes by hand and mail it to the state alongside a check or money order. Your filing should be processed in around 1-2 business days.
If you don’t file your report by the required due date, you may face administrative dissolution (business shutdown) or loss of good standing with the state. You will learn about the potential penalties later in my article.

1. Due Date For Your LLC Annual Report
Your Louisiana LLC Annual Report due date is each year before your anniversary date. This is the date that the state approved your Articles of Organization and Initial Report formation documents.
Your first report is due in the year after your LLC is formed.
Example: Your LLC was approved on June 15, 2026.
- Your first Annual Report must be filed by June 15, 2027.
- Your report then needs to be filed every year thereafter.
If you need to find your LLC’s anniversary date, you can check your approved Articles of Organization documents or use the State Business Search tool.
Follow these steps:
- Navigate to the Louisiana SOS Business Search tool.
- Find your LLC using your official legal name.
- Click “Details” to the right of your LLC’s name.
- Look for the “Registration Date” at the top of the screen.

Note: You can file your Annual Report up to 30 days before your due date.
2. Annual Report Reminders
While the Louisiana SOS previously sent postcard reminders by mail, they stopped doing this in 2016.
Instead, the state will send email or text message notifications around 30 days before your Annual Report due date.
However, you need to sign up for email or text notifications with the SOS to receive state reminders. Here’s what you need to do:
- Use the SOS Business Search tool to search for your LLC’s name.
- Click “Details” on the right-hand side of your LLC name.
- Click “Subscribe to Electronic Notification” at the top of the screen.
- Provide your email address and phone number (if desired).
- Click “Submit.”

I highly recommend setting reminders on your phone or calendar. You must still file your report, even if you don’t receive an official state reminder.

Before filing:
To begin your filing, visit the geauxBIZ login page. Then, sign in to your account using your username and password. You will then be redirected to your main dashboard.
Note: As you complete your online filing, you can review or update information if it’s changed since your Articles of Organization filing or your last Annual Report.
If nothing has changed, leave everything “as is.”
1. Getting Started
On the main dashboard, click “File Annual Report” in the Quick Links section.

2. Find Your LLC Annual Report
Your LLC should be listed under “Select an Associated Business with an Annual Report due” if it’s already been associated with your account. Click your LLC name to begin your Annual Report filing.

The system should then generate a preview page listing your LLC’s current information. Click “Edit” next to the relevant section if you need to make changes.

3. Review/Update Your LLC’s Address/Addresses

Next, review your office address and mailing address, making any required changes as needed. Leave everything “as is” if no changes need to be made.
The address at the top is your LLC’s office address. You can use a home address, office address, or your Registered Agent’s address (if permission has been granted). You can NOT use a P.O. box for your office address.
The address underneath is your LLC’s mailing address. This can be the same as your office address or something different. You can use a P.O. box address for this section.
Click “Next” to proceed once you’ve entered the required information.
4. Review/Update Your LLC Registered Agent Details
In the next part of your filing, review your current Registered Agent information. Make changes as needed.

If you remove your current Registered Agent and add a new one, the system will generate a pop-up message:
“In order for your order to be processed, an email will be sent to your designated registered agent(s) and they must complete the electronic agent acceptance process within 7 days.
Failure by your registered agent to complete the agent acceptance process within this time frame or if they decline the agent assignment will require you to re-file the application.”

If your Registered Agent is someone else besides yourself, you must notify them to check their email and complete the acceptance process. This must be done in 7 days.
Click “Close” to proceed to the next section.
5. Review Or Update Your LLC Member(s)/Manager(s) Information

Next, add or remove LLC members or managers (if required). To do this, click “Delete” or “Add Additional.”
6. Review/Update Your LLC’s NAICS Code

In this section, you need to review your current NAICS code. Ensure you update it if your business activities have changed.
Click the “Plus” icon if you want to add multiple NAICS codes. Then, you can assign contribution percentages for each business activity.
Important: Your total contribution percentage must equal 100%.
Click “Validate” once you’ve entered all applicable NAICS codes.
7. Provide Your Signature

With the required information complete, enter your full name in the “Electronic Signature” box.
Then, enter your title. Your title can be “Member” or “Manager”.
Click “Next” to proceed.
Note: You have the option to enter a Secure Business Filing PIN (SBF) in the last field. SBF is used to prevent identity theft and fraud.
If you have one, enter it here. If not, leave this part blank and click “Next.”
8. Submit Your Required Payment

You may submit your Louisiana LLC Annual Report fee using a credit card or a bank account.
Note: You need to pay an additional $5 state charge fee if you choose to pay by credit card. This means that your total Annual Report payment amount would be $35.
Click “Checkout & File” and enter your billing information to complete your filing.
9. The Online Annual Report Approval Process
Your report is normally processed in 15 minutes or less when filing online. Once complete, the state will send you a confirmation email.
Log in to your geauxBIZ account and go to the “My Businesses” tab if you need to download a copy of your filed Annual Report.
You will be notified via email if your filing has been rejected. You may NOT be charged if you’ve paid by credit card. If you paid using a bank account, your filing fee will be returned within 10 business days.
Note: You still need to resubmit your Annual Report to stay compliant.
Creating Your GeauxBIZ Account And Linking Your LLC
1. Register A GeauxBIZ Account
a. Getting Started
To begin, navigate to the geauxBIZ login page. Then, click “Create an Account” on the right-hand side of the screen.

b. Enter Your Email Address And Password
Provide your email address and password twice in the applicable fields.
Then, enter the reCAPTCHA security code (if it appears).
Finally, check the “Terms and Conditions” box to agree and click “Create Account.”

c. Provide Your Contact Information

In the next section, enter your address. This can be a home, office, or mailing address.
First, enter your contact phone number, then click the “Create Account” button at the bottom of the page.
You should then see the following message on the next page:
“Your account has been created successfully! A confirmation email has been sent to the email address you provided. Please follow the instructions in this email to complete your registration.”
d. Verify Your Email

To verify your email, navigate to your inbox and find the email from the state. The subject line should say: “Welcome to Louisiana Secretary of State / geauxBiz.”
Click the verification link to be redirected to a page which states that “Your email has been verified!”
Following this, click “Sign In Page” to proceed.
e. Log In To Your Account

Enter your email and password on the login page.
Note: You can select “Remember Me” for easier access next time you log in.
After this, click the “Sign In” button.
2. Link Your LLC To Your Online Account
a. Create Your GeauxBIZ Profile
Note: You only need to complete this step the first time you log in to your account. Following this, you won’t need to do it again.
- Select “Individual” or “Organization” from the “Account Type” dropdown menu.
- State your last name, then your first name. Alternatively, enter your company name.
- Check the disclaimer box to agree to the stated terms.
- Click “Save” at the bottom of the screen.
Following this, you should see a green “record successfully added” message at the top of the screen. Do NOT click anything and wait 10 to 15 seconds for the page to reload.
You should now be on your geauxBIZ Dashboard.

b. Access The “Businesses” Section
Click “Businesses” from the menu on your main dashboard.
Then, click “Add Existing Business” to proceed to the next section.

c. Search Your LLC And Add It To Your Account

You can search for your LLC in 3 main ways:
- Entity name.
- Entity number.
- Officer/agent name.
Enter your search query in the required field and click “Search.” You should then see your business name in the search results. Click the green “+” icon to add your business.
Congratulations! Your LLC is now successfully associated with your geauxBIZ account for future filings.
Filing Your Louisiana LLC Annual Report By Mail
1. Locate Your LLC Annual Report Form
To begin, you need to locate your Louisiana LLC Annual Report paper form. To do this, access the SOS Business Search tool.
Then, enter your LLC name in the search field and click “Search.”
In the results table, click “Details” to the right of your LLC name.

2. Download Your Annual Report Form
Next, the system will redirect you to a page that shows your LLC’s information.
First, click the small button at the top that says “Print Annual Report for Filing.”
The system will then open a new tab or window with your pre-filled Annual Report form. Print this form and move to the next step.

3. Review Or Update Your Address Or Addresses

Next, review your current mailing address and registered office address.
Cross out the old information and write the new information if you need to make any changes.
4. Review Or Update Your Registered Agent’s Information

In this section, you need to review your current Registered Agent’s information on file.
If you need to make changes, cross out the old information and write the new information in the applicable fields.
Important: Your new agent must sign your Annual Report paper form. You also need to get your form notarized.
You can leave the current information “as is” if your agent’s details are the same. You do NOT need your agent to re-sign, nor do you need to get anything notarized.
5. Review Or Update Your LLC Member(s)/Manager(s) Information

Again, cross out the old information and add the names and addresses of any new LLC members or managers if the list has changed. You can NOT use a P.O. box address in this section.
Note: You can list up to 3 LLC members or managers on your form. If you need to add more, you must attach an addendum.
6. Provide Your Signature, Title, And Contact Information

Sign your name at the bottom once you’ve printed your Annual Report form. Then, enter either “Member” or “Manager” in the title field.
Add your phone number, signing date, mailing address, and email address in the required fields.
7. Prepare Your Payment And Submit Your Completed Filing
Once your form is completed, prepare a $30 check or money order made payable to the Louisiana SOS.
Then, mail your completed Annual Report form along with your $30 filing fee to the following address:

8. Approval Time For Your Louisiana Annual Report Paper Form
Your Annual Report should be processed within 1 to 2 business days, plus mailing time when filing by mail. However, you will NOT get a confirmation letter from the state.
You can log in and download a copy of your completed Annual Report if you have a geauxBIZ account. If not, wait a few days and search for your LLC name using the SOS Business Search tool. Click “Details” then check “Last Report Filed” to confirm that your Annual Report has been successfully filed.
The state will notify you by email if your filing has been rejected. If this happens, your check will NOT be cashed.
You’ll then need to resubmit your Annual Report form to maintain compliance.
Why Is It Important To File Your Louisiana LLC Annual Report
You do NOT need to pay late fees or monetary penalties if you fail to file your Louisiana Annual Report on time. However, you face serious penalties below.
1. Your LLC Will Be Marked As “Not In Good Standing”
Your LLC will be marked as “not in good standing” if you don’t file your Annual Report or fail to submit your filing on time. This is governed by Louisiana RS §12:1308.2(E).

If your LLC is marked as “not in good standing,” it may be unable to engage in certain business activities required by the state or within state boards, agencies, departments, or commissions. In most cases, this negatively impacts your operational efficiency.
For example, you may NOT be able to obtain certain business licenses required to legally operate.
2. You Face Potential Administrative Dissolution (Business Shutdown)
Under Louisiana RS §12:1308.2(A), your LLC’s Articles of Organization formation documents will be revoked if you fail to file your Annual Report for 3 consecutive years.

The state will send a written notice to your Registered Agent’s address on file 30 days before the revocation happens. If you still don’t complete your Annual Report filing, the Louisiana SOS will shut down your LLC.
You can reinstate your LLC within 3 years of the effective date of revocation. To do this, you must:
- File an “Amended Articles, Mergers, Dissolutions, Certificate of Correction” application and pay the $100 reinstatement fee.
- File your current Annual Report and pay the $30 filing fee.
