Once your Idaho Limited Liability Company (LLC) is officially formed, you need to meet several ongoing state requirements to remain active and in good standing. One of the main ones is filing your Annual Report with the Idaho Secretary of State (SOS) once a year.
The filing fee is free of charge but an informational report still must be filed to complete your Annual Report filing.
In this article, I will explain how to complete your Idaho Annual Report filing. You’ll learn about the filing requirements, steps, deadlines, and the dangers of not completing your filing.

Overview Of Idaho Annual Report
Important: LLC owners could file the Annual Report by mail using postcard reminders before October 2018.
However, the state removed postcard reminders and launched SOSBiz after this.
Under I.C. §30-21-213, every Idaho LLC needs to file an Annual Report with the SOS once a year. The purpose of this is to keep your main business information accurate and up-to-date with the SOS. If you don’t complete your filing, you may face administrative dissolution.

You have two main methods to file your Annual Report in Idaho:
- Online: Via the SOSBiz portal with a $0 fee.
- In-person: File a paper form directly at the SOS office, but this will incur a $20 fee for manual processing.
Note: The Idaho SOS recommends using the online method. It’s free and will be processed immediately.
You must create a new SOSBiz Account and link your business to your new account if you’ve already filed your Certificate of Organization by mail. This allows you to complete your online Annual Report filing. I will show you how to do this later in my article.
1. Due Date For Your Idaho Secretary Of State Annual Report
You must submit your Idaho LLC Annual Report by the end of your anniversary month each year under I.C. §30-21-213. Your Anniversary month is determined by when your Certificate of Organization is approved by the state.
Your first Annual Report is due the year after your LLC is formed.

To find this date, check your approved Certificate of Organization or perform a business search and locate the “Initial Filing Date.”
Example: Your LLC was approved on April 15 2026:
- Your anniversary month is April.
- Your Annual Report is due by April 30 every year.
- Your first Annual Report is due by April 30, 2027.
- It’s then due by April 30 every year thereafter.
2. Idaho LLC Annual Report SOS Reminders
Once your business is linked to your SOSBiz account, the SOS will typically send an email reminder 1-2 months before your report is due. Physical reminder postcards will no longer be sent.
You must complete your filing on time, even if you didn’t receive a reminder.
Note: To avoid missing the filing deadline, I recommend setting your own reminder on your phone or calendar.

Before you file, you need to get access to your business on SOSBiz. If you’ve filed your Certificate of Organization by mail, scroll down to see how to bind your LLC to a new SOSBiz account.

1. Login To Your Account
Go to SOSBiz and click “Login.”

Log in using your email address and password.

2. Access Your Annual Report
Next, access your Annual Report using the following steps:
- Navigate to the “My Records” tab.
- Select your business from the table.
- Click “File Annual Report.”
Note: You may NOT be eligible to file online if clicking “File Annual Report” doesn’t work. This may be due to your LLC needing reinstatement or another issue. If this happens, you should contact the Idaho SOS to confirm your status.
During the entire process, you can either keep your information the same or update it if anything has changed.

3. Review Your Entity Name And Mailing Address
In this section, review and update your LLC’s mailing address before proceeding with your filing:
- Confirm your entity name: You can not change it when completing this filing. You must file an Amendment to Certificate of Organization form if you need to make any changes.
- Update the other required address fields as needed (street, unit, city, state, ZIP, country).
- Ensure all required fields (marked with *) are complete and accurate.
Click “Next Step” to continue.

4. Confirm Your Entity Details
You can NOT change any information on this page. Read through your entity details and click “Next Step” to continue to the next section.

5. Check Your Registered Agent Information
This section must reflect the details of your current Registered Agent. You can choose between three main options:
- No change to your Registered Agent’s name and address.
- Only change your Registered Agent’s address.
- Appoint a new Registered Agent.
a. No Change To Current Registered Agent
If your agent’s information is the same as before, choose “No change to existing agent.”
Then, click “Next Step” to continue.

b. Change Your Registered Agent’s Address
This section can be used to update your Registered Agent’s address:
- Select “Change agent address only.”
- Enter your agent’s new physical street address (this can NOT be a P.O. box).
- Provide your agent’s mailing address (you can use a P.O. box).
- Click “Next Step” to continue.

c. Appoint A New Registered Agent
If you’ve appointed a new Registered Agent in Idaho, they must meet two main requirements. This can be yourself, a trusted friend, a family member, or a professional service.
- They must be available during normal business hours.
- They must have a physical street address in Idaho.
Choose one of these options:
- “Noncommercial or Individual”: This can be an individual (yourself, a friend, or a family member) or an entity authorized to conduct business in the state. They will appear on the SOS’s records of entities.
- “Commercial”: A professional third-party Registered Agent service.
c1. Appoint A New Commercial Registered Agent
Complete the following steps if you appoint a new commercial Registered Agent:
- Select “Appoint new agent.”
- Choose your agent type: Commercial.
- In the search field, state the name of the individual or organization.
- Click “Search.”

The online system will then auto-populate your agent’s full name and address. Click on their information to select it.

Check the consent box and click “Next step.”
c2. Appoint An Individual As A New Non-Commercial Registered Agent
Click “Noncommercial or Individual“ to appoint a non-commercial agent.
Then, use the search bar to search for your Registered Agent’s name. Choose your agent from the search results.
If you can’t find your agent, you can manually add their information by clicking “Add new agent.”

After the pop-up window appears, select “Individual” to assign a person as your agent. Then, enter their full name, physical street address, and mailing address.
Click “Save,” check the consent box, and click “Next Stop.”

c3. Appoint An Entity As A New Non-Commercial Registered Agent
If you’re appointing an entity, use the same process as described above. Search for your agent’s name using the search bar. Then, choose your Registered Agent from the search results.
You can manually add your agent’s information by clicking “Add new agent.”

Choose “Organization” in the same pop-up and search for the organization by name. This will search for the business on the Idaho SOS’s records.
The search results should show the entity’s basic information, including its name, physical address, and mailing address.
- Click “Copy” to transfer the information directly if the entity will serve as your agent at the same addresses.
- Enter the details in the fields provided below if the entity will serve as your agent at a different address.
Click “Save” once you’ve completed the required fields. Then, check the consent box and click “Next step.”
6. Provide Your LLC Governor Information
An LLC governor is an individual or entity who has the authority to manage and direct your business activities:
- Member-managed LLCs: The LLC members are governors.
- Manager-managed LLCs: The managers serve as governors.
Note: Your LLC must have at least one governor at all times.
In this section, review, edit, or add LLC managers/members (governors). Follow the steps below:
- Review the listed names, titles, and business addresses.
- Click “Copy” or “Delete” to edit or remove existing entries.
- Click “Add” if you need to enter additional managers or members.
Proceed to the next section if you don’t need to make any edits. Once everything is complete, click “Next Step” to continue.

a. Add A New Individual As Your Governor
Follow these steps to add an individual as your LLC governor:
- Enter your governor’s name.
- Provide your governor’s full address.
- Click “Save.”
You can use the “Copy” button next to the address field to copy the address from the previous steps.

b. Add A New Entity As Your Governor
To add an entity as your LLC’s governor:
- Check “If the governor is an entity.”
- In the “Organization” box, enter the entity’s name.
- Enter your governor’s address.
- Click “Save.”
Again, use the copy button next to the address field to copy the address from the previous steps.

7. Confirm Your Information
In this section, review your entered information and make any necessary edits before proceeding to the declaration step.
- Review your entity name and address, entity details, Registered Agent information, and governors.
- Use the tabs on the left-hand side of the screen to make edits if needed.
After confirming that all information is accurate and complete, click “Next Step” to continue your filing.

8. Declare, Sign & File Your Completed Form
Next, complete the declarations, sign, and submit your completed filing.
- Check the declaration boxes to confirm the accuracy and authorization of your submitted information.
- Enter your signer’s job title.
- Provide your signer’s full name in the signature field.
- Select or enter the date (use the “Today” button if needed).
- Click “File Online” to submit your completed report.

9. Your Approval Process
Online filings should be processed immediately. Follow these steps to check the status of your report.
a. Access Your Filing History
Click the “My Records” page on the left side of the screen to access your business. Then, click on your business name and then “View History.”

b. Check Your Filed Annual Report
You can view and download your most current Annual Report in the “History” page.
- At the top of the list, click the latest “Annual Report” entry.
- Review your report details, including any changes.
- Click “Download” to view or save a copy of your completed report.

How To Create An SOSBiz Account & Link It To Your Existing Business
1. Access The Sign Up Page
First, navigate to the SOSBiz page. Then, click “Login.”

Click “Create an account.”

2. Enter Your Information
Enter your personal and login details in the required fields. You must do this to create your Idaho SOS account.
- Name: State your first, middle (optional), and last name.
- Contact: Provide your email address and contact phone number.
- Password: Your password must be at least 8 characters.
Click “Create Account” to complete your registration process. Following this, you’ll be taken back to the main login page.
Note: While the system doesn’t provide additional guidelines, I suggest that your password should contain one uppercase letter, one lowercase letter, one special character, and one number.
Example: John@1234

3. Log In To Your Account
Log in using your newly created account.

4. Search For Your LLC
Go to the business search page. Then, search for your LLC and click on the correct name.
Following this, click “Request Access” then “Request PIN” to get a PIN sent to your email.

5. Input Your PIN
Once you’ve received an email with your PIN, the SOSiz website will update. The “Request PIN” will change into an “Enter PIN” field.
Once this happens, check the consent boxes, enter your PIN, and click “Get Access.”

Your LLC is now successfully connected to your SOSBiz account. Click “Continue” to start your Annual Report filing.

How To File Your Idaho Annual Report In-Person
As I’ve already said above, you may file your Idaho Annual Report in person at the SOS office. With no official paper form available on the official SOS website, you must visit the office in person and request it directly.

Note: You need to pay an additional $20 fee for manual processing. This is clearly stated on the SOS website.

Why Do You Have To File Annual Reports In Idaho?
1. Administrative Dissolution
You will NOT face late filing fees if you don’t complete your Annual Report filing. However, under I.C. §30-21-601(1), your LLC may be administratively dissolved (shut down).

Under I.C. §30-21-602, the procedure of administrative dissolution happens like this:
- Missing your Annual Report deadline is grounds for administrative dissolution.
- You’ll be sent a notice from the SOS.
- You have 60 days to fix the issue once you receive the notice.
- Your business will be officially dissolved following this period.

2. Reinstatement
You can reinstate your LLC by filing a Reinstatement of Certificate of Organization form if your business is administratively dissolved under I.C. §30-21-603.
This can be done as long as it’s NOT later than 10 years after the effective dissolution date. To complete your filing, you need to pay a $30 fee (and +$20 for manual processing if you file by paper).
