An Overview Of The LLC Hawaii Annual Report

Every LLC registered in the state of Hawaii must file its Annual Report with the DCCA BREG once a year. This is stated under HRS §428-210, and ensures that the state has up-to-date business information.

Completing your filing ensures that your business remains active and in good standing on the official state business registry. You still need to complete this requirement, even if your business made no money in the current year.

You can file your Annual Report using several methods:

  1. You must submit your Hawaii Annual Report filing(s) online if you become delinquent (late). I’ve discussed this in more detail in a later section.
  2. Domestic LLCs must complete Form C5 when filing offline. Foreign LLCs need to complete Form C6.

This guide will focus on Form C5, although Form C6 has nearly similar requirements.

1. How Much Does It Cost To File A Hawaii LLC Annual Report?

Your standard Annual Report Fee is $12.50 for online submissions and $15.00 for offline submissions. There’s also a $1 archived fee applied to all documents filed with BREG. Therefore, your standard fee totals are as follows:

  • Online filings: $13.50.
  • Offline filings: $16.00.

You can pay $25 extra if you want quicker processing.

Note: You’ll be charged a $10 late fee per year if you file your Annual Report late.

You can still request expedited processing even if you’ve already submitted your application and paid. To do this, visit, call, or email the BREG.

2. What Is The Hawaii Annual Report Due Date?

Your Hawaii Annual Report due date is based on your LLC’s approval quarter. You may file it at the beginning of that quarter, with your first report due the year after your LLC was officially formed.

I’ve summarized the different approval dates and due dates according to your approval quarter in the table below.

Example: Your first Annual Report will be due on March 31, 2027, if your LLC was formed on February 15, 2026.

Note: Online Annual Business Reports and Initial Business Filings can get free email reminders the following year. While BREG stopped mailing postcards in Q1 of 2023, you still must file your report anytime during the quarter that it’s due. This applies even if you didn’t receive a reminder.

How To File Your Annual Report In Hawaii Online

You do NOT need a myHawaii account to complete your Annual Report filing. However, I recommend having one to sync your data with the states and get the fastest updates. You can scroll down and see my guide on how to create your myHawaii account if you don’t have one.

In the following sections, I’ll guide you on how to complete your Annual Report filing online.

1. Find Your Business

To begin, access the HBE Annual Reports portal. Add your business name in the search field and click “Search.”

Then, click your business name in the table below.

2. Verify Your Company Information

In the next section, you need to verify your company information. Scroll down and carefully check that everything is correct.

a. No Need To Change Anything

Follow the steps below if no edits are needed:

  1. Check the Certification box.
  2. Add your name in the Signature box.
  3. Click “Next.”

Click the “Edit” button next to a section if you need to make any changes.

A pop-up window should appear once you’ve clicked “Edit.” This allows you to update your information as needed by clicking the editable fields.

Check the certification box once you’ve edited everything. Then, enter your name in the signature box and click “Next.”

3. Choose Processing Time

After verifying your company information, the system will ask you to choose your processing time.

You should see two options on the screen:

  1. Normal processing: 6-8 weeks ($15).
  2. Expedited processing: 1-3 business days ($40).

Your standard processing fee will be discounted to $12.50, and your expedited fee will be discounted to $37.50 in the next step. This applies only to your online filing. You must also pay a $1 archived fee for all filings sent to BREG. If you file late, you’ll need to pay a $10 penalty fee.

4. Pay And Submit Online

You should now be on the page allowing you to choose a submission method.

As you’re already on the “Pay and Submit Online” Tab, click “Add to Cart & Checkout.

a. Login

You will be asked if you want to log in with your myHawaii account. I recommend doing this as it syncs your business data and allows you to track your report status. However, you don’t need to do this.

  • Login: Click “Go to SSO login.”
  • No login: Click “Continue as guest.”

b. Choose Payment Method

Next, choose your payment method from the three main options:

  • Credit / Debit Card.
  • Bank Account.
  • Subscriber Account.

Then, click “Next”. I will pay by card in this guide.

c. Provide Contact Information

Once you’ve chosen your payment method, you must enter your contact information.

This should include:

  • Personal details: Name, phone number, email address.
  • Address: Street address, city, state, country, and ZIP code.

Then, click “Next” to continue.

Note: Ensure that the reminders box is checked. This ensures that you’ll be sent an email when next year’s Annual Report is due.

d. Payment

5. Delinquent Filing For Annual Reports

Every past-due Annual Report must be filed before (or together with) your current Annual Report to regain your good standing. You can file your delinquent Annual Reports online for multiple years:

  • 1-2 years owed: Your reports can be filed in consecutive order (oldest first).
  • 3+ years owed (including the current year): Your reports must be filed at the same time.

As the system shows your oldest overdue report first, you must update the information to match the correct filing year.

Search your business using your name or file number, select your business, and review your years owed to check if you’re delinquent. This can be done under the “General Information” or “Annual Filings” sections.

Note: While BREG allows you to file delinquent reports older than three years, you may be administratively dissolved if you fail to file for two years. Therefore, I don’t recommend filing late in any case.

Your LLC may get administratively dissolved BEFORE a late filing penalty is imposed. I’ve discussed this later in my article.

How To Create Your MyHawaii Account

1. Go To The Portal

First, go to the myHawaii website. Then, click “Create a myHawaii account.

2. Email Address

Next, enter your email address to create your account. You’re allowed to use your Google account if you want to speed up your filing process. However, I’ve taken you through the manual process using your email.

Click “Next” once everything is completed.

3. Verification Code

You should then be notified that you’ve been sent an email with a 6-digit verification code. Check your email, enter your verification code, and click “Submit.

4. Name & Password

On the next page, provide your name (first name and last name) and create a password.

Make sure that your chosen password meets these requirements:

  • It must be at least 10 characters long.
  • It cannot contain any part of your first name, last name, or email address.
  • It must include one lowercase character, one uppercase character, one number, and one special character.

Finally, confirm your password and click “Next.

5. Multi-Factor Authentication

Next, you need to choose between three multi-factor authentication methods. These are designed to protect your account.

Choose between the following options:

  • Authenticator app: This uses an authenticator app to generate secure codes. You can choose which one you want to use.
  • Passkey: This uses your fingerprint, facial recognition, or device PIN to verify your identity.
  • Text message/Voice call: You will be sent a verification code via text message (mobile numbers only) or voice call.

Following this, set up your multi-factor authentication method using the provided instructions.

6. Recovery Codes

You should be given 10 recovery codes that can be used if you lose your device or don’t have it with you once you’ve set up the multi-factor authentication. Ensure you store these safely by downloading them using the “Print” button. Alternatively, you can capture your screen.

7. Account Page

You will be redirected to the main account page once you’ve set up your recovery codes. This means that you’ve successfully signed up for your myHawaii account.

8. Set Up Your Account

If you’re accessing your online filings using your myHawaii account for the first time, you’ll be asked to set up your account information. This information will also be used to access other services.

Provide your address and primary phone number. The other fields are optional and can be left blank.

Then, check “I agree to the Terms of Use” and click “Submit.

How To File Your Offline Hawaii Annual Report

Note: Offline filings do NOT take into account the delivery time. Furthermore, processing times may be delayed due to many reasons. Because of this, I suggest filing online to make it more convenient.

To begin your filing, download the Hawaii Annual Report (Form C5) or click “Download” on the screen. Then, follow my step-by-step guidance to fill in the form by yourself.

As stated above, you must fill out Form C6 instead if you’re a foreign LLC. However, the filing process is similar to Form C5.

Alternatively, enter the required information online using the HBE portal and print it out to file offline, as stated above.

Make sure you follow specific formatting and submission rules when submitting your Annual Report by mail. This ensures that your filing will be accepted by the state:

  • Documents and attachments must be typed or printed in black ink and must be legible.
  • All signatures must be in black ink. Your name must be typed/written below each signature if signatures are not plainly legible.

You can complete your offline filing using four main methods, which I will discuss later:

  1. By mail.
  2. By email.
  3. By fax.
  4. In person.

You’ll need to submit your completed documents along with the required filing fees stated above. I’ve also discussed the different payment methods below.

Important: Most of the Annual Report information is taken from your Articles of Organization formation documents. You’ll need to place a line through any incorrect information and write the correct information clearly after it.

1. Get Started

In the first section, state the first day of the quarter when your annual report is due. This will show the effective date of the information in your report.

Example: If your report is due in Q1, enter January 1, 2026.

b. Company Name And Mailing Address

Underneath, enter your LLC legal name exactly as registered. Then, add your current mailing address. You will need to put a line through your old address and write the new one if your mailing address has changed.

2. Add Your Principal Office Address

Next, provide your principal office address. Again, use the guidance above if your old address has changed since your previous filing.

3. State Your Nature Of Business

Enter your current LLC business description:

  • Enter the old description if your description has changed. Then, line it out and write the new description below.
  • Line out the old description and write “INACTIVE” if the company is inactive.

4. Organized Under The Laws Of

As Form C5 is for domestic LLCs, this section is for Hawaii. If you’re completing Form C6 for a foreign LLC, you need to indicate the state or county where your LLC was originally formed.

5. Provide Your Registered Agent Details

In the next section, provide your official Registered Agent’s name and Hawaii street address currently on record.

Follow the instructions below if your agent has changed:

  1. Enter your old agent’s information.
  2. Line it out clearly.
  3. Write your new agent’s information clearly underneath. This must include their full name and state address.

6. Add Your Company Management Structure

State whether your LLC is member-managed or manager-managed in the relevant field. Enter the total number of members if your LLC is manager-managed.

7. List Your LLC Managers Or Members

Next, list the names and addresses of all LLC members/managers. This should match what’s currently on record.

If anything has changed, enter the old information, line it out, and write the correct information clearly underneath.

If you want to add new LLC members or managers, you can write it out without lining out the old information.

8. Declaration, Signature, And Date

Once you’ve completed the required information, you need to get an authorized person to sign your report. This clarifies that the provided information is true and correct to the best of your knowledge.

Provide your signer’s name clearly, then enter your signing date. Sign using black ink once your completed document has been printed.

9. Calculate Your Payment Amount

As stated above, you need to pay a $15 offline filing fee + $1 archived fee. Your final payment amount depends on your chosen filing method and whether or not you file on time.

Your potential additional fees are:

  • Expedited service: +$25.
  • Late filing: +$10 penalty.

I’ve summarized the different processing times and fees for the additional offline methods (mail, fax, email, walk-in) in the table below.

10. Prepare Your Payment With Each Filing Method

As stated above, you can file by mail, email, fax, or in person. I’ve discussed how you can complete your payment for each filing method in the following sections.

a. Mail Filing

You can use the following methods if completing your filing by mail:

  • Make a check payable to the DCCA for the amount required. Write a note or attach a sticky note to your report if you want to use expedited processing.
  • Use the Credit Card Transaction Form to pay by card. You can then indicate your desired processing method (regular/expedited) in the form. The state allows you to use Mastercard, Visa, American Express, Diners Club, Discover, or JCB. Be sure to enter all the required information in your form.

b. Email/ Fax Filing

You can only use credit card payment when completing your filing by email or fax. To do this, complete the Credit Card Transaction Form and indicate your chosen filing method (regular/expedited). The state accepts Mastercard, Visa, American Express, Diners Club, Discover, and JCB. Again, make sure to complete all required information on your form.

c. In-Person Filing

Use the Business Action Centers to pay directly in person. Their officers will guide you on how to pay or how to choose between the regular and expedited processing options.

11. File Your Completed Document

If you’re filing by mail, place your completed documents alongside a check/ Credit Card Transaction Form in an envelope and send to:

Why Does Your LLC Need To File Its Hawaii Annual Report?

As I stated above, every LLC registered in the state of Hawaii must file its Annual Report with the DCCA BREG once a year in order to update the business information with the state.

1. Late-Filing Penalties

The state will charge a $10.00 late penalty annually if you fail to file your report by the required due date. This is written in the official state guidelines.

Under HRS §428-1302, LLCs that fail to file their Annual Reports may be given a penalty by the director. This can NOT exceed $100 for each offense. The director currently imposes a $10 late fee for Annual Report filings.

2. Administrative Termination

The state may begin to administratively terminate (shut down) your LLC under HRS §428-809 if you fail to file your Annual Report for two consecutive years.

Frequently Asked Questions

Do you have to file an Annual Report for an LLC in Hawaii?

Yes, every LLC operating in Hawaii must file its Annual Report once a year to remain active and in good standing. This is the case even if your business has no activity or income.

What happens if you do not file an Annual Report?

If you don’t file your Annual Report on time, you face late penalties. Failing to file for two consecutive years may result in the administrative dissolution of your LLC.

How much does it cost to file for an LLC in Hawaii?

You must pay $13.50 for standard online filings and $16.00 for standard offline filings. The state will add a $10.00 late fee if you fail to complete your report by the stated due date.

You can pay an additional $25.00 for expedited processing. This can also be used for late filings if needed.

Can I skip a year of filing?

No, you can NOT skip a year of filings. All past-due reports must be filed before or alongside your current year’s report to remain active and in good standing.
