Do You Need To File An Alabama Annual Report?
You’re NOT required to file an Annual Report with the Secretary of State. Therefore, Alabama LLCs have no Annual Report fee.
Historically, only LLCs elected to be taxed as Corporations were required to file with the Alabama Secretary of State. After the Alabama Act 2022-252 on January 1, 2024, LLCs were removed from the reporting list.
Following this, the Alabama Secretary of State Annual Report requirement was removed. This was on October 1, 2024, as part of House Bill 230. Therefore, there is no Alabama Annual Report due date.

Despite this, LLCs must still meet mandatory annual obligations to maintain their good standing with the state. These include:
- Filing and paying the Alabama Business Privilege Tax Return (Form PPT).

Once your Alabama LLC is formed, you enter an ongoing compliance cycle. The Annual Alabama Business Privilege Tax Return (Form PPT) is your primary recurring obligation.
Under the Alabama Code § 40-14A-22(a), filing this keeps your LLC active and ensures you maintain your good standing with the Alabama Department of Revenue.

Your Business Privilege Tax Return due date is the same as your federal return. It depends on your LLC’s structure:
- Single-member LLCs: April 15.
- Multi-member LLCs: March 15.

Note: A single-member LLC is a “Disregarded Entity.” A multi-member LLC refers to a “Limited Liability Entity.”
These terms are for federal tax classification. They do not describe their actual business structures. You remain as an LLC regardless of the label on your Alabama tax form.
Your Business Privilege Tax is based on your net worth, taxable income, and Alabama apportionment in that taxable year. Your tax rate ranges from $0.25 to $1.75 per $1000 of net worth (Depending on your income bracket). Use the Alabama Department of Revenue’s website or the Alabama Code § 40-14A-22(b) to find the tax rates.
Beginning in the 2024 tax year, your LLC is fully exempt from filing and paying if your calculated Business Privilege Tax is $100 or less. This is set under Alabama Code § 40-14A-22(c)(3), amended by HB 391 (Act 2022-252).

You can file your Alabama Business Privilege Tax Return (Form PPT) online via the My Alabama Taxes (MAT) portal or by mail. However, if your tax due exceeds $750, you must pay electronically.
You must include Form BPT-V (Business Privilege Tax Payment Voucher) if you’re filing by mail and your calculated tax is under $750.
The state will impose two potential penalties if you miss your filing deadline:
- A minimum $50 penalty + 1% monthly late-payment penalty and interest.
- 10% of the tax due + 1% monthly late-payment penalty and interest.

What Are The Main Alabama Business Licenses And Permits?
All Alabama LLCs must maintain the proper licenses at the county, municipal, and/or occupational level. The Alabama licensing framework is decentralized. This means it’s specific to the local administrations. Therefore, you must understand which licenses apply to your LLC and how often you must renew them.
1. Business Privilege License
Most U.S. states use one universal Business Licence for all entities. Alabama’s system is unique in the fact that it charges the Business Privilege Tax. This means all state businesses, including LLCs, must hold a Business Privilege License, as stated in the Alabama Code § 40-12-40.

The state mandates the requirement. However, it’s issued at the county level. This means that your LLC must obtain its Business Privilege License in its operating county.
- Your Business Privilege License is due on October 1 annually.
- It remains valid for one license year (Ending September 30).
- It becomes delinquent on November 1.
Note: Your fee schedule and license categories are based on statewide rate charts. These are adopted by counties. Therefore, your actual cost varies. Generally speaking, most routine commercial activities fall within a fee range of $50 to $75 annually. Regulated or higher-risk industries may incur higher fees.

2. Other Occupational And Location Business Licenses
Your Occupational and Industry-Specific License requirements depend on the nature of your business activities.
The Quick Reference Guide, published by the Alabama Department of Revenue’s Business & License Division, lists every regulated occupation under Title 40, Chapter 12, along with the responsible agencies. I recommend using this guide and the division website to determine your licensing needs.
Under the Alabama Code § 40-12-26, these licenses are renewed annually. They follow the same statewide licensing year that applies to the Business Privilege License.

- The license year runs from October 1 to September 30. Renewals must be completed by October 31 to avoid fines and penalties.
- You’re considered delinquent if you file after that date. Your LLC is subject to a 15% penalty + Interest.
- Your fees vary significantly depending on your occupation. They typically range from $5 to $500 or more annually, depending on your industry regulations and statutory code.
The county Probate Judge or License Commissioner issues a separate Business Privilege License. Your Occupational Licenses are administered at the state or board level.

The Alabama LLC Tax Compliance Requirements At All Government Levels
Your Alabama LLC may be required to pay recurring local, state, and federal taxes. These are on top of your Annual Business Privilege Tax Return and your county-issued Business Privilege License.
- Federal payroll tax: Required if you have employees.
