All LLCs operating within the state must file their Annual Report in Illinois under 805 ILCS 180/50-1. This must be completed and filed with the ILSOS to remain active and keep your good standing.
Your report must contain the following details:
- Your LLC’s name, Registered Agent details, and principal place of business.
- Your LLC managers and members with manager authority.
- Any additional information (if requested).

You can complete your LLC Annual Report filing online or by mail, with both methods costing $75:
- Online: File via the LLC Annual Report Filings portal. Your filing will be immediately processed.
- By mail: Complete Form LLC-50.1 and submit your report to the state.
1. When Is The Illinois Annual Report Due?
Your Illinois Annual Report due date is before the first day of your LLC’s anniversary month. This is the month that the ILSOS officially approved your LLC. Going forward, your first Annual Report is due a year after your formation date, then every year afterwards.
Example: Your LLC was approved on June 15, 2026, meaning your anniversary month is June.
- Your first Annual Report due date is before June 1, 2027. You can file up to 45 days before your due date.
- This filing window applies to every year going forward.
2. Your Annual Report Reminder
According to the ILSOS, your Registered Agent will be sent a pre-filled Annual Report approximately 45 days before your due date. This functions as your LLC’s filing reminder.

I recommend filing as early as you can once you’ve received your state notice, instead of waiting until your anniversary month. This helps you avoid $100 penalties and loss of good standing. I will discuss the potential consequences of not completing your filing below.
Notes:
- You do NOT need to use the state’s pre-filed version. You can ignore it if you want to make adjustments or file online.
- The state reminder only acts as a courtesy. Your filing obligation remains whether you receive the reminder or not.
How To File Your Annual Report In Illinois: A Step-By-Step Guide

Visit the LLC Annual Report Filings portal to begin your filing. Then, complete the following steps as detailed below.
Note: You can NOT complete your Illinois Annual Report filing online if the following apply to your LLC:
- It’s inactive.
- It has more than eight managers or managers not qualified to conduct business in the state.
- It requires changes for its core registration details (LLC name, duration, Registered Agent details, business purpose, and Registered Office).
- It needs to be signed using layered signatures or using a power of attorney.

1. Enter Your Illinois LLC File Number
You can check your Welcome Letter to find your LLC’s File Number.
Alternatively, click “Find a Limited Liability Company File Number” to look it up in the Illinois Business Entity Search by LLC name.

2. Confirm Your LLC’s Main Information
Next, you should see your LLC’s name, formation state, and organization date. Carefully review these details and select “Yes” to confirm that the information is correct.
Note: Click “No” if any information is incorrect. The system will take you back to the first screen. In this case, you must have entered an incorrect LLC file number.

3. Confirm Your Registered Agent And Registered Office
Once you’ve confirmed your LLC’s main information, do the same with your Registered Agent details and Registered Office. These will both be shown on the screen.
Note: You can NOT change these details in your online Annual Report filing.
Any change requires online filing or mail submission of Form LLC-1.36/1.37.
Select “Yes” to confirm, then click “Continue.”
If you select “No,” the system will show a notice explaining the note above. You will then be required to proceed with your current details and make any updates later.

4. Confirm Your Principal Place Of Business
Carefully check your principal place of business address. This is your LLC’s main operating address.

Select “No” if you need to make changes. Then, the system will allow you to enter a new principal business address.
Choose “Yes” if no changes are needed and then fill out all the required fields.
Note: Your new address must be a physical street address. P.O. boxes are NOT allowed.

5. Managers And Authorized Members
After confirming your principal place of business, verify your LLC managers’ or authorized members’ information. These are individuals or businesses with the authority to sign contracts and act on behalf of your LLC.
- LLC managers: Someone formally designated to manage your LLC when using a manager-managed structure.
- LLC authorized members: Someone authorized by all LLC members to run and represent your member-managed LLC.
Note: Your LLC is member-managed by default unless otherwise stated in your Operating Agreement. You must list all LLC members if you have no authorized members, as they then all have equal authority.

- Click “No” then “Continue” if you don’t need to add more LLC managers.
- If you click “Yes,” the system will provide a section allowing you to update your current LLC manager’s information or add more managers.
a. Update Your Current Manager’s Information
Enter the updated information in the required fields on the edit screen. Once completed, scroll down to the end of the section and click “Continue.”

b. Add More Managers
Under the fields allowing you to edit your current information, you’ll find blank spaces allowing you to add new manager(s) without replacing your current information.
Type your new LLC manager’s information in each field if applicable. You can add a maximum of 6 people or businesses on your online form. Click “Continue” to proceed once everything is complete.

6. Attestation
Once you’ve completed the LLC managers/authorized members’ section, select the one who will be submitting your report.
Then, confirm your signing authority.
- Select “No” if you’re the LLC’s individual manager or member.
- Select “Yes” if you’re signing on behalf of a company. The system will provide a section where you need to state your full name and title in that company (not the LLC).

7. Add Your Account Billing Information
In this final step, you need to pay the $75 Annual Report fee. You may also be charged a processing fee, depending on your payment option.
Provide your billing contact details (address, phone number, and email). This will be used for payment processing and receipt delivery.
Click “Pay Now” once everything is completed to submit your filing and payment.

Filing Your LLC Annual Report By Mail
You can file your LLC’s Annual Report using Form LLC-50.1 if you’re ineligible for online submission or prefer filing manually. You can click the “Download” button on the right-hand side of the screen or find it on the official ILSOS website.
I recommend typing directly into the form using your computer, then printing it out. Once printed, sign it by hand. This ensures that your form is easy to read.

Note: As I’ve stated above, the state may send you a pre-filed version. You must understand what the form means, especially if any of your business information has changed or you can’t use that version.
1. Provide Your Basic LLC Details
To begin, provide your primary LLC details. This will be used by the state to identify your business on their records. Include the following:
- Your LLC’s legal name.
- Your Registered Agent details (individual or business).
- Your Registered office (physical state address).
This information must be entered exactly as it was on your latest Articles of Organization document. You can make amendments later, but they need to be done using a different procedure (noted on Line 6 of the form).
Tip: Recheck the current official document on the Business Entity Search using your file number if you made any previous amendments. The state uses this number to recognize your company in its official records.

2. State Your Organization Jurisdiction And LLC Formation Date
Next, state your LLC formation details. Enter the following if you’re an Illinois-based LLC:
- “Illinois” as your state.
- Effective date of your approved Articles of Organization
Note: Alternatively, search your LLC name on the Business Entity Record and look for the “File Date“.

3. Complete Your Principal Place Of Business Address
Add your LLC’s principal place of business address. This must be your latest main operating location.
- Enter a new address if your principal place of business address has changed.
- Enter the current address if it’s the same.
Note: You must use a physical address for this section. You can NOT use a P.O. box address.

4. Provide Your LLC Managers And Authorized Members
In the next section, enter information regarding your LLC’s management structure.
- Member-managed: List all members unless you’ve appointed one or more authorized members.
- Manager-managed: List all appointed LLC managers.
Tip: Make sure you enter the most up-to-date details. You can:
- Make amendments to existing details.
- Remove information on those no longer serving.
- Add new authorized members or managers.
You have no limit to the number of individuals/entities you can list on the mail form. Therefore, include every current one and attach additional sheets if needed.
Note: Line 5 is the built-in manager affirmation statement. This confirms the existence of business managers as stated above. You do NOT need to do anything for this part.

5. Check The Registered Agent Statement
You do NOT need to enter anything for this section. This statement lets you know that you can’t change your Registered Agent using your Annual Report form.
Note: You must use the Change of Registered Agent form if you want to change your agent.
6. Add Your Signature And Date
This is the last section of your mail filing. It asks you to confirm your signing authority by providing a signature.
First, enter your filing date. Then, provide the name and title of the document filer, which will either be:
- An LLC manager or authorized member.
- An authorized person.
Note: You can leave the fields stating “If applicant is a company or other entity…” blank. This doesn’t apply to most filers.
Once everything is complete, print and sign your form. Everything is ready to be filed by mail.

LLC Annual Report Processing Time And Verification Process
Your LLC Annual Report processing time and verification process depend on your chosen filing method:
- Online: Once payment is made, your report will be processed immediately. The state will send you an email with a receipt and a copy of your completed Annual Report.
- By mail: Your Annual Report will be processed by the state within 10-15 business days. If you use this method, you will not be sent a receipt in the mail. Your cancelled check serves as your receipt.
Note: You can use an expedited service and pay $50 to reduce your filing process to within 24 hours. However, this is NOT included in your filing dossier. The payment must be made in person at the Department’s Springfield or Chicago office.

Late Filing Penalties For Your Illinois Annual Report
Your LLC is subject to non-compliance penalties if you fail to complete your filing. Alongside losing your good standing with the state, you face late-filing penalties and possible administrative dissolution.
1. Loss Of Good Standing
Your LLC will become delinquent and lose its good standing once your due date has passed. Your status will show on the Business Entity Search, meaning anyone can look up your LLC and see your poor standing. This may damage your business’s credibility and operations.

Alongside this, you may be forced to deal with other practical consequences. These include:
- You won’t be issued a Certificate of Good Standing: This is needed to open a bank account, renew your required licenses, and complete financing processes.
- You face transactional barriers: Most vendors, partners, and lenders will check your status before signing or providing funding.
- You have legal limits: You may face restrictions when bringing or defending lawsuits in the state.
2. Late Filing Penalties
Under 805 ILCS 180/50-15, you must pay a $100 late penalty if your report is 60 days past due. You’ll be given an additional $100 penalty after one year. This can build up unless your LLC files and pays your required Annual Report filings and fees.

Example: Your LLC’s Annual Report is due on May 31, 2026.
- You face a $100 late penalty if your Annual Report is NOT filed by July 30, 2026 (60 days late).
- An additional $100 penalty may be applied if you still don’t file by May 31, 2027 (one year late).
Note: Before 2019, your Annual Report fee was $300. However, following the House Bill 4578, the fee was reduced to $100 under Section 50-15.
3. Administrative Dissolution
Grounds for administrative dissolution regarding Annual Report violations are set under 805 ILCS 180/35-25(2).

These are the potential consequences under 805 ILCS 180/35-30:
- Your Registered Agent will be sent a Notice of Delinquency once your due date has passed.
- You will be issued a Certificate of Dissolution, and your LLC will be dissolved once 120 days have passed since receiving your delinquency notice.

Once dissolved, you must reinstate your LLC with the ILSOS by completing your reinstatement form and paying the $200 filing fee. Alongside this, you need to pay your past-due Annual Reports and related fees/penalties.
After six years, your LLC will be administratively dissolved with no hope of reinstatement, and you’ll need to form a new LLC by filing your Articles of Organization again.
Note: During this period, your late penalties continue to build up. Your penalties can reach $600 if you reinstate after six years.
