An Overview Of The Georgia Annual Registration Fee
All LLCs operating in Georgia must file their Georgia Secretary of State Annual Registration document under O.C.G.A. § 14-11-1103(a). This is a mandatory requirement for all LLCs, verifying that your LLC remains active and legally authorized to operate in the state.

2. Georgia LLC Annual Registration Filing Methods
The state allows you to use several filing methods when completing your Annual Registration. The right choice depends on whether you need to confirm the details on file or make amendments/updates to your filing.
- One-click filing: You can file without logging in if you don’t need to make changes.
- Filing via eCorp (Online services): Use this method if you need to update your LLC information.
- Mail filing: You can use the paper form to update or confirm your data. Once completed, send it to the Georgia Secretary of State.
3. How Much Is The Georgia Annual Registration?
You must pay a $50 Annual Registration fee and a $10 service fee every year, regardless of your chosen filing method. This becomes effective from September 6, 2025, and applies to filings starting January 1, 2026.
Note: All fees are non-refundable. This is the case, regardless of your filing method or circumstances.

The state has several additional or optional fee choices that may apply depending on your chosen filing method:
- You can pay for multiple years at once.
- You may need to amend already submitted information.

1. Select Your LLC Filing Period
First, click the corresponding radio button to choose your LLC filing period. You can choose one of the following options:
- Current year (One year only).
- Two consecutive years.
- Three consecutive years.

2. Find Your LLC
Once you’ve selected your filing period, you need to find your LLC using the business search section. Search using either your business name (recommended) or your control number (if available).
Next, complete these required steps:
- In the search field, enter your required information.
- Click “Search Business.”
- Review your search results, then select your LLC.
- At the bottom of the page, click “Continue.”

3. Review Your Business Information
Review your LLC’s details on the Business Information page. This includes your:
- Business information: Business name, business type, control number, office address, jurisdiction, and the last filing year.
- Registered Agent information: Agent name, agent state address, and agent type.
- Officer or manager information: Names, titles, and business addresses.
- Business email address: The email used for official state notices.
Note: You can NOT make edits on this page as you’re using the One-Click Annual Registration method. This step is for reviewing and confirming only.
Note: If any of your information is incorrect or needs updating, you must exit the filing screen and file your Annual Registration using the eCorp system instead. I’ve provided detailed instructions below.

4. Provide Your Certification And Signature
Once you’ve completed the previous steps, scroll down to the Filer’s Certification (Signature) section. You must check the certification box to confirm that all information provided in your Annual Registration form is true and accurate to your knowledge.
After this, enter your Authorizer Name. This acts as your electronic signature. Then, choose the appropriate Authorizer Title from the dropdown menu.
Note: Your selected title needs to accurately reflect your signer’s role and LLC authority. Common titles include manager, member, officer, or authorized person.
Choose “Click to Pay” to submit your payment once the required information is complete. Your Annual Registration filing is complete once your payment has been successfully processed.

5. After Your Submission
You should see a confirmation screen once your payment is complete. This should show a success message alongside your control number. The system will send your payment receipt to the email address on file.
You may also see an e-notification prompt. This allows you to receive email alerts whenever updates are made to your LLC’s filing records. This is an optional feature.
How To File Your Georgia Annual Registration Using Online Services (eCorp)
Note: This method must be used if you need to update your LLC’s information, have filings past due, or are unable to use the One-Click System.
Click “Annual Registration With Changes” on the Georgia Corporations Division homepage to access the Online Services filing options.

You must log in first to proceed with this filing method.
- Follow the sections below to create an eCorp account if you do NOT already have one. The registration process is simple and takes a few minutes.
- You can log in with your same eCorp account if you’ve previously filed your Articles of Organization (Or any prior filings) online.

Follow these required steps to file your Georgia Annual Registration online using your eCorp account.
1. Create An eCorp Account (If You Don’t Have One)
You need an eCorp account to access online services, submit filings, and manage your LLC’s registration history.
a. Provide Your Information
Once you’ve selected “Create A User Account,” you’ll be taken to the “Provide Your Information” section. You need to enter your eCorp account personal contact details, not the ones for your LLC.
Complete the required fields marked with an asterisk (*). This includes your name, address, country, and email (with confirmation).
Note: Your provided address is used for account contact only. It is not your LLC’s legal address. I recommend using a U.S. address to avoid verification delays.

b. Create Your Login Credentials
Set up your eCorp login by choosing a user ID in the “Enter Login Details” section. Then, create and confirm a password and select your security question and answer.
Click “Create My Account” once the required fields are complete.
Tip: Your security question is used to verify your identity if you need to recover your account. Therefore, choose something that you’ll easily remember.

c. Account Successfully Created
The system will display a confirmation screen once your registration is complete. This should show that your account has been successfully created, with your user ID and registered email address on the screen.
Click “Login” to return to the sign-in page. You can now log in and file your Annual Registration online.

2. Choose Your Annual Registration Period
Once you’ve logged in, the system will take you to your Annual Registration filing page. To begin, select the period you want to file for:
- File your Annual Registration for the current year.
- File for two or three consecutive years (If you want to pre-file future deadlines).
Note: Your total filing fee is calculated as $50 per year + a $10 service fee. If you select two or three years, the system will multiply your fee accordingly.

3. Search For And Select Your LLC
Once you’ve chosen your Annual Registration period, you can locate your LLC using the “Business Search” section.
Search using one of the two following options:
- Business name (Recommended for most users).
- Control number (If you already have it available).
Enter the required details, then click “Search Business.” Once you see the search results, carefully identify your LLC by reviewing the business name, entity type, and status.
Use the radio button to choose the correct entity in the “Select” column. Then, click “Continue” to move to the next section.

4. Check Your Pending Annual Registrations
Next, you should see a summary of your selected filing years, fees, and the total amount due. Carefully review the information, then click “Continue” to proceed.
Note: Any overdue Annual Registrations from prior filing periods will be automatically added and must be paid.

5. Review And Update Your LLC’s Business Information
On the review page, you should see several sections with your LLC’s current information. I’ve addressed each section below.
Note: Do NOT delete or remove any existing entries if you don’t need to make changes. Leave all information “as is.”
a. Business Information
This displays your LLC’s core details, including your business name, formation state, control number, applicable filing fee, entity type, and last Annual Registration year.
You can NOT edit any of these fields. Simply confirm that the information shown matches your business records.
Note: You must file an Articles of Amendment to amend your Articles of Organization separately if you need to change your LLC’s legal name.

b. Registered Agent Information
Use the “Create Registered Agent” option if you need to update or replace your Registered Agent details. Then, complete the pop-up form as follows:
- Choose your Agent Type (Individual or business). This depends on whether your agent is a person or a professionally registered company.
- Enter your agent’s full legal name.
- Provide their email address for official correspondence and system notifications.
- Enter their physical Georgia street address.
- Click “Create Registered Agent” to save their information.
Once complete, your new agent will immediately replace your existing agent. This should be reflected on your filing screen.

c. Principal Office Address
The next section will show your LLC’s current principal office address. This is the one on record with the Georgia Secretary of State. Carefully review each field and update it if your main business address has changed.
Note: This address does NOT need to be in Georgia. However, it must be a valid physical location. You can NOT use a P.O. box address.

d. Business Email Address (Optional)
In this section, you can provide an email address for communication purposes. This is optional, meaning you don’t need to fill it out to complete your application.
Note: While you don’t need to report or update your business email address, you can add one if you want to receive electronic notifications.

6. Provide Your Filer’s Certification And Signature
Proceed to the “Filer’s Certification” section after completing your business information review. In this section, you need to certify that the information you provided is true, correct, and complete.
State your Authorizer Name, then select their appropriate title from the dropdown menu. This must be an individual with the authority to file on behalf of your LLC.
Note: Most LLCs use member, manager, or authorized person. Other titles are commonly used when a third party is filing on behalf of your LLC. Examples include an agent, attorney, or fiduciary.
Continue to the payment step to submit your Annual Registration once everything is complete.

7. Review And Submit Your Filing
The system should then display a summary of all the information included in your Annual Registration filing.
Click “Edit Business Info” or use the “Back” button if you need to return to the relevant section to make changes.
Your Annual Registration filing is ready to submit and be paid for once you’ve reviewed and confirmed your information. You can then go to the payment section.

8. Make A Payment
The next section shows your filing fee breakdown. Review the amounts, then press “Click to Pay” to complete your payment.

9. Check Your Filing Confirmation And Notifications
Once your payment is processed successfully, the system will show you a confirmation screen with a completion message and control number. You’ll also get a transaction receipt emailed to your associated filing address.
Note: You may be prompted to enroll in E-Notifications before leaving your filing. I recommend signing up for this optional service to receive email alerts whenever changes are made to your LLC’s filing history.
Filing Your Georgia Annual Registration In Paper Form
The paper filing method is the same as the eCorp online filing. However, you need to print a paper form and send it to the Office of the Secretary of State’s address. It’s a slower method, but valid when submitted on time.
1. Find The Paper Filing Option
To begin, find the official Annual Registration Form on the Georgia Corporations Division website. Select “Print Annual Registration Form” on the homepage to access the paper filing option.
Note: You’re only able to download each form during its respective filing window. Therefore, ensure that you use the most current form version for your applicable filing year.

2. Select Your Filing Period
Georgia offers several Annual Registration options. Because of this, you need to select the filing period that you’re registering for first. You can either:
- File for the current year only.
- Prepay for two or three consecutive years (If available). Your total filing fee will be calculated based on the number of selected calendar years.

3. Search For And Identify Your LLC
Next, locate your LLC using the Business Search tool via your business name or control number. Select your entity from the search results, then click “Continue” to proceed.

4. Check Your Pending Annual Registrations
On the next screen, you’ll see the Annual Registration(s) that need to be filed:
- You must pay for any overdue registrations from prior filing periods. These will be included on the screen.
- The screen will display your Annual Registration(s) for your selected filing period(s) if not.

5. Confirm Your LLC’s Business Information
Next, you must review and confirm your LLC’s current information before moving forward with your filing.
- Business information: Review your company’s basic information, including your business name, address, status, and control number. Make sure that everything is accurate when doing so.
- Registered Agent information: Make sure that your Registered Agent’s full name, address, and contact details are correct.
- Print AR Form: The system will open an editable window if you select “Yes.” This allows you to update your relevant registration details.
- Certification & Signature: Provide your authorizer’s full legal name, title, and electronic signature.
Note: I recommend updating any incorrect information before providing your signature. The form should print the exact current information.

6. Download Your Annual Registration Form
Click “Download AR Form” to download your completed Annual Registration. The system will generate your form as a PDF.

7. Submit Your Completed Filing
Open and carefully review your form once you’ve downloaded it as a PDF. It should show the exact information you’re intending to file and be true to your current data.
Once everything is correct, print your completed form and send it alongside the $60 payment to:
Office of the Secretary of State, 2 MLK Jr. Drive, Suite 313, West Tower, Atlanta, Georgia 30334.
- Mail filings: These need to be paid by money order, check, or certified bank check.
- Hand-delivered filings: You can make your payment by check, money order, certified bank check, or credit card.
Note: The state will NOT accept cash as a form of payment. Furthermore, your mail filing envelope must be postmarked by April 1 to be considered as “filed on time.”

Georgia Annual Registration Non-Compliance Penalties
State law views your Annual Registration filing as a core compliance measure. Because of this, repeated non-compliance can quickly escalate from monetary penalties to loss of your legal status.
1. Monetary Penalties
The state automatically imposes a $25 late fee on top of your standard Annual Registration fee if you miss the April 1 filing deadline. This applies according to the law and must be paid before your filing can be accepted.

2. Administrative Dissolution
Under O.C.G.A. § 14-11-603(b)(1), your LLC becomes subject to administrative dissolution if you fail to make your Annual Registration payment. This is implemented by Georgia Rules & Regulations, Rule 590-7-19-.07(c):
- You will be immediately issued a Notice of Nonpayment once your payment is past due.
- You’ll be issued a Notice of Intent to Administratively Dissolve after 60 days.
- Your LLC will be administratively dissolved if your payment is NOT received within 60 days after your Notice of Intent was issued.

Note: You must reactivate your LLC using a reinstatement application once it’s dissolved. This costs $260.
3. Operational And Legal Risks
Your LLC will be marked as “non-compliant” under Rule 590-7-19-.07(c) if you fail to file your Annual Registration on time.

If this happens, you will:
- Lose your good standing: You’ll have no standing in the state, which will restrict your normal business activities.
- Damage your credibility: You’ll have less credibility with vendors, banks, customers, and counterparties.
- Be unable to defend lawsuits: You can NOT defend your LLC in Georgia courts until your compliance is restored.
- Face operational disruptions: If your non-compliance escalates to administrative dissolution.
