Virginia Annual Registration Fee Overview
Note: The official term in Virginia is the “Annual registration fee.” However, it’s also informally called the “Annual fee.” I’ve used both terms interchangeably throughout my article.
Virginia LLCs do NOT need to file an Annual Report. This requirement only applies to corporations.
As stated under the Code of Virginia § 13.1-1062, all LLCs must pay their Virginia annual registration fee to the Virginia SCC. This ensures they remain active and maintain their good standing with the state.

The Virginia annual registration fee is $50 and is a mandatory requirement, even if your LLC is inactive or does not generate income during the year.
You can pay your Virginia LLC $50 annual registration fee using one of these three methods:
- Online: Pay your Virginia annual registration fee for your online filing via the SCC CIS.
- By mail: Send your assessment coupon in your Notice of Assessment along with a money order or check made payable to the SCC.
- In-person: Submit your filing and pay directly to the SCC.
1. When Is The Virginia Annual Registration Fee Due Date?
Your due date for your annual registration fee is the last day of your LLC’s anniversary month. This starts from the first year after you officially form your LLC and continues for each year that you remain active.
You can pay the fee 2 months earlier once the Notice of Assessment is issued.
What Is The Notice Of Assessment?

Example: Your LLC was approved on June 15, 2026.
- You must pay your first annual registration fee by June 30, 2027.
- You then need to make your fee payment every year after that.
- You can make your fee payment as early as April 1. This is when you should receive your Notice of Assessment from the state.
Warning: The state will impose a $25 late penalty if you don’t pay by your due date. This must be paid along with your initial $50 fee payment within 3 months after your due date.
The state will shut down your LLC if the 3 months pass and you’ve failed to make your payment. I’ve discussed your potential penalties further down in my article.

How To Pay The Annual Registration Fee For An LLC In Virginia Online

I recommend completing your annual registration fee payment using the online SCC system. It’s faster, more convenient, and provides immediate confirmation. Furthermore, it reduces the risk of lost payments or filing delays.
To begin, visit the SCC CIS website and access your account.

1. Pay Your Virginia LLC Annual Registration Fee
Click “Pay Registration Fees” once you’ve logged in. You’ll find this in the top menu. Then, follow the steps below:
- Find your LLC using your legal name or entity ID. You can leave the email and phone number fields blank.
- Choose the correct one from your search results.
- Add the filing to your cart and proceed to checkout.
- Finalize your payment.
- Your Virginia LLC annual registration fee is now paid.

2. Create Your CIS System Account
Note: You need a valid address or phone number to complete this step. I recommend using a U.S. one to receive your verification code.
You must have an account on the CIS system to pay your annual registration fee online.
To begin, go to the “File” section and click “Register” on the homepage.

a. Name Information
Provide your first name and last name exactly as shown on your ID (the middle name field is optional). Only choose a suffix if it’s part of your legal name.

b. Personal Information
The next section is used to verify your identification using a third-party service.
- Personal address: Enter your current street address. This must include your country, state, city, and ZIP code.
- Cell phone number: Provide a valid number. Your verification code will be sent here.

c. Mailing Address Information
Next, give your mailing address information. This must be an actual address where you can receive official correspondence from the SCC. It does NOT have to be located in the U.S.
You can select “Same as personal information” to autofill the required sections if it’s the same as your personal information.

d. Login Information
After providing your mailing address information, you must set up your CIS account login credentials. Follow these steps:
- Provide a valid, active email address.
- Create a username and password. These must meet the state’s criteria.
- Check the required confirmation box.

e. Verification
Once submitted, the SCC will send you a six-digit one-time verification code. Enter the code to activate your online account.
Tip: Submit a help request to the CIS for alternative verification options if you can’t find your code.

Paying Your Annual Registration By Mail
You can pay your annual registration fee by mail if you’re not familiar with the online system or would prefer to make a partial payment. However, this requires manual processing, so it takes much longer than the online filing method.
1. Receive Your Assessment Coupon Notice Of Assessment Of Annual Registration Fee
The state will send your Registered Agent a reminder notice around 2-3 months before your annual registration fee is due. You should see a payment coupon separated by a perforated line labeled “Detach payment coupon” at the bottom of your notice.
- Make sure you detach it carefully. You’ll need to include it alongside your payment.
- Keep the rest of your notice. This allows you to double-check your amount and due date.
Note: You can submit a Form Request to the Clerk’s Office if you don’t receive your Notice of Assessment or your annual registration fee.
2. Make Your Payment
Follow the steps below to correctly prepare your payment dossier:
- Prepare a $50 check or money order made payable to the Virginia SCC.
- Write your LLC’s SCC ID number on the front of your check or money order (Found on your Notice of Assessment).

Notes: Your SCC ID number and LLC’s entity ID number are the same thing. You can find them on your Assessment Notice or your Articles of Organization.
Mail your completed dossier to the following SCC address: Clerk’s Office, P.O. box 1197, Richmond, VA 23218-1197.
Alternatively, you can make a cash or check payment in person. However, you must contact the relevant agency in advance to confirm availability.

Warning: Your payment date is your receipt date. This is when the SCC actually receives your full payment. Your postmark date does NOT count.
Ensure you mail your payment at least two weeks in advance to make sure it arrives on time.
Why Is It Important To Pay Your LLC’s Annual Registration Fee?
The Virginia LLC annual registration fee is a mandatory charge that all LLCs must pay to operate in the state. It’s directly related to your LLC’s legal existence and good standing in Virginia.
Failing to pay the $50 fee means that you risk losing your good standing, face penalties, and potentially administrative dissolution.
1. Penalties For Late Or Non-Payment
You will be charged a $25 penalty if your LLC fails to pay its annual registration fee by the due date. This is on top of your normal Annual fee amount. According to the SCC, this applies even when your due date falls on a weekend or holiday.
Example: If you pay on Monday, July 2, but your due date is Saturday, June 30, your total amount due is $75 ($50 + $25 late fee).

2. Administrative Dissolution
Your LLC is automatically canceled if you don’t pay your annual registration fee by the last day of the third month after the due date. This is set under the Code of Virginia § 13.1-1050.2.(A).
Example: Your fee is due on June 30, but remains unpaid by September 30. In this case, your LLC will be automatically canceled by the SCC.

When this happens, your LLC no longer exists. With this, it can NOT operate, enter into business transactions, hire LLC employees, or defend lawsuits. These are all the core rights of a separate legal entity.
Note: You can reinstate your LLC by paying a $100 base fee + your past-due annual registration fees ($50/year) + Penalties ($25/year).
3. Operational And Legal Risks
Your LLC’s public status on the CIS’s Business Entity Search changes to “Pending inactive” once your due date passes without payment.

This leads to several operational risks, many of which disrupt your business activities:
- Banking disruptions: Payment processors and banks may freeze your business accounts or refuse transactions once you’re flagged as losing your good standing.
- Contract friction: Counterparties may pause or terminate deals once your LLC is shown to be non-compliant.
- Blocked filings: The SCC may reject your certificates, filings, and amendments until your fees are paid.
- Due diligence failures: Vendor onboarding, KYC, and financing checks may automatically fail.
Note: Your LLC status changes to “Inactive” once your administrative dissolution deadline passes. This triggers full legal cancellation.
