A Detailed Overview Of The Nevada LLC Annual Fees

Your Nevada Annual Report filing fee includes a $150 fee for your annual list and a $200 fee for your state business license. These fees must be paid annually to maintain your LLC’s good standing.

Note: The state will process your filings as a single package. Therefore, I’ve referred to both filings as “Annual filings/Documents” or “Annual fees.”

1. Annual List Of Managers Or Managing Members

According to NRS § 86.263, all Nevada LLCs must submit an annual list to the Nevada Secretary of State each year. This gives the state up-to-date information on your LLC’s key decision-makers.

Your annual list must include your LLC’s name, file number, the names and titles of your managers or managing members if your LLC has no managers, and the residential or business address of everyone listed. It must also include the signature of a manager, managing member, or another authorized individual certifying that the information provided is true, complete, and accurate.

2. The Nevada State Business License Renewal

In accordance with NRS § 76.130.(1).(a), the Nevada state business license is an annual requirement for any person or entity conducting business in the state. It must be filed along with your annual list.

When Are The Nevada LLC Annual Fees Due?

Quick answer: You must submit your Nevada annual list and business license renewal each year by the last day of the month in which your LLC’s anniversary date occurs.

This is set under NRS § 86.263.(2). You’ll be sent a reminder from the Nevada Secretary of State 90 days before the deadline. Ensure your appointed Registered Agent receives the reminder to avoid late submission and penalties.

As stated in NRS § 86.263.(9), you can submit your annual filings up to 90 days before the deadline.

Example: Your LLC is officially formed on April 10, 2026.

April is your LLC’s anniversary month. Therefore, this is the deadline for your annual filings :

  • Your final due date is April 30, 2027.
  • Your LLC can file its annual documents as soon as January 31, 2027.

Filing Methods And Processing Time

Your annual filings and fees must be done with the Nevada Secretary of State. You can choose between two main filing methods:

  1. Submit your documents and fees online via SilverFlume. Confirmation will be issued within 24 hours.
  2. Complete a report form and mail it to the state. Your expected processing time is 3-4 weeks. You can accelerate the processing duration by applying for expedited services.

I’ve provided instructions for both filing methods in the sections below.

To begin, create a SilverFlume account. You’ll need this to file your annual filings online. Use my instructions below this section to create your own account.

1. Find Your LLC’s Annual Filings

After logging in, you’ll be directed to the homepage.

In the “Existing business” column, choose “File annual or amended list.” Once you’re directed to the “Entity search” page, find your LLC to start filing.

Next, click “Annual list and state business license renewal.” You should then see the “Entity search” tool with three boxes. Enter your LLC into one of the applicable boxes and click “Search.”

Your LLC information should appear in the search results once you’ve run the search. Tick the column “Select” if the information appears correct. Then, click “Next” to move to the next step.

2. Check Your Business Information

At the top of the page, you should see your LLC’s business information alongside your $350 filing fee.

You can skip the “Business license exemption” box, as your LLC is not a governmental entity or insurance company.

3. Update Your LLC’s Managing Information

Next, you must update your LLC’s information. This includes your management information and your officer information.

Note: You LLC’s management structure should be auto-filled in the “Management information” box. This will be in accordance with your Articles of Organization and Initial List. Therefore, you cannot update this information in your annual filing.

b. Officer Information

4. Sign Your Filings

Here, you must confirm the accuracy of your given information by stating your name and title in the applicable fields.

First, tick the declaration box to confirm your information and authorization to submit the filings.

Then, enter your name and choose your title before saving your data.

  • Use the title “Managing member” if your LLC is member-managed.
  • Use the title “Manager” if your LLC is manager-managed.

5. Review Your Input Information

Next, review your input information to ensure everything is accurate and up-to-date.

Select “Edit” if any details need to be corrected. Click “Add to shopping cart” once everything is accurate to proceed with submitting and paying for your annual filings.

6. Make Your Payment

In the final payment step, make your online payment using a credit card.

Then, state your card information and billing address in the required boxes. Choose “Copy from previously used” if you have saved your address in previous filings.

Note: Remember to fill out all the asterisked boxes before proceeding. I recommend double-checking a page before attempting to move on to ensure that everything is completed.

Tick “Payment acknowledgement” after inserting the required information to confirm your payment. Then, press “Continue checkout” to complete your filing.

7. What Happens After Your Annual Filings?

Once completed, your filing should be processed within 24 hours.

In your “Documents” page, you can download a copy of your annual list and business license renewal. They’ll be available for 365 days from your purchase date. After that, you may need to pay extra fees to restore your access.

Creating A SilverFlume Account For Your LLC’s Annual Filing

To start your online filing on the SilverFlume Portal, you’ll need to create an account first.

Follow my step-by-step guide to register:

1. Get Started

First, state your key contact information and pick a suitable password for your SilverFlume Account.

a. Insert Your Contact Details

Provide your name, email address, and phone number. You don’t have to fill out the “Organizer” field. This is optional and does NOT affect your registration.

b. Insert Your Security Information

Next, choose a suitable password and confirm it. I advise you to double-check all your information before moving to the next step.

Following this, enter your LLC’s physical address (You can NOT use a P.O. box address for this section).

Then, set two security questions. These will be used for your account recovery. Once this is done, tick the “By using SilverFlume, you agree to the Terms and Conditions.”

Complete the captcha and submit your information to proceed to the next step.

2. Activate Your SilverFlume Account And Log In

Once you’ve completed the above steps, you should get an email asking you to confirm your SilverFlume account. Click “Activate my account,” and log in using the information you registered with.

Filing Your Annual Fees By Mail: My Step-By-Step Guide

With the online filing process being fairly straightforward, you may find it challenging if you’re unfamiliar with technology. In this case, the Nevada Secretary of State allows you to complete your LLC Annual Filings by mail.

Download the application form (On the right-hand side), fill it out using my step-by-step guidance, and mail it to the following address:

Fill out the following forms and submit them in one packet when completing your application:

  1. Annual/Amended list and state business license application.
  2. Customer order instructions/1 or 2-hour expedited customer order instructions (If you choose expedited services).

Furthermore, you must include an ePayment checklist as part of your document dossier if you choose to pay your filing fee using a credit card.

Note: You must include proof of the $350 filing fee payment as part of your annual filings.

Attach proof of your transaction with your documents. This applies when paying by check or money order, using a trust account, or using your existing job balance.

In the cases above, you do NOT need to include the ePayment checklist.

Fill the required fields with your LLC’s basic information. Then, select “Limited Liability Company” for your business style.

Note: You will NOT be eligible for a fee waiver if your LLC doesn’t qualify for any of the fee-exempt categories listed in the boxes below.

b. Provide Your LLC’s Managers Or Members’ Information

Disclaimer:

Some boxes include titles such as “Secretary” or “President.” These titles only apply to Corporations, not LLCs.

Use the “Title” field to indicate your LLC managers or managing members. Include the ones that apply to your LLC’s management structure.

Note: Your addresses must be physical street addresses. P.O. boxes are NOT allowed.

Sign your form and indicate your title once you’ve completed the required sections. You can list yourself as an LLC manager, member, or as an authorized signer for the entity forming your LLC.

2. Customer Order Instructions

Choose one of two options below, depending on how quickly you need your documents to be processed:

  1. Customer order instructions: Regular processing or 24-hour expedited service.
  2. 1 or 2-hour expedited customer order instructions: 1-hour or 2-hour expedited processing.

a. Return Information

To begin, choose your preferred processing speed. Using an expedited processing service comes with an extra cost:

  • 24-hour expedited service: $125 (Domestic LLC).
  • 2-hour expedited service: $500.
  • 1-hour expedited service: $1,000.

Next, enter your LLC name and filing date.

Provide your mailing address in the “Return to” section. This is the address where you want your completed documents to be sent. It may be your LLC’s address or your Registered Agent’s address.

Next, choose your preferred return delivery method.

  • Most filings can be returned via email.
  • Your documents will be mailed via first-class mail if you do not request pick-up (Unless you provide a FedEx account number or arrange an alternative courier).
  • Each order can be returned to only one address.

The state will NOT send you a physical copy of your documents if you request delivery by fax or email. You must order it separately if you want a printed copy to be mailed to you.

Furthermore, the fax-back service is only available for certificates or copies of 50 pages or fewer. This must be requested at the time of ordering, where you have to provide your complete fax information.

Underneath, list the documents that you’re requesting and include a breakdown of their fees. Then, calculate the total amount due.

Your first requested stamped copy is provided at no additional cost if you request it at the time of filing. Additional copies cost $2 per page, while each certified copy costs $30 per certification.

Example:

You fill in the box “Other description” like this:

  • Annual list: $150.
  • State business license renewal: $200.

You can write a total filing fee of $350 in the “Total amount” box.

Finally, check the box indicating your preferred payment method. You’ll find instructions below if you plan to pay by credit card.

3. EPayment Checklist

Complete and include an ePayment Checklist with your submission if you decide to pay your filing fee by credit card. This must be printed and signed (As it contains sensitive card information). Do NOT email it to the Nevada Secretary of State to protect your sensitive personal details.

Accepted credit cards include Visa, Mastercard, American Express, and Discover.

Choose one of the four available processing options:

  • Regular filing.
  • 24-hour expedited filing.
  • 2-hour expedited filing.
  • 1-hour expedited filing.

Then, enter your order details and credit card information in the applicable blank fields.

Note: I recommend checking each section of your credit card information to ensure your payment is successfully processed.

4. What Happens After Filing Your Annual Documents By Mail?

Your mail submission takes approximately 3-4 weeks to be processed, plus mailing time.

Your approved documents will be sent by the Nevada Secretary of State to the address provided in your Customer Order Instructions.

Late Filing Penalties For Your Annual Fees

Warning: Your total late submission fee can reach $525. This includes your filing fees and late submission penalty fees.

While your filing obligations come from different parts of the law, they’re treated as “jointly due” by the state. Therefore, you face combined penalties for failing to file on time, including late fees, default status, and administrative revocation.

Your LLC is automatically placed in default if you fail to file your required annual list and pay the associated $150 fee on time. A $75 penalty will be added to your overdue fee once you’re placed in default. This is set under NRS § 86.272.

When defaulted, your LLC risks losing its good standing and may face revocation of its rights to conduct business in the state if your filings and penalties remain unresolved. To return to active status, you must satisfy all reinstatement requirements.

2. Late Submission Of Your State Business Renewal Fee

If you do NOT pay your $200 state business license renewal fee on time, you must pay an extra $100 penalty. This is set under NRS § 76.130.(4).(a).

Doing this also means that your LLC will be considered “non-compliant” with its annual list requirements. In this case, you’re also subject to penalties for failing to file your annual list, including being placed in default and losing your state business privileges.
